Data Center IPO Risks: Power Costs, Debt, Customers, and AI Demand in 2026

A data-center IPO is an infrastructure and customer-credit investment, not a simple bet on artificial-intelligence growth. The shares can suffer even when AI usage rises if the operator cannot obtain affordable electricity, spends heavily before facilities are energized, depends on one customer, or cannot earn enough from high-density computing to recover its investment.

Analyze four linked failure modes: power economics, construction and debt, customer contracts, and the durability of AI demand. The key question is not how many megawatts or how much backlog a company reports, but whether those megawatts can become contracted, energized capacity that produces cash after power, cooling, financing and maintenance costs.

Why AI demand is not the same as investable cash flow

AI headlines usually describe future demand for computing. An IPO prospectus must be tested against a slower chain of events: a site receives permits and an interconnection, equipment is financed and built, the utility delivers power, a customer accepts the capacity, and the customer pays enough for the operator to cover energy, cooling, labor, debt service and returns on capital.

Any broken link can reduce equity value. A signed memorandum may not be a binding lease. Contracted megawatts may not be energized for years. A long contract can still contain termination rights, construction conditions or a financially weak counterparty. A full facility can become uneconomic if newer processors use power more efficiently or if computing prices fall faster than operating costs.

For a practical comparison, separate four questions:

  • Can the site obtain reliable power at a deliverable cost?
  • Can the company fund construction until revenue begins?
  • Will customers remain solvent and committed under the stated contracts?
  • Will AI workloads generate enough economic value to support the planned utilization and pricing?

Power is a location-specific financial risk

Electricity is not a uniform commodity for data-center operators. A campus can have attractive wholesale prices but still face years of transmission work, an expensive interconnection, demand charges, backup-generation costs or insufficient cooling water. Permitting, local opposition and grid constraints can prevent a theoretically valuable site from operating on schedule.

Break the electricity bill into its real components

Cost or constraint What to examine in an IPO filing Why it matters to equity holders
Wholesale energy Expected market price, hedges, fixed-price supply and volatility assumptions A rise in energy prices can compress margins unless the customer contract passes the increase through.
Utility tariff and demand charges Rate class, peak-demand fees, escalation clauses and minimum payments A facility with low average utilization can still incur large charges during peaks.
Transmission and interconnection Connection agreement, upgrade obligations, deposits, queue position and completion date Construction spending may produce no revenue while the grid connection is delayed.
On-site generation and backup Fuel, maintenance, emissions compliance and standby capacity Reliability measures add fixed costs and can create environmental or permitting exposure.
Cooling Water, mechanical systems, electricity for chillers and high-density liquid-cooling requirements AI racks can require substantially more power and cooling per cabinet than conventional deployments.

IREN has warned that electricity-cost fluctuations and increases, inflation, tariffs and the capital-intensive expansion of AI Cloud Services can raise operating expenses. Applied Digital has identified regulation, carbon-related rules, grid-modernization charges, extreme-weather surcharges and geopolitical events as possible drivers of delivered-electricity costs. Those disclosures matter because a customer may pay for computing capacity while the operator remains exposed to costs that the contract does not fully reimburse.

Equinix has said that access to power limits expansion and that AI-oriented facilities require substantially more power and cooling per cabinet. NVIDIA has separately cautioned that power constraints, government action, permitting delays and community opposition may delay, restrict or prevent data-center development. These are schedule risks as well as operating-cost risks: a delayed energization date postpones revenue while interest and construction commitments continue.

Identify who bears each power risk

Read the pricing and pass-through language rather than assuming a “powered shell” or megawatt commitment protects the operator. Ask whether the customer pays actual electricity, a fixed energy allowance, a marked-up tariff, or a bundled rate. Check caps on pass-throughs, reconciliation periods, minimum take-or-pay obligations and who pays for utility upgrades. A fixed customer price can be valuable when power costs are stable, but dangerous when the operator absorbs inflation or regulatory surcharges.

Construction spending and debt can damage liquidity before revenue

Data centers require large outlays for land, substations, transformers, generators, cooling systems, networking and specialized electrical work. Spending often precedes both energization and customer payments. The result is a period in which the company carries interest expense and construction risk without the cash flow that the completed campus is expected to produce.

Map the funding runway

Metric Questions to answer
Debt balance and type How much is secured, unsecured, project-level or corporate? What assets and cash flows are pledged?
Maturities Which principal payments fall due before the next major campus reaches commercial operation?
Interest exposure What share is floating-rate, hedged or subject to refinancing at a higher rate?
Covenants How much headroom exists on leverage, interest coverage, minimum liquidity and restricted payments?
Committed capital spending What equipment orders, cancellation payments and construction contracts are already binding?
Liquidity How much unrestricted cash and undrawn financing remains after deposits, working capital and required reserves?

NiSource reported $16,213.5 million of consolidated indebtedness at December 31, 2025 in its 2025 Form 10-K and warned that additional long-term debt or equity could be needed for generation and transmission assets supporting data-center contracts. The figure is company-specific, but the lesson is broader: contracts tied to data-center growth can require utility and infrastructure borrowing before the associated load produces earnings.

Equinix warns that it commits substantial resources before securing customers and that acquisition and debt-financing interest expense can reduce profitability. Core Scientific lists its ability to service debt and fund capital requirements among the factors affecting liquidity. Investors should build a month-by-month view from cash spent to energized, revenue-producing capacity rather than relying on an annual capacity target.

Construction delays create a compounding loss

Suppose a campus is scheduled to open in the fourth quarter but the substation arrives two quarters late. The operator may still owe contractors, equipment vendors and lenders. A delayed customer start can push revenue beyond a debt covenant test, require additional equity or force the company to renegotiate delivery dates. Cost overruns also reduce the return on each megawatt: the same lease price must recover a larger capital base.

Compare the original budget with current estimates, remaining contingencies, fixed-price versus reimbursable contracts, and the percentage of equipment already ordered. A company that reports a large pipeline but has not locked transformers, switchgear or interconnection work may face more execution risk than its headline megawatt figure suggests.

Customer concentration makes “contracted” capacity conditional

A data-center operator may depend on one hyperscaler, cloud provider or AI company for most of its future revenue. The customer can delay deployment, renegotiate pricing, terminate under specified conditions, or decide to build its own power and facilities. Even a valid lease is only as durable as the counterparty’s finances and the remedies available if it defaults.

Read the contract protections

  • Binding status: distinguish executed leases and take-or-pay commitments from letters of intent, framework agreements and conditional reservations.
  • Tenor and termination: record the initial term, renewal options, termination-for-convenience rights, construction milestones and force-majeure provisions.
  • Security: look for deposits, parent guarantees, letters of credit, termination payments and step-in rights.
  • Pricing: determine whether rent escalates, whether power is passed through, and whether the customer can reduce committed capacity.
  • Credit quality: assess the customer’s cash, funding access, profitability and dependence on its own AI revenue.
  • Diversification: measure revenue and contracted megawatts by customer, campus and geography.

Core Scientific’s Q2 2026 Form 10-Q illustrates both the value and concentration risk of a large anchor. It reported approximately 530 MW anchored by a 15-year AMD agreement across five sites, announced July 28, 2026, within a relationship that could support up to 2.5 GW of leasable capacity. The duration and scale can support financing, but the economics still depend on construction completion, AMD’s continued capacity needs, the contract’s remedies and the operator’s ability to serve other customers if deployment changes.

Core Scientific identified customer concentration and the financial health of its primary colocation customer among the factors affecting results, liquidity and cash flows. New Era has warned that hyperscalers may build and own their own energy and data-center infrastructure, reducing demand for third-party platforms. AI-sector consolidation can also leave a surviving buyer with greater negotiating power over landlords.

Do not confuse backlog with revenue

Reconcile reported backlog to a schedule showing committed megawatts, expected energization dates, rent commencement, remaining construction spending and cancellation rights. Ask how much backlog is secured by cash or guarantees and how much depends on the customer obtaining financing, chips, permits or internal approval. A diversified set of smaller contracts may be less spectacular than one multigigawatt announcement but can reduce the effect of a single cancellation.

AI demand can disappoint even when adoption continues

AI workloads increase demand for dense computing, but demand growth does not guarantee attractive returns for every facility. Customers may discover that a model generates insufficient revenue, that utilization is seasonal, or that more efficient software and processors reduce the amount of computing required. Compute prices can fall while power, labor and debt costs remain fixed.

A China-based operator’s 2026 risk disclosure noted that AI adoption may increase demand but gave no assurance that AI investments will earn expected returns. It also highlighted specialized infrastructure requirements, including high power density, advanced cooling and efficient resource utilization. Those requirements raise the capital required before a customer produces a return.

NVIDIA has said future demand depends partly on whether customers and partners can generate revenue and sustain infrastructure investment. IREN describes its transition from bitcoin mining toward AI Cloud Services as involving higher costs and competition for customers, sites, power, equipment, personnel and capital. A transition strategy can therefore carry both execution risk and a period of lower utilization while the new business is built.

Use a downside utilization model

Scenario Operational change Likely financial effect
Base case Contracted capacity energizes on schedule and customers reach planned utilization Revenue ramps while fixed operating costs are spread across occupied cabinets.
Slow deployment Customer deliveries move back by two to four quarters Interest and maintenance costs arrive before rent; liquidity and covenant headroom shrink.
Lower pricing Compute prices decline or customers negotiate lower rates Gross margin falls even if megawatts remain occupied.
Efficiency shock More efficient models or chips reduce required capacity Utilization and expansion plans may be cut, stranding specialized equipment.
Customer failure An anchor tenant defaults, cancels or builds its own site Unoccupied capacity, replacement capex and possible impairment appear together.

Equinix reported approximately 78% cabinet utilization as of June 30, 2025. Utilization is a useful operating indicator, but it should be compared with the percentage of cabinets suitable for current AI densities, the time needed to fill newly built space and the price earned per occupied cabinet. A high historical figure does not prove that a new AI campus will reach the same level.

How to compare two data-center IPOs

Put both companies on the same worksheet and use identical definitions. The following axes expose differences that headline capacity and backlog can hide.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Comparison axis Evidence to collect
Contracted versus speculative megawatts Executed contracts, reservation letters, expected energization and remaining build cost.
Contract durability Tenor, take-or-pay language, termination rights, deposits, guarantees and escalation.
Customer concentration Share of revenue and capacity from the largest customer, its credit profile and geographic overlap.
Power economics Source, delivered price, escalation, hedges, demand charges and pass-through provisions.
Interconnection and permits Queue status, utility approvals, transmission upgrades, environmental permits and community opposition.
Construction execution Budget, schedule, contingency, equipment orders, fixed-price coverage and contractor exposure.
Leverage and liquidity Debt maturities, floating-rate share, interest coverage, covenants, cash and undrawn commitments.
Operating performance Utilization, power usage effectiveness, cooling capability, outage history and revenue per cabinet or megawatt.
Downside sensitivity Effect of delayed energization, higher power cost, lower AI utilization, customer default and self-build competition.

A practical downside case for an IPO filing

Model the risks in sequence instead of treating them as independent percentages. First delay energization by two quarters. Then apply the actual contract’s power-cost pass-through, not a generic inflation assumption. Reduce utilization at the affected site and remove the largest customer’s committed capacity if its termination clause permits it. Recalculate interest, covenant ratios, required equity and the date on which the company becomes cash-flow positive.

This exercise reveals whether the company can absorb a setback or needs continuous access to new capital. It also shows which risk dominates. A highly leveraged operator with fixed-price power may fail from energy inflation, while a lightly leveraged operator with one tenant may suffer most from a cancellation. Neither profile is captured by a single debt-to-EBITDA or backlog number.

Questions to answer before buying

  • When does each announced megawatt become energized and revenue-producing?
  • What portion of the power bill can the operator legally pass to customers?
  • How much construction spending remains, and what happens if the budget rises?
  • Which debt maturities occur before the next campus reaches targeted utilization?
  • Can the largest customer terminate, defer or reduce capacity without a payment that covers the operator’s stranded cost?
  • Does the customer have the funding and business economics to sustain its AI deployment?
  • What happens if hyperscalers self-build nearby and compete for the same power, workers and equipment?
  • How much capacity is suitable for current high-density cooling, and how expensive is conversion?

The strongest data-center IPO is therefore not necessarily the one with the largest AI pipeline. It is the one whose power supply, contracts, construction funding and customer economics remain viable under delayed energization, higher delivered electricity costs, lower utilization and the loss of an anchor tenant.
