A data-center IPO is investable only when its promised capacity can be tied to reliable electricity, usable facilities, creditworthy tenants, funded construction and cash flow that survives delays. Retail investors should read the S-1 or 424B4 as an operating plan and a financing contract—not as an AI-growth brochure.
The process below shows how to verify the security structure, power, cooling, leases, capital needs, technology flexibility, regulation and valuation before deciding whether the offer price compensates you for execution risk.

1. Identify exactly what security you are buying
Start with the issuer’s legal and operating structure. A filing may describe an operating data-center company, a real-estate investment trust, an externally managed vehicle or a blind pool that has not yet acquired all of the assets it intends to own. Those structures expose shareholders to different risks and different levels of visibility.

Blackstone Digital Infrastructure Trust’s 2026 prospectus, for example, warns about limited operating history, blind-pool exposure, broad discretion over proceeds and dependence on the manager. Treat those warnings as prompts to locate the corresponding terms in any filing you read, not as generic boilerplate to skip.

Offering mechanics that change your ownership
Read the S-1 and the final 424B4 for the share classes, voting rights, underwriting discounts, lockups, use of proceeds, dilution and any conversion or redemption provisions. Identify securities that can rank ahead of common stock, including preferred shares, partnership units, warrants or earn-outs. Check how many shares insiders own after the offering and when lockups expire; a large post-lockup sale can increase supply even if the business outlook is unchanged.
Map every related-party payment: acquisition fees, asset-management fees, development fees, property-management charges and incentive compensation. Determine whether those fees are calculated on assets, revenue, funds from operations or stock performance. An externally managed structure can grow assets while per-share returns lag if compensation rewards expansion rather than value creation.
2. Reconcile megawatts with evidence
Headline capacity is not a single number. Separate operating megawatts from capacity that is contracted, under construction, permitted, in a utility queue or merely targeted. A facility cannot earn revenue until power is delivered, the building and cooling systems are commissioned, equipment is installed and a tenant is ready to use it.

For each forecast year, tie added megawatts to a named project, a realistic energization date and a revenue mechanism. Ask whether management is counting mechanical capacity, utility allocation, building shell space or fully commissioned IT load. Keep those definitions consistent when comparing issuers.
IREN’s 2026 annual-report risk factors caution that AI-cloud demand may not develop or persist as anticipated. That means a capacity forecast is an assumption until customers sign enforceable commitments and demonstrate the credit to pay for them.

3. Prove the company can obtain electricity and grid access
Electricity is the physical gating item for a data center. Request utility letters, executed service agreements, interconnection studies, queue position, transmission or substation requirements, tariff assumptions and the date each block of capacity becomes energized. Distinguish power that is physically available today from capacity reserved under a future contract.
- Verify whether the utility has accepted the interconnection request and identified network upgrades.
- Check who pays for substations, transmission, transformers and other upgrades, and whether those costs are refundable or at risk.
- Compare contracted capacity with actual peak demand, backup-generation limits and the site’s ability to expand.
- Review historical outages, service-level commitments, backup-fuel arrangements and restoration procedures.
- Test the forecast with higher energy prices, demand charges, curtailment and a delayed energization date.
Blackstone’s 2026 prospectus states that “our ability to lease any available space at our data centers to existing or new tenants could be constrained by our ability to obtain sufficient electrical power and water supply.” Applied Digital and Equinix filings similarly identify electricity availability, cost, timing and reliability as material risks. Equinix says power costs are volatile and unpredictable and could materially affect expansion, forecasting, results and financial condition. A site with attractive land and a signed tenant is still not operationally valuable if the grid cannot deliver the contracted load.
4. Examine cooling and water before accepting the design
High-density AI hardware changes the cooling requirement. Determine whether the facility uses air cooling, direct-to-chip liquid cooling, immersion systems or a hybrid, and whether the design can be upgraded without shutting down occupied halls.
Ask for the water source, expected withdrawals and discharge, treatment requirements, drought restrictions and the party responsible for infrastructure upgrades. Water availability can limit leasing just as decisively as electrical capacity. Review local permits and whether the utility or landlord can pass future treatment and scarcity costs to tenants.
Compare power-usage effectiveness (PUE) definitions and reporting periods, but do not use one PUE figure as a complete efficiency verdict. A lower PUE does not remove exposure to electricity prices, demand charges, water restrictions or the capital cost of a liquid-cooling retrofit.

5. Test tenant quality, lease terms and concentration
Read the top-tenants table and the lease-expiration ladder. For every major customer, record committed megawatts, rent or service pricing, term, renewal options, termination rights, security deposits, parent guarantees and any take-or-pay obligation. Distinguish wholesale colocation leases from managed AI-cloud services, because the latter may leave the issuer responsible for hardware, software and utilization risk.
- Measure the percentage of revenue and contracted power attributable to the largest tenant and to the largest five or ten tenants.
- Check whether a hyperscaler or AI customer can delay deployment, reduce its footprint or terminate for convenience.
- Review tenant credit ratings, financial statements, collateral and payment history.
- Compare contractual rent escalators with expected power, labor, insurance and maintenance inflation.
- Identify renewal dates that cluster in one period; simultaneous expirations can create a sudden vacancy risk.
Do not treat an announced partnership as equivalent to revenue. Require a signed lease or service contract, a delivery schedule and evidence that the customer has funded its obligation.
6. Stress capital intensity, debt and dilution
Data centers require recurring capital, not just an initial building investment. Model construction cost per megawatt, land and development spending, interconnection and transmission charges, cooling equipment, generators, network infrastructure, replacement cycles and tenant-specific fit-outs.
IREN’s 2026 filing says its business is capital intensive and that it expects substantial ongoing expenditure to acquire, maintain and upgrade hardware, construct facilities and grow; it also warns that additional capital may be unavailable. Apply that warning to your own model by asking how each project is funded.

Build a cash-flow bridge from construction spending to stabilized revenue. Include equipment turnover: GPUs, servers, networking and power systems can require replacement before the building itself is obsolete. Check whether customer contracts reimburse that hardware investment or leave it on the issuer’s balance sheet.

7. Assess technology obsolescence and design flexibility
Ask whether the site can accommodate changing rack densities, new GPU generations, higher-bandwidth networking and liquid cooling. Review floor loading, ceiling height, busway capacity, fiber routes, cooling-distribution space and the ability to reconfigure halls between customers.
A specialized facility can lose value if a tenant’s preferred architecture changes. Blackstone and IREN both warn that technology and tenant preferences may alter demand and asset values. A flexible design may cost more initially but reduce the risk that a large retrofit is required to keep the building leasable.
8. Review permits, climate, community and security exposure
Confirm zoning, building permits, environmental approvals, emissions limits for backup generators, water and wastewater permissions and the status of any appeals. Identify local opposition, noise limits, traffic conditions and requirements to fund grid or community upgrades.
Analyze severe-weather and disaster resilience: flood, wildfire, heat, storms, earthquakes and prolonged utility outages. Check insurance exclusions, redundant utility feeds, fuel storage, physical security and cybersecurity controls. IREN identifies construction, climate, weather and disaster risks. Ceres has highlighted a separate policy risk: regulators may change how grid costs created by data-center growth are recovered, shifting expenses to operators or other ratepayers.

Compare the offer price with stabilized cash flow rather than headline megawatts or an AI-demand narrative. Build at least the following cases in a spreadsheet:

Use the filing-supported base case only if it still meets your required return after conservative assumptions for power, tenants, financing and execution. If the investment works only when every project is on time, fully occupied and cheaply financed, the offer price is relying on perfect execution.
10. Compare IPO candidates on like-for-like measures
When two or more offerings are available, normalize definitions before comparing multiples. Use the same treatment of operating, contracted and planned megawatts, and separate customer-funded equipment from issuer-funded equipment.

11. Apply a written decision rule
Before submitting an order, write down the facts that must remain true: the power-delivery date, minimum occupancy, tenant credit, capex ceiling, financing availability and acceptable dilution. Define what evidence would invalidate each assumption. Buy only when the filing-supported base case clears your required return and the downside cases do not create a loss you cannot tolerate.

Keep a copy of the prospectus, your model and the assumptions behind the decision. Recheck them after the first earnings release, when lockups expire, when a major lease is signed or renewed, and whenever management changes the construction or energization schedule.
