Crypto Lending vs. Staking: How Returns and Risks Differ

Lending and staking generate returns through different mechanisms. This guide compares borrower and platform risk with validator, protocol, slashing, token-price and lockup risk, and provides a practical checklist for evaluating any crypto earn product.

Crypto lending and proof-of-stake staking are different activities, even when an app labels both as “earn.” Lending depends on a borrower or intermediary returning equivalent assets, usually with interest. Staking commits assets to a blockchain’s consensus process in exchange for protocol-defined rewards, such as newly issued tokens and transaction fees. Lending therefore adds credit, platform, custody and insolvency risks; staking adds validator, protocol, slashing, token-price and lockup risks. The safer choice depends on the exact asset, network, provider, contract and jurisdiction—not on the advertised APY.

The short answer: different machines produce the yield

In a lending arrangement, your crypto is made available to a borrower or to a company that lends, pools or otherwise deploys customer assets. The borrower or company is expected to return equivalent value and may pay interest. Your claim is therefore tied to the borrower’s ability to repay and, where a company stands between you and the borrower, to that company’s controls and solvency.

In proof-of-stake (PoS) staking, assets are committed under a blockchain’s software rules. Validators use staked value to help order transactions and secure consensus. A protocol can distribute newly created tokens and transaction fees to validators and, in some designs, to people who delegate to them. The reward is generated by network operation rather than by a borrower promising to repay you.

Neither label guarantees a return. A lending rate can disappear when borrowers, markets or the platform fail. Staking rewards can be missed, reduced or penalized, and the token you receive can fall in market value. A centralized “earn” product may lend, trade, pool, borrow or stake assets; its marketing name does not identify the underlying activity.

What crypto lending actually involves

How the arrangement works

A lending product normally involves three parties: you as the depositor, a borrower and an intermediary or protocol that matches and administers the transaction. You transfer assets under terms that specify interest, fees, collateral (if any), maturity or withdrawal conditions. The borrower uses the assets and is supposed to return the agreed amount. The intermediary may lend to several borrowers or use the assets in other investment activities.

Some arrangements are peer-to-peer or protocol-based; others place the assets with a company. Those structures create very different claims. In a company account, you may have a contractual claim against the company rather than direct control of the coins. The SEC’s Investor Bulletin on crypto asset interest-bearing accounts (Feb. 14, 2022) warns that such products are not equivalent to bank or credit-union deposits and that crypto assets sent to these companies were not then insured.

Where lending returns come from

Interest is ultimately funded by borrower demand, trading or investment activity, fees, or a combination described in the product terms. A high advertised rate can reflect a temporary incentive, a volatile market, a concentrated borrower, or compensation for taking substantial default and liquidity risk. Ask whether the quoted rate is fixed or variable, paid in the same asset or another token, and reduced by platform fees or penalties.

There is no single “normal” crypto-lending APY that can be compared across assets and dates. Rates depend on the asset, borrower demand, collateral, term, provider and market conditions. A percentage shown on an app is not evidence that the borrower can repay it.

Lending’s main loss paths

  • Borrower default: the counterparty may fail to return principal or interest, and collateral may not cover the loss during a rapid market move.
  • Intermediary failure or bankruptcy: if a company pools or reuses assets, its creditors, bankruptcy process and customer agreement can determine what you recover.
  • Illiquidity: withdrawals can be paused or delayed when a platform cannot meet requests or when the underlying loans cannot be unwound quickly.
  • Rehypothecation and reuse: terms may permit the company to lend, pledge or invest your assets more than once, adding layers of counterparty exposure.
  • Operational and cyber events: fraud, coding errors, hacking, technical outages or accounting mistakes can prevent repayment.
  • Market and regulatory change: a token’s price can fall while it is locked in a loan, and legal treatment can change by product and jurisdiction.

The SEC bulletin lists volatility and illiquidity, company failure or bankruptcy, regulatory changes, fraud, technical glitches, hacking and difficulty recovering losses after defaults or mistakes. It also describes enforcement involving a crypto interest-bearing account, illustrating that product classification and disclosure matter.

What proof-of-stake staking does

Consensus participation, not a loan

PoS networks ask participants to lock or dedicate tokens as economic weight behind validators. Validators propose or attest to blocks according to the network’s rules. A validator that follows the rules can receive protocol rewards; a validator that is offline or violates rules can lose rewards and, on networks that support it, part of its stake.

The SEC Division of Corporation Finance’s “Statement on Certain Protocol Staking Activities” (May 29, 2025) describes certain covered protocol-staking activities and the way validators can receive newly minted tokens and transaction fees. That staff statement has a stated scope: it is not a blanket legal conclusion for every staking product, token, provider or jurisdiction.

Ways to stake

  • Self-staking: you operate validator infrastructure and control the keys. This offers the most direct participation but requires technical setup, reliable uptime, security practices and enough stake for the network’s rules.
  • Delegation: you assign voting or validation weight to a validator while the protocol retains the staking logic. The validator’s performance and commission affect your result, and the network can impose its own withdrawal delay.
  • Custodial staking: a company controls the keys and stakes on your behalf. You rely on its operations, accounting, disclosures and solvency in addition to the network.
  • Liquid staking: you receive a tradeable receipt token representing an interest associated with staked assets and rewards. The receipt adds a separate market, smart-contract, redemption and liquidity layer; it does not remove staking risk.

Where staking rewards come from

Rewards are set by protocol rules and participation. They can include newly issued network tokens and a share of transaction fees. The amount can vary with total network stake, validator performance, commission, inflation or other rule changes. Rewards are normally denominated in the network token, so a positive token balance does not guarantee a positive result in dollars, euros or another reference currency.

Gary Gensler, then chair of the U.S. Securities and Exchange Commission, cautioned in a Feb. 9, 2023 “Office Hours” transcript: “There’s also the risk that you won’t get new tokens even if you stake.” He also said, “Unfortunately, because these staking as a service providers generally are not providing proper disclosures, there’s currently no reliable way, as an investor, to know the answers to these important investment questions.” Those remarks address disclosure and service-provider arrangements; they should not be read as a finding about every validator or staking method.

Staking’s main loss paths

  • Validator downtime or poor performance: missed attestations or blocks reduce expected rewards.
  • Slashing: some networks penalize serious rule violations, such as conflicting messages. Whether slashing exists, how it is calculated and who bears it depends on the network and contract.
  • Protocol or smart-contract failure: a software bug, governance change or consensus incident can affect rewards, withdrawals or the value of staked assets.
  • Lockup and unbonding: a protocol may require a waiting period before staked tokens become transferable. During that period, you cannot necessarily sell during a price drop.
  • Token-price risk: the market value of the staked token and any reward token can fall more than the token-denominated rewards increase.
  • Provider and custody risk: delegation through a company, pooled staking or liquid-staking infrastructure can add key-control, insolvency, smart-contract and redemption risks.

Lending and staking compared

Question Crypto lending Proof-of-stake staking
What creates the return? Borrower interest or activity carried out by an account or platform using deposited assets. The actual terms must identify the source. Protocol-defined rewards, potentially including newly minted tokens and transaction fees paid for validation or delegation.
Main failure exposure Borrower default, platform or custodian failure, insolvency, fraud, illiquidity and inability to recover assets. Validator failure or misconduct, protocol rules, slashing where applicable, token-price declines and provider custody risks.
Who controls the assets? Depending on the contract, a company may receive and use the assets for lending or other investment activity. Self-staking, delegation, custodial staking and liquid staking have different key-control and pooling arrangements.
Access to funds Withdrawal depends on platform terms, loan maturities and the platform’s ability to honor requests. Network unbonding can delay withdrawal; liquid-staking receipts introduce separate redemption and market-liquidity conditions.
How variable is the return? Rates and repayment depend on borrowers, asset demand, product terms, fees and market conditions. No universal current rate is established. Rewards depend on network rules, participation, validator performance and commissions. They are not guaranteed, and token prices can overwhelm the yield.
Protection and legal context Classification and protections vary by structure and jurisdiction. Crypto interest-bearing accounts are not bank deposits. The SEC’s May 29, 2025 staff statement covers only specified protocol-staking activities; it does not resolve every staking or lending product’s status.

Why APY alone is a poor comparison

Two products can display the same APY while exposing you to entirely different losses. Before comparing percentages, identify five details:

  1. Reward source: Is payment funded by borrower interest, newly issued tokens, transaction fees, trading activity or a promotional subsidy?
  2. Denomination: Are rewards paid in the asset you deposited, a volatile token, a receipt token or cash? A token yield must be evaluated alongside the token’s price movement.
  3. Variability: Can the provider change the rate, validator commission or eligibility rules without notice? Is the quoted figure historical, target-based or guaranteed by contract?
  4. Deductions: Account for management fees, validator commissions, spread, withdrawal charges, penalties, slashing and tax obligations applicable in your jurisdiction.
  5. Loss scenario: Ask what happens first if a borrower defaults, a validator is slashed, a provider becomes insolvent or withdrawals are suspended. A yield is meaningful only after you understand the principal-risk path.

A product that pays 8% in its own token can lose value even while the token count rises. Conversely, a lower nominal reward may be preferable if you retain control of keys, can exit quickly and face fewer counterparties. These are risk judgments, not promises of a particular outcome.

Custody changes the analysis

“Staking” does not tell you who controls the private keys. In self-staking, you bear operational responsibility. In delegation, the validator performs the work but the protocol and delegation terms determine control. In custodial staking or lending, the provider may hold pooled assets and decide how they are used.

Read the customer agreement for language on title, security interests, reuse, rehypothecation, set-off, lending to affiliates and bankruptcy treatment. The SEC’s 2023 staking-as-a-service transcript warns that accepting a provider’s terms may transfer ownership or control. That is a warning to inspect the contract, not a universal legal conclusion about every service.

The SEC’s “Crypto Asset Custody Basics for Retail Investors” (Dec. 12, 2025) emphasizes the practical importance of private-key control. If a provider holds the keys, a frozen account, security breach or insolvency can block access even when the underlying blockchain continues operating.

Liquidity: withdrawal is not the same as a sell button

Lending liquidity

A lending dashboard may show an instant withdrawal option, but repayment depends on the platform’s cash, loan maturities and internal risk controls. During stress, a company can suspend withdrawals or impose limits. Read notice periods, maturity dates, gates and the order in which customers are paid.

Native staking liquidity

Unstaking is governed by the network. Some protocols impose a fixed unbonding period; others use a queue that lengthens when many participants exit. You remain exposed to the token’s price during that interval and may not be able to transfer the stake to another wallet.

Liquid-staking liquidity

A liquid-staking receipt can often be traded before native unbonding finishes, but its market price can fall below the value of the underlying stake. Redemptions may be capped, delayed or dependent on available liquidity and smart-contract operation. The European Banking Authority and European Securities and Markets Authority identified liquid staking and restaking as developments to monitor in their January 2025 supervisory work. A receipt token is an additional asset with its own market and counterparty risks, not a guarantee of instant one-for-one cash-out.

A due-diligence checklist before committing assets

Use this sequence for any lending, staking or “earn” offer. It is designed to reveal the actual activity rather than rely on the product label.

  1. Identify the legal counterparty. Record the company or protocol, entity location, governing law, and whether you have a claim on the provider, a borrower, a validator or a smart contract.
  2. Trace the asset flow. Determine whether your tokens are lent, pooled, pledged, traded, staked, delegated, converted into a receipt token or held idle. If the documentation is vague, treat the activity as unknown rather than assuming simple staking.
  3. Confirm key control. Find out who can move the assets, whether you can withdraw directly, and whether the provider may commingle customer funds.
  4. Read the return formula. Check the reward source, token denomination, compounding method, rate-change rights, fees, commissions and any minimum balance.
  5. Map the exit. Note ordinary withdrawal time, unbonding period, queues, notice requirements, gates, early-exit penalties and the conditions that allow a suspension.
  6. List technical penalties. For staking, identify validator downtime rules, slashing triggers and who pays a penalty. For lending, identify collateral calls, liquidation rules and default procedures.
  7. Examine insolvency language. Search for terms such as “title,” “security interest,” “custody,” “bankruptcy,” “set-off,” “affiliate” and “reuse.” Determine whether customers receive assets back or only an unsecured claim.
  8. Check jurisdiction-specific status. Regulatory treatment changes by country, product design and date. Do not infer that a statement about one U.S. staking activity applies to a lending account or to another jurisdiction.
  9. Stress-test the position. Ask how you would respond to a 50% token-price fall, a week-long withdrawal pause, a validator penalty or a borrower default. If the answer requires selling a locked receipt token, include its possible discount.
  10. Start proportionally. If you proceed, use an amount whose loss would not compromise essential finances, and keep independent records of deposits, rewards, fees and withdrawal requests.

Examples that show why the label can mislead

A centralized “earn” account

You deposit a token and see a variable interest rate. The terms allow the company to lend to institutions and use assets in other investments. Your primary risks are the company’s credit and liquidity controls, the borrowers it selects, and the bankruptcy treatment of your claim. Calling the screen “staking” would not change those facts.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Delegating to a PoS validator

You retain a protocol-level position while a validator performs the technical work. Rewards depend on uptime, commission and network rules. If the chain slashes for a behavior covered by its rules, your delegation may bear some or all of the penalty. An unbonding period can prevent an immediate exit.

Buying a liquid-staking receipt

You exchange a native token for a receipt that tracks staked assets and rewards. The receipt may trade continuously, but its price can diverge from the underlying value. You now depend on the staking protocol, the receipt’s smart contracts, redemption liquidity and the market in which it trades.

Which route fits which priority?

  • If your priority is a contractual interest payment, lending may appear more direct, but you must accept borrower and intermediary credit risk and verify whether the claim is secured.
  • If your priority is helping secure a network, native staking or delegation aligns the activity with protocol consensus, but you must accept validator, slashing, token-price and unbonding risk.
  • If you need reliable short-term access to funds, avoid assuming either route is liquid. Lending can be gated; native staking can be locked; liquid staking can trade at a discount.
  • If you want control of private keys, compare self-custody with delegated or custodial options and budget for the operational work and security responsibility.
  • If you are comparing products across countries, treat legal protections, disclosures and insolvency outcomes as separate questions. A regulatory statement for one structure does not settle another.

Regulatory context and limits of official statements

The SEC Investor Bulletin from Feb. 14, 2022 represents staff views and states that it has no legal force or effect and does not create obligations. It is useful for understanding the risks of crypto interest-bearing accounts, not as an insurance promise or a classification of every product.

The SEC Division of Corporation Finance’s May 29, 2025 statement discusses certain protocol-staking activities. Its scope matters: it does not declare every staking service, liquid-staking arrangement, restaking product or lending account to have the same status. The SEC Crypto Task Force’s April 17, 2025 risk discussion explains slashing and notes that whether slashing exists depends on the network.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For a European perspective, the EBA and ESMA’s January 2025 factsheet defines crypto lending, borrowing and proof-of-stake staking, while their joint report under Article 142 of MiCAR surveys business models and developments such as liquid staking and restaking. None of these documents removes the need to read the specific contract or check the rules where you live.

Bottom line

Lending is a credit-and-intermediary bet: the return depends on borrowers and the platform returning value. Staking is a protocol-and-validator bet: the return depends on network rules and successful participation. Both can lose principal, and both can become illiquid at the worst time. Compare the source of rewards, who controls the keys, what can be reused, the exact exit terms and the failure scenario—not the APY headline or the word “earn.”
