Crypto Investment Fund Due Diligence Checklist for U.S. Investors (2026)

Before committing money to a crypto investment fund, identify the legal vehicle, verify every entity handling your assets, trace custody and insolvency protections, test the quality of the fund’s financial evidence, and calculate the full cost of investing. The checklist below is designed for U.S.-oriented due diligence in 2026. It is an educational framework, not legal, tax, or investment advice; rules differ by structure, investor type, and jurisdiction.

1. Identify exactly what you are being offered

Start with documents, not the fund’s marketing name. Request the fund’s exact legal name, domicile, entity type, offering memorandum or prospectus, and the specific share or partnership class you would buy. Similar names can describe vehicles with very different rights and regulatory protections.

Classify the vehicle

Vehicle What it may hold Questions that change the risk analysis
Registered mutual fund or ETF Depending on its mandate, securities, futures, or other permitted assets What Investment Company Act, custody, valuation, liquidity, and disclosure requirements apply?
Private fund Direct crypto, derivatives, private investments, or a mixture What offering exemptions, investor-eligibility rules, lockups, gates, and reporting terms govern you?
Futures fund Bitcoin or other crypto futures and related cash instruments How are contracts rolled, collateralized, margined, and valued? What happens during a sharp market move?
Spot crypto exchange-traded product or trust Spot Bitcoin, Ether, or another crypto asset held through a custody arrangement What trust and custody terms apply, and which protections do not apply because the product is not an Investment Company Act-registered investment company?

The SEC has explained that spot Bitcoin and Ether exchange-traded products are not registered as investment companies under the Investment Company Act. They therefore do not have the Act’s mutual-fund and ETF valuation and custody requirements, even though people commonly call them “ETFs.” Mutual funds and ETFs subject to that Act also face liquidity requirements. Do not transfer protections from one product category to another based on branding.

Confirm what the portfolio actually owns

Read the investment mandate, not just the strategy label. Determine whether the fund owns crypto directly, Bitcoin futures, securities of crypto companies, lending positions, or a mix. Direct holdings raise private-key and custody questions; futures add margin, roll, and counterparty exposure; company securities can behave differently from the underlying token. SEC and CFTC investor guidance describes Bitcoin futures positions as highly speculative, so a futures strategy deserves a separate risk analysis even when its name includes “Bitcoin.”

2. Verify the manager and every service provider

Build an entity map. The investment adviser, general partner, fund administrator, trading venue, broker, custodian, subcustodian, auditor, and valuation agent may be different legal entities—or several functions may be combined in one group. Record each entity’s full legal name, location, role, and contractual relationship to the fund.

Check registration without treating it as an endorsement

Use the applicable U.S. regulatory records to verify the adviser and relevant intermediaries by legal name. Registration can bring specific conduct, custody, disclosure, and recordkeeping obligations, but it is not SEC approval, a guarantee of performance, or proof that fraud cannot occur. Confirm that the registration you find belongs to the entity providing the service, rather than an affiliate with a similar name.

Look for conflicts created by combined functions

Ask whether one affiliated group operates the exchange or trading platform, acts as broker, provides custody, makes markets, and values positions. Combining functions can create incentives to route trades, charge related fees, lend assets, or mark hard-to-price positions in ways that benefit the group. Request the conflict-of-interest policy and explanations of how independent oversight works.

Obtain written answers about disciplinary history, related parties, referral or placement payments, employee personal trading, affiliated venues and custodians, and who can override a valuation. The fund’s governing documents—not a presentation—should control the final terms.

3. Trace custody from your subscription to a withdrawal

Custody is a chain of control, not a logo on a website. Name each custodian, subcustodian, wallet arrangement, and legal entity that holds title or controls transfer authorization. Ask for the custody agreement, account structure, security procedures, and fee schedule.

Understand keys, approvals, and storage

The SEC’s custody bulletin explains that crypto wallets do not store crypto assets themselves; they store the private keys or passcodes that control those assets. Ask who controls the keys, how many approvals a transfer requires, whether duties are segregated, and how personnel access is logged and reviewed. Request the hot- and cold-storage mix, geographic or physical protections, cyber controls, backup process, and recovery plan.

Check segregation, lending, and rehypothecation

Ask whether the fund’s assets are held in a segregated account or commingled with the custodian’s or other customers’ assets. Determine whether the custodian may lend, pledge, rehypothecate, or use the crypto as collateral. Investor guidance specifically recommends asking whether third-party custodians commingle assets or use crypto as collateral. A “segregated wallet” description is not enough unless the contract explains whose legal property the assets are and how records are reconciled.

Plan for custodian failure

Read the insolvency and default provisions. If the custodian shuts down, is hacked, loses access, or enters bankruptcy, who has the right to withdraw the assets and how quickly? Identify notice requirements, suspension powers, replacement-custodian procedures, and the evidence investors would need to establish ownership. Review insurance policies for covered events, limits, deductibles, exclusions, and whether losses caused by key compromise, fraud, or trading activity are excluded. Insurance is not a guarantee of recovery.

Calculate custody charges

Request a schedule showing annual asset-based fees, transaction charges, transfer fees, account-opening costs, account-closing costs, and any minimums. Confirm which charges are paid by the fund, deducted from NAV, or billed to you separately. A low management fee can be outweighed by custody and transfer costs.

4. Test the evidence behind reported assets

Request the complete audited financial statements, the auditor’s opinion, notes, and the reporting date. Establish whether the auditor is independent and whether the engagement follows relevant SEC and PCAOB requirements where those standards apply to the vehicle and engagement. Read the notes for related parties, encumbrances, valuation uncertainty, liabilities, and subsequent events.

Do not confuse proof of reserves with an audit

In a July 27, 2023 Investor Bulletin issued by the SEC’s Office of Investor Education and Advocacy and Office of the Chief Accountant, the agencies stated: “Contrary to how they have sometimes been portrayed, proof of reserves, valuation, and calculation reports are not audit reports as defined by the PCAOB and the SEC.” A reserve attestation can be a limited snapshot rather than a complete financial-statement examination.

If the fund provides a proof-of-reserves report, inspect its scope and limitations:

  • What date and time did the measurement cover, and is that date stale?
  • Which wallets, bank accounts, brokers, and legal entities were included or excluded?
  • Were liabilities, customer claims, borrowings, collateral obligations, and contingent claims measured?
  • What assurance level and professional standards did the provider use?
  • Was the provider independent, and can investors read the full report?
  • How were assets and liabilities valued, especially thinly traded or pledged positions?

Reconcile reported assets to liabilities and to your investor interest. A wallet balance alone cannot establish solvency if obligations or claims are omitted.

5. Examine valuation, liquidity, and redemption mechanics

Obtain the written valuation policy and investment mandate. It should explain position limits, concentration limits, leverage, derivatives, liquidity classifications, pricing sources, treatment of suspended markets and network forks, valuation frequency, independent review, and who may override a price. These are diligence questions; a private fund’s method can differ from the requirements imposed on a registered vehicle.

Match redemption terms to the underlying assets

Write down the redemption frequency, notice period, lockup, gates, side pockets, in-kind distribution rules, suspension authority, and any early-withdrawal charge. Then compare those terms with the time needed to sell the fund’s actual holdings. Daily redemption promises are difficult to honor when assets are locked, thinly traded, pledged, or subject to blockchain settlement delays.

Ask how the fund handles a market closure, chain halt, extreme spread, failed transfer, or inability to obtain a reliable price. Find out whether the manager can delay NAV, suspend subscriptions and redemptions, impose additional margin, or distribute assets instead of cash.

Understand derivatives and leverage

For futures or options, request the permitted contracts, exchanges, counterparties, collateral rules, margin-call procedures, leverage limits, and roll schedule. Determine how contango or backwardation affects returns and whether a cash buffer is maintained for margin. The speculative nature of Bitcoin futures means a strategy can lose money rapidly even when the investor’s long-term view of Bitcoin has not changed.

6. Add up fees and incentive conflicts

Build a one-year cost model using the actual governing documents. Include management fees, performance allocations, fund expenses, administration, audit, legal, trading commissions, bid-ask spreads, financing and margin costs, custody, blockchain network fees, subscriptions, redemptions, and transfers. State whether each item is charged to the fund, netted from NAV, or paid directly by investors.

Read performance-fee mechanics

Confirm whether a performance allocation has a high-water mark, hurdle rate, crystallization date, loss carryforward, clawback, or different terms for withdrawals. Ask how the fee works after a large drawdown and whether illiquid or affiliated assets can generate incentive compensation before a cash realization. Use the formula in the limited partnership agreement or prospectus rather than a simplified marketing example.

Identify economic incentives

Look for payments or benefits tied to trading volume, referrals, financing, custody balances, token lending, or use of an affiliated venue. Ask whether the manager or an affiliate can trade ahead of the fund, lend to it, borrow from it, or value an asset it issued. Registration brings rules concerning custody, fees, and conflicts in applicable cases, but it does not remove the need to inspect the fund’s specific arrangements.

7. Use a document-first due diligence workflow

  1. Collect the primary documents. Obtain the prospectus or offering memorandum, subscription agreement, governing agreement, latest audited financial statements, custody agreement, valuation policy, fee schedule, conflict policy, and recent investor reports.
  2. Create an entity and asset map. List each legal entity, its function, jurisdiction, registration status, wallet or account, and contractual link to the fund.
  3. Reconcile numbers. Compare reported holdings, liabilities, NAV, investor capital, and the reporting date. Investigate unexplained differences rather than averaging figures from different documents.
  4. Stress-test withdrawals. Model a sharp price fall, a custodian outage, a margin call, a blockchain halt, and a wave of redemption requests. Identify who can suspend, gate, delay, or distribute in kind.
  5. Record unanswered questions. Send written questions to the manager and preserve replies. Treat refusal to provide ordinary governing documents or precise answers as a risk signal.
  6. Obtain specialist advice when needed. A securities lawyer, tax professional, or accountant can assess issues this general checklist cannot resolve, especially private-fund eligibility, cross-border structures, and tax treatment.

8. Red flags that warrant a pause

  • The seller will not provide the legal entity name, governing documents, audited statements, or custody terms.
  • Marketing calls a proof-of-reserves snapshot an “audit” or claims it proves solvency.
  • The same undisclosed affiliate controls trading, brokerage, custody, valuation, and investor records.
  • Redemption promises are shorter than the stated liquidation period for the underlying assets.
  • Fees are described as “low” without a complete schedule of custody, transfer, financing, and performance charges.
  • Insurance is presented as full protection without limits or exclusions.
  • Registration is presented as government approval or a guarantee against losses.
  • Reported assets are dated, wallet coverage is unclear, or liabilities and collateral obligations are absent.

9. Keep the regulatory context current

The SEC’s October 1, 2026 crypto custody action is a proposal, not a final rule. The SEC page listed December 7, 2026 as the public-comment deadline. Do not describe proposed requirements as current law; recheck the proposal’s status and the fund’s latest documents before investing. The checklist is primarily U.S.-oriented, and a fund formed or offered elsewhere may follow different custody, disclosure, audit, and investor-protection rules.

10. A concise decision record

Before signing, write a one-page decision record containing the vehicle type, legal entities, assets held, custody and insolvency treatment, audit date and opinion, valuation and redemption terms, total estimated annual cost, conflicts, unanswered questions, and the conditions that would make you decline. This record forces a decision based on verifiable terms instead of a performance chart or a familiar product label.
