Usually, no. An ex-employee should assume that sending a former employer’s files to a competitor is prohibited unless the employer authorized it or a narrow legal-reporting exception applies. In the United States, copying, downloading, transmitting, or using a protected trade secret for a competitor can lead to an injunction, damages, enhanced damages, attorney fees, and criminal prosecution.
Changing jobs is different from taking secrets. General skills, knowledge, and experience normally remain yours to use. Whether a particular file may be shared depends on the jurisdiction, contracts, the information’s secrecy and value, how you obtained it, how it was transferred, and whether the disclosure was made through a protected whistleblowing channel.

What decides whether sharing is lawful?
There is no universal rule that every file an employee touched belongs to the employer forever, nor a rule that an employee may take anything they created. Analyze each item separately. The important questions are:
| Question | Why it matters |
|---|---|
| Was disclosure authorized? | Written permission, an ordinary job handoff, or a contract may authorize a transfer. Personal copying for a new employer usually does not. |
| Is the information genuinely secret and valuable? | U.S. trade-secret protection generally requires independent economic value from not being generally known and reasonable efforts to keep it secret. |
| What does the contract say? | An NDA, confidentiality clause, intellectual-property assignment, garden-leave term, or noncompete can create duties separate from trade-secret law. |
| How was it obtained? | Downloading to a USB drive, forwarding to personal email, using a cloud account, taking screenshots, or accessing files without permission can support a misappropriation claim. |
| What was the purpose? | Using information to benefit a competitor and harm the former employer is more serious than retaining a personal résumé or publicly available material. |
| Where did the conduct occur? | Federal and state law in the United States, UK confidentiality and data-protection rules, and the contract’s choice-of-law clause may produce different results. |
Classify every item before doing anything with it: public information; your general know-how; employer-owned work product; a trade secret; personal data; privileged material; or regulated information. One folder can contain several categories.

U.S. trade-secret law
What counts as a trade secret?
Under 18 U.S.C. §1839, protected information can be financial, business, scientific, technical, economic, or engineering information. The definition includes plans, compilations, programs, methods, processes, procedures, and code. Two conditions are central: the information must derive independent economic value from not being generally known, and the owner must take reasonable measures to keep it secret.
Examples can include a nonpublic pricing model, source code, manufacturing process, customer compilation, acquisition plan, or internal algorithm. A document is not protected merely because it is labeled “confidential.” Courts look at the real information and the employer’s conduct: access controls, need-to-know restrictions, confidentiality markings, employee training, password protection, monitoring, and agreements can all matter.
What is misappropriation?
Misappropriation includes unauthorized acquisition, disclosure, or use of a trade secret. An ex-employee may create legal exposure by taking a copy before resigning, sending it to a new employer, using it to prepare a competing bid, or revealing it in a meeting. The original file does not have to be deleted or publicly posted for the conduct to matter.

Prosecutors generally must prove six points:

Not every breach of a workplace policy satisfies every criminal element. A civil claim can still be possible even where prosecutors do not bring charges.
Joining a competitor is not itself illegal
Department of Justice guidance distinguishes a person’s general knowledge, skills, and experience from a particular trade secret. A former employee cannot be prosecuted merely because they were exposed to confidential information and later joined a competitor. The government must prove misappropriation of an identifiable trade secret and the other statutory requirements.
You can normally remember how to negotiate, write software in a general programming language, manage a sales territory, operate equipment, or apply professional judgment. The risk begins when your new work depends on a specific nonpublic file, exact customer list, internal formula, source-code repository, confidential forecast, or other protected compilation.

Contracts and noncompetes
A confidentiality or nondisclosure agreement can prohibit sharing information more broadly than federal trade-secret law, subject to applicable contract and public-policy limits. Intellectual-property agreements may assign ownership of work created in the job. A separation agreement may require certification that company materials were returned and deleted.
A noncompete is a separate issue. It may restrict the type of work, customers, or territory in which someone can operate, but it does not make taking files lawful. The Federal Trade Commission’s 2024 Noncompete Rule is not in effect and is not enforceable after litigation; state law and contract terms remain relevant. A noncompete dispute and a trade-secret dispute can arise at the same time, but they require different legal analyses.
Injunctive relief under the federal Defend Trade Secrets Act cannot simply prohibit someone from accepting a job. An employment restriction must be based on evidence of threatened misappropriation and must comply with applicable state law. That limitation does not prevent a court from restraining use or disclosure of a specific secret.

Section 1833 provides immunity from trade-secret liability for a confidential disclosure to a federal, state, or local government official or to an attorney, made solely to report or investigate suspected violations of law. It also covers a complaint or filing made under seal and permits sealed use of trade-secret information in an anti-retaliation case under stated conditions.

This protection does not authorize sending the files to a competitor, posting them online, circulating them to journalists, or obtaining them through unauthorized access. If you believe the files show illegal conduct, preserve them without further distribution, consult an attorney, and use the appropriate government or sealed-court channel. The confidentiality conditions are part of the protection.
Potential U.S. consequences
| Type of action | Possible result | Important limit |
|---|---|---|
| Federal civil DTSA case | Injunction; actual-loss or unjust-enrichment damages; a reasonable royalty in place of those damages; up to two times compensatory damages for willful and malicious misappropriation; and attorney fees in specified bad-faith or willful-misappropriation situations. | The owner must have a trade secret related to interstate or foreign commerce and prove the statutory claim. |
| Extraordinary civil relief | An ex parte seizure order may be available in an exceptional case to prevent dissemination or destruction of a trade secret. | This is an extraordinary remedy with strict requirements, not an automatic response to every allegation. |
| Individual criminal case | Up to 10 years’ imprisonment under 18 U.S.C. §1832, in addition to other criminal consequences. | Prosecutors must prove the statute’s knowledge, intent, trade-secret, and commerce elements. |
| Organizational criminal fine | Up to $5 million or three times the value of the stolen trade secret, as provided in the current §1832 text. | The amount depends on the statute and facts established in the case. |
These are statutory ceilings, not predictions of a sentence or award. In a reported 2018 case, Josh Harry Isler received a 42-month sentence after admitting that he transferred hundreds of DuPont files to an external device for a competitor. The facts and charging decisions in that case do not establish an automatic penalty for every employee who copies a document.

UK rules are not simply a translation of U.S. trade-secret law. Acas explains that an NDA may stop a worker from sharing company information with competitors. Confidentiality duties can also arise through data-protection law and whistleblowing protections. Acas gives selling organizational data to a competitor as an example of conduct that can breach those duties.

What to do before sending anything
- Identify the governing rules. Note the country and state involved, the contract’s choice-of-law clause, where the files and people are located, and whether a court, regulator, or arbitration clause applies.
- Gather the agreements. Review the NDA, confidentiality policy, intellectual-property assignment, garden-leave provision, noncompete, separation agreement, and any return-or-destruction certification.
- Inventory the files individually. Separate public material and personal work samples from customer lists, pricing, source code, internal templates, forecasts, credentials, personal data, privileged material, and regulated records.
- Check secrecy measures. Ask whether the employer used access controls, need-to-know permissions, markings, training, monitoring, and written confidentiality obligations. Weak protection does not automatically make disclosure safe, but it can affect trade-secret status.
- Record how each item was obtained. Authorized access for your job is different from copying after resignation, bypassing permissions, forwarding to a personal account, or downloading to removable media.
- Separate know-how from documents. Carrying professional experience to a new job is generally different from carrying the old employer’s exact files or reproducing a protected compilation.
- Use a protected reporting route if necessary. For suspected illegality, speak confidentially with counsel or an appropriate government office and follow the requirements for sealed filings. Do not send the material to the competitor.
- Get jurisdiction-specific advice. Before responding to a demand letter, signing a certification, or sharing anything, have a lawyer assess the files and the applicable law.
If files have already been copied or sent
Stop further access, forwarding, downloading, and use. Do not alter logs, wipe devices, or ask another person to conceal the transfer. Preserve relevant messages, access records, and copies in a way your lawyer advises; preservation is different from continuing to circulate the material.
If the files reached a new employer, tell counsel exactly what was transferred, when, by which account or device, and who received it. Do not open, copy, or use additional materials while seeking advice. A lawyer can address preservation, return or deletion, notice obligations, and whether any data-protection or regulator reporting duties apply.
How employers and competitors should handle a hire
A competitor should not request an applicant’s old customer database, pricing sheets, source code, or internal templates. The new employer can document that the hire must use only independently created or publicly available material, restrict access to suspect files, and investigate promptly if anything arrives.
The former employee should return company property through the agreed channel, confirm what was returned if required, and avoid using old credentials or cloud links. A clean separation process reduces the chance that ordinary onboarding becomes evidence of intentional misappropriation.
Quick Recap
Bottom line for common examples
| Item or conduct | Typical risk assessment |
|---|---|
| Resume describing your responsibilities | Usually ordinary personal information, provided it does not reproduce confidential technical or business details. |
| General sales, coding, design, or management skills | Usually usable at a new employer as general know-how. |
| Public product information or published pricing | Generally not secret, although contracts or other laws may still matter. |
| Nonpublic customer list, pricing model, source code, or internal process file | High risk, especially when copied or transmitted for a competitor’s benefit. |
| Files showing suspected unlawful conduct | Use confidential counsel or government channels and sealed procedures where required; sending them to a competitor is not the statutory exception. |
