A bitcoin-backed business loan is not automatically taxable when you pledge bitcoin, but the tax result turns on the contract, who controls the coins, and whether any transfer, substitution, margin-call sale, or foreclosure is a disposition. Treat the arrangement as a combined contract, control, valuation, and recordkeeping problem—not as a transaction with one universal tax rule. Build an event file tying the credit agreement to wallet activity, USD values, basis, fees, interest, margin notices, repayments, releases, and any liquidation, then have a CPA or tax attorney determine the reporting and accounting treatment for your jurisdiction.
What happens when a company pledges bitcoin as collateral?
A pledge of bitcoin is not automatically the same as selling or exchanging it. A borrower may remain the beneficial owner while a lender or custodian holds collateral, or the agreement may transfer control and permit the counterparty to use, rehypothecate, substitute, or sell the coins. Those differences can change both tax and financial-statement treatment.

Read the signed agreement together with the actual wallet mechanics. Identify whether the lender receives the private keys, can move the bitcoin without a further borrower instruction, may substitute collateral, or may liquidate after a maintenance-margin breach. A label such as “pledge,” “security interest,” or “custody” does not settle the analysis if the operative rights say otherwise.

For U.S. federal tax, the Internal Revenue Service requires records sufficient to support positions taken on a return. Its digital-assets guidance says taxpayers should document receipts, sales, exchanges, or other dispositions, along with fair market value in U.S. dollars and basis. A loan file should therefore preserve evidence even when the parties believe no taxable disposition occurred at inception.

Questions to ask before signing the loan
What exactly is transferred, pledged, or held?
- Does the agreement grant a security interest while the company keeps ownership, or does it transfer title or a financial interest?
- Are the coins held in a segregated wallet, omnibus account, or a wallet controlled by the lender or a third-party custodian?
- Can the lender rehypothecate the bitcoin, lend it onward, stake it, or replace it with other units?
- What happens to forks, airdrops, rewards, or other rights associated with the collateral?
Who controls the private keys?
Document which party can authorize a transaction, alone or through a multisignature arrangement. Record whether the borrower can withdraw, substitute, or direct the bitcoin during the loan. Control is a practical fact: wallet permissions, custody terms, and the ability to sell may matter more than the heading on the contract.
What does the borrower receive?
Specify whether proceeds are paid in dollars, stablecoins, bitcoin, or another digital asset. Capture the USD fair market value at every transfer, including the time zone and pricing source. If proceeds are converted before reaching the company’s operating account, retain both transaction records.
Which events can trigger a disposition?
Ask advisers to identify the tax characterization of the initial posting, a collateral substitution, an exchange of one asset for another, a margin-call sale, and a foreclosure liquidation. The agreement should state the notice period, cure rights, valuation index, timestamp, and order of application for sale proceeds.

Tax questions for a U.S. company
Is the initial pledge taxable?
There is no single federal safe-harbor rule that makes every bitcoin-backed loan non-taxable. A pledge that leaves ownership and control with the borrower may be analyzed differently from a transfer that gives the lender the right to dispose of the bitcoin. Have a tax professional review the legal rights and wallet operations, not just the loan’s marketing description.

How are basis and holding periods tracked?
For each unit posted, retain the acquisition date, lot identifier, quantity, cost basis, holding period, and basis method used by the company. If the company uses specific identification, preserve the instructions and confirmations that identify the lots. If a sale occurs, the workpaper should connect the units sold to those lots and show proceeds, fees, and resulting gain or loss.
What if a margin call sells the bitcoin?
A lender’s sale after a maintenance-margin breach can be a disposition even if the borrower did not click “sell.” Obtain the lender’s liquidation statement showing the units sold, execution time in UTC, price source, gross proceeds, spread, trading or liquidation fees, and the debt balance credited. Reconcile those figures to the wallet transaction and the company’s basis schedule.
What if the lender keeps more than the debt?
Ask how surplus proceeds are remitted and how any deficiency is calculated. The file should separately show gross sale proceeds, accrued interest, principal paid, permitted fees, and the amount returned to—or demanded from—the borrower. Tax treatment can differ for the asset disposition, debt payoff, and any remaining deficiency, so do not net them into one unexplained entry.

IRS digital-asset guidance phases in broker reporting. Gross-proceeds reporting on Form 1099-DA applies to transactions effected on or after January 1, 2025. Basis reporting applies to certain transactions effected on or after January 1, 2026. A form may not match the company’s own lot method or the timing shown in a liquidation statement; reconcile every field to the ledger and investigate discrepancies rather than assuming the form controls.

Accounting: separate the debt, bitcoin, and custody layers
Ask the company’s accountant to analyze three distinct layers:
- Borrower debt: record principal, accrued interest, effective interest or other applicable method, origination costs, and current versus noncurrent classification under the company’s reporting framework.
- Bitcoin asset: determine whether the company retains control and continues recognizing the bitcoin, or whether the transfer creates a receivable or another asset.
- Safeguarding and impairment: evaluate the lender or custodian’s obligations, collateral valuation, credit exposure, and required disclosures.
Why control changes the balance sheet
A 2026 SEC-filed annual report illustrates the issue rather than establishing a universal rule. Where control of posted bitcoin was transferred, the company recorded a note receivable measured at fair value. Where it retained control and could substitute the bitcoin or direct its use, it continued reporting the coins in its bitcoin balance. Your accountant must apply the applicable GAAP or IFRS guidance to the actual contract and facts.
Collateral valuation and impairment
Loan-to-value (LTV), maintenance margin, and liquidation thresholds require a documented valuation policy. Record the index or exchange used, the exact timestamp, the currency conversion, and whether the calculation uses a spot price, an average, or another methodology. Federal Reserve supervisory guidance recognizes fair-value-of-collateral measurement for collateral-dependent impaired loans; other impaired loans may be measured using discounted expected cash flows or an observable market price. That lender-oriented guidance does not replace the borrower’s applicable accounting model.
Safeguarding guidance after SAB 122
SEC Staff Accounting Bulletin 122 became effective January 30, 2025. It rescinded SAB 121 Topic 5.FF and directs affected entities to analyze safeguarding liabilities under FASB ASC 450-20 or IAS 37, with clear disclosure of the accounting-principle change. Companies using a lender or custodian should ask whether the arrangement creates safeguarding, loss, or disclosure obligations under their own reporting framework.

How to build a defensible recordkeeping file
Use one event-level ledger that can be tied to both the general ledger and the blockchain. Store the signed agreement and every amendment with version dates. For each event, retain the following fields:
- Borrower, lender, and custodian legal names and account identifiers.
- Agreement version, collateral schedule, wallet or account address, and blockchain transaction ID.
- Bitcoin units, asset type, and date and time in UTC.
- USD price source, price, and fair market value at the relevant transfer or valuation time.
- Acquisition lot, basis, holding period, and identification method.
- Loan principal, accrued interest, paid interest, origination charges, custody fees, spread, network fees, and liquidation fees.
- LTV, maintenance-margin percentage, cure period, valuation index, and all margin calculations.
- Private-key, withdrawal, substitution, rehypothecation, and liquidation rights.
- Margin-call notices, cure communications, collateral substitutions, repayment confirmations, and release notices.
- Liquidation execution details, including units sold, fills, proceeds, fees, debt payoff, surplus or deficiency, and the resulting journal entry and tax workpaper.
Keep contemporaneous evidence
Export lender statements and custody reports when they are issued; do not rely on a later account screenshot. Preserve the original file format, retrieval date, and a read-only copy. Hashes or other integrity controls can help demonstrate that a statement was not altered. Keep UTC timestamps alongside any local-time display so the ledger and blockchain explorer can be reconciled.
Reconcile three records after every event
- Match the lender or custodian statement to the blockchain transaction and wallet balance.
- Match units, USD value, fees, and debt balances to the company’s subledger and general ledger.
- Update the tax lot schedule and attach the accounting memo explaining control, valuation, and journal-entry conclusions.
Margin calls, substitutions, and releases
Margin-call package
When collateral falls below the required LTV, save the first notice, the price and timestamp used, the amount required to cure, the deadline, and every subsequent communication. If the company adds bitcoin or cash, record the new units, basis, wallet transaction, and post-cure LTV. If it fails to cure, retain the lender’s authorization and execution records for any sale.

A substitution is not merely an administrative update. It may involve an exchange of assets, a change in control, or a new valuation. Obtain written confirmation identifying the released lots, the replacement lots, both sets of units and values, fees, and the effective time. Ask the tax adviser whether the substitution is a disposition or another reportable event.
Best Value
Repayment and release
At payoff, preserve the wire or digital-asset transfer confirmation, interest calculation through the payoff time, fee detail, and a release statement identifying every wallet and unit returned. Verify that the returned units and remaining basis reconcile to the company’s lot schedule and that the lender has no continuing right to sell or use the collateral.
When the lender liquidates bitcoin
Request a complete liquidation statement immediately. It should identify the contractual trigger, notice and cure history, valuation source, execution venue or method, UTC fills, units sold, gross and net proceeds, all fees, principal and interest applied, and any surplus or deficiency. Preserve the blockchain transaction, exchange confirmation, and bank or wallet receipt.
Tax and accounting workpapers should treat the asset sale, debt settlement, and fees as separately analyzable components. Do not assume that the lender’s net credit equals the bitcoin’s proceeds or the company’s taxable amount. A deficiency may leave debt or cancellation-of-debt questions; a surplus may return cash or digital assets. Obtain jurisdiction-specific advice before filing.
Jurisdiction and reporting limits
The rules above focus on U.S. federal tax and financial reporting. State and local treatment, licensing, commercial-law rules, and non-U.S. tax can differ. HM Revenue & Customs’ corporate-tax manual, for example, says that when exchange tokens are provided as collateral for an ordinary money loan, a loan relationship exists and loan-relationship rules apply; it separately states that exchange tokens are not money for those rules. That comparative position does not determine U.S. federal, state, or local treatment.
No authoritative source establishes one bitcoin-backed-business-loan tax rate, universal journal entry, or blanket safe harbor. The governing answer depends on the contract, control rights, asset lots, valuation evidence, and the company’s accounting framework.
