Often, yes. Under U.S. federal tax law, assigning a future profit or payment right does not by itself move the tax liability to the buyer. If the seller had already earned the income, completed the transaction that produced it, or held a fixed and practically certain right to payment, the seller can be taxed even when the buyer later collects the cash. Tax generally shifts only when the buyer acquires the underlying income-producing asset before the income right becomes fixed and assumes the related economic benefits and burdens.
The controlling question is what was transferred, and when
Tax law looks beyond the wording of an assignment. The decisive timeline is usually:
As an Amazon Associate I earn from qualifying purchases.
- When the seller performed the service, completed the sale, won the claim, or otherwise created the right to profit.
- When the right became fixed or practically certain.
- When the buyer acquired the underlying asset or merely a right to collect money.
- Whether the seller retained control, benefits, or burdens after the purported transfer.
- Which accounting method and entity rules apply.
The Internal Revenue Service describes this as the anticipatory assignment-of-income doctrine. In its analysis of PLR-101062-04 (2004), the IRS stated that a taxpayer who earns or creates a right to income is taxed on gain when the right is fixed or practically certain, even if the taxpayer transfers the right before receiving payment. A separate 2026 IRS Office of Chief Counsel legal advice memorandum restates the broader principle: income is taxed to the person who earns it, and diverting payment to someone else does not by itself avoid tax.
| Transaction fact | Likely federal tax result |
|---|---|
| Seller already performed and then assigns the receivable | Seller generally remains taxable; buyer’s collection does not change who earned the income. |
| Seller transfers the business or other income-producing asset before profits are earned | Later income may belong to the buyer if the transfer is genuine and the buyer receives the economic upside and downside. |
| Cash-method seller cannot access the money and has no present right to it | Physical payment may be deferred, unless assignment-of-income or economic-benefit rules apply. |
| Cash-method seller can draw on an unrestricted credited amount | Constructive receipt can make the amount taxable before withdrawal. |
| Accrual-method seller has performed and can determine the amount | The all-events test may require inclusion before cash is received. |
| Partnership agreement labels a pre-existing stream as the buyer’s share | Allocation can be recharacterized according to the partners’ actual economic interests. |
Why assigning only the payment right often fails
The assignment-of-income doctrine
A seller cannot normally turn earned income into the buyer’s income simply by directing the payer to send the money elsewhere. The IRS asks whether the seller earned or created the right and whether that right had become fixed. If so, the seller is generally the taxpayer even if the assignment occurs before the check, wire transfer, or distribution.

For example, a consultant completes a project, has an enforceable right to a $50,000 fee, and then assigns that receivable to a buyer for $45,000. The consultant generally has the tax issue because the service and income-producing activity were completed first. The buyer’s later collection is not a new earning event for purposes of assigning the original income.
Fixed versus contingent profits
A right need not have been paid to be fixed. A signed sales contract, a completed service obligation, an adjudicated claim, or a formula that makes the amount readily determinable can indicate that the seller’s right is already established. The IRS wording is “practically certain to occur,” meaning the right has become, in substance, a fixed right.
By contrast, a genuinely contingent opportunity may not be income yet. If a buyer acquires an asset while future revenue still depends on uncertain performance, customer demand, regulatory approval, or another unresolved condition, the buyer may earn the later income. The documents must reflect that uncertainty rather than merely postponing payment of an amount already owed.
Payment redirection is not ownership transfer
An instruction such as “pay the buyer instead of me” usually changes the destination of cash, not ownership of the income-producing property. The 2026 IRS Chief Counsel memorandum emphasizes that a valid transfer requires a significant change in the transferor’s economic relationship to the property. Retaining decision-making power, control over customers or contracts, or the right to reclaim profits can undermine the claimed transfer.

When a real transfer can move tax to the buyer
Tax may follow the buyer when the seller transfers the underlying business, investment, contract rights, or other income-producing asset before the relevant profits are earned. The buyer should receive meaningful rights to future gains and bear corresponding costs, risks, and potential losses. A paper assignment that leaves the seller economically in control is vulnerable to being disregarded.
Indicators of a significant economic change
- The buyer obtains enforceable ownership and the right to future appreciation or profits.
- The buyer assumes operating expenses, liabilities, performance obligations, and downside risk.
- The seller gives up control over contracts, customers, bank accounts, and distributions.
- Consideration is commercially supportable and the transfer is documented before the income-producing event.
- The buyer, rather than the seller, makes subsequent business decisions and receives the residual economic return.
No single factor controls every case. The transfer date, contract language, closing records, entity books, and conduct after closing should tell the same story. If the seller completes the profitable transaction before closing and then sells only the right to collect, the buyer usually purchased a receivable rather than the earning activity.
Cash method, constructive receipt, and accrual method timing
Cash-method taxpayers
Cash-basis taxpayers generally include income when they actually receive it or when it is constructively received. Under the rule described in the IRS section 451 ruling analysis, income is constructively received when it is credited to the taxpayer’s account, set apart, or otherwise made available so the taxpayer can draw on it at any time.
Physical nonreceipt is therefore not enough. If a customer deposits the money into an account controlled by the seller, or the seller can withdraw an unconditional balance without meaningful restriction, the seller may owe tax that year. The rule does not apply when substantial limitations or restrictions genuinely prevent access.

Deferral agreements and economic benefit
A binding deferral arrangement made before the income is earned can postpone inclusion when the amount is not yet due and no separate economic benefit has been transferred to the seller. The result changes if the seller receives property, an irrevocable credit, or another benefit that effectively places the income beyond the seller’s control. The contract must establish real limits, not simply delay a check after the seller has already earned it.
Accrual-method taxpayers
For an accrual taxpayer, the all-events test generally fixes income when the right to receive it is established, the amount can be determined with reasonable accuracy, and applicable section 451 rules are satisfied. Required performance, payment becoming due, or actual payment can each be relevant. An accrual-method seller may therefore recognize profit before cash arrives even without constructive receipt.
Changing accounting methods after the transaction does not retroactively relocate the earning event. The seller’s method for the relevant year, permitted method changes, and any special section 451 rule must be reviewed together.

Partnership allocations and the buyer’s claimed share
Partnerships cannot reliably shift tax by assigning a previously earned profit stream to a new buyer in an agreement. Section 704(b) requires allocations to have substantial economic effect. IRS guidance says an allocation must match the partners’ economic arrangement; if it does not, each partner’s distributive share is determined according to the partners’ interests in the partnership.

What the IRS examines
- Whether capital accounts are maintained as required and reflect actual contributions and distributions.
- Who has liquidation rights and who would receive value if the partnership wound up.
- Whether the buyer contributed capital or assumed partnership liabilities.
- Whether the buyer receives both upside and downside, rather than only a selected profit.
- Whether the transfer occurred before the partnership earned or fixed the income.
A buyer admitted after a contract was completed may not become the taxpayer for that completed deal merely because the partnership labels the distribution as the buyer’s allocation. The economic arrangement and timing control.

The label “interest” matters when the buyer receives a partnership stake for services rather than purchasing an ordinary receivable.
Service profits interest
IRS Publication 541 states that receipt of a profits interest for providing services to, or for the benefit of, a partnership in a partner capacity or in anticipation of becoming a partner is generally not a taxable event for the recipient or partnership. Exceptions include an interest tied to a substantially certain income stream, disposition within two years, and interests in publicly traded partnerships.

The partnership agreement and capital accounts must support that distinction.
Best Value
Service capital interest
A capital interest gives the recipient a current share of partnership value. Publication 541 generally treats the fair market value of a service-provided capital interest as gross income in the first tax year in which the interest is transferable or no longer subject to a substantial risk of forfeiture.
| Interest received for services | General treatment under Publication 541 |
|---|---|
| Profits interest | Generally not taxable on receipt, subject to stated exceptions. |
| Capital interest | Fair market value generally included when transferable or no longer subject to substantial risk of forfeiture. |
Examples: who reports the profit?
Completed consulting engagement
A company accepts the seller’s work on June 30 and owes $80,000. On July 1, the seller assigns the receivable to a buyer for $72,000. The seller created and fixed the right before the assignment. The seller generally reports the income under the applicable accounting method; the buyer reports the later collection only according to the tax consequences of purchasing the receivable.
Business sold before a new contract is performed
The seller transfers an operating business on March 1, gives the buyer control of employees and customer contracts, and the buyer performs a new contract in April. If the transfer is genuine and the buyer bears the contract’s costs and risks, the April profit may belong to the buyer. The seller’s tax consequences from the sale itself are separate from the buyer’s later operating income.

A partnership closes a profitable sale on December 20, then admits a buyer on December 29 and allocates the sale profit to that buyer. The allocation may fail substantial-economic-effect requirements if the buyer did not share the deal’s economic benefits and burdens when the sale was completed.
Unrestricted account balance
A cash-method seller’s customer pays $30,000 into an account titled for the seller, and the seller can withdraw it immediately but chooses not to. Constructive receipt can make the $30,000 taxable in that year even though the seller leaves it untouched.
Documents and facts that usually decide the result
Before taking a filing position, assemble:
- The purchase or assignment agreement, amendments, closing statement, and effective date.
- The underlying customer, sales, licensing, settlement, or partnership contracts.
- Evidence of when services were completed, goods were delivered, or contingencies ended.
- Bank records showing who controlled funds and when money became withdrawable.
- Accounting-method elections and books showing whether the seller uses cash or accrual accounting.
- Partnership capital accounts, liquidation provisions, liability allocations, and distribution records.
- Evidence that the buyer assumed operational obligations, expenses, liabilities, and risk.
Inconsistent conduct is a warning sign. If the seller continues directing customers, approving expenditures, receiving guarantees, or reclaiming profits, those facts can contradict a claimed transfer even when the paperwork uses sale language.
A practical analysis sequence
- Identify the income-producing property. Is it a receivable, a contract, a business, an investment, or a partnership interest?
- Mark the earning event. Determine when performance, delivery, closing, or another condition created the right.
- Compare that date with the transfer date. A transfer after the right became fixed is generally an income assignment; a transfer before that point may be an asset sale.
- Test access to cash. For a cash-method seller, determine whether funds were actually or constructively received.
- Apply the accounting method. For accrual taxpayers, test when the all-events requirements were met.
- Review economic substance. Confirm that the buyer received both benefits and burdens and that the seller relinquished control.
- Check special regimes. Analyze section 704(b) for partnerships, Publication 541 for profits and capital interests, and any applicable section 451 rule.
- Separate federal and nonfederal issues. State and local jurisdictions may apply different assignment, sourcing, and entity rules.
Common mistakes and how to avoid them
- Waiting for the check. Tax can arise when a right is fixed, constructively received, or accrued.
- Assigning only the receivable. Redirecting payment does not transfer the activity that earned it.
- Using a partnership label as a shortcut. Section 704(b) looks to economic effect, not labels alone.
- Confusing profits and capital interests. Their receipt can have different tax treatment.
- Ignoring post-closing conduct. Continuing control can undermine an otherwise formal transfer.
- Assuming federal treatment controls everywhere. State and local tax rules may diverge.
Limits of a general answer
The exact result depends on the contract, entity form, tax year, jurisdictions, accounting method, transfer date, payment restrictions, and evidence of control. The IRS materials described above provide federal guidance, but a filing position should be checked against current regulations and controlling case law. A tax professional should review the complete transaction before the parties sign or report it, particularly when the assignment involves a partnership, related parties, a large receivable, or a deferred-payment arrangement.
