Whether an agent may lawfully find prospects, score them, and send cold outreach depends on the destination jurisdiction, channel, recipient type, consent, data source, profiling, message content, opt-out process, and the controls supplied by your vendor. Using AI does not create a general exemption from privacy, telemarketing, or spam rules. The company that deploys the agent can remain responsible even when a platform generates the wording, selects recipients, or places the call.
The safest approach is to treat every campaign as a regulated data-and-communications workflow: map where it goes, establish the legal basis for the data and contact method, constrain the agent, preserve evidence of consent and suppression, and require human review for high-risk decisions.

What makes an AI prospecting agent a compliance issue?
A prospecting agent usually performs several activities at once: it collects or enriches contact data, infers interest or fit, ranks people or accounts, creates personalized content, and sends email, text, or voice outreach. Each activity can trigger a different rule. A compliant process for a business email to a corporate address in one country may be unlawful for a text to an individual mobile number in another.

An agent can produce grammatically perfect messages and still violate the law if it contacts a person without the required consent, hides the sender, ignores an objection, or uses unlawfully obtained data.
UK rules: PECR governs electronic direct marketing
Who is covered
The UK Privacy and Electronic Communications Regulations (PECR) apply to anyone who sends or instigates direct marketing by electronic mail. The Information Commissioner’s Office states that “PECR applies to anyone who sends or instigates the sending of direct marketing by electronic mail.” An organisation that instructs an AI platform to send messages is therefore within the rule even if the platform technically transmits them.
Individual subscribers and the consent or soft-opt-in routes
For individual subscribers, electronic marketing generally requires prior consent unless a qualifying “soft opt-in” applies. The soft opt-in is limited: it is associated with details collected during a sale or negotiations for a sale, concerns the organisation’s similar products or services, and gives the person a clear opportunity to refuse marketing when the data is collected and in every subsequent message. A scraped or purchased list does not become compliant merely because an agent personalizes the copy.
Corporate subscribers are different, but not risk-free
PECR treats corporate subscribers differently from individuals. Business-to-business email to a corporate subscriber may not require the same prior consent, but the sender still needs to identify itself and provide a valid way to opt out. You must also avoid misclassifying a sole trader or an individual employee’s personal address as a corporate subscriber. Keep the recipient classification and the evidence supporting it with the campaign record.
Identity and opt-out requirements
Every message should make the sender’s identity clear and include a valid address or other practical route for the recipient to stop future marketing. Configure the agent so that it cannot substitute a misleading display name, reply address, or domain. An unsubscribe request should enter a centralized suppression list and block future sends across every agent, mailbox, and vendor used by the organisation.

Profiling is part of the perimeter
ICO direct-marketing guidance treats targeting and profiling as activities supporting direct marketing. The fact that a system uses ordinary rules rather than an advanced machine-learning model does not remove it from scope. Document the fields used to rank prospects, the source of each field, the reason it is relevant, and the retention period. Do not let the agent infer sensitive characteristics or use proxies for them without a clear legal and fairness assessment.
US email: CAN-SPAM applies to B2B messages too
The CAN-SPAM Act covers commercial email, including business-to-business messages. The Federal Trade Commission says it “doesn’t apply just to bulk email” and covers “all commercial messages … including email that promotes content on commercial websites.” A small, highly personalized sequence generated by an AI agent is still commercial email.
Required elements
- Use accurate routing information and a truthful “From,” “To,” and domain identity.
- Use a subject line that is not deceptive.
- Clearly identify the message as an advertisement where the law requires it.
- Include a valid physical postal address for the sender. A current street address, registered post-office box, or qualifying private mailbox may satisfy the rule.
- Provide a clear, functioning opt-out mechanism that a recipient can use without unnecessary steps.
- Honor an opt-out request within 10 business days, the maximum period stated in the FTC’s 2022 CAN-SPAM compliance guidance. In practice, configure automated suppression much faster so queued messages do not escape.
Responsibility is not shifted to the software provider. The seller that benefits from the promotion remains accountable for the campaign and must monitor vendors that send on its behalf. Keep copies of the prompt or template version, the final message, delivery event, and suppression result so you can show what happened for a particular address.
US calls and texts: TCPA consent thresholds are higher
Artificial or prerecorded voice and autodialed texts
The Telephone Consumer Protection Act (TCPA) covers artificial or prerecorded voice calls and autodialed text messages. Telemarketing robocalls generally require prior express written consent. A voice agent that sounds human is still an artificial voice for this purpose; changing the accent or adding a disclosure does not remove the consent requirement.
What one-to-one consent must identify
Where one-to-one consent is required, the consent record should identify the seller, the telephone number or numbers covered, and the context in which the person agreed to receive calls or texts. Preserve the exact disclosure, the page or interaction where it appeared, timestamp, IP or other event evidence, and the seller identity. A generic lead-form checkbox shared by multiple unrelated sellers is unlikely to provide a reliable record for an individual campaign.

Do-not-call controls and established relationships
Telemarketing rules also impose do-not-call and recordkeeping duties. FTC Telemarketing Sales Rule guidance gives examples of an established-business-relationship period: 18 months after a transaction and three months after an inquiry or application. Those periods are examples tied to the stated events, not a universal permission to call every old lead. For National Do Not Call Registry safe-harbor checking, the guidance refers to a 31-day version of the registry; check the current list on the required schedule and retain proof of the check.
Configure separate suppression logic for phone calls and texts. A person who opts out of SMS should not be called by a different agent unless the applicable rules and the person’s permissions clearly allow it. Provide a straightforward do-not-call process during a live interaction and stop future attempts promptly.
Vendor liability and AI-generated voice risk
Hiring a platform does not make the seller a bystander. FTC telemarketing rules impose duties on both sellers and telemarketers, and the agency has affirmed that AI voice-cloning robocalls can violate its rules. The FTC’s 2024 announcement quoted Director Samuel Levine saying that its changes would help it act against deceptive marketers using “AI robocalls and other emerging technology.”
Your contract should define who obtains and verifies consent, who maintains suppression lists, how quickly opt-outs propagate, which logs are retained, and who investigates a complaint. Require notice before a vendor changes a model, sending domain, caller ID, data source, or subcontractor. Audit samples of sent messages and call records rather than accepting a dashboard’s summary. A vendor’s indemnity clause may allocate financial risk between companies, but it does not erase regulatory obligations to recipients.
GDPR: lawful basis, objections, and automated decisions
Direct-marketing objections
Under the GDPR, a person can object at any time to direct marketing, including profiling related to that marketing. Once a person objects, stop the relevant processing; do not ask the agent to “try a different angle” or move the address to another campaign. Make the objection route as easy as the original contact and synchronize it across systems.

Lawful basis and transparency for prospect data
For each prospecting activity, document the lawful basis relied on, why it is appropriate for the particular audience, and the balancing or necessity analysis where relevant. Provide privacy information about the source of the data, purposes, categories, retention, recipients, and rights. If data came from an enrichment provider, record that provider and verify that its use and onward disclosure fit your purpose. Correct inaccurate records and set a deletion or review date instead of allowing an agent to retain profiles indefinitely.
Article 22 and significant automated outcomes
Article 22 places limits on decisions based solely on automated processing when they produce legal effects or similarly significant effects. Ranking a lead for an ordinary sales follow-up will not automatically be such an effect, but using an automated score to deny service, alter a person’s eligibility, or make another consequential decision can change the analysis. Put meaningful human review around those decisions, give the person a way to obtain human intervention and contest the result where required, and test the system for discriminatory proxy variables.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.A pre-launch compliance workflow
- Map the campaign. List every destination country and US state, channel, recipient category, product, sender, and vendor. Do not launch a single global sequence when the legal conditions differ by location.
- Classify the contact. Mark individual consumer, sole trader, employee, and corporate subscriber separately. Store the evidence for the classification, not just a label in the CRM.
- Define the purpose and data source. Record how each field was collected or enriched, its accuracy checks, retention period, and whether an inference or sensitive attribute is involved.
- Select the lawful route. For each channel, document consent, a qualifying soft opt-in, a business-contact rule, or another legal basis. If the route is uncertain, pause the campaign and obtain jurisdiction-specific advice.
- Capture consent precisely. Retain timestamp, wording, seller identity, number or address, page or interaction, and source. Do not treat a vendor’s assertion that a list is “permission-based” as the evidence itself.
- Build suppression before sending. Maintain centralized email, SMS, call, and general objection lists. Test that an opt-out blocks queued messages and reaches every connected agent and vendor within the promised time.
- Constrain generation. Lock sender identity, reply address, physical contact details, required disclosures, approved products, and prohibited claims. Prevent the model from inventing testimonials, discounts, urgency, or personal facts.
- Add human review. Require approval for sensitive-data targeting, unusual personalization, new jurisdictions, AI voice, vulnerable audiences, and any decision with legal or similarly significant effects.
- Test and monitor. Send controlled test messages, inspect rendered headers and links, verify caller-ID behavior, review opt-out handling, and sample agent decisions. Monitor bounce, complaint, and suppression errors after launch.
- Preserve evidence and respond. Keep prompts or templates, final content, recipient selection, consent record, delivery event, opt-out event, and vendor logs. Assign an owner and deadline for complaints, regulator inquiries, and data-subject requests.
Controls to compare when choosing an implementation
| Decision area | Lower-risk design | Questions to verify before launch |
|---|---|---|
| Channel and consent | Email workflow with documented permissions and immediate unsubscribe | Does the workflow ever switch to SMS, autodialed calls, prerecorded voice, or AI voice without a new consent check? |
| Recipient type | Verified corporate subscribers separated from individuals and sole traders | What evidence supports the classification, and can a personal address enter the corporate queue? |
| Data and profiling | First-party, current data with purpose-limited fields and review dates | What enrichment sources, inferred traits, proxies, and retention rules are used? |
| Opt-out latency | Central suppression service checked immediately before each send | How quickly does an objection reach every mailbox, dialer, queue, and subcontractor? |
| Transparency and review | Fixed identity, disclosures, approved claims, and human approval for high-risk cases | Can the model alter the sender, make a consequential decision, or personalize from sensitive information? |
| Vendor auditability | Exportable event logs, change notices, access controls, and test environment | Can you reconstruct one message or call from data selection through suppression and deletion? |
| Jurisdiction coverage | Rules and templates selected by destination and recipient category | Who reviews state, sector, and non-US requirements that are outside the current policy? |
Common failure modes and fixes
“It is only one-to-one outreach”
Volume is not the legal test. A single commercial email can fall under CAN-SPAM, and a single automated text or voice call can trigger TCPA requirements. Apply the rules to the message and mechanism, not the size of the sequence.
“The lead vendor collected consent”
Ask for the exact notice, seller identity, timestamp, channel, and transfer terms. If those records are unavailable or do not name your business and intended channel, quarantine the lead rather than relying on a sales label.
“The agent honored the opt-out, eventually”
Delayed suppression is a system defect. Remove the person from active queues first, then propagate the event to every vendor and backup list. Test race conditions in which a message was already scheduled when the objection arrived.
Best Value
“The model made the decision, not us”
Delegating selection or scoring does not eliminate accountability. Keep a human accountable for campaign approval, inspect representative outputs, and document why the targeting criteria are fair and necessary.
“A disclaimer makes an AI call legal”
Disclosure can improve transparency but does not replace consent required for artificial or prerecorded voice, autodialed texts, or telemarketing. Obtain the right permission before dialing.
What the cited rules do—and do not—establish
The UK PECR, GDPR, US CAN-SPAM, TCPA, and FTC telemarketing materials provide a framework, not a worldwide or state-by-state clearance. Requirements can change by US state, industry, recipient type, data category, and campaign detail. The figures above are tied to the specific FTC guidance: 10 business days for the stated CAN-SPAM opt-out period; 18 months and three months as examples of established-business-relationship periods; 31 days for the cited National Do Not Call Registry safe-harbor check; and a $53,088 penalty per violation, noted by the FTC as inflation-adjusted in January 2025. Obtain local legal review before launch, particularly for regulated sectors, sensitive data, cross-border transfers, and jurisdictions not covered here.
Bottom line
An AI sales prospecting agent is compliant only when the underlying campaign is compliant. Start with channel-specific consent and recipient classification, document the data and profiling basis, make identity and opt-out controls unavoidable, keep suppression synchronized, review high-risk automation, and hold both seller and vendor to auditable standards. If you cannot prove who may be contacted, why, under which rule, and how an objection stops every future contact, the agent is not ready to send.
