Are agreements made by AI agents legally binding? What buyers and businesses should know

Yes, an agreement made by an AI agent can be legally binding. In the United States, the federal Electronic Signatures in Global and National Commerce Act (E-SIGN), 15 U.S.C. § 7001, says a contract cannot be rejected merely because an electronic agent helped form it. State laws based on the Uniform Electronic Transactions Act (UETA) take a similar approach. The decisive questions are who is legally responsible for the agent, what authority it had, what the other party reasonably understood, and whether the deal satisfies ordinary contract and regulatory rules.

Calling a system “AI” does not create a special category of unenforceable agreement. It also does not excuse a business from consumer-protection, disclosure, privacy, sanctions, procurement, or sector-specific duties. Treat the agent as an automated representative whose actions need defined authority, reliable records, and a way to stop or review exceptional transactions.

What makes an AI-agent agreement binding?

Contract law generally asks whether the parties reached an enforceable agreement, not whether a human typed every message. An AI agent may search for products, negotiate terms, accept an offer, send a purchase order, or click through an electronic-signature workflow. Those actions can have legal effect when they are attributable to a person or organization and the normal elements of a contract are present.

E-SIGN states in 15 U.S.C. § 7001(h): “A contract or other record relating to a transaction in or affecting interstate or foreign commerce may not be denied legal effect, validity, or enforceability solely because its formation, creation, or delivery involved the action of one or more electronic agents so long as the action of any such electronic agent is legally attributable to the person to be bound.” The statute removes an electronic-agent action as a standalone reason for invalidity; it does not guarantee that every automated transaction is enforceable.

State UETA enactments apply the same technology-neutral idea. Texas, for example, expressly provides that a contract may be formed by interaction between an electronic agent and an individual. The governing state law, conflict-of-laws rules, and facts of the transaction still control the result.

Attribution comes first

Identify the principal: the individual or business that could be bound. Then establish how the agent’s conduct is attributable to that principal. Useful evidence includes who deployed and configured the system, which account or credentials it used, the instructions and policies in force, and whether the principal held the system out as authorized.

Actual authority covers actions the principal truly permitted, such as accepting orders below a stated dollar limit. Apparent authority concerns what a reasonable counterparty would infer from the principal’s conduct, branding, account access, or communications. A private instruction that the agent must never exceed $10,000 may not protect a business from a counterparty that reasonably saw an apparently authorized purchasing system accept a $12,000 order. Whether apparent authority applies is fact-specific and depends on the governing law.

  • Offer and acceptance: Was there a definite offer, and did the agent’s response objectively accept it rather than merely request information?
  • Definite terms: Are price, quantity, scope, delivery, service levels, and other essential terms sufficiently clear?
  • Consideration: Where the applicable law requires an exchange of value, was one present?
  • Capacity and authority: Did the person or entity have legal capacity, and did the agent act for an authorized principal?
  • Required form: Does a statute require a writing, signature, notarization, witness, license, special disclosure, or a particular electronic record?
  • Consent and fair dealing: Was assent obtained without fraud, coercion, deception, or an impermissible automated interface?

An AI-generated draft that no one sends may be only a proposal. An agent that sends an acceptance through a channel presented as the company’s authorized account creates a much stronger attribution case.

Can an AI agent “sign” a contract for you?

Often, yes, but “sign” can describe two different acts. An agent may insert a typed name, apply a stored signature, select an acceptance box, or send a message that constitutes acceptance. E-SIGN generally recognizes electronic signatures and records; it does not require a human hand to appear on every transaction. The legal question is whether the method demonstrates intent to sign or accept and can be linked to the person or business.

Some transactions have additional formalities. Real-estate instruments, notarized documents, employment arrangements, securities, healthcare, government procurement, and regulated professional services may require specific identity checks, witnessing, disclosures, licensing, or approved platforms. An automated click cannot override those requirements.

Is human approval required for every agreement?

There is no general U.S. rule requiring a human to approve every AI-generated agreement. A business can authorize an agent to conclude routine contracts within defined parameters. Human review is prudent, and may be required by a statute, regulation, contract policy, or the risk profile, for nonstandard, high-value, regulated, or consumer-facing deals. Approval thresholds should be set before deployment rather than improvised after an error.

When an agent exceeds its instructions

An agent can agree to terms outside its internal prompt, spending limit, product list, or approval workflow. That creates several separate questions:

  • Internal responsibility: The employee or vendor who configured the system may have breached company policy or a service agreement.
  • External enforceability: A counterparty may argue that the principal appeared to authorize the transaction. Courts examine the account, communications, prior dealings, and other signals visible to that counterparty.
  • Defenses: Fraud, mistake, unauthorized access, lack of capacity, unconscionability, or failure of a required form may provide defenses, but none is automatic merely because software made the error.
  • Remedies: Depending on the law and contract, a party may seek rescission, damages, restitution, specific performance, or limits on liability. Prompt notice, suspension, and mitigation can affect the outcome.

Do not assume that an “AI disclaimer” hidden in a prompt or terms of use automatically defeats an agreement. Put authority limits and the legal status of automated messages in terms visible to counterparties.

What records should a business preserve?

When another law requires a written record, E-SIGN requires that the electronic record be retainable and accurately reproducible for later reference. A screenshot alone may omit information needed to prove attribution or the final terms. Preserve a complete, access-controlled transaction file containing:

  • the final offer, acceptance, order, amendments, and referenced terms;
  • timestamps with the applicable time zone and a reliable system clock;
  • account, identity, authentication, and authorization information;
  • the agent version, configuration, policy rules, and approval thresholds in force;
  • prompts, tool calls, retrieved data, and human instructions that materially affected the decision;
  • the full message and event history, including failed attempts, overrides, and exception alerts;
  • delivery, receipt, signature, and counterparty-verification evidence; and
  • retention, export, and integrity controls showing that records were not silently altered.

Retention periods vary by jurisdiction and sector. Make records exportable in a readable format and restrict deletion rights. If a dispute arises months later, the business should be able to reproduce exactly what the agent saw, what rules it applied, and what it communicated.

Consumer transactions: automation does not shift responsibility

The UK Competition and Markets Authority’s guidance, Using AI agents: complying with consumer law, states: “But if an AI agent you use does something illegal, you are responsible.” The guidance also emphasizes that a business must not mislead, manipulate, or exert undue pressure on consumers whether the outcome was produced by a human, an algorithm, or an interface.

For a consumer-facing agent, test advertising claims, ranking and recommendation logic, cancellation and refund paths, recurring-payment disclosures, accessibility, price presentation, and escalation to a human. A third-party supplier’s model does not automatically transfer the business’s consumer-law duties. Contracts with the supplier should allocate indemnities, audit rights, incident reporting, data use, and cooperation, but those private terms may not prevent a regulator or consumer from pursuing the business that made the offer.

How jurisdictions compare

Framework What it establishes What still requires a fact-specific analysis
United States: E-SIGN (15 U.S.C. § 7001) and state UETA laws Electronic signatures, records, and electronic-agent formation cannot be rejected solely because they are electronic or automated. Texas UETA expressly recognizes formation through an electronic agent’s interaction with an individual. Attribution, actual or apparent authority, contract elements, required writings, consumer and sector rules, authentication, defenses, and remedies.
United Kingdom: CMA consumer-law guidance Businesses remain responsible for illegal or unfair outcomes produced by agents, including agents supplied by third parties; automation does not excuse misleading or manipulative conduct. The governing contract law, applicable regulations, evidence of consent, and remedies for a particular transaction.
International: UNCITRAL Model Law on Automated Contracting (adopted 11 July 2024) A technology-neutral model for legislators, designed to facilitate automation, AI techniques, smart contracts, and machine-to-machine transactions while preserving party autonomy and mandatory law. It is a model framework, not a universally binding statute. The law enacted in the relevant country and conflict-of-laws rules determine enforceability.

There is no single global rule for AI-agent agreements. For a cross-border deal, identify the governing-law and forum clauses first, then examine where the principal, agent, counterparty, data, and performance are located. Mandatory consumer, privacy, sanctions, employment, financial, or procurement rules may apply despite a contractual choice of law.

Controls businesses should implement before deployment

  1. Define the principal and role. Document which legal entity or person the agent represents and whether it can draft, negotiate, make offers, accept offers, issue notices, or only prepare recommendations.
  2. Set hard authority limits. Encode dollar ceilings, quantities, approved products, geography, counterparties, contract duration, and prohibited clauses. Require a fresh approval when a limit is exceeded.
  3. Create approval tiers. Route nonstandard, regulated, high-value, consumer-impacting, or unusual-risk transactions to a named human approver. Record the approver, time, and exact version reviewed.
  4. Authenticate people and counterparties. Use strong account controls, verified domains, counterparty identity checks, and dual approval for payment or bank-detail changes. Do not let an agent rely solely on an email display name.
  5. Make messages legally clear. State whether automated communications are drafts, offers, acceptances, notices, or confirmations. Include authority limits and a contact for human escalation where appropriate.
  6. Log immutably or with controlled access. Capture prompts, model and policy versions, tool outputs, timestamps, approvals, and the final payload. Alert on missing logs or unexpected changes.
  7. Build exception monitoring. Detect unusual prices, quantities, jurisdictions, counterparties, payment instructions, regulated terms, and attempts to bypass approval. Pause the transaction while a human investigates.
  8. Provide a kill switch and revocation plan. Revoke credentials, disable tools, suspend queues, and notify counterparties quickly when compromise, drift, or a material error is detected. Test the procedure.
  9. Retain and reproduce records. Set retention periods by jurisdiction and sector, export records in usable formats, and periodically verify that a historical transaction can be reconstructed.
  10. Review after completion. Sample transactions, investigate overrides and near misses, update rules, and document corrective action. Vendor contracts should require incident notice, audit cooperation, data-protection safeguards, and access to relevant logs.

A practical checklist for buyers and counterparties

Before accepting an AI-generated offer or purchase order, a buyer can reduce uncertainty by asking:

  • Which legal entity is making the offer, and where is it organized?
  • Is the account or domain authenticated, and can a human representative confirm authority?
  • Is the message a binding offer, a quotation subject to approval, or a nonbinding draft?
  • What governing law, forum, cancellation, refund, limitation, and dispute terms apply?
  • Are price, quantity, delivery, renewal, data use, and service levels definite?
  • Does the transaction involve a regulated product, consumer, public body, personal data, or cross-border restriction?
  • Can the sender provide a reproducible final record and evidence of the agent’s authorization?

If the value or risk is material, obtain written confirmation from an authorized human and preserve the complete exchange. That step does not guarantee enforceability, but it can prevent an avoidable dispute about what the agent was allowed to do.

Transactions that merit local counsel

Obtain advice in the governing jurisdiction before allowing autonomous execution for high-value procurement, real estate, securities, lending, insurance, healthcare, employment, public-sector purchasing, export-controlled goods, sanctions-sensitive parties, or consumer products with recurring charges. Counsel should map mandatory formalities, licensing, disclosure, privacy, records, and remedies to the agent’s actual workflow. The cited authorities do not resolve every modern large-language-model fact pattern, and appellate decisions addressing those specific scenarios remain limited.

How to draft contracts for automated agents

A well-drafted agreement can reduce ambiguity by identifying the agent’s role and the principal it represents. Address:

  • the permitted actions and explicit prohibitions;
  • approval thresholds and named escalation contacts;
  • whether automated messages constitute offers, acceptances, notices, acknowledgments, or drafts;
  • identity, authentication, and signature methods;
  • governing law, forum, conflict rules, and dispute procedures;
  • record-retention, access, export, and audit rights;
  • error correction, revocation, suspension, and incident-notice procedures; and
  • allocation of responsibility among the principal, agent operator, model provider, and tools.

These clauses cannot eliminate mandatory law or bind a stranger who never received notice of them. They do, however, give courts and counterparties clearer evidence of authorization and the parties’ expectations.

The bottom line

An AI agent can form a legally binding agreement without a human typing the final acceptance. In the United States, E-SIGN and UETA prevent automation alone from invalidating the deal. Enforceability turns on attribution, authority, ordinary contract formation, required formalities, reliable records, and compliance with consumer and sector rules. Businesses should limit what agents can do, authenticate counterparties, preserve reproducible logs, require human review for exceptional matters, and maintain a tested shutdown process. Buyers should verify the principal, authority, terms, and governing law before relying on an automated commitment.
