5 Things to Ask a Credit Card Processor Before Signing a Contract

A practical checklist for small businesses comparing credit card processors: get the full fee schedule and clarify price changes, contract term, reserves, disputes, and support in writing.

Before you sign a credit card processing agreement, ask for the complete contract, its fee schedule, and every document it incorporates. Then get clear written answers about total cost, rate changes, renewal and cancellation, fund holds, and operational responsibilities. These are practical questions for small businesses in the United States and Canada; legal protections vary by jurisdiction, and the Maryland rules below apply only to specifically defined businesses and agreements.

1. What will I pay in total, and how is the price calculated?

Ask for the full fee schedule—not just the advertised transaction rate—and request a sample invoice based on your expected monthly volume, average sale, card mix, and share of in-person versus online transactions. Compare processors using the same assumptions.

As an Amazon Associate I earn from qualifying purchases.

  • Transaction percentage and per-transaction charge, including whether pricing differs by card type or transaction method.
  • Monthly or annual account charges, statement and batch fees, and charges for chargebacks or retrieval requests.
  • Compliance-related charges, equipment or software fees, and optional services.
  • Which amounts are pass-through network or bank charges, which are processor markup, and which services are included in the quoted price.

Do not treat interchange as a fee the processor directly charges your business. Visa explains that interchange reimbursement fees are transfers between acquiring and issuing banks. A merchant instead pays a merchant discount to its financial institution, typically calculated as a transaction percentage; that discount may include processing services. See Visa’s explanation of processing fees and interchange.

For a useful comparison, calculate expected total cost under your own operating assumptions, then account for fees that apply only in particular circumstances. In Canada, the Code of Conduct for the Payment Card Industry in Canada distinguishes processor fees from other charges, such as optional services or amounts arising from non-compliance. That is Canadian guidance, not a U.S. rule.

2. Can rates or fees change after I sign?

Read the amendment clause and ask the processor to explain it in plain language. Find out what can change, who can make the change, how much notice you will receive, how notice is delivered, and whether a qualifying change lets you leave without an early termination charge. Notices may arrive in a monthly statement or online account, so identify who at your business will check them.

A published TSYS agreement, version v01.0325, illustrates why the exact clause matters: it permits certain amendments connected to third-party changes to take effect immediately, while other amendments have a notice period and a limited termination window without premature termination liability. Those terms describe that agreement only; they are not a standard for other processors. Review the TSYS Merchant Card Processing Agreement v01.0325 as an example of contract language, not as a template for your own deal.

3. How long is the commitment, how does it renew, and what does cancellation cost?

Write down the start date and initial term, renewal length, deadline and method for nonrenewal, and every early-exit charge or damage provision. Check for separate equipment leases or software commitments that may continue even if processing ends. Ask what happens if the processor materially breaches the agreement, raises prices, or stops providing a service. Put each notice deadline on a calendar and confirm the required delivery address and method in the contract.

The TSYS v01.0325 agreement cited above states a three-year initial term and automatic one-year renewals unless a party gives notice at least 90 days before the current term expires. It also addresses early termination damages. These are terms of that specific agreement, not an industry norm.

Check whether local law limits cancellation fees

In Maryland, the Office of Financial Regulation says that, effective October 1, 2019, covered processors may not charge a covered business more than $500 for cancellation before the initial term ends, and may not charge a cancellation fee after that term unless the parties enter a separate renewal agreement. Covered agreements must be provided at signing and disclose cancellation charges, expiration and renewal dates, and customer service contact information.

The regulator limits these protections to businesses with fewer than 50 employees or less than $2 million in annual credit card or e-commerce transactions, and excludes agreements entered into or renewed before the effective date. Do not assume these rules apply outside their stated scope. See the Maryland Office of Financial Regulation’s merchant processing agreement guidance.

4. When will funds reach my account, and when can they be held?

Ask when ordinary transactions settle, how weekends and holidays affect deposits, and what happens to delayed or rejected payments. Then look closely at any right to withhold proceeds or establish a reserve. Ask for the specific reserve triggers, how the amount is calculated, any minimum or maximum, whether money is withheld from daily settlements, and when remaining funds are released—including after the agreement ends.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Also ask what documentation the processor can request and how you can challenge a hold. In the TSYS agreement example, the processor may withhold transaction proceeds or establish a reserve to recover amounts owed; its reserve language also addresses unresolved chargeback and liability risk. The agreement you sign may use different triggers and release conditions, so check its exact wording.

The FDIC’s revised guidance on payment processor relationships describes reserves in agreements as a way financial institutions can cover anticipated chargebacks. It is bank-supervision guidance, not a universal formula for merchant reserves. See the FDIC guidance on payment processor relationships.

5. What happens with chargebacks, security, equipment, and support?

Use this question to clarify the operational duties that can affect fees or your ability to keep processing. Ask for the relevant contract sections and written answers to the following:

  • Disputes: Who pays chargeback and retrieval fees? What are the response deadlines, what evidence is accepted, and what system do you use to submit it?
  • Risk and termination: What dispute levels or other events trigger extra scrutiny, a reserve, service restrictions, or termination? Where possible, ask for objective triggers and operational notice rather than an undefined standard.
  • Equipment and software: Who supplies and owns terminals or other hardware? Who pays for repairs or replacement? Which software, integrations, and services are included, and which cost extra?
  • Security: Which security tasks belong to you, which belong to the processor, and where are those duties written down?
  • Support: Who can you contact during an outage, through what channel, and what support is available when transactions cannot be processed?

The TSYS agreement example lists a chargeback ratio the processor deems excessive among potential termination triggers, alongside other specified conditions. That is a reason to ask what thresholds and termination rights appear in your own contract, not evidence that every processor uses the same standard.

Card-network requirements can also change. Mastercard provides merchant-facing rules, transaction-processing rules, security materials, and chargeback resources, and cautions that rules and standards change over time. Ask which current requirements your processor expects you to follow and where those duties appear in your agreement. You can consult Mastercard’s merchant rules and compliance resources.

If you plan to pass a fee to customers

Ask the processor for its written instructions before adding a surcharge or convenience fee. Visa says surcharges are generally prohibited unless applicable law permits them; in the United States, its guidance describes credit-card surcharging as permitted in most states subject to Visa requirements. Visa describes convenience fees separately as limited to certain countries and circumstances. Confirm current local law, network rules, and your acquirer’s requirements before changing what customers pay. See Visa’s rules and policies.

How to compare offers before you commit

Put each processor’s answers side by side using identical assumptions. Separate what is included from paid add-ons, and ask the processor to confirm verbal promises in writing. A low quoted rate may not be the lowest-cost or most workable offer if other fees, rate-change terms, reserve discretion, or exit costs differ.

Compare What to record
Total expected cost Estimated charges under the same volume, average ticket, card mix, and in-person/online mix; list conditional fees separately.
Price changes What may change, who can change it, notice method and timing, and any exit right tied to a change.
Term and exit Initial term, renewal length, nonrenewal deadline and method, cancellation charges, and separate equipment or software commitments.
Settlement and reserves Ordinary deposit timing, hold triggers, reserve calculation, and release conditions.
Disputes and termination Chargeback fees and deadlines, evidence process, risk thresholds, and termination triggers.
Operations and support Equipment ownership and maintenance, included integrations, security duties, and outage support contacts.

Before signing, make sure the contract, fee schedule, and incorporated documents agree with the answers you received. If an important promise is missing or ambiguous, ask for a written amendment or clarification rather than relying on a sales conversation.
