Retail, OEM, and volume describe different ways to acquire Windows 11 Pro—and they do not grant the same rights. Retail is a stand-alone purchase with conditional transfer rights; OEM Windows comes preinstalled and generally stays with its licensed PC; and commercial or volume licensing usually provides upgrade rights that require a qualifying Windows license already on each computer. The agreement and regional terms matter, so an activation key alone is not proof of a valid license.
How the three Windows 11 Pro license types differ
Microsoft identifies retail Full Packaged Product, OEM preinstallation, and Commercial Licensing as channels for Windows 11 Pro. The important distinction is not just how Windows is activated: it is what the license permits, what operating system the device must already have, and whether the license can move to another device.

| Type | How it is obtained | License scope | Transfer in the cited Microsoft terms |
|---|---|---|---|
| Retail / stand-alone | Purchased as retail software; packaging or digital delivery depends on the seller and offer. | A stand-alone Windows 11 Pro license. | Conditional transfer rights apply; the prior installation must be removed. Check the terms for the region and purchase path. |
| OEM / preinstalled | Windows 11 Pro is installed by a PC manufacturer before delivery. | Licensed with the device on which it was preinstalled. | May generally transfer only together with that licensed device, subject to the applicable terms. |
| Commercial / volume | Acquired under an organization’s Microsoft commercial agreement or program. | Windows client licensing generally provides upgrade rights and requires an existing qualifying retail or OEM operating-system license on each computer. | Assignment and use rights depend on the specific program and agreement; do not assume a universal transferable key. |
Microsoft’s Windows Commercial Licensing overview describes Windows 11 Pro Commercial Licensing as an upgrade from a previous Windows Pro version. Microsoft’s general volume activation guidance likewise says Windows client volume licenses cover upgrades and require an existing retail or OEM operating-system license on each computer. For a particular organization, the controlling terms are the current agreement and applicable Product Terms—not a simplified description of the channel.

Retail: a stand-alone license with conditional transfer rights
Retail is the most direct fit when an individual wants to buy Windows 11 Pro as stand-alone software. Microsoft lists Pro as a retail Full Packaged Product, and its activation guidance says each retail copy has a unique product key used for installation and activation. “Retail” alone does not establish whether a specific offer arrives in a box, on physical media, or by digital delivery.

Can you transfer a retail license to a new PC?
Microsoft’s English Windows 11 OEM license terms include conditions allowing stand-alone software to be moved to another device owned by the licensee, or to another person’s device if the stated conditions are met. The previous installation must be removed. These terms are regional and tied to the actual purchase path, so confirm the license terms that apply to the copy rather than assuming every listing labeled “retail” grants the same rights. The terms reviewed are the English-language version last updated April 2024: Microsoft Software License Terms for Windows 11.
OEM: Windows supplied with a PC
An OEM license is supplied by the computer manufacturer as part of a PC purchase. Microsoft says OEM activation is associated with the computer’s firmware or BIOS, and the manufacturer activates Windows before delivery. This is why an OEM license is best understood as belonging with the licensed PC, not as a stand-alone copy a buyer can freely move to a new custom build.

Is an OEM license tied to the motherboard?
Microsoft’s general activation guidance describes OEM activation as associated with the PC’s firmware/BIOS; that is an activation explanation, not a complete statement of every legal right. Under the cited OEM license terms, preinstalled Windows can generally be transferred to another user only together with the licensed device, subject to the terms’ regional legal exception. The exact effect of hardware repairs or replacement can depend on the applicable license and circumstances; do not treat the activation mechanism by itself as a complete answer to that question.

Volume licensing: organizational upgrade rights, not automatically a bare-PC license
“Volume licensing” is an umbrella for commercial agreements and programs, not one universal multi-use retail key. Microsoft’s general guidance says an organization needs a volume licensing agreement, and that Windows client volume rights generally cover upgrades. Each computer exercising those rights needs an existing retail or OEM operating-system license.

Microsoft’s live Windows Desktop Operating System Product Terms for the Microsoft Customer Agreement illustrate why organizations must check their own terms: eligibility, assignment, and use rights vary by program and agreement. Those terms include a Windows Home-to-Pro upgrade route in defined circumstances and regions, with a qualifying Windows Home device prerequisite; it is not a universal entitlement for every organization, region, or volume agreement. Ask the organization’s licensing administrator or reseller to verify the specific offer and deployment rights.
Activation is not the same as having a valid license
Activation tells Windows that its activation process succeeded; it does not by itself prove that the copy is genuine or properly licensed. Microsoft states this explicitly in its Windows 11 license terms. A key may activate Windows without establishing that the seller conveyed the rights the buyer needs. For a purchase, verify the seller, the license type, and the terms that apply to that offer—not just whether activation completes.
Which option should you use?
- Choose retail when you need a stand-alone Windows 11 Pro purchase and want the conditional transfer rights described by the applicable terms.
- Choose OEM when buying a PC with Windows 11 Pro preinstalled and expect the license to remain associated with that device.
- Use commercial or volume licensing when an organization is managing licenses under an agreement, after confirming that each device meets the qualifying operating-system requirement and that the program terms cover the intended deployment.
Microsoft cautions that its commercial overview does not replace or override the Windows end-user license agreement or Commercial Licensing Product Terms. Use the overview to understand the channel, then use the terms for the actual agreement and region to determine the rights.
