Why Data Centers Sign Long-Term Leases—and What Customers Should Know

Long-term data-center leases help finance phased infrastructure and reserve future capacity. Here is how to assess delivery, power, operating costs, service remedies, flexibility and counterparty risk.
Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Data-center operators sign long-term leases because a committed customer makes it easier to finance buildings, electrical infrastructure, cooling systems and utility capacity, often in phases. For the customer, that commitment can reserve scarce power and compute capacity years ahead—but it also creates a multi-year obligation whose real cost depends on delivery milestones, electricity formulas, operating-expense pass-throughs and service remedies.

There is no single “data-center lease” structure. Treat each proposal as a combined real-estate, power, construction and service agreement, and evaluate the executed language rather than relying on labels such as triple-net or colocation lease.

Why providers want a long-term customer commitment

A modern data center requires heavy up-front spending before it produces revenue. The operator may need to acquire or lease land, build a shell, install substations and generators, add cooling and fire systems, obtain utility interconnections, and construct redundant network paths. Those investments are difficult to justify on short, cancellable occupancy agreements.

A long-term customer commitment gives the operator a forecast of contracted revenue. That forecast can support project debt, equity investment, equipment orders and phased construction. It can also let the operator build a campus in modules instead of installing every megawatt on day one. The customer’s reservation therefore functions as part of the project’s financing and development plan, not merely as a promise to rent a room.

Fermi Inc. described this model in an SEC annual filing: “We expect that tenant lease agreements will generally be long-term in nature and structured to support large, phased deployments over time.” That statement describes Fermi’s expected approach, not a rule for every landlord.

Some arrangements connect the customer, the building and the power project unusually closely. NVIDIA’s 2026 Form 10-Q for the quarter ended July 26, 2026, disclosed certain third-party data-center leases with terms of approximately 15 years that had not yet commenced because their start dates depended on construction completion. The filing also described guarantees related to certain partners’ land, power and shell development. Such guarantees are transaction-specific; a normal enterprise tenant should not assume it will give or receive them.

What the lease is really buying

The headline rent is only one part of the commitment. Before comparing proposals, identify exactly what becomes available, when it becomes available and which costs remain variable.

Usable capacity, not just floor area

Capacity may be expressed as square feet, racks, critical IT load, utility megawatts or a phased combination. Ask for a schedule that identifies each phase, the usable IT load after commissioning, the power delivered to the customer’s distribution equipment and any restrictions on high-density racks. “Reserved” capacity that cannot be energized or cooled on the required date is not equivalent to operational capacity.

Power and utility service

Determine whether electricity is separately metered and billed at actual cost, folded into a fixed rent, or calculated through another formula. The contract should identify demand charges, utility taxes, fuel or infrastructure surcharges, renewable-energy charges and the treatment of unusual market volatility. Confirm who controls the utility account, who can select suppliers where that is permitted, how meters are tested, and whether the customer has audit rights.

Facilities and operating services

A lease may include cooling, generators, fuel storage, fire suppression, physical security, remote-hands work, network cross-connects and maintenance coordination. Other agreements price those services separately. Require a schedule of included services, response times and hourly or usage-based charges so that a low base rent does not hide a high operating bill.

Are data-center leases triple-net?

Sometimes, but the term is not universal. In a triple-net structure, the tenant commonly pays base rent plus specified property taxes, insurance and operating expenses. Data-center documents may also pass through utilities, security, maintenance, management fees or shared-campus costs. Another lease may include some of those items in rent, cap them, or use a hybrid formula.

An illustrative lease form described by Blackstone Digital Infrastructure Trust Inc. includes utility and property-operation costs while also listing exclusions. Its examples demonstrate why the definitions and exclusions matter; they are not a market standard. Ask for the complete recoverable-cost definition, the allocation method for shared equipment and land, annual statements, supporting invoices and audit deadlines.

Pay particular attention to capital work. Routine maintenance may be recoverable while replacement of a roof, chiller plant or substation is excluded—or the reverse. A management fee can be a fixed amount, a percentage of costs or an uncapped charge. Taxes and insurance may change with assessments, claims or policy conditions. The signed agreement, not the “net” label, determines the economic result.

Clauses that determine the customer’s real commitment

1. Capacity, delivery and acceptance

  • State the exact premises, suites, halls or power blocks and the critical IT load assigned to each phase.
  • List notice-to-proceed, substantial-completion, energization, commissioning and customer-acceptance dates.
  • Define objective acceptance tests for power quality, cooling, fire protection, connectivity and security.
  • Specify the consequence of delay: rent deferral, liquidated damages, alternative capacity, a termination right or a refund of prepayments.
  • Address partial delivery so that an unfinished phase does not trigger full rent or a full minimum commitment.

2. Electricity pricing and volatility

  • Identify whether billing follows actual meter readings, a fixed rate, a pass-through of invoices or a formula tied to an index.
  • Set rules for meter calibration, estimated bills, corrections and audit access.
  • Clarify responsibility for utility interconnection costs, taxes, demand charges, fuel and emergency generation.
  • State whether the operator may change suppliers or energy products and how notice is provided.

3. Operating expenses, taxes and insurance

  • Request a detailed list of recoverable expenses and explicit exclusions.
  • Separate operating repairs from capital improvements and set approval thresholds for unusual work.
  • Define how shared roads, substations, cooling plants and security staff are allocated among tenants.
  • Check management fees, administrative charges, insurance deductibles and property-tax appeals.
  • Require budgets, reconciliations and a practical period for disputing charges.

4. Service levels and remedies

Service schedules can cover power availability and redundancy, temperature and humidity ranges, network diversity, physical access, surveillance, fire and life safety, maintenance notice and incident reporting. Read the exclusions: utility outages, planned maintenance, customer equipment, force majeure and upstream carrier failures may be treated differently.

Remedies can include service credits, rent abatement, a right to terminate after repeated or prolonged failures, or step-in rights allowing the customer to direct recovery work. An illustrative Blackstone form says: “Service Interruption Events generally entitle Tenant to Rent credits for a portion or all of, or in some cases in excess of all of, the Tenant’s daily or monthly base Rent.” The same type of document may cap credits; one example uses 250% of the rent owed in the month of an interruption, while noting that actual leases can use different caps or none. Never treat 250% as a standard market figure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Term, escalators and flexibility

  • Record the initial term, rent commencement trigger, annual escalators and any minimum monthly payment.
  • Review renewal options, notice windows and the pricing method for renewal periods.
  • Negotiate expansion rights if forecast demand may exceed the first phase, and define the price and priority for additional capacity.
  • Examine assignment, change-of-control and sublease consent standards; an acquisition or restructuring should not accidentally become a default.
  • Clarify contraction rights, early-termination payments, restoration duties and the treatment of stranded equipment.

One issuer disclosure says its leases generally do not permit termination for convenience. That is an issuer-specific example, not a universal rule, so obtain an explicit exit formula rather than assuming one exists.

6. Counterparty credit and project failure

Identify the actual landlord, facility operator, utility counterparty and any special-purpose project entities. Review parent guarantees, letters of credit, completion guarantees, lender step-in rights and restrictions imposed by project financing. If the customer prepays construction costs or contributes equipment, specify ownership, refund rights and priority in an insolvency.

Construction and energization risk deserves its own review

A long lease is valuable only if the promised capacity is delivered on schedule and performs at the contracted level. Construction can be delayed by permitting, interconnection queues, equipment shortages, financing conditions or redesign. Energization can lag physical completion when utility tests, protection systems or commissioning fail.

Build a milestone matrix that names the responsible party, evidence of completion and remedy for each dependency. Include site control, permits, utility approval, substation installation, generator and cooling tests, network turn-up, security acceptance and the date on which the customer may install production equipment. Tie rent commencement to objective readiness rather than a landlord’s unilateral notice.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Where the project depends on a third-party utility or development partner, require transparent status reporting and a defined allocation of delay risk. NVIDIA’s disclosed 15-year leases illustrate why this matters: the term may be long, but it does not necessarily begin until construction is complete.

How to compare two proposed leases

Use the same assumptions for both proposals, including load growth, utilization, energy prices and commissioning dates. Compare the following dimensions rather than ranking base rent alone:

Comparison axis Questions to answer
Total cost and escalation What is fixed, what is indexed, which utilities and operating costs pass through, and what minimum payments continue during under-use?
Capacity and timing How much usable critical load arrives in each phase, on what date, and what acceptance test proves delivery?
Service strength What availability, environmental, connectivity and security commitments apply, and how are credits, caps and termination thresholds calculated?
Construction certainty Who bears permitting and energization risk, and what happens to deposits if a milestone slips?
Flexibility and exit Can the customer expand, contract, assign, sublet or terminate, and what payment or restoration obligation follows?
Counterparty support Which entity is liable, what guarantees or credit support exist, and how does project financing affect the customer’s rights?

A practical review sequence for enterprise buyers

  1. Describe the workload. Document required IT load, density, redundancy, network paths, growth phases and acceptable deployment dates.
  2. Convert the proposal into a cost model. Separate base rent, escalators, power, taxes, insurance, operating expenses, management fees, cross-connects and one-time construction charges.
  3. Map dependencies. Link every promised capacity date to permits, utility work, equipment delivery, commissioning and customer acceptance.
  4. Test failure cases. Model a construction delay, a prolonged outage, a utility-price spike, lower-than-expected utilization and a landlord default.
  5. Negotiate measurable remedies. Use objective service tests, credit formulas, cure periods, termination triggers and refund language rather than broad promises of “industry-standard” performance.
  6. Check transfer and growth rights. Confirm that acquisitions, reorganizations, subleases and later capacity phases are workable under the consent rules.
  7. Obtain specialist review. Have real-estate counsel, tax advisers, power engineers, insurance professionals and finance teams review the final lease together; each sees risks the others may miss.

Common failure scenarios and contract responses

The building is late

Rent should not begin merely because a shell is nominally complete. Use milestone-based commencement, a right to cancel after a long-stop date and return of unspent prepayments.

Power arrives but redundancy does not

Define the required independent feeds, generator capacity, testing frequency and maintenance windows. A single energized feed may not satisfy a redundant design promise.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Operating costs surge

Require exclusions for landlord capital projects, an allocation formula for shared assets, advance budgets and audit rights. Consider caps or approval rights for controllable expenses.

An outage exceeds the credit cap

Credits may compensate only part of the business impact. Negotiate termination or relocation rights for repeated or prolonged failures, and coordinate the lease remedy with business-interruption insurance.

The workload changes

Expansion, contraction and assignment rights should be priced and documented before signing. Without them, a customer can remain liable for unused capacity or be unable to move the workload after a merger.

Limits of general guidance

The available public examples are primarily United States SEC filings and an illustrative lease form. They describe particular companies, projects and business plans, not a universal market average for lease terms, escalators, remedies or triple-net usage. Adjacent power-generation agreements can run 10 to 25 years in one issuer’s disclosure, but that figure concerns project-specific power contracts, not all data-center leases.

Tax, real-estate, energy, environmental and insolvency outcomes vary by jurisdiction and by the executed documents. For a live transaction, rely on the signed lease and its exhibits, utility agreements, financing documents and service-level schedules, reviewed by qualified legal, financial and engineering advisers.

The decision in one sentence

A long-term lease can secure scarce power and give a provider the confidence to finance phased capacity, but it is worthwhile only when delivery dates, variable costs, service performance, remedies, flexibility and counterparty support are written precisely enough to manage the risks the customer is accepting.
