Alibaba Group Holding Limited is a publicly listed holding company incorporated in the Cayman Islands. Its shareholders own shares in that parent company—not direct equity in every business that operates under the Alibaba name. The picture has three parts: who owns shares, who has rights to nominate directors, and how some China-based operations are held through contractual variable interest entity (VIE) arrangements.
Who owns Alibaba Group?
Alibaba Group Holding Limited is the listed parent. Its ordinary shares trade on the Hong Kong Stock Exchange under 9988 (HKD counter) and 89988 (RMB counter); its American depositary shares trade in New York under BABA. The parent says it does not itself directly conduct business operations. Subsidiaries and other operating entities sit beneath it.

Alibaba reports one class of ordinary shares, with one vote per share. As of March 31, 2026, 19,134,051,238 ordinary shares were in issue, according to the company’s FY2026 annual report. That dated share count is not a live list of every investor or a current ownership percentage for any particular person or institution.

The available dated ownership information does not establish Jack Ma’s current percentage or whether he holds a particular number of shares today. Alibaba is publicly traded, and holdings can change. Its annual-report disclosures of directors’ and executive officers’ interests use stated definitions and are not a complete, continuously updated register of all shareholders. A claim about Ma’s present stake should therefore be tied to a specific filing date and the filing’s treatment of direct, indirect, or beneficial ownership.

Does SoftBank still own Alibaba?
Alibaba’s FY2026 annual report says SoftBank Group was no longer a major shareholder as of the report’s relevant date. That does not establish that SoftBank held no shares at all; it means older claims describing SoftBank as a major owner should not be repeated as current without a newer dated disclosure. Alibaba’s filings index showed new beneficial-ownership statements through October 2, 2026, so a precise current holding requires checking the underlying filing and its date.
Who controls Alibaba Group?
Share ownership and board-nomination rights are different. Each ordinary share carries one vote, but the Alibaba Partnership has a separate governance role: under the company’s articles, it has the exclusive right to nominate—or in limited circumstances appoint—up to a simple majority of the board. Shareholders still vote on Partnership nominees at annual general meetings. Alibaba says these nomination rights make it a weighted-voting-rights issuer under Hong Kong Listing Rules, despite the one-vote-per-share arrangement.
What the Partnership does
The Alibaba Partnership is a management governance body, not a separate class of shares. Its internal decisions are made on a one-partner-one-vote basis. Its membership can change, so the count should be treated as date-specific: Alibaba’s FY2026 annual report reported 18 members.
Nomination rights versus the board at the reported date
The right to nominate or appoint up to a simple majority does not mean Partnership nominees made up a majority of the board at every point in time. The FY2026 annual report described a ten-member board consisting of four Partnership nominees and six independent directors nominated by the Nominating and Corporate Governance Committee. The report also describes interim appointment rights and conditions on the Partnership’s authority.

What is Alibaba’s VIE structure?
For some businesses in China in areas where foreign investment is restricted, Alibaba uses variable interest entities and contractual arrangements rather than direct ownership of the VIE’s equity by the listed parent. In the structure described in Alibaba’s FY2026 Form 20-F, a VIE is typically held by a PRC limited liability company, which is owned directly or indirectly through two PRC limited partnerships.
The contracts are intended to give the listed group specified economic benefits and control. They do not make Alibaba’s public shareholders direct owners of the VIE equity. Alibaba warns that contractual arrangements may not be as effective as direct ownership and that a failure by counterparties to perform could harm the group. Those legal and enforcement risks are distinct from the ordinary risks of owning publicly traded shares.

How to compare Alibaba ownership claims
Percentages and descriptions of who “owns” or “controls” Alibaba can refer to different things. Before comparing figures, check:

- Security counted: ordinary shares and American depositary shares (ADSs) may be reported in different units or as equivalents.
- Type of interest: distinguish direct holdings from attributed or beneficial interests, including interests held through other people or entities.
- Economic interest versus voting power: ownership of shares is not the same as the Partnership’s board-nomination rights.
- Direct equity versus contracts: shareholders own the listed parent; VIE arrangements are contractual rights, not direct shareholder ownership of VIE equity.
For example, Alibaba’s FY2026 annual report describes Joe Tsai’s direct and indirect interests, including shares held directly, shares held by his spouse, a foundation-related proxy, and entities for which he was sole director. Such attributed interests depend on the filing’s definitions and should not be confused with a simple count of shares registered in one name.

What the latest dated figures do—and do not—show
| Disclosure | Figure | What it means |
|---|---|---|
| Ordinary shares in issue, as of March 31, 2026 | 19,134,051,238 | Share count reported in Alibaba’s FY2026 annual report; not a live shareholder register. |
| Alibaba Partnership membership, as reported in the FY2026 annual report | 18 members | A dated membership count; membership can change. |
| Board composition described in the FY2026 annual report | 10 directors: 4 Partnership nominees and 6 independent directors | Composition at the report’s stated date, distinct from the Partnership’s right to nominate or appoint up to a simple majority. |
| SoftBank Group status in the FY2026 annual report | No longer a major shareholder as of the report’s relevant date | Does not mean the report establishes that SoftBank held zero shares. |
These figures describe different things and should not be combined into a single ownership percentage. Alibaba’s filings index showed ownership-related filings through October 2, 2026, but the index by itself is not a complete current cap table.
