The headline number alone cannot tell you whether the company is fairly valued: you also need to know its stage, revenue quality, capital needs, dilution, and the economic and control rights attached to the investment. Use published funding medians as dated reference points—not as a formula for pricing an individual company.
Start with the company, not the valuation headline
A valuation is one output of a financing negotiation. To assess it, first understand what the company sells, who needs it, what evidence shows that customers will keep paying, and what the new capital is meant to accomplish. Then test whether the proposed price and terms make sense for that business and its risks.

This approach applies whether you are an investor reviewing an opportunity, a founder comparing offers, or an employee trying to understand a funding announcement. A high valuation does not by itself establish product quality, durable demand, or a strong return for investors. A lower valuation does not automatically make a deal attractive if the company needs more capital soon or the investment carries restrictive terms.
A filed AI investment strategy describes diligence across market size and growth, penetration, competition, business model, revenue growth, major customers, profitability, access to capital, debt, capitalization, legal and regulatory issues, and the structure of the security being purchased. That is a useful breadth of review, not a universal checklist or a substitute for company-specific analysis.

Match the evidence to the startup’s stage
Seed: test whether the opportunity is credible
At seed stage, a company may still be proving that a product or prototype solves a consequential problem. The key questions are whether the team can execute, whether a reachable market exists, whether users show meaningful interest, and whether the company owns or has rights to the intellectual property it relies on. Projections can help explain a plan, but they are not evidence that demand or revenue has already been established.
For an AI product, distinguish a compelling demonstration from repeat use in a real workflow. Ask who uses it, who pays, how often the product is used, what alternatives customers have, and what would make them switch or stay. A customer expression of interest, a pilot, a signed contract, and recurring revenue are different kinds of evidence; do not treat them as interchangeable.
Series A: look for repeatable growth
At Series A, the question shifts from whether the idea could work to whether the business can turn product-market fit into repeatable growth. Carta’s Series A guidance points to predictable revenue, healthy unit economics, and a financial roadmap as signals investors examine. A company should be able to explain how it acquires and retains customers, what margins remain after serving them, and which measurable milestones the financing is expected to reach.
Test the relationship between customer-acquisition costs, gross margins, retention, and growth. If revenue depends on a small number of large customers, examine the contracts, renewal terms, concentration risk, and the practical cost of replacing a lost account. Compare realized performance with forecasts and identify the assumptions doing the most work in the plan.
Assess the AI product’s advantage without assuming a moat
“Uses AI” describes an approach, not a defensible business. Identify what makes the product valuable to customers and what might keep competitors from offering a close substitute. Relevant evidence could include demonstrated product adoption, legitimate access to useful data, distribution advantages, integration into customer workflows, or technical performance that matters in actual use.

For each claimed advantage, ask what supports it. If the company says its data improves the product, determine whether it has the necessary rights, whether the data is distinct or available elsewhere, and whether the improvement is visible to customers. If it cites superior performance, ask how that performance is measured and whether it changes customer outcomes. If the product depends on outside models, infrastructure, or suppliers, understand how that dependency affects cost, reliability, and the company’s ability to compete.
There is no universal AI-specific moat test established by the cited materials. Model use alone does not demonstrate defensibility. Evaluate the company’s actual product, rights, customer behavior, and competitive position rather than assigning extra value simply because it is categorized as AI.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsInspect revenue quality, economics, and the capital plan
Reconcile the revenue story against contracts, customer concentration, repeatability, margins, and profitability. Determine whether reported revenue is recurring, usage-based, project-based, or otherwise conditional; the label matters less than what the agreements and customer behavior show. Consider whether a few customers account for a large share of sales and whether their use is expanding, stable, or at risk.
Then ask what the financing buys. A credible capital plan links the amount raised to specific milestones, such as product delivery, customer adoption, revenue targets, or operational capacity, and explains how those milestones inform the next financing decision. Check whether the company can reach them with the proposed capital and whether the plan accounts for additional capital needs. Access to future funding is not guaranteed, so assess the company’s runway and its dependence on raising again.
For a scaling business, compare customer-acquisition costs with margins and retention rather than focusing on growth in isolation. A company can grow revenue while using capital inefficiently; projections should not be treated as a substitute for demonstrated unit economics. Also review debt and other obligations, which can affect both financial flexibility and the ownership available to equity holders.

Use funding benchmarks in their proper scope
Published medians can provide context, but they describe particular samples and periods. They are not recommendations, forecasts, or a direct valuation model for an individual startup. The following figures are attributable to Carta platform data or to the National Venture Capital Association’s 2025 Yearbook, which credits PitchBook for the historical data.

|---|---|---|
| Seed dilution | 19.4% median, Carta platform data, Q2 2026 | A platform benchmark, not a target ownership sale for a specific company. |
| Seed round size | $4.5 million median, Carta platform data, Q2 2026 | A dated platform observation; company needs and deal conditions vary. |
| Post-money seed valuation | $23.9 million median, Carta platform data, Q2 2026 | A median post-money figure, not a fair-value finding for an individual startup. |
| Series A valuation: foundational-model AI startups | $300 million median, Carta platform data, Q1 2026 | Specific to the foundational-model segment and Carta’s platform; not a benchmark for every AI application, geography, or stage. |
| Series A valuation: comparable non-AI startups | Roughly $55 million median, Carta platform data, Q1 2026 | The comparison reported alongside the foundational-model AI figure; apply only with care to relevant comparables. |
| Share of deals that were non-priced rounds | 45% in 2024, compared with 28% in 2021; NVCA 2025 Yearbook, data provided by PitchBook | Historical deal-structure data, not a measure of current pricing or company quality. |
| Median burn multiple | 1.2x in 2024, compared with 2.4x in 2021; NVCA 2025 Yearbook, data provided by PitchBook | A historical change in the reported median; it does not establish an individual company’s efficiency. |
Comparisons are more useful when the companies share relevant characteristics: stage, business model, geography, growth profile, financing instrument, and date. The foundational-model figure is a clear example of why segment definition matters. It should not be applied directly to an AI application company just because both businesses use AI.
Translate valuation into ownership and dilution
Ask whether a quoted valuation is pre-money or post-money, how much capital is being raised, and what ownership the financing sells on a fully diluted basis. Pre-money is the company’s agreed value before new investment; post-money includes the new capital. The difference affects the ownership implied by a given investment, so a valuation headline without its basis is incomplete.
For a simple priced round, compare the amount invested with the post-money valuation to understand the approximate new-investor ownership before accounting for other terms and capitalization details. In real deals, the share price, existing securities, option-pool changes, and conversion of outstanding instruments can alter the resulting ownership. Ask for a fully diluted capitalization model that shows the outcome before and after the transaction.
Valuation and dilution move together with the amount of cash raised. Peter Walker, whom Carta identifies as its former head of insights, put the practical question this way in Carta’s Series A guide: “Valuations are often simply the output of the other two parts of the equation—cash raised and dilution. Most massive valuation rounds also come with massive funding amounts. How much cash do you really need?” For founders, that is a reminder to size a round around the plan rather than treating a larger headline as an end in itself. For investors, it is a prompt to examine whether the capital raised and ownership sold fit the milestones and risk.

Understand SAFEs, notes, and conversion math
A SAFE or convertible note does not work like a priced equity round at signing. Before comparing these instruments, record the investment amount, valuation cap, discount, pre-money or post-money basis, conversion trigger, maturity or repayment features where applicable, and any side letters or pro-rata rights. Then model every outstanding convertible instrument together with the proposed financing and any option-pool increase.
For a post-money SAFE with a valuation cap, Y Combinator explains the simplified ownership calculation as investment divided by the cap. For example, a $500,000 investment at a $10 million post-money cap corresponds to 5% under that calculation. This illustrates the instrument’s conversion economics; it does not establish that the startup’s operating value is $10 million. The actual result depends on the executed instrument and the later financing.
YC’s explanation treats earlier SAFE money and the existing option pool in the post-money ownership calculation, while new priced-round money and any new or increased option pool are treated differently. Multiple SAFEs, pre-money versus post-money definitions, and the terms of the priced round can therefore change founder and employee ownership. Do not rely on one SAFE’s cap calculation as a complete capitalization model.
A valuation cap is a ceiling used to determine conversion price under the instrument, not an independent appraisal of the business. If the next equity financing is priced above the cap, the SAFE converts at the lower cap price under YC’s explanation. Because conversion mechanics depend on exact documents and circumstances, verify the current signed agreements and have qualified counsel review them before relying on a model.
Compare the full offer, including rights and conditions
Two term sheets with the same headline valuation can produce materially different outcomes. Economic rights shape who receives proceeds and how much in an exit; control rights affect decisions and governance; closing conditions determine whether and when promised money arrives. Compare the full package rather than ranking offers by price alone.
Best Value
| Offer dimension | What to examine | Why it matters |
|---|---|---|
| Price and funding | Pre- and post-money valuation, share price, amount committed, and whether capital is committed or conditional | A high stated valuation is less useful if the amount, basis, or likelihood of closing is unclear. |
| Fully diluted ownership | Founder and employee ownership after SAFE or note conversion and any option-pool refresh | Shows the likely ownership impact across the capitalization rather than just the new investor’s headline percentage. |
| Exit economics | Liquidation preference, participation, and anti-dilution protection | These provisions can change distributions in downside or exit scenarios and affect future financing flexibility. |
| Governance and information | Board composition, protective provisions, and information rights | These terms determine investor involvement, consent rights, and access to company information. |
| Future financing and transfers | Pro-rata rights, ROFR/co-sale, and drag-along terms | They can affect participation in later rounds, transfers of shares, and how a sale may proceed. |
| Funding mechanics | Milestone or tranche triggers, closing conditions, fees or expenses, and timeline to fund | Conditional or delayed capital may not provide the runway the operating plan assumes. |
| Investor fit | Relevant help, follow-on capacity, and alignment with measurable milestones | Support and the ability to fund later rounds may matter to execution, but should be weighed against the rights and conditions requested. |
Liquidation preferences deserve particular attention: understand the preference amount and whether it participates in proceeds after its preference is paid. Anti-dilution provisions can affect conversion or ownership if a later financing is priced lower. Board seats and protective provisions can give investors formal influence over governance or specified company actions. Read each provision in the actual term sheet and definitive documents rather than assuming a label has identical effects in every agreement.
Tranches make part of the investment contingent on future events. NVCA’s model-document resource includes mechanics for tranched financings. If an offer uses tranches, identify each trigger, who determines whether it has been met, the timing of the decision, and what happens if the condition is disputed or delayed. Model the business’s runway if a later tranche does not arrive on schedule.
Review the team, IP, legal exposure, and capitalization
Assess whether the team has the capabilities to build, sell, and operate the product, and whether its experience fits the plan. For intellectual property, check who created relevant code, models, inventions, and other assets; whether ownership has been assigned to the company; and whether licenses or data rights permit the intended use. A claim of technical uniqueness is not a substitute for verifying ownership and permissions.
Recommended Free Tools
Review legal and regulatory exposure in the jurisdictions and markets where the company operates. The relevant issues will depend on the product and business; the available sources do not establish a definitive diligence checklist for every AI sub-sector or jurisdiction. Also examine debt, capitalization complexity, and dependence on continued access to capital, because each can affect the company’s ability to execute and the value available to equity holders.
Build a decision record before accepting a valuation
A disciplined evaluation should leave you with an evidence-based account of what the company has demonstrated, what remains an assumption, and what the financing changes. Keep operating claims separate from terms: customer usage and revenue answer different questions from valuation caps, board rights, or liquidation preferences.
- Business evidence: identify the customer problem, paying users, repeat use, competitive alternatives, reachable market, and evidence behind revenue claims.
- Stage and milestones: distinguish prototype-stage assumptions from repeatable growth evidence, then connect the financing amount to measurable goals and runway.
- Economics and risk: test margins, acquisition costs, retention, concentration, profitability, debt, legal exposure, and future capital dependence.
- Valuation and ownership: record the valuation basis, amount raised, fully diluted ownership effects, outstanding convertibles, and option-pool treatment.
- Rights and execution: compare exit economics, governance, future-round rights, tranches, closing conditions, and the investor’s capacity to follow on.
- Comparable evidence: use benchmarks only when the company’s stage, segment, business model, geography, instrument, and period make the comparison meaningful.
These checks cannot establish a private company’s fair value from public benchmarks alone. That judgment requires company financials, actual capitalization, transaction documents, geography, and relevant comparable transactions. Treat every published median as a dated observation and every valuation as one element of a financing whose full economics must be understood.
