Ticketmaster is Live Nation Entertainment’s ticketing business, not the whole company. It distributed 646 million tickets through its systems worldwide in 2025, while its parent also operates concert promotion and sponsorship businesses. Its ticketing revenue comes primarily from service fees—not the full face value of tickets. In the United States, the company also faces separate DOJ/state antitrust proceedings and an FTC consumer case, each at a different procedural stage.
How Ticketmaster fits inside Live Nation
Live Nation Entertainment is Ticketmaster’s parent company. In its 2025 Form 10-K, Live Nation describes Ticketmaster as providing ticket sales, marketing and distribution through its websites, apps, other websites and retail outlets. The parent reports three major operating segments: Ticketing, Concerts, and Sponsorship & Advertising. Ticketmaster is therefore one part of a broader live-entertainment company, rather than a label for all of Live Nation’s business. Live Nation’s 2025 Form 10-K

Ticketmaster distributed 646 million tickets through its systems globally in 2025, according to Live Nation. The filing’s detailed estimate is 646.403 million tickets across fee-bearing and non-fee-bearing categories; the company rounds that figure to 646 million in its narrative. This is the number of tickets distributed through its systems, not a count of tickets for which Ticketmaster necessarily collected a fee.

How Ticketmaster makes money
Ticketing revenue is not the same as the face value of all tickets sold. Live Nation says the Ticketing segment primarily records convenience and order-processing fees. It does not record ticket face value or the venue’s portion of service fees as Ticketing revenue. When fees are recognized depends on the transaction and event relationship: fees on third-party and secondary sales are generally recognized when the sale occurs, while fees for Live Nation-promoted events where its promoters control ticketing are recognized when the event takes place. For 2025, Live Nation reported $3.081 billion in Ticketing segment revenue, equal to 12.2% of its consolidated revenue. Its Concerts segment reported $20.861 billion, or 82.8%. These are segment revenue figures, not profit and not the total face value of tickets processed. Live Nation’s 2025 Form 10-K
What the DOJ proposed—and what is not yet final
The U.S. Department of Justice sued Live Nation in 2024, alleging anticompetitive conduct involving concert promotion, venues and primary ticketing. The department described a theory in which concert fees and sponsorship revenue, artist promotion, and venue ticketing arrangements reinforce one another. These were government allegations in a complaint, not findings that the company violated the law. Assistant Attorney General Jonathan Kanter characterized the lawsuit as seeking to “break up Live Nation-Ticketmaster’s monopoly”; that was the government’s description of its case, not a court ruling. In March 2026, DOJ settled its claims with Live Nation. The proposed final judgment, filed June 12, 2026, includes measures addressing ticketing technology access, contract terms, alternative ticket sellers at certain amphitheaters, fees at those amphitheaters, venue control, and conduct such as conditioning and retaliation. The proposal contemplates an eight-year decree term from entry, subject to its terms. DOJ case docket Proposed final judgment
Among the proposed terms are making technology available so major venues using Ticketmaster’s back-end can distribute primary tickets through third-party marketplaces; loosening some exclusivity provisions and limiting future exclusive contracts; enabling alternative ticket sellers at Live Nation amphitheaters; capping service fees there; and divesting control over certain amphitheaters. Live Nation’s own March statement describes up to 50% of tickets at its amphitheaters being distributable through alternative marketplaces and a 15% cap on ticketing service fees there. Those figures describe the company’s account of the proposal, not a guarantee about a particular venue or event. Live Nation’s settlement statement

The proposed judgment is not yet an effective final decree. The DOJ docket includes a competitive impact statement and proposed judgment, and Live Nation’s July 2026 filing says Tunney Act approval is required before the settlement takes final effect. Until approval, the proposed terms should not be described as implemented, nor as proof that Ticketmaster has been divested. Live Nation said it considered DOJ’s allegations without merit and that the settlement did not admit wrongdoing. DOJ case docket Live Nation’s July 2026 Form 10-Q
What the state jury decided
The state antitrust case is related to the DOJ matter but has its own outcome and remaining steps. Live Nation’s July 2026 Form 10-Q says six additional states joined a settlement, while the remaining states and the District of Columbia went to trial. On April 15, 2026, a jury returned a verdict for the states that litigated. The damages measure was set per ticket, but the jury did not calculate the number of tickets to which that measure applies. For the six months ended June 30, 2026, Live Nation recognized a $450 million estimate associated with the settling states and the jury’s damages award. That is the company’s accounting estimate, not a final court-ordered damages total. In the same filing, the company described post-trial motions and a remedies phase as still ahead, so the damages application and remedies were not complete at that point. How the separate FTC case differs
The Federal Trade Commission and seven states brought a separate consumer-protection case. They allege deceptive low advertised prices, misleading representations about enforcing ticket limits, and facilitation of broker resale involving tickets allegedly acquired beyond artists’ limits. These are FTC allegations, not established facts. The FTC’s timeline records a September 30, 2026 order denying a motion to dismiss. That procedural ruling allows the case to proceed; it is not a decision that the allegations are true. FTC case timeline

How to interpret ticketing alternatives
The proposed DOJ terms could affect where alternative sellers may distribute primary tickets, but they do not establish that another marketplace will be available for a particular event. When comparing providers, distinguish a primary sale from resale and check who controls the inventory, what total price and service fees are displayed, and what the venue and artist have chosen. Also distinguish access contemplated by a proposed judgment from an agreement that is already effective. The DOJ proposal remains subject to court approval.
