What to Know About IPO Volatility, Lockups, and Share Dilution

An IPO lockup expiration can make existing shares eligible for resale, but it does not automatically cause a sale, a price drop, or dilution. Learn what to check in the prospectus.

An IPO lockup expiration can make more existing shares eligible for resale, but it does not automatically put those shares on the market, make the stock fall, or issue new shares. The key is to separate three things: how many shares initially trade, when existing holders may sell, and whether the company creates additional shares or securities. Each can affect investors differently.

Why an IPO stock can be volatile

In an initial public offering, the shares available to trade at first may represent only part of the company’s existing shares. Some holders may be contractually restricted from selling, and underwriters may discourage early buyers from quickly reselling, a practice often called “flipping.” The result can be a relatively small public float: the shares actually available for public trading compared with the broader share base.

When demand is high and the number of shares available to meet it is limited, the trading price can move sharply upward. Later, shares held by insiders or other investors may become eligible for resale, increasing the potential supply. If many holders sell and that supply is large relative to the public float, the added selling can weigh on the price. These are mechanisms, not forecasts: the response depends on demand, actual sales, what the market expected, and other conditions.

The U.S. Securities and Exchange Commission (SEC), in its Investor.gov guidance on IPOs, describes this supply-and-demand dynamic. The SEC’s guidance does not establish how often IPO stocks fall after a lockup expires or the average size of any price change. An expiration is a date to monitor, not a reliable signal that a decline will occur.

What an IPO lockup does—and what it does not do

A lockup is an agreement that restricts specified holders from selling specified securities for a defined period after an IPO. Investor.gov says these agreements commonly cover company insiders, including employees, their friends and family, and large shareholders. The covered people, securities, duration, exceptions, and release conditions depend on the issuer’s documents.

The SEC says most IPO lockups prevent insiders from selling for 180 days, but that is a typical term described in investor guidance, not a universal legal requirement or a promise that every holder is restricted for exactly that long. Some agreements can limit sales over a period rather than impose one blanket end date. U.S. securities laws require companies using a lockup to disclose its terms in their registration documents, including the prospectus.

Expiration ends or changes the contractual restriction covered by that agreement. It does not itself transfer ownership, compel anyone to sell, or cause the company to issue shares. A holder may keep the shares, and other restrictions may still apply. For example, legal resale conditions, insider-trading limits, company trading windows, pre-clearance rules, or trading-plan terms can constrain a sale even after a lockup ends.

Terms may include more than one release date

Do not assume every lockup ends in a single, unconditional release. Agreements may provide for exceptions, early release at an underwriter’s discretion, releases triggered by price or timing conditions, or staggered tranches that become eligible at different points. WilmerHale’s 2026 report describes these kinds of provisions in IPO practice. The agreement and any later filings—not a general description of market custom—determine what applies to a particular company.

WilmerHale characterizes a typical IPO lockup as 180 days, a typical SPAC IPO lockup as 365 days, and direct listings as generally having no lockup or flexible lockups. These are practice descriptions, not rules overriding the issuer’s documents. They also should not be applied across countries: the relevant guidance discussed here concerns U.S. disclosure and practice, and lock-in arrangements and prospectus requirements can differ elsewhere.

Does a lockup expiration dilute shareholders?

No, not by itself. If a founder sells an already-issued share after becoming eligible to do so, the buyer replaces the seller as its owner. The company has not necessarily issued a new share, so that resale alone does not enlarge the share base or dilute other holders’ proportional ownership.

Dilution concerns changes to the number or character of securities and the resulting effect on existing investors’ percentage ownership or per-share economics. Potential sources include newly issued shares in additional financing and shares issued through options, warrants, or convertible securities. The actual effect depends on the instrument’s terms, the number of securities involved, and the company’s share count. To assess it, read the issuer’s disclosures rather than treating every share that becomes tradable as newly created.

A lockup release can still matter economically. It may increase the number of shares holders are permitted to offer for sale, change expectations about future supply, or alter the balance between the public float and potential sellers. That is a supply and trading issue; it is distinct from dilution through issuance.

SPAC dilution disclosures are a specific case

The SEC’s 2024 final rule establishes detailed dilution disclosures for SPAC offerings. Among other things, it requires disclosure of adjusted net tangible book value per share, the difference between that value and the offering price, the sources and amounts of dilution, the share count used in the calculation, and material potential future sources of dilution. The rule also addresses sponsor compensation and securities issuances that may materially dilute SPAC purchasers.

Those requirements are specific to the SPAC disclosure framework. Do not assume that the same tables or disclosure requirements apply identically to every conventional IPO; consult that issuer’s prospectus and the rules that govern its offering. The SEC’s rule discussion treats “over-allotment option” and “greenshoe option” as interchangeable terms for an underwriters’ option to purchase additional shares. The presence of such an option does not automatically prove dilution: check the actual offering structure and whether the option is exercised and how it is fulfilled.

How to find the lockup date and estimate the potential overhang

The prospectus is the starting point for identifying how much stock was sold, who retains shares, and what restrictions apply. Search the filing for “lock-up,” “Shares Eligible for Future Sale,” “selling shareholders,” and “capital stock.” Headings vary, so review nearby sections and the actual agreement rather than relying only on a keyword result.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Start with the cover page. Note the number of shares offered and distinguish shares being sold by existing shareholders from shares being newly issued by the company. These are different sources of IPO supply.
  2. Read the principal and selling shareholders information. For each material seller, check current holdings, the number of shares offered, and the position retained after the offering. Consider the holder’s relationship to the company; a large remaining position can be a potential source of future supply if and when resale restrictions permit.
  3. Review “Shares Eligible for Future Sale” or a similar section. Look for registered shares and shares that may be resold without registration after the IPO, and note when they may become eligible. This section helps assess potential market overhang, but eligibility is not evidence that holders intend to sell.
  4. Inspect the lockup agreement and its exceptions. Identify the start and end definitions, covered holders and securities, permitted transfers or sales, early-release provisions, staged tranches, triggers, and any waiver terms. A headline duration alone may miss provisions that alter when particular shares can be sold.
  5. Check capital-stock and dilution disclosures. Note share classes and voting rights, outstanding options, warrants, and convertible securities, as well as the issuer’s dilution calculations. For a SPAC IPO, examine the specific dilution tables and disclosures required under the SEC framework.
  6. Check later company filings and announcements. A prospectus records disclosures at a point in time. Subsequent amendments, waivers, releases, reported sales, or new financing may change the picture. Use current filings to verify whether the original terms or share counts remain applicable.

Do not calculate the date from a headline alone

The actual expiration date may depend on how the contract defines its effective period, the relevant filing or prospectus date, trading days, and early-release clauses. Do not take the date an IPO was announced and simply add 180 calendar days. Read the filed agreement and subsequent company disclosures to establish the operative date and any changes. If the documents use a defined term or a trigger, follow that language rather than substituting a generic calendar calculation.

Investor.gov explains that lockup terms are disclosed in registration documents, while WilmerHale’s 2026 report describes the variety of release arrangements used in practice. Neither a customary duration nor a date inferred from a news article should substitute for the issuer’s actual contract and later filings.

How to judge whether an unlock is significant

A share count in isolation can be misleading. Compare the potential release with the shares currently in public trading, not just with the total number of shares outstanding. A release that is modest relative to the float may have a different market significance from one that is large relative to the float, even if the absolute number is the same. Also distinguish shares already sold to the public from shares retained by insiders or other pre-IPO holders.

  • Scale: How many shares could become eligible, and what proportion is that of the public float and total shares outstanding?
  • Concentration: Are potential sellers a small number of large holders or many smaller holders? Check retained positions and holder relationships in the filing.
  • Timing: Is eligibility concentrated on one date, or spread across exceptions, triggers, and staged releases?
  • Actual supply: Eligibility does not show intent. Look for evidence of sales in later filings, while recognizing that a holder can sell, retain, or otherwise manage a position subject to applicable conditions.
  • Other share-base changes: Separately assess options, warrants, convertibles, planned financing, and other potential issuances. These may affect dilution even when they are unrelated to a lockup release.
  • Voting rights: Check whether the company has multiple share classes with different voting power. A public share’s economic interest and its influence over company decisions may not be the same.

The SEC notes that dual-class structures can give one class greater voting rights; a founder or family may retain control with less than a majority of the company’s economic ownership. This is a control question, not dilution, but it helps clarify what ownership of the IPO shares confers.

A practical way to frame the risk

When evaluating an IPO near a lockup release, separate three questions in your notes: What can trade now? What may become eligible to trade, and when? What could increase the share base through issuance or conversion? The first two concern supply and resale restrictions; the third concerns dilution. Combining them into a single “unlock” number can obscure whether the risk is potential selling pressure, a larger denominator for ownership and per-share calculations, or both.

Then compare the potential shares for sale with the float, examine the holders and release terms, and check the latest issuer filings for changes. This identifies the size and timing of a possible supply overhang without assuming that eligible holders will sell or that the market will react in a particular direction. It is a framework for reading disclosures, not a prediction of a stock’s next move.

What the available duration figures do—and do not—tell you

The 180-day figure is useful as a broad reference because Investor.gov says most IPO lockups prevent insider sales for that period. It is not an expiration date for any particular company, and it does not establish a typical stock-price decline. The 365-day figure for SPAC IPO lockups comes from WilmerHale’s 2026 legal-practice characterization, not an SEC rule. Contract terms vary, and readers should confirm the applicable offering documents.

The cited SEC guidance, SEC 2024 SPAC rule, and WilmerHale 2026 report address U.S. investor disclosure and market practice; they do not provide a cross-country comparison. Investors considering an offering outside the United States should consult its governing documents and applicable local rules rather than assume that U.S. terms or disclosure conventions apply.
