Check the code, platform, and payment instructions independently, and be prepared to lose everything you put in. These checks can reveal unanswered questions and warning signs; they cannot certify an offering as safe.
Who is behind the offering?
Start with the issuer: the legal entity, the people responsible for it, and the parties controlling the funds and code. Confirm names, jurisdictions, contact details, and professional histories using sources independent of the project’s website and social accounts. Compare those details across the offering documents and the platform selling the tokens.

A pseudonymous team is not proof of fraud, but it can make accountability and recovery harder. Ask who can access funds, who can change the token’s code or rules, and what happens if the named issuer or team stops operating. The SEC’s Exercise Caution with Crypto Asset Securities: Investor Alert (March 23, 2023) warns that promoters may disappear with investors’ money and that recovery can be difficult.
What is the offering’s legal basis?
A label such as “utility token,” “coin,” or “presale” does not decide whether an offering is a securities offering. SEC guidance says the answer depends on the facts and circumstances. A crypto asset may not itself be a security yet still be offered or sold as part of an investment contract. If securities are involved, registration or an available exemption may be required; the rules and investor protections also depend on the jurisdiction and the specific offering.

Check the issuer’s explanation and filings
Ask whether the issuer believes the token or offering involves securities and why. If it claims a registration statement has been filed, look for the filing in the SEC’s EDGAR database rather than relying on a screenshot or marketing statement. If the issuer relies on an exemption, read the actual terms and eligibility limits and determine whether they apply to you. A Form D filing is not SEC approval or proof that the offering is registered.
As of October 3, 2026, the SEC page titled Regulation Crypto Assets describes a proposal, with a comment deadline of October 20, 2026. It is a proposal, not an adopted rule or an exemption you can assume is available.
What does the token actually give you?
Read the white paper, sale terms, and roadmap, but treat them as the issuer’s claims—not independent confirmation that the product will be built or the token will have value. Identify the specific rights a buyer receives: for example, access to a service, governance participation, a claim on an asset, or something else. If the documents do not make the rights clear, do not infer them from promotional language.

Follow the money and the exit terms
Look for the stated use of proceeds and ask what happens if development stops, the issuer changes direction, or the token never becomes usable. Find out whether a refund is contractually available, whether resale is allowed, and whether transfers or sales are restricted. Check any lockup, vesting, or other release terms before assuming you can sell when you want. The SEC’s Investor Bulletin: Initial Coin Offerings (July 25, 2017) specifically advises investors to ask what funds will be used for, what rights a token provides, and what refund and resale limits apply.
How are supply, allocations, and control disclosed?
If the documents provide these details, record the total token supply, the portion offered to buyers, allocations for founders and other insiders, vesting and unlock schedules, and any transfer restrictions. Also look for who has administrative privileges—for example, the ability to pause transfers or change contract settings—and whether control is concentrated in a small number of wallets or people.
Large or opaque insider allocations can create concentration and potential future selling pressure, but they do not establish what a token’s price will do. The SEC’s crypto-scam alert (May 29, 2024) describes presale promotion that can hype a token before promoters sell. The cited SEC materials do not establish a universal allocation percentage that makes a launch safe.

What technical evidence can you verify?
The SEC’s Investor Bulletin: Initial Coin Offerings gives this diligence prompt: “Ask whether the blockchain is open and public, whether the code has been published, and whether there has been an independent cybersecurity audit.”
Inspect any audit claim
If the project says its contracts were audited, check who performed the review, which contracts and code versions were in scope, when the review occurred, what issues were reported, and what the project says it fixed. A later code change may fall outside the reviewed version. An audit is evidence about a defined review, not a guarantee against vulnerabilities, fraud, unsafe administrative controls, or investment loss.
Look for independently verifiable contract addresses and compare them with the addresses published through trusted project channels. A website displaying code or an audit badge alone does not establish that the deployed contract is the reviewed one.

Is the platform and payment flow trustworthy?
Establish whether you are buying from the issuer, through an intermediary, or on a platform that claims to vet projects. A “listed,” “launchpad approved,” or “exchange vetted” label is not proof of regulatory approval or safety. Investor.gov’s Initial Exchange Offerings (IEOs) – Investor Alert (January 14, 2020) warns that a platform may call itself an exchange without being registered as one, and that a platform involved in a securities offering may have separate registration obligations.
Before transferring crypto, confirm the wallet address and network using a trusted, independently confirmed channel. Check for look-alike websites, impersonators, altered wallet addresses, and requests to pay an unknown person’s wallet. Crypto transfers may be difficult or impossible to reverse; do not assume a platform or issuer can recover a mistaken or fraudulent transfer.

Are there pressure tactics or demands for more money?
- Guaranteed or outsized returns: Treat promises of high, reliable profits as a serious warning sign. The SEC’s ICO bulletin says investors should be suspicious of “jargon-laden pitches, hard sells, and promises of outsized returns.”
- Urgency and exclusivity: Pause if you are told to act immediately, keep the opportunity secret, or skip independent checks. The SEC’s May 29, 2024 alert describes fraudsters promoting memecoins in purported presales to get others to buy and “pump” the price.
- Social proof in place of evidence: Testimonials, celebrity promotion, or a busy social account do not verify the issuer, legal terms, or code.
- Fees to unlock a withdrawal: Do not send extra “taxes,” deposits, or fees to release a balance or recover a loss. The SEC describes this as an advance-fee tactic and warns that paying more is unlikely to recover the initial investment.
Can you accept the downside?
Crypto-asset investments can be volatile and illiquid. A token may become untradable, funds may be stolen, and you could lose access through a compromised wallet, lost credentials, or an insolvent intermediary. Recovery may be limited, and protections available through regulated intermediaries may not apply. The SEC’s Exercise Caution with Crypto Asset Securities: Investor Alert (March 23, 2023) discusses these risks.

Before participating, decide whether you can afford a complete loss, whether you need access to the money, and whether your plans depend on being able to resell. If the offering’s terms or your exit options are unclear, that uncertainty is part of the risk—not a detail to fill in with assumptions.
How should you compare more than one launch?
Compare verifiable evidence rather than labels, ratings, or a single audit badge. For each offering, write down what the documents actually establish and what remains unclear.
| Area | Evidence to compare | Question it answers |
|---|---|---|
| Issuer and legal basis | Identified issuer; stated legal explanation; registration or exemption claims you can check | Who is responsible, and what is the offering’s claimed legal basis? |
| Rights and restrictions | Token utility or other rights; refund terms; transfer limits; resale, lockup, and vesting terms | What do buyers receive, and when can they transfer or sell? |
| Technical transparency | Public blockchain and code; verifiable contract address; audit scope, date, findings, and stated fixes | What has been made reviewable, and what did the review actually cover? |
| Supply and control | Disclosed allocations and unlocks; concentration; administrative privileges | Who controls supply or can change how the token operates? |
| Intermediary and payment | Platform’s role; verifiable registration claims; custody arrangements; independently confirmed payment details | Who receives or holds the funds, and what risks come with the route? |
| Downside and exit | Contractual refund rights; transfer restrictions; realistic liquidity assumptions; your loss tolerance | What could prevent a refund or resale, and can you bear that outcome? |
There is no validated score or checklist result that establishes an offering is safe. If a material answer is missing, record it as unknown rather than treating a promotional claim as proof.
