Before buying VIAV, verify six things in the latest filings: what each business segment is selling, whether revenue growth is repeatable, how GAAP earnings differ from adjusted figures, whether cash generation supports the debt load, how results compare with management guidance, and what valuation the current share price implies. VIAVI Solutions reported strong FY2026 growth, but it also reported a GAAP net loss, so a headline revenue increase alone is not a buy signal.
The figures below come from VIAVI’s FY2026 Form 10-K filed August 13, 2026, its August 5, 2026 annual-results release, and the company’s investor FAQ. They are a diligence framework, not a recommendation to buy or sell.

1. Understand what VIAVI sells
VIAVI Solutions Inc. (Nasdaq: VIAV) describes itself as a test-and-measurement and optical-technology company. Its products and services support data centers, communications networks, military and aerospace programs, railway and first-responder communications, anti-counterfeiting, consumer electronics, industrial and automotive applications, and 3D-sensing systems.
The company reports two segments. Start by separating their growth rates and end-market drivers instead of treating VIAVI as one undifferentiated business.

Network and Service Enablement (NSE)
NSE generated $1,182.9 million of FY2026 revenue, up 52.3% from the prior year. VIAVI attributed the increase mainly to lab, production and field demand connected with the data-center ecosystem; the acquisition of Spirent’s high-speed Ethernet, network-security and channel-emulation testing business; and aerospace and defense demand.
For diligence, determine how much of the increase came from acquired revenue versus organic demand. Then look for evidence that customers are ordering for sustained network capacity, rather than pulling purchases forward for a single project or product cycle.
Optical Security and Performance Products (OSP)
OSP generated $335.4 million in FY2026 revenue, up 9.0% year over year. The segment improved across anti-counterfeiting and other government, industrial, automotive and 3D-sensing products.

OSP is smaller than NSE, so a slowdown there may have less effect on total revenue but could still affect product mix and margins. Check which OSP applications are growing, whether a small number of programs account for the increase, and whether customer design wins are converting into shipments.
| FY2026 segment | Revenue | Year-over-year growth | Stated drivers |
|---|---|---|---|
| Network and Service Enablement | $1,182.9 million | 52.3% | Data-center lab, production and field demand; Spirent acquisition; aerospace and defense |
| Optical Security and Performance Products | $335.4 million | 9.0% | Anti-counterfeiting, government, industrial, automotive and 3D-sensing products |
| Total company | $1,518.3 million | 40.0% | Combined segment performance |
The segment mix matters because NSE represented most FY2026 revenue and grew much faster than OSP. A future quarter with a different mix could produce a different gross margin and operating margin even if total sales rise.
2. Use the right reporting periods and documents
VIAVI’s fiscal year ends on the last Saturday in June. FY2026 ended June 27, 2026. The annual Form 10-K was filed August 13, 2026. Use that filing for audited annual results, segment information, debt details, risk factors and the company’s accounting policies. Use the latest Form 10-Q for the subsequent quarter, current liquidity, share count and developments after year-end.
VIAVI’s shares trade on Nasdaq under the symbol VIAV. Its investor FAQ says the company does not currently pay cash dividends. Your expected return therefore depends primarily on future share-price appreciation, which makes earnings quality, cash generation and valuation especially important.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsBecause the fiscal year does not end on December 31, compare VIAVI with peers using equivalent fiscal periods. A calendar-year company’s “2026” quarter may not correspond to VIAVI’s quarter, and seasonality can make an unadjusted comparison misleading.

3. Test whether revenue growth is durable
VIAVI reported FY2026 revenue of $1,518.3 million, a 40.0% increase from the previous year. That is substantial growth, but the source of growth is more important than the percentage itself.
Separate acquired growth from organic growth
The Spirent testing business contributed to NSE’s expansion. In the 10-K and later 10-Q filings, identify the period in which acquired revenue is included, any disclosed pro-forma comparison, integration costs, and whether management reports organic growth. If the company does not provide a clean organic figure, do not assume the entire 52.3% NSE increase reflects like-for-like demand.
Check customer and program concentration
Read the customer-concentration disclosures and the revenue-recognition note. A few large data-center, telecom, aerospace or government programs can create strong quarters followed by pauses. Look for changes in accounts receivable, contract assets, backlog or deferred revenue that could indicate timing rather than a broad-based increase in end demand.

In each new quarterly release, compare bookings commentary, orders, backlog where disclosed, and shipment timing with revenue. Ask whether growth is coming from lab and production tools, field instruments, software, services or one-time programs. Different categories can have different margins and replacement cycles.
4. Reconcile GAAP earnings with non-GAAP earnings
FY2026 illustrates why VIAV should not be evaluated on adjusted EPS alone. The company reported a GAAP net loss of $30.4 million and GAAP diluted EPS of $(0.13), while non-GAAP net income was $243.8 million and non-GAAP diluted EPS was $1.00.
| FY2026 measure | Reported figure | How to use it |
|---|---|---|
| GAAP operating margin | 6.9% | Includes all expenses required under U.S. GAAP |
| Non-GAAP operating margin | 20.6% | Adjusted measure; inspect excluded items and reconciliation |
| GAAP net income | $(30.4) million | Statutory bottom line for the fiscal year |
| GAAP diluted EPS | $(0.13) | GAAP earnings per diluted share |
| Non-GAAP net income | $243.8 million | Adjusted result; not a substitute for GAAP |
| Non-GAAP diluted EPS | $1.00 | Management-defined adjustment measure |
Read the release’s reconciliation line by line. Identify stock-based compensation, amortization, acquisition-related costs, restructuring, debt-related items, tax adjustments and any other exclusions. Then decide which costs are genuinely nonrecurring. An expense that appears every year may be excluded from non-GAAP results but still economically reduce what shareholders receive.
VIAVI also reported $56.7 million of losses related to extinguishing certain convertible notes and Term Loan B during FY2026. Determine how much of the GAAP/non-GAAP gap that item explains, whether the debt was replaced, and whether similar refinancing costs could recur.
Watch margin quality, not only EPS
The 6.9% GAAP operating margin and 20.6% non-GAAP operating margin are far apart. Track both margins over several quarters. If revenue growth continues but the GAAP margin remains low, investigate acquisition amortization, stock compensation, restructuring, pricing pressure and product mix rather than assuming the adjusted margin will eventually become cash earnings.

5. Review liquidity, debt and cash conversion
As of June 27, 2026, VIAVI reported $656.7 million in cash, short-term investments and short-term restricted cash. Its senior notes had $650.0 million of aggregate principal and a combined net carrying value of $641.9 million. FY2026 cash flow from operations was $113.9 million.
| Balance-sheet or cash-flow item | FY2026 or year-end amount | Question to answer |
|---|---|---|
| Cash, short-term investments and short-term restricted cash | $656.7 million at June 27, 2026 | How much is unrestricted and immediately available? |
| Senior notes, aggregate principal | $650.0 million | What are the maturities, coupons, covenants and refinancing needs? |
| Senior notes, net carrying value | $641.9 million | How does accounting carrying value differ from repayment value? |
| Cash flow from operations | $113.9 million in FY2026 | Does operating cash consistently cover interest, capital spending and integration costs? |
Do not call VIAVI “net cash” simply because the cash total is slightly above the senior-notes principal. The cash figure includes short-term restricted cash, and the balance sheet also contains working-capital obligations, leases and other liabilities. Recalculate liquidity using unrestricted cash, debt maturities and expected operating needs from the latest filing.
Calculate cash conversion
Compare operating cash flow with GAAP net income, non-GAAP net income and capital expenditures. A useful first check is:
Recommended Free Tools
cash conversion = operating cash flow ÷ non-GAAP net income
For FY2026, this comparison is complicated by the GAAP net loss and by acquisition and debt-related items. Use several periods and explain working-capital swings before drawing a conclusion. Strong adjusted EPS with weak recurring cash generation deserves a lower valuation than the same EPS backed by cash.
Inspect debt terms and maturities
Read the debt footnote for maturity dates, interest rates, security, covenants, optional redemption provisions and any restrictions on cash transfers. Reconcile the $650.0 million principal amount to the $641.9 million carrying value and to the debt extinguishment loss. Rising interest rates or a weak credit market could make refinancing more expensive even if near-term liquidity looks adequate.
6. Compare actual results with guidance
On August 5, 2026, VIAVI guided FY2027 first-quarter revenue to $450 million–$460 million and non-GAAP diluted EPS to $0.40–$0.42 for the quarter ending October 3, 2026. That was management’s forecast, not a reported result.

Management’s stated strategy is relevant but not proof of execution. In the August 5 release, President and CEO Oleg Khaykin said: “VIAVI’s fourth quarter and fiscal year 2026 financial performance has exceeded our expectations, driven by strong growth in many of our end markets. Our diversification strategy into datacenter ecosystem and aerospace and defense end markets has been a key growth driver for us during FY26, and we expect this strategy to continue driving our growth for the next several quarters.” Test that expectation against later segment revenue, orders and margins.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.7. Work through the company-disclosed risks
VIAVI’s FY2026 Form 10-K identifies risks. These are company-disclosed possibilities, not predictions that every event will occur. Convert each one into a question you can monitor.
Customer concentration and pricing pressure
Ask whether a small number of customers or distributors account for a material share of sales and whether they can demand lower prices. Watch gross margin, average selling prices and renewal or replacement behavior.
Competition, including Asia-based competitors
Assess product differentiation, switching costs, service content and research-and-development spending. A technically strong product can still lose share if competitors offer lower prices or faster delivery.
Product mix
Revenue growth can lower profit if the mix shifts toward lower-margin instruments, hardware or services. Compare segment and company gross margin with the revenue mix each quarter.
Variable customer buying patterns
Telecom, data-center and government customers may delay purchases, then place large orders. Examine quarterly volatility and the relationship between orders, backlog and shipments.
Industry consolidation
Mergers among communications carriers, equipment makers or test-equipment buyers can reduce the number of customers, change purchasing power or delay programs.
Trade policy, tariffs and sanctions
Map manufacturing, suppliers, customers and restricted markets. Model how tariffs, export controls or sanctions could affect cost, delivery and demand.
Best Value
Technology-adoption timing
The filing specifically cites the pace of adoption of 5G, 3D sensing and other technologies. Confirm that customers are moving from trials and lab work into production deployments; adoption delays can push out VIAVI orders.
8. Build a valuation from a dated market price
No current VIAV quote or peer multiple is established here, so do not label the shares cheap or expensive from FY2026 figures alone. Before buying, record the share price and timestamp from a reliable market source, then use the latest diluted share count from a 10-K or 10-Q.
Choose the earnings basis
For a GAAP-based valuation, use trailing or forward GAAP earnings only when they are positive and comparable. Because FY2026 GAAP EPS was $(0.13), a standard price-to-earnings ratio based on that year is not meaningful. If you use non-GAAP EPS, label it clearly and adjust for recurring exclusions.

market capitalization = share price × diluted shares outstandingenterprise value = market capitalization + total debt − unrestricted cash and cash equivalentsforward P/E = share price ÷ forecast diluted EPSEV/operating cash flow = enterprise value ÷ normalized operating cash flow
Use a scenario range rather than a single precise target. For example, test what happens if NSE growth slows after acquisition comparisons become harder, if OSP remains steady, if GAAP expenses stay elevated, or if operating cash flow lags adjusted earnings. Compare VIAV with genuinely similar test-and-measurement and optical-technology companies using the same fiscal period and metric definitions.
9. A practical pre-purchase checklist
- Download the latest 10-K and 10-Q. Confirm the period dates, segment disclosures, debt maturities, diluted share count and subsequent events.
- Rebuild the segment picture. Record NSE and OSP revenue, growth, gross margin if disclosed, and the portion of growth linked to Spirent, data centers, aerospace and defense or other programs.
- Reconcile earnings. Tie GAAP net loss and EPS to non-GAAP net income and EPS. Mark each excluded item as recurring, potentially recurring or genuinely one-time.
- Check cash quality. Separate unrestricted cash from short-term restricted cash, reconcile debt principal with carrying value and review operating cash flow, capital spending and working-capital changes.
- Check the debt calendar. Note every maturity, interest-rate exposure, covenant and refinancing requirement.
- Update guidance. Compare the original FY2027 first-quarter range of $450 million–$460 million revenue and $0.40–$0.42 non-GAAP EPS with the reported quarter and latest outlook.
- Stress the risks. Model a customer delay, a five-point margin decline, slower 5G or 3D-sensing adoption, tariff costs or a weaker data-center cycle.
- Set a dated valuation. Save the quote date, share count, earnings basis and assumptions so you can tell whether the thesis changed or only the price changed.
- Write an invalidation rule. Examples include repeated guidance cuts, falling operating cash flow, loss of a major customer, deteriorating GAAP margins or debt that cannot be refinanced on acceptable terms.
- Decide position size separately from company quality. Even a sound business can be a poor purchase if the price assumes flawless growth or if the position would be too large for your portfolio.
10. Access, dividends and record-keeping
VIAVI’s investor FAQ says common shares are traded on Nasdaq under VIAV and that holders may contact a broker of their choice to sell shares. Use a regulated brokerage account that provides the market, limit-order and tax records you need. Verify fees, trading hours, order types and tax treatment with the broker rather than assuming all platforms offer identical features.
The company does not currently pay cash dividends, according to its FAQ. If you need portfolio income, treat that as a constraint at the decision stage rather than expecting a dividend to offset valuation risk.
How to reach a decision without overstating the evidence
A defensible VIAV thesis should explain why the data-center and aerospace-and-defense demand can persist, how much of NSE growth is organic after the Spirent acquisition, when the large GAAP/non-GAAP gap may narrow, and whether $113.9 million of FY2026 operating cash flow can support debt, investment and integration needs. It should also specify the dated price and assumptions that make the valuation acceptable.
If you cannot answer those questions from the latest filings, wait for better information rather than treating FY2026 revenue growth or the August guidance range as sufficient evidence. The correct outcome of diligence can be “watch,” “buy only below a stated valuation,” or “do not buy”; the filings provide inputs, not an automatic verdict.
