What to Check Before Buying Tokenized Stocks: Custody, Redemption and Other Risks

A tokenized stock may be a share, an intermediary-held interest or a third party’s linked product. Check its documents for custody, ownership records, redemption rights and exit risks.

Before buying a tokenized stock, establish exactly what legal claim the token gives you, who issued it, where ownership is recorded, and what you can actually redeem. The label alone does not mean you own shares in the company named by the token. Custody, insolvency, shareholder rights, liquidity and technology risks depend on the product’s documents and the law that governs it.

First identify what the token represents

Tokenized stock products can use materially different legal structures. Investor.gov distinguishes three broad models; the product’s offering documents, not its branding, determine which applies.

Issuer-sponsored security

The company, or its agent, issues a security directly on a blockchain. It may carry the rights of a traditional share of the same class, but it could instead represent a different class with different rights. The SEC staff also describes arrangements where blockchain records are integrated into the master securityholder file and arrangements where the security is recorded off-chain while a token notifies the issuer or agent of a transfer. An on-chain transfer does not by itself establish that the legally authoritative ownership record changed. Investor.gov’s overview and the SEC staff statement of January 28, 2026 explain these distinctions.

Custodial token

A token may evidence a direct or indirect interest in shares held by a custodian or through another intermediary. Find out what kind of interest you hold—such as a security entitlement—and which entity holds the shares and in whose name. Your claim may depend on the issuer, custodian or intermediary, rather than being identical to direct share ownership.

Synthetic or linked product

A third party may issue its own security or derivative that tracks a referenced stock. In that case, the token can provide price exposure without giving you a claim against the referenced company or the rights of its shareholders. The issuer’s own promise and ability to perform become central risks.

Use this pre-purchase checklist

  1. Read the operative documents to identify your legal claim. Determine whether you are buying the company’s share, an intermediary-held security entitlement, a linked security, a derivative or another contractual claim. Identify the token issuer and the governing offering documents; do not infer ownership from the ticker, token name or price tracking.
  2. Find the authoritative ownership record. Establish whether the issuer’s master securityholder file, an intermediary’s books, the blockchain, or a combination of records establishes ownership. Ask who reconciles on-chain and off-chain records and whether a blockchain transfer updates the legally controlling record.
  3. Trace custody and insolvency exposure. For a custodial arrangement, identify the custodian, the account structure and the entity in whose name the underlying shares are held. Review what happens if the token issuer, custodian or another intermediary fails, including whether token holders have a claim to the shares or only a claim against an entity. The SEC staff warns that holders of third-party tokens may face bankruptcy risks that underlying shareholders would not necessarily face.
  4. Translate “redemption” into an actual process. Check whether redemption delivers shares or cash, who must fulfill it, who is eligible, any minimum amount or fee, expected settlement time, and each required step. Look for terms allowing redemption to be paused, limited or refused. Identify the remedy and dispute forum if the issuer does not perform. These terms are product-specific and cannot be determined from the token label.
  5. Check which shareholder rights pass through. Confirm how the product handles voting, dividends and other distributions, stock splits, mergers, tender offers and other corporate actions. Compare the token’s share class and terms with the traditional shares it references; similar price exposure does not establish identical rights.
  6. Assess how you can exit. Identify the trading venue, transfer restrictions, trading hours, volume, spreads, price reference and any market-making arrangements. Determine whether selling on a venue is possible when needed or whether an exit depends on redemption. A quoted price or ability to transfer tokens does not prove that liquidity will be available at a fair price. The IMF discusses how continuous settlement can shift liquidity demands and how automation may accelerate outflows under stress in its April 2026 note on tokenized finance.
  7. Map technical and operational dependencies. Identify the blockchain, wallets, intermediaries, smart contracts, data feeds and governance controls required to hold, transfer or redeem the token. Find out who is responsible for incident response and what happens if code, data or shared infrastructure fails. The IMF notes that failures in code, data feeds or governance can propagate through integrated workflows, while shared infrastructure can become a critical point of failure.
  8. Check the applicable legal and disclosure framework. Identify the governing law, the entities responsible for disclosures and the regulator or regulatory framework applicable to the offer. A blockchain format does not by itself remove securities-law obligations. In a July 9, 2025 commissioner statement, Hester M. Peirce wrote: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset. Tokenized securities are still securities.” That is a commissioner statement, not a Commission rule. The later SEC staff statement describes varied structures and says legal analysis can depend on the instrument’s economic reality and details; it too is not a rule or a Commission-approved statement.

Compare products on the same terms

When considering more than one token, record the answers to these questions side by side rather than relying on a general label such as “backed” or “redeemable.” Investor.gov and the SEC describe structural differences that make product-level comparisons important; the IMF identifies infrastructure and liquidity risks that also merit comparison.

What general sources can—and cannot—establish

SEC and Investor.gov materials explain possible structures and risks, but they do not determine the rights attached to a particular token. The SEC staff statement says it is not a rule or Commission-approved statement and has no legal force or effect; Investor.gov says its page reflects staff views and has no legal force or effect. Peirce’s 2025 remarks are her statement as a commissioner, not a Commission rule. General descriptions also cannot establish whether a particular redemption promise is enforceable, whether a custodian segregates assets, or whether a venue will remain liquid. Those answers require the specific product documents and applicable law.
