Read the latest official offering documents—not just a news story or sales pitch—and do not assume you will receive shares at the IPO price. The SEC’s guidance is a useful baseline for U.S. investors, not a rulebook for every country: check both your country’s rules and those of the issuer’s home market and listing venue.
First, establish what the offer actually is
“Foreign IPO” can describe different securities and routes to market. Before assessing whether to invest, identify the issuer’s legal entity and domicile, the exchange where the shares will trade, the security class, the trading and settlement currency, and any depositary or local custodian involved. Use the issuer’s official offering document and notices from the relevant regulator or exchange to verify the details.

Determine whether the IPO sells newly issued shares, shares being sold by existing holders, or both. That distinction affects how much of the proceeds goes to the company versus shareholders who are exiting. Also confirm that the offered security gives you the rights you expect: different share classes may have different voting rights, and a depositary receipt may not be identical to owning the underlying local shares.
Eligibility is specific to the offer, investor residence, account type and sometimes tax status. A broker’s ability to trade in a country generally does not prove it can accept your application for a particular IPO. Do not infer eligibility from a headline or an informal assurance.

Can your broker accept an IPO order—and what does “access” mean?
Ask the broker in writing whether it accepts orders for this exact IPO from a client with your residence and account type. Confirm whether it participates in the offer’s distribution or underwriting, or whether it can only let you buy after trading begins. Those are different ways of getting exposure: a post-listing purchase is made at the market price, not necessarily the offer price.
The SEC’s Investor.gov guidance explains that issuers and underwriters control IPO allocations and that individual investors can have difficulty obtaining shares. An indication of interest or order is not a promise of an allocation. Ask how orders are handled, whether an allocation can be partial, and what happens if the offer is repriced or your order is reduced or withdrawn.
- When do orders open and close, and what is the deadline in your time zone?
- Is an indication of interest binding? Can you change or cancel it, and until when?
- When and how must funds be available? What are the payment and settlement arrangements?
- How are allocations decided, and when will you learn the quantity and price?
- What happens if you receive only part of the amount requested?
Check the broker’s licensing and regulatory standing in the relevant jurisdictions. Identify the legal entity that will hold your account and the arrangement for custody of the shares. Ask how complaints are handled and whether an investor-compensation scheme applies to that broker, account and security. Do not assume a protection available in your home country automatically covers a foreign broker or an overseas security.
Read the latest prospectus, not just the IPO summary
Start with the official preliminary offering document, then check for amendments and the final prospectus or pricing document. Terms and prices can change between an early filing and the completed offer. A summary, presentation or promotional page may omit material qualifications or risks.

Understand the business and its risks
Look for how the company makes money, where it operates, how it competes and whether revenue depends heavily on a small number of customers or suppliers. Read the risk factors for issuer- and country-specific issues, including political or regulatory change, currency movement, ownership restrictions, sanctions, governance, geopolitical exposure and operating conditions. Consider whether the company’s own description of its prospects is supported by evidence outside the marketing materials.
Check the financial statements and auditor
Read the historical statements and their notes, paying attention to the accounting framework, revenue quality, cash flow, debt, working-capital needs, related-party transactions, litigation and contingent liabilities. Identify the auditor and review its opinion, any qualifications or changes, and whether its work is subject to an oversight regime comparable to the one you may be familiar with. A different accounting framework or less frequent public reporting can make comparisons with domestic companies harder.
A foreign issuer listing only in its home market may not have the same U.S. reporting obligations as a company filing with the SEC. Documents may be less frequent, prepared under different standards or unavailable in English. Check official home-market regulator and exchange records, and corroborate important claims independently where possible. Treat a translation as a potential source of ambiguity, especially for legal and accounting terms.

Find out how much of the offering goes to the company and how much goes to selling shareholders. Assess whether the stated uses of company proceeds are specific enough to evaluate. Review the capital structure before and after the offer, including dilution, options, convertibles, preferred securities, future issuance, lockups and insider sales. Compare the rights of the shares offered with those held by founders or early investors, including voting rights and related-party control.

Review the management and board’s qualifications, ownership and potential conflicts. Check the underwriting method, pricing basis, expected public float and any disclosed stabilization or over-allotment arrangements. The SEC’s IPO bulletin identifies areas including risk factors, use of proceeds, dilution, management discussion, business, legal proceedings, financial statements and underwriting terms as items for investors to examine.
Is the offer price supported by an investment case?
The offer price is not proof of fair value and does not predict the price when public trading starts. Compare valuation measures with relevant listed companies only after accounting for differences in growth, profitability, leverage, accounting, governance and country risk. Ask what assumptions about growth and margins the price requires, and what evidence would show those assumptions are failing.
Consider the per-share economics after potential dilution, not only the headline share count. Evaluate whether the company is raising operating capital, existing shareholders are selling, or both. A small expected public float can also affect the ability to trade without moving the price substantially. A promising business and an attractive IPO price are separate judgments; size any investment with the possibility of substantial loss in mind.

Calculate the full cost, tax questions and currency exposure
Use the broker’s current fee schedule and the offering documents to estimate the all-in cost. “Commission-free” does not mean cost-free. Include applicable subscription or transaction charges, commissions, exchange or stamp levies, custody, dividend handling, minimum charges, deposits or wires, currency conversion spreads, and transfer or withdrawal fees.

Check the tax treatment for your residence, account type, treaty position and security structure rather than assuming a general answer applies to you. Investigate whether dividends may face withholding tax and whether foreign tax credits or local reporting could be relevant. The result depends on your circumstances and the applicable rules.
Track returns in both the share’s trading currency and your own base currency. If the share price rises locally but its currency falls against yours, your home-currency return can be smaller or negative. Verify whether the country has currency controls or banking restrictions that could delay or limit moving funds out, and confirm the current mechanics with official sources and your broker before committing money.

An IPO can have limited public trading history and uncertain early liquidity. Check the expected free float and, where available, the market’s trading volume, hours, holidays, opening auction, price limits and halt rules. Find out the settlement cycle and whether the broker supports selling fractional shares or odd lots. A desired price or sale time may not be available.

Confirm whether foreign investors may own the security and whether local registration, a tax identifier or other documentation is required. Ask how sale proceeds are settled, converted and repatriated, and whether local currency or banking rules can delay access to cash. These details can affect both the practical cost of investing and the ability to exit.
Where could you turn if something goes wrong?
Investor protections and legal remedies differ by country and security. The SEC cautions that a foreign broker not registered with the SEC may not provide the same protections as a U.S.-registered broker, and that U.S. investors may need to rely on remedies in the issuer’s home country. Readers elsewhere should check their own regulator’s guidance and the rules that apply to their broker and account.
Before investing, identify the governing law, court or arbitration forum, issuer service address and complaint channel. If the investment uses depositary arrangements, read the depositary agreement for provisions affecting fees, voting, dividends and rights. A favorable legal decision does not by itself ensure that a remedy can be enforced or collected across borders.
Is the offer really an IPO—or a pre-IPO solicitation?
A private “pre-IPO” share offer is not the same as subscribing to a public IPO. In its June 7, 2024 pre-IPO investment scam alert, the SEC’s Office of Investor Education and Advocacy warns that such offers may be unregistered, fraudulent, difficult or impossible to resell, and capable of losing the entire investment. Verify the seller’s registration and the legal basis for the offer using the relevant regulator’s records.

Be wary of pressure to act immediately, promised or guaranteed returns, claims of guaranteed access, unusually low prices, social-media-only documentation, hidden fees or markups, and requests to pay an individual. An impressive-looking website or promoter’s claims are not sufficient verification.
If direct IPO access is unavailable
There are other ways to consider exposure, but none is equivalent to receiving the exact foreign IPO shares at the offer price.

- Wait for public trading. You can assess the market price and available liquidity once trading begins, but execution and price are uncertain.
- Check for a depositary receipt or U.S.-listed foreign shares. If a suitable instrument exists, examine its ratio to the underlying shares, depositary charges, dividend and voting arrangements, and whether it represents the same share class.
- Consider diversified international exposure. A mutual fund or ETF may provide exposure to a portfolio rather than a single new issuer, with fund fees and management or tracking considerations. It does not guarantee an allocation in the IPO.
