Scan for outdated or missing drivers - takes under a minuteDriver Scan →Repair Windows errors before they cause bigger problemsFix Now →Do not rely on a seller’s megawatt figure or a building’s “data center” label. Before you buy or lease a facility for cryptocurrency mining, prove that the utility can deliver the required power under transferable commercial terms; trace that power through transformers, switchgear, UPS systems, generators and distribution; verify cooling, water and structural capacity; confirm that mining, high-density loads and noise are permitted; and price every upgrade, deferred-maintenance item and environmental liability.
The result should be a document-backed go/no-go decision. Utility records, engineering inspections, local-authority confirmations and transaction counsel—not marketing material—should establish what the site can legally and physically support.

Start with a written load and operating brief
Every diligence conclusion depends on what you intend to install. Prepare an equipment schedule before evaluating the property. List each miner or server type, quantity, nameplate input, expected operating range, rack or container arrangement, networking equipment, auxiliary loads, planned uptime, and any phased expansion. Include cooling pumps, fans, lighting, controls, offices and security systems. Have an electrical engineer convert the schedule into an expected coincident load and identify starting or transient requirements.

State whether the project is an installation in an already mining-configured building, a conventional data-center deployment, or a conversion of another industrial facility. The engineering, fire-protection, acoustic and permitting work can differ substantially among those cases. A facility that is excellent for low-density enterprise servers may require major distribution, cooling or noise work for high-density miners.

Prove that power is deliverable, not merely advertised
A substation nearby, a brochure saying “available megawatts” or a seller’s capacity statement does not prove that power can be delivered to your premises. The DataCentres.com acquisition checklist and Foley & Lardner’s data-center transaction guidance both point to utility agreements, capacity evidence and physical equipment as core diligence items.
Request the utility and interconnection file
Ask the seller or landlord for a complete, current file rather than a summary:
- Executed utility service agreements and applicable tariff or negotiated-rate documents.
- Interconnection or service approvals, load studies and utility correspondence.
- Written confirmation of contracted capacity, currently energized capacity and capacity actually available to your intended load.
- Delivery milestones, energization conditions, queue position and any utility upgrade scope.
- Historical bills showing demand charges, energy charges, riders, taxes and other recurring costs.
- Notices or correspondence concerning curtailment, interruptions, power-quality events or planned work.
- Term, renewal, termination, change-of-control, assignment and consent provisions.
- The allocation of utility upgrade costs, construction responsibility and schedule risk.
Reconcile every figure with the proposed transaction. A contract may reserve capacity for a named customer, a particular use or a stated service configuration. Confirm in writing that the rights transfer to a buyer, an assignee or a new operating entity, and determine whether the utility can require a new application, credit support or engineering study.

Separate four different capacity numbers
Record these values separately in your diligence model:
| Capacity label | What it means | Evidence to demand |
|---|---|---|
| Contracted capacity | The amount the utility has agreed to provide under identified terms. | Executed agreement, tariff, amendments and utility confirmation. |
| Currently energized capacity | The amount physically energized at the site today. | One-line diagrams, commissioning records, meter data and inspection. |
| Available capacity for your load | The amount left after existing tenants, house loads, operating limits and reliability constraints. | Utility statement, interval data, load study and engineering calculation. |
| Future or expandable capacity | Capacity that depends on construction, utility upgrades, permits or a later service milestone. | Utility schedule, cost estimate, scope, approvals and binding conditions. |
Do not combine these categories into a single “MW” figure. The exact deliverable amount, price and date remain site-specific until the utility and engineer confirm them.
Trace the power path to the mining equipment
Obtain a current single-line diagram and walk the path from the utility point of delivery to each mining bus. Verify transformer ratings and condition, medium- and low-voltage switchgear, protective devices, transfer switches, busways, panels, cabling, rack or container distribution and grounding. Check whether ratings are continuous-duty ratings appropriate to the proposed operating profile, and whether a shared component limits the whole system.

Compare nameplates with test results and operating records. Identify derating for temperature, installation method, harmonics, altitude or other site conditions. Confirm that protection settings, fault-current ratings and coordination studies match the proposed equipment. A high-voltage service may still leave an inadequate downstream distribution system.
Demand operating proof
Nameplates show potential, not reliability. Request recent power-quality reports, meter or monitoring data, preventive-maintenance logs, generator run and load tests, UPS inspections, battery records, fuel inventories and documented outages. Ask for a schedule of corrective work and all open recommendations from maintenance contractors.
- UPS battery chemistry, installation date, measured health and replacement forecast.
- Generator capacity, paralleling or synchronization arrangement, automatic-transfer-switch tests and load-bank results.
- Fuel-tank capacity, fuel quality testing, replenishment contracts and environmental controls.
- Recorded voltage, frequency, harmonics, transfer events and nuisance trips.
- Single points of failure and the loads that are not protected by UPS or generators.
Have a qualified engineer define acceptable test methods and thresholds for your equipment. There is no universal mining-facility test standard established by the available guidance, so the acceptance plan should be written into the transaction or lease documents.
Match the facility to the actual mining load
Use the equipment schedule to test the entire facility, not just the utility entrance. Review electrical distribution, cooling and heat rejection, structural loading, fire protection, cable routes, service clearances, controls, monitoring and operating access. Determine whether the site can run the initial phase while maintenance or a component failure is occurring, and what capacity remains for growth.
Electrical and physical-fit checklist
- Confirm floor, rack, container pad and roof loading against the proposed equipment and cable trays.
- Check clearances for transformers, switchgear, generators, cooling plant and fuel deliveries.
- Verify that doors, loading docks, lifts and roads can receive the equipment and replacement parts.
- Review grounding, bonding, lightning protection and fire separation for the proposed configuration.
- Confirm fiber routes, carrier rights, demarcation points and diverse paths if connectivity is required.
- Map maintenance access so a failed component can be isolated without taking down unrelated mining capacity.
Assess cooling and heat rejection
Mining equipment converts nearly all of its electrical input into heat. Inspect the cooling design, installed capacity, controls, pumps, fans, chillers or dry coolers, piping, filters and heat-rejection equipment. Compare design conditions with the local climate and the miners’ allowable inlet and exhaust temperatures. Review maintenance history, vibration or corrosion findings, refrigerant or water-treatment records, alarm history and the condition of spare parts.
If the design uses water, verify the source, legal right to use it, seasonal availability, quality, treatment, discharge, metering and cost. Obtain water permits and environmental approvals where applicable. Foley & Lardner identifies water availability and cooling strategy as critical site considerations, while the DataCentres.com checklist calls for review of cooling capacity and equipment condition. Neither source establishes a universal cooling number; the required capacity depends on your equipment, design and site conditions.

Decide whether this is a conversion project
A conventional data center, warehouse or generation site may need new electrical rooms, cooling, fire systems, acoustic treatment, structural work or controls before mining can start. Pillsbury’s Guide to Data Centers treats conversion projects as a distinct scenario and recommends involving engineering, fire-protection, power, acoustic and cooling specialists early. Obtain a concept design, permit matrix, construction sequence, outage plan and independent cost estimate before assigning value to “future” capacity.
Verify backup systems and operating resilience
Mining economics can be sensitive to interruptions, but resilience claims must be tied to the loads you actually intend to run. Identify which mining strings, cooling systems, networking equipment and controls are on each UPS, generator bus or utility feed. A redundant generator does not create redundancy if both units share one fuel system, switchgear section, control panel or cooling loop.
Review maintenance and test records for every backup element. Confirm the last automatic-transfer test, generator load test, UPS discharge or battery-capacity test, breaker inspection and fuel-quality test. Check whether tests were performed under realistic load and whether defects were closed. Ask for outage and curtailment history, including the reason, duration and affected circuits.
Recommended Free Tools
Document the operating response: who can curtail miners, how quickly load can be reduced, what equipment restarts automatically, and whether the utility agreement permits or requires curtailment. Price fuel, testing, staffing, spare parts and planned replacement as operating obligations rather than treating backup capacity as free.
Confirm that mining is a permitted use
Mining permission is location-specific. Before signing, obtain written confirmation from the local planning, building and fire authorities and have local counsel review the result. Check:
- Zoning and land-use classification, including whether cryptocurrency server farms or similar high-density computing are named uses.
- Special-use, conditional-use or site-plan approvals and whether they transfer on sale or lease assignment.
- Building, occupancy, electrical, mechanical, fire and hazardous-material permits.
- Generator, fuel-storage, air-quality and emergency-power approvals.
- Noise limits, measurement points, operating hours, vibration rules and acoustic requirements.
- Restrictions on outdoor equipment, containers, cooling towers, water discharge, lighting and security fencing.
- Approval requirements for adding miners, increasing service, changing cooling technology or operating continuously.
A 2024 planning document from Burns Harbor, Indiana illustrates how one locality can address cryptocurrency server farms, high-density electrical service, noise, special-use approval and utility capacity. It is not a national rule and cannot establish the requirements for another parcel; read the Burns Harbor document only as an example of why site-specific confirmation matters.

Ask whether approvals run with the land, the existing owner or the operating entity. A sale, lease assignment, expansion or change from ordinary data processing to mining may trigger an amendment or a new application. Make the authority’s written response a closing or commencement condition where the use is not already clear.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsReview title, easements and lease rights
For a property purchase
Order a current title commitment, survey and recorded-document package. Confirm fee ownership, access, utility corridors, rights-of-way, drainage, water rights, fiber routes, restrictive covenants, reciprocal easements and lender rights. Verify that transformers, substations, generators, fuel areas, cooling equipment and transmission routes sit within land or easements the transaction actually conveys.
Review environmental reports, notices, spills, tanks, waste handling, water discharge and neighboring-use restrictions. Confirm that the site can be expanded or reconfigured without violating setbacks, easements or covenants. The acquisition checklist identifies title, easements, zoning and permits as core checks; Foley & Lardner also highlights easements for power, water and fiber.
For a lease
Read the permitted-use clause together with every operating rule and exhibit. Confirm:
- Exclusive or shared rights to electrical capacity, generators, cooling plant, yards, roofs and loading areas.
- Who pays demand charges, utility upgrades, water, fuel, maintenance, property taxes and compliance work.
- Landlord consent requirements for miners, containers, cabling, generators, cooling equipment and structural alterations.
- Assignment, subletting, change-of-control, renewal, expansion, default and termination rights.
- Access hours, security obligations, outage procedures, noise controls and restoration duties.
- Ownership of tenant-installed equipment and rights to remove it at expiration.
Ensure the lease term and renewal options cover the time needed to recover conversion and utility-upgrade costs. If capacity or permits are held by a separate landlord affiliate, document the intercompany rights and their survival after a sale.

Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Distinguish asset, entity and regulated-utility transactions
An asset purchase transfers identified real estate, equipment and contracts, subject to their assignment terms. An entity purchase may leave the buyer with existing contracts, employees, taxes, litigation, environmental obligations and undisclosed liabilities. A 2025 annual report filed with the U.S. Securities and Exchange Commission discusses cryptocurrency-datacenter and standalone-generation acquisitions as a company-specific growth strategy while cautioning that diligence cannot guarantee discovery of every liability. Treat that disclosure as a warning to investigate the target—not as a universal rule for every transaction. Read the filing at SEC filing.
Best Value
If the deal includes a public utility, qualifying generation asset or other regulated facility, counsel should analyze whether federal or state filings are required. The Federal Energy Regulatory Commission explains prior-authorization requirements for certain covered transactions under section 203 in its Mergers and Sections 201 and 203 Transactions material. Coverage depends on the assets and parties; an ordinary data-center purchase does not automatically require FERC approval.
Price condition, upgrades and environmental exposure
Request capital and maintenance records for electrical and mechanical plant, generators, cooling, controls, fire systems, buildings and monitoring. Match invoices, service reports, equipment labels and test results against seller representations. Have independent specialists inspect and price:
- Deferred transformer, switchgear, UPS, battery, generator and breaker work.
- Cooling, pump, piping, controls and heat-rejection replacement.
- Distribution expansion, protection studies, grounding and fire-system modifications.
- Noise treatment, structural reinforcement, roads, pads, security and fiber diversity.
- Utility interconnection, transformer, line or substation upgrades.
- Permits, environmental studies, water treatment, discharge controls and remediation.
- Temporary generation, temporary cooling and lost operating time during construction.
Ask for a schedule with dependencies, not just a lump-sum estimate. Utility work, permits, long-lead switchgear and seasonal construction can move the start date. Allocate each uncertain item to a diligence deliverable, condition precedent, escrow or reserve, price adjustment, lease concession or decision to walk away. The appropriate remedy depends on the contract and jurisdiction, so transaction counsel should draft it.
A transaction-ready diligence workflow
- Freeze the operating brief. Approve the equipment schedule, initial and expansion loads, cooling concept, uptime expectations and geographic operating assumptions.
- Issue a document request. Request utility, interconnection, bills, one-line diagrams, permits, title, leases, maintenance, environmental and insurance records in a dated data room.
- Obtain utility confirmation. Ask the serving utility to confirm transferable service rights, deliverable capacity, rates, upgrade scope, milestones, curtailment and assignment conditions.
- Perform a site walk. Trace the power path, inspect cooling and water systems, verify labels and access, photograph condition and identify shared or inaccessible equipment.
- Test operating evidence. Review power-quality data, generator and transfer tests, UPS battery records, fuel systems, outage history and maintenance backlogs.
- Run legal and permitting checks. Confirm zoning, mining use, noise, fire, building, generator, water and environmental requirements with authorities and local counsel.
- Verify rights. Complete title and survey review for a purchase; audit permitted use, assignment, maintenance, expansion and restoration clauses for a lease.
- Engineer the gap. Design required distribution, cooling, acoustic, structural and fire work, then obtain independent cost, schedule and outage estimates.
- Convert findings into contract terms. Set conditions for utility delivery, permits, access, equipment tests, assignment consents and absence of specified defects. Allocate upgrade, maintenance, compliance and restoration costs.
- Make the investment decision. Approve only the capacity and rights supported by documents and tests. Treat future or conditional capacity as unavailable until its prerequisites are binding and funded.
Compare candidate facilities on the same axes
Use one scorecard for every site. Do not let an attractive headline capacity compensate for weak rights, poor condition or uncertain permitting.
| Decision axis | Questions to answer | Evidence |
|---|---|---|
| Deliverable power and cost | How much can be energized for the mining load, when, under what tariff, and with what demand, upgrade and curtailment obligations? | Utility contract, bills, studies, correspondence and engineer reconciliation. |
| Electrical and backup condition | Are transformers, switchgear, UPS, generators, transfer systems and distribution sized, tested and maintainable for the intended load? | One-line diagram, inspection, test reports, maintenance history and outage records. |
| Cooling and water | Can the plant reject the proposed heat at site conditions, and are water rights, permits, supply and discharge secure? | Design documents, equipment inspection, water records, permits and operating costs. |
| Legal use and approvals | Are mining, high-density service, noise, generators, operating hours and expansion allowed, and do approvals transfer? | Written authority confirmations, permits, zoning text and lease or title documents. |
| Property and transaction rights | Do access, power, water, fiber, easements, assignment and renewal rights last through the operating term? | Title, survey, easements, lease, service agreements and consent letters. |
| Capital and execution risk | What must be replaced, upgraded or permitted, at what cost and with what outage or schedule risk? | Independent engineering scope, bids, maintenance records, permits and utility schedule. |
| Environmental and operational exposure | Are there contamination, fuel, water, discharge, noise, staffing, insurance or restoration liabilities? | Environmental reports, permits, insurance, operating procedures and contract obligations. |
Label unknowns explicitly as “not established” rather than assigning optimistic values. A site with less nominal capacity but documented delivery, transferable rights and modest upgrades can be more valuable than one advertised with a larger but conditional figure.
Red flags that should pause signing
- The seller supplies only a substation distance, marketing sheet or verbal megawatt claim.
- The utility agreement names a different customer, site use or service point and has no assignment confirmation.
- “Available” capacity depends on an unstated utility upgrade, permit or construction milestone.
- One-line diagrams, equipment labels and bills do not reconcile.
- Generator or UPS tests are missing, outdated, performed at light load or show unresolved defects.
- Cooling capacity is stated without design conditions, water rights, maintenance records or heat-rejection evidence.
- Mining use, noise or continuous operation is assumed but not confirmed by the local authority.
- Lease language permits ordinary data processing but is silent on high-density loads, generators, noise, water or expansion.
- Title or survey omits the corridor, access, fiber route, fuel area or equipment needed for operation.
- The seller refuses independent inspection or will not identify deferred maintenance, environmental reports or open permits.
- Upgrade estimates have no scope, responsible party, schedule, contingency or outage plan.
Questions to put in the final diligence request
- What exact load can be delivered on the proposed start date, and what document proves it?
- Which capacity is contracted, energized, usable today and dependent on future work?
- What are the recurring energy, demand, capacity, water, fuel, maintenance and compliance charges?
- Which utility, landlord or regulatory consents are required for assignment, change of control, mining use or expansion?
- What equipment is shared, what is redundant, and where are the single points of failure?
- When were the last generator, transfer-switch, UPS, battery, breaker and cooling tests performed, and what failed?
- What permits and approvals cover noise, generators, fuel, water, discharge, fire protection and continuous operation?
- Who pays for utility upgrades, replacement plant, compliance work, water, fuel, restoration and outage-related work?
- What environmental reports, notices, spills, tanks, discharge limits or neighboring claims exist?
- What facts must be true at closing or lease commencement for the project to proceed?
Bottom-line decision rule
Buy or lease only the capacity, rights and operating condition you can prove. Require executed utility and interconnection documents for power; engineering reconciliation and test records for the electrical and backup plant; design and inspection evidence for cooling and water; written local confirmation for mining, noise and permits; and title, lease, environmental and assignment review for the transaction itself. Treat every future megawatt, approval or upgrade as a contingent project until its cost, schedule, responsible party and transferability are documented. Have the serving utility, specialist engineers, local authorities and transaction counsel confirm the final package before signing or closing.
