Before you sign an M&A advisor’s engagement agreement, pin down in writing what the advisor will do, what counts as a covered transaction, how fees and expenses are calculated, whether the mandate is exclusive, and what obligations survive termination. Then compare the answers with the contract itself and have qualified transaction counsel review the complete agreement under the law governing your deal.
This guide focuses on a U.S. business owner considering a sell-side advisor. The terms below are negotiation questions, not universal market rules: the right wording depends on the transaction, the advisor’s role, and the governing law.

What services and deliverables are included?
Ask the advisor to describe the mandate in operational terms. “Advisory services” can mean different things in different engagements, so the agreement should make clear who is responsible for each stage and what work is outside the fee.

- Who organizes indications of interest, bids, negotiations, and buyer communications?
- What support is included for due diligence, transaction documentation, signing, and closing?
- What is expressly excluded, and what would require a separate written engagement or additional fee?
- Who is the day-to-day lead, which other team members are committed to the work, and what happens if staffing changes?
Ask for specific deliverables and responsibilities rather than relying on a general description of the advisor’s role. The Practical Law sell-side engagement-letter checklist identifies scope of services as a negotiation point, but it does not establish that every advisor provides the same services.

What transaction is covered, and how are fees calculated?
Ask the advisor to define both “Transaction” and “transaction value” in the agreement. The fee formula only becomes meaningful once those terms and the payment trigger are clear.
Define the transaction value
Ask how the calculation treats each element of the proposed deal, including assumed debt, cash, rollover equity, seller notes, earn-outs, escrow or holdback amounts, and other non-cash or contingent consideration. For each item, confirm whether it is included in the fee base and when it becomes fee-bearing. If consideration is contingent or paid later, ask whether the fee is due at closing, as the consideration is received, or at another stated time.
Clarify the payment trigger and credits
Ask whether a retainer or interim payment is credited against a closing fee, and whether any amount is payable when a transaction is signed, when it closes, or at both stages. Confirm how the agreement applies if signing and closing occur on different dates, the deal closes in stages, or its form changes before completion.

Set expense rules
Ask which expenses are reimbursable, whether advance approval is required, what documentation the advisor will provide, and whether there is a budget or cap. Make sure the answer appears in the written agreement or an incorporated schedule.
The Practical Law checklist identifies retainers, success fees, transaction-value calculations, and contingent consideration as issues to negotiate. It does not establish a generally applicable success-fee percentage, Lehman formula, retainer amount, or market range; do not treat any such figure as standard without transaction-specific evidence.
Is the mandate exclusive, and how can it end?
Ask whether the advisor’s appointment is exclusive and exactly what the restriction covers. For example, clarify whether you may speak with a buyer you found yourself, continue discussions already underway, or engage another advisor for a different type of transaction.

Read the term and exit provisions together. Confirm the initial term, how renewal works, the required form and recipient of termination notice, and whether either party can terminate without cause. Ask what fees and expenses remain payable after termination, and whether the terms change if the advisor is replaced or a named team member leaves.

A filed 2005 agreement for Path 1 Network Technologies illustrates why these provisions should be read separately: it provided for a 12-month exclusive term and allowed either party to terminate by written notice, while preserving a completion-fee obligation for six months after termination only for an acquirer referred directly or indirectly by the advisor and in discussions during the exclusive engagement. Those are terms in one agreement, not a benchmark for other engagements.
What is the tail, and which buyers does it cover?
A tail is a post-termination period during which a fee may still be payable for a transaction. Ask the advisor to identify both the duration and the precise event that triggers it. The covered-party definition and trigger can matter as much as the length.

- Does the tail apply only to a buyer specifically identified by the advisor, to any party contacted during the mandate, or to a broader group?
- Does a fee require a completed transaction with that party, or can signing or another event trigger payment?
- How will the advisor provide its list of introduced or contacted parties when the engagement ends, and how soon must you raise objections?
- Are buyers already known to you, or independently sourced by you, excluded?
- How does the agreement treat contingent consideration paid after the tail period?
One SEC-filed 2005 agreement tied a six-month post-termination completion fee to an advisor-referred acquirer that had been in discussions during the exclusive engagement. A separate SEC-filed 2016 agreement used a 12-month period tied to a defined “Final List.” These are contrasting examples of contract structures, not evidence of typical tail lengths. Make sure the actual agreement states how the list is created, delivered, and disputed.
How will confidentiality and conflicts be handled?
Confidentiality and buyer outreach
Ask what information the advisor may share, who can receive it, and what safeguards apply to its employees, affiliates, and prospective buyers. Confirm whether the advisor needs your approval before identifying your company to a buyer, how information is handled before that approval, and how long confidentiality obligations last.

Ask whether the advisor or an affiliate advises likely buyers, has financing or another commercial relationship with them, may receive compensation from another party, or could take on another role connected with the transaction. Ask how a conflict will be disclosed and managed, and whether a separate role or fee requires your separate written consent.

The Practical Law checklist includes confidentiality and conflicts among the relevant engagement-letter topics. SEC staff guidance discusses compensation and other benefits to a firm or affiliate as conflict considerations in the broker-dealer and investment-adviser context; it is general guidance, not a rule that determines how a particular M&A engagement agreement must be drafted.

Ask who indemnifies whom and which claims are covered. Check whether defense costs can be advanced as incurred, what exceptions apply to the advisor’s own conduct, whether the obligations are mutual, and whether they survive the end of the engagement. Also ask who may rely on the advisor’s work product and for what purpose; restrictions on reliance can affect whether other parties may use it.
An SEC-filed 2016 engagement agreement illustrates broad indemnification for claims relating to the engagement or transaction, with an exception where a court or arbitrator makes a final, non-appealable determination that a claim resulted solely from gross negligence or willful misconduct. That example does not establish that such wording is appropriate or enforceable in another agreement. Counsel should assess the actual clause, governing law, and transaction.
How should you compare more than one advisor?
Compare the written terms and the proposed working relationship, not just the headline success-fee percentage. A side-by-side review can make differences easier to spot:
| Compare | What to check |
|---|---|
| Scope and team | Defined services and deliverables, named lead and team, buyer-outreach approach, process management, and exclusions. |
| Fees and expenses | Transaction definition, fee base, payment triggers, treatment of contingent consideration, retainer credits, reimbursable expenses, and any budget or cap. |
| Exclusivity and exit | Restricted activities, initial term, renewal, termination rights and notice, and amounts that remain payable after termination. |
| Tail | Duration, triggering event, covered-party definition, treatment of previously known or independently sourced buyers, and list-delivery and objection process. |
| Protections and conflicts | Confidentiality, approval before company identification, disclosure and management of conflicts, indemnity, liability, and reliance limits. |
These are comparison categories, not standardized market values. Ask counsel to compare the actual language and economics, including provisions that may appear in schedules or other documents incorporated into the engagement agreement.
Quick Recap
Before signing: a practical review sequence
- Get the complete proposed agreement. Include exhibits, fee schedules, and any document the agreement incorporates by reference.
- Write down the advisor’s answers. Use the questions above to identify missing definitions, unclear responsibilities, and verbal assurances that are not reflected in the document.
- Compare the actual terms. Check that the scope, fee base and triggers, exclusivity, termination rights, tail, confidentiality, conflicts, indemnity, and reliance provisions match what you understood.
- Have qualified transaction counsel review the text. Ask counsel to assess it in light of the proposed deal and the governing law before you sign.
- Obtain agreed changes in writing. Do not rely on an oral explanation to resolve an ambiguity in the signed terms.
