That dated quote is not a verified price for October 7, 2026—and it is not an estimate of what any employee will receive. The value of an individual option depends on its share class, strike price, vesting, tax treatment, and whether the resulting shares can be sold.
Why SpaceX’s share price is not your option payout
A stock option gives its holder the right, subject to the applicable plan and award agreement, to buy a share at a specified exercise price, also called a strike price. An option is not itself a share: holding one does not mean you own stock or can sell it.

For example, purely as an illustration, if you had 100 vested options with a $20 exercise price and the relevant share price were $50, the gross spread would be $3,000: 100 × ($50 − $20). This is not cash in hand or a guaranteed profit. It excludes the cost of exercising, taxes, unvested awards, selling restrictions, and any change in share price. If the share price is at or below the strike, this simple calculation produces no positive intrinsic spread.
Use your own strike price and share class
SpaceX’s June 5, 2026 SEC offering filing reported outstanding options as of March 31, 2026, including options tied to both Class A and Class B shares. Those companywide figures provide context, not a substitute for an employee’s grant records.

These weighted averages combine awards across the company; they are not the strike prices of a typical employee or any specific grant. The filing also reported weighted-average exercise prices of $8.47 per Class A share and $0.71 per Class B share for options exercised after March 31, 2026. Those, too, are historical companywide averages, not current grants or personal terms. Do not use any of these averages to calculate your own spread.

The August 3 Class A quote above is a historical reference; the cited filing does not establish a verified October 7 price. A later public-market price does not rewrite the strike price set for an existing option. SpaceX’s filing says 2025 option exercise prices reflected grant-date fair market value determined using a third-party valuation under Section 409A.

Vesting, expiration, and leaving SpaceX affect what you can exercise
Separate vested, exercisable options from unvested awards before estimating value. Unvested options may remain subject to service or performance conditions, so they should not be counted as currently exercisable options.
SpaceX’s amended 2024 plan summary says options may have terms of up to ten years, or five years for incentive stock options granted to 10% shareholders. The plan also leaves exercisability, including installment schedules, to the plan administrator and award terms. These plan limits do not tell you the expiration date or post-termination exercise deadline for your individual award. The consulted filing does not establish one universal deadline for employees who leave.

Check your grant documents for the actual vesting schedule, exercisable balance, expiration date, and any deadline that applies after employment ends. Missing a deadline can affect the ability to exercise, so confirm the dates with the company’s equity-plan administrator rather than relying on another employee’s terms.

Exercising generally means paying the strike price for the shares, unless a cashless or broker-assisted method is permitted by the applicable plan and available for your award. SpaceX’s plan disclosure describes permitted payment methods, but that does not establish that a particular employee can use cashless exercise. Confirm the procedure and funds required before acting.

Tax treatment depends in part on whether the award is an incentive stock option (ISO) or a nonstatutory stock option (NSO). SpaceX’s amended 2024 plan permits both. The IRS’s Topic 427 guidance explains the general federal distinction:
- ISOs: Generally, statutory options do not produce gross income at grant or exercise for regular federal income-tax purposes. Exercising an ISO can, however, create an adjustment for alternative minimum tax (AMT).
- NSOs: For most nonstatutory options without a readily determinable fair market value at grant, exercise generally creates compensation income based on the stock’s fair market value at exercise minus the amount paid.
These are general federal rules, not a prediction of your tax bill. State, local, and non-U.S. tax rules, as well as your personal circumstances, can change the outcome. Confirm the option type in your award documents and consult a qualified tax adviser before exercising.
Owning shares does not necessarily mean you can sell them now
A quoted market price does not guarantee immediate liquidity. SpaceX’s reoffer prospectus covers certain employee and former-employee shares and says resales remain subject to applicable lock-ups and market-standoff agreements. The prospectus also says selling holders may sell some, all, or none of the shares offered, with the timing and amount of sales unknown.
Before treating an exercise as a route to cash, check the agreements and issuer policies that apply to your shares, including any transfer or resale restrictions. The ability to exercise and the ability to sell are separate questions.
What to verify before estimating your options
- Your grant notice and award agreement, including whether the option is an ISO or NSO.
- The share class, your individual strike price, and the number of options currently vested and exercisable.
- The award’s expiration date and any post-termination exercise deadline that applies to you.
- A current, dated quote for the relevant share class—not an old quote or a companywide exercise-price average.
- The exercise method, required funding, and any lock-up, market-standoff, transfer, or resale restrictions.
- Tax forms and your potential federal, state, local, or other tax obligations, reviewed with a qualified adviser.
Public filings describe plan-wide provisions and companywide option figures; your award documents and applicable agreements determine your individual terms.
