What Risks Should You Check Before Buying Tokenized Assets?

Before buying a token tied to an asset, verify the legal claim, issuer and counterparties, holder rights, custody and backing evidence, and practical ways to exit or recover your investment.

Before buying a token tied to an asset, find out what legal claim the token gives you, who owes you that claim, what rights come with it, and whether you can redeem or sell it. A token that tracks an asset’s price is not necessarily ownership of that asset. The distinctions matter especially for tokenized securities, the focus of the U.S. SEC materials discussed below.

First, establish what the token represents

“Tokenized asset” can describe different legal and economic arrangements. A token may be the security itself, an entitlement to a security held by a custodian, a contractual claim against a platform or issuer, or synthetic exposure to a reference asset. The blockchain record or marketing label alone does not tell you which one you are buying.

In a January 28, 2026 statement, staff of the SEC’s Divisions of Corporation Finance, Investment Management, and Trading and Markets defined a tokenized security as a financial instrument that is a security under federal securities laws and whose ownership record is maintained in whole or in part on or through crypto networks. The staff distinguishes issuer-sponsored arrangements, where an issuer or its agent may incorporate the network into the master securityholder file, from third-party products. Those third-party products can include custodial tokenized security entitlements or synthetic products issued by another party. Read the SEC staff statement.

Possible structure What the token may represent Key question for the buyer
Issuer-sponsored tokenized security A security whose ownership record is maintained in whole or in part through a crypto network, with the issuer or its agent involved in the arrangement. Does the issuer’s governing documentation recognize your holding, and how are ownership records updated?
Third-party custodial token An entitlement associated with a security held in custody by a third party. What claim do you have against the custodian or platform, and what happens to that claim if it becomes insolvent?
Third-party synthetic token A product issued by a third party that provides exposure to a referenced asset, rather than necessarily conveying the asset itself. Who owes you performance, and does the token grant any rights against the issuer of the referenced asset?

These are broad categories, not a substitute for the offer documents. SEC staff cautions that a third-party token may or may not represent an ownership interest in, or contractual obligation of, the referenced security’s issuer, and may or may not give its holder rights associated with that security. The token may instead be the third party’s own security, without an obligation from the referenced issuer or rights derived from it. A holder may therefore face bankruptcy exposure to the third party that a direct holder of the underlying security would not necessarily face. SEC staff’s examples and distinctions.

Check who issued the token and who is accountable

Map the parties between you and the asset before sending money. Identify the issuer, any platform or sponsor, custodian, transfer agent or recordkeeper, and the trading venue. For each, ask what it is responsible for, what agreement governs that responsibility, and whether you have a direct claim against it or only against another intermediary.

  • Check which entity can freeze, cancel, replace, or transfer tokens, and under what conditions.
  • Read what happens to your claim if the issuer, platform, or custodian fails. Do not assume that a token balance automatically gives you a claim to assets held by a failed company.

The SEC Investor Advisory Committee discusses native equity tokens issued directly on a blockchain and wrapped tokens representing an interest in a custodied position; either may be issuer-sponsored or created by an unaffiliated third party. It warns that an owner of a third-party wrapped equity token may not have the same voting or bankruptcy rights as an owner of native equity issued on behalf of a public company. Its document is an advisory committee recommendation, not a Commission rule. Read the committee’s recommendation.

Verify the rights you actually receive

A token’s price movement or display of a company’s name does not establish shareholder rights. Look in the governing documents for the precise economic and legal rights attached to the token, including whether you can enforce them and against whom.

  • Economic rights: Are dividends, interest, or other distributions payable to you? Who pays them, and what conditions or deductions apply?
  • Voting and information: Can you vote, receive proxy materials, or obtain issuer information? If rights are exercised through a custodian, how do instructions reach the issuer and what deadlines apply?
  • Transfer and conversion: Can you transfer the token to another person or convert it into the underlying security? Check eligibility rules, required accounts, and any restrictions.
  • Legal recourse: If a promised payment, redemption, or record entry does not happen, which contract and jurisdiction govern your claim?

For synthetic security-based swaps, SEC staff notes that holders typically do not receive equity, voting, information, or other rights regarding the referenced security. That is a reason to distinguish price exposure from ownership rather than infer rights from a token’s name. SEC staff statement.

Test claims about backing, custody, and records

If an offer says tokens are backed by assets, determine what “backed” means legally and operationally. Ask who holds the assets, whether records identify them as belonging to the relevant holders, how often token balances and asset records are reconciled, and what independent assurance is available. A statement that assets exist is not, on its own, proof that a token holder can claim them.

  • Request the custodian’s identity and the custody terms, including whether assets are segregated and how they are recorded.
  • Look for dated audit or assurance reports and the scope they cover. Confirm whether they verify existence, ownership, valuation, or only selected records.
  • Check how discrepancies between blockchain balances and off-chain ownership records are corrected.
  • Read the insolvency provisions: which assets are meant to be available to token holders, and what process would let you assert a claim?

A July 1, 2026 public comment to the SEC proposed one-to-one backing, regulated custody, regular independent audits, explicit shareholder rights, and defined custody, redemption, bankruptcy, and recovery rules as standards to consider. Those are the commenter’s proposals, not universal legal requirements or SEC policy. Read the public comment.

Understand redemption, transfer, and exit limits

Being able to send a token on a network does not mean there is a liquid market for it, that a buyer will accept it, or that the issuer must redeem it. Before purchasing, locate the redemption and transfer terms rather than relying on an app’s “sell” or “withdraw” button.

  • Is redemption available to every holder, or only to eligible investors or account holders?
  • Are there minimum amounts, fees, notice periods, settlement delays, or required documentation?
  • Can redemption or transfers be suspended, and who has authority to do so?
  • Which wallets, networks, or venues are supported, and can a transfer to an unsupported address be reversed?
  • If the issuer or custodian fails, is there a defined recovery path for assets or records, or does the documentation leave that uncertain?

Evaluate the exit you can actually use under the contract, not a theoretical ability to move tokens. SEC staff specifically identifies the possibility of third-party bankruptcy exposure in some tokenized-security arrangements. SEC staff statement.

Assess the trading venue and market safeguards

Find out where the token trades, who operates that venue, and how its displayed price is set. Ask whether trading is continuous or limited, what disclosures explain conflicts of interest, and what cybersecurity, surveillance, and dispute procedures are in place. A token’s on-chain transferability does not itself establish that the market is fair, deep, or continuously available.

IOSCO’s 2025 report describes tokenization as having potential benefits across capital-market processes, while emphasizing that whether and how those benefits will materialize remains uncertain. It also says risks may emerge or be amplified as tokenization arrangements develop. This international market perspective is not a guarantee about any particular token or venue. Read IOSCO’s report.

Read regulatory statements in their proper scope

For U.S. securities, SEC staff says the format or method used to maintain an ownership record does not by itself change how federal securities laws apply; the statement’s examples discuss registration unless an exemption applies. But the statement is expressly nonbinding staff guidance, not a Commission rule or regulation. The staff describes its status this way: “This statement, like all staff statements, has no legal force or effect: it does not alter or amend applicable law, and it creates no new or additional obligations for any person.” SEC staff statement, January 28, 2026.

The SEC Investor Advisory Committee recommends that federal and state securities laws, SEC rules, and FINRA requirements apply to tokenized equity securities as they do to traditional equity securities, and calls for clear ownership disclosures, intermediary oversight, and fair-trading protections. It also opposes a blanket innovation exemption in a recommendation to the SEC; that recommendation is not itself a final rule. The precise legal treatment of an offer depends on its structure, governing law, and the buyer’s jurisdiction. Investor Advisory Committee recommendation.

A practical go/no-go check before paying

Do not proceed until you can answer these questions from the offering documents, not just promotional material:

  1. What is my legal claim? Identify whether you receive the asset or security, a custodial entitlement, a contractual promise, or synthetic exposure.
  2. Who owes me performance? Name the issuer and any intermediary against which you could make a claim.
  3. Which rights are written down? Confirm economic, voting, information, transfer, conversion, and enforcement rights that matter to you.
  4. What supports the backing claim? Check custody, recordkeeping, reconciliation, assurance evidence, and insolvency treatment.
  5. How can I exit or recover? Verify redemption terms, restrictions, fees, timing, suspension powers, and the failure procedure.
  6. Where and how does it trade? Understand the venue, price formation, market safeguards, and relevant oversight.

If a seller cannot clearly explain what the token legally represents, who stands behind it, and how you would enforce or recover your claim, treat that uncertainty as a substantive risk—not a technical detail.
