What Publishers Can Do If a Platform Offers Unfair Licensing Terms

A publisher facing an unfavorable platform license can clarify its rights, negotiate concrete terms, document the exchange, and check jurisdiction-specific options before deciding whether to sign.

If a platform’s licensing offer seems unfair, don’t accept or reject it on that label alone. First establish which rights you control, exactly what the platform wants to do with the content, and what the publisher would receive. Then negotiate specific changes, document the discussions, and compare the proposed terms with the business value of distribution and the consequences of walking away. Legal or collective bargaining routes depend on the publisher’s jurisdiction, the platform, and the content involved.

What should you check before responding?

Treat the offer as a contract proposal to evaluate, not as proof that the platform has acted unlawfully. Whether a term is unfair in a legal sense depends on the applicable law and the contract; a publisher can still decide that a commercially unattractive term is not worth accepting.

  1. Map the rights. Identify who owns or controls each item of content. Separate rights the publisher owns from those it may license only with permission from an author, agency, freelancer, or another rights holder. Review existing agreements for restrictions or promises that could conflict with the proposed license.
  2. Define the requested uses. Check which content, services, territories, and formats the offer covers. Distinguish among uses such as indexing, displaying links or excerpts, reproducing full text, syndication, model training, and other data uses; do not assume permission for one use includes another.
  3. Identify the exchange. Record what the platform offers, including payment, distribution, tools, or other services, and how any payment is calculated. Determine whether the offer describes a guaranteed amount, a variable formula, or something else.
  4. Check the business alternatives. Estimate the practical value of platform reach and audience referrals, and consider what happens to traffic, revenue, and operations if the publisher declines or limits the deal.

These are contract-review questions, not findings about what any particular publisher’s existing contract permits. The language of that contract and the rights chain matter.

Which terms should you negotiate?

Replace a general objection with specific proposed edits. A comparison of the offer with a revised version—or with declining—can make the trade-offs easier to assess:

Term What to examine or request
Payment Amount or calculation method, what activity triggers payment, reporting periods, and when payment is due.
Scope of use Covered content, services, territories, formats, excerpts or full text, and any permission for data or model training.
Exclusivity and sublicensing Whether the publisher can license the same material elsewhere, and whether the platform can authorize other parties to use it.
Attribution, reporting, and audit How the publisher is credited, what usage and payment information it receives, and whether it can verify the figures.
Term, renewal, and termination How long the license lasts, whether it renews automatically, how either side can end it, and what happens to licensed material afterward.
Takedown and platform changes How removal requests work and what happens if the platform changes distribution, product features, or access to the service.
Liability and indemnities Which party bears responsibility for claims, and whether the obligations are limited to matters that party can control.

These are negotiation dimensions, not terms that the cited Australian framework requires every license to contain. Consider asking for a narrower license, a shorter term, a non-exclusive grant, clearer usage reporting, or a payment formula tied to measurable activity. Make sure any proposed changes are written into the agreement rather than left as informal assurances.

How should you document the negotiation?

Keep a dated record that lets the publisher understand what was offered, what changed, and what practical effects followed. Preserve:

  • the initial proposal, every draft, and the final executed agreement, if one is signed;
  • emails, meeting notes, and written explanations of payment or usage calculations;
  • available usage, referral, and payment reports, together with the methods used to produce them;
  • evidence of material changes to distribution, access, or platform treatment; and
  • the publisher’s own proposed edits and the platform’s responses.

This record can help distinguish a disagreement about contract meaning from a dispute about rights, competition, or a sector-specific bargaining framework. It can also help the publisher assess the value of the offer and explain its position to counsel, a representative body, or a regulator.

What can a publisher do if negotiations stall?

Possible next steps range from continuing the negotiation to declining the offer. Availability and consequences depend on the agreement and local law.

  • Seek revised terms. Focus on the clauses that create the greatest rights or business risk rather than asking only for a higher payment.
  • Offer a narrower license. If the publisher controls the relevant rights, it may propose limiting the covered content, uses, territory, duration, or exclusivity. Check that the publisher is authorized to make that grant.
  • Explore collective representation. A group may provide a shared negotiating channel, but publishers should check competition-law rules before coordinating. Permission granted to a particular organization or group does not automatically authorize another arrangement.
  • Use a formal route where available. Confirm that the publisher, content, platform, and transaction qualify under the applicable law or dispute process before relying on it. A law that creates a bargaining process does not necessarily require every platform to negotiate with every publisher or accept the publisher’s requested price.
  • Decline or use other channels. Compare the cost of giving up the proposed distribution with the rights and obligations in the offer. Do not assume content can be withdrawn without contractual, technical, or commercial consequences.

What does the Australian bargaining framework provide?

Australia is a jurisdiction-specific example, not a general rule for publishers elsewhere. The Australian Competition and Consumer Act provides a bargaining process when statutory notice and coverage conditions are met, and includes provisions concerning arbitration over remuneration. The legislation controls eligibility and process; the Act’s text should be consulted alongside the regulator’s summary.

The Australian Communications and Media Authority (ACMA) says the code enables eligible news businesses to bargain individually or collectively over payment for news included on platforms and services. The code applies only to platforms designated by the Treasurer. ACMA’s page, last updated 3 September 2026, said no platform had been designated at that time. A publisher considering this route should confirm its eligibility and check the current designation status rather than assume the framework applies to a particular negotiation. See ACMA’s code overview for its description of eligibility assessment, mediation, and appointment of arbitrators in specified circumstances.

Collective bargaining also has a competition-law dimension. The Australian Competition and Consumer Commission (ACCC) reports specific authorisations for Country Press Australia and Commercial Radio Australia to bargain with Google and Facebook, and two class-exemption notices lodged for 23 small publishers. These examples relate to named Australian arrangements; they do not establish that a different group or license is automatically permitted. The ACCC’s page also reports that a 2022 review counted over 30 commercial agreements between Google, Meta, and a cross-section of Australian news businesses. That historical count does not show typical payment, whether terms were fair, or whether similar deals are currently available. See the ACCC’s code information.

What should publishers know about the proposed Australian incentive?

An Australian Government release dated 28 April 2026 described draft News Bargaining Incentive legislation as open for consultation. It said the proposal would encourage commercial deals with eligible publishers and charge platforms that did not make deals; the release also said it was intended to address a limitation in the earlier code relating to platforms removing news. That is the government’s description of a proposal at that date, not evidence that it became law or is currently in force. Check the bill’s present status before relying on it. The release is available from the Prime Minister of Australia.

What if the publisher is outside Australia?

Do not assume the Australian code, authorisations, or proposed incentive applies. Start with the rules governing the publisher, the platform service, the content, and the contract. A UK government-commissioned report discusses policy options including regulator determinations of fair and reasonable payment and binding arbitration. It notes that administrative determinations can be costly and time-consuming, while arbitration may sometimes produce a faster outcome. Its description of Australia reflects conditions as of October 2021, so it should not be used to establish current Australian designation or law. Read the UK report as a discussion of policy options, not as a route automatically available to an individual publisher.

For an individual dispute, the publisher’s jurisdiction, content category, rights chain, contract language, and platform conduct determine which options may be available. A lawyer experienced in the relevant jurisdiction can assess those facts and the consequences of signing, narrowing, or rejecting the offer.
