Nvidia’s market capitalization is the market value assigned to its outstanding equity: share price multiplied by the number of shares outstanding. It is a time-specific snapshot—not the company’s cash, assets, earnings, enterprise value, or a verdict on whether its stock is a good investment.
How market capitalization is calculated
The formula is share price × total shares outstanding. The SEC’s Investor.gov defines market capitalization as a corporation’s value determined by multiplying the current public market price of one share by the number of total outstanding shares (SEC Investor.gov).

For example, a share price multiplied by the company’s outstanding share count produces an equity-market value at that point in time. The result moves when the share price or share count changes. Issuing shares or repurchasing them can change the count; a stock split changes the price and count proportionally and, by itself, does not change total market capitalization.
What Nvidia’s reported figure means
Nvidia’s FY2026 Form 10-K reported approximately $4.0 trillion as the aggregate market value of voting stock held by non-affiliates on July 25, 2025, using Nasdaq’s closing sales price that day. The filing excludes 1.0 billion shares held by directors and executive officers from this non-affiliate statistic. It is a dated SEC disclosure about a specified share scope, not a current total-market-cap quote (Nvidia FY2026 Form 10-K).

- AI Performance: 767 AI TOPS
- OC mode: 2632 MHz (OC mode)/ 2602 MHz (Default mode)

- Axial-tech fan design features a smaller fan hub that facilitates longer blades and a barrier ring that increases downward air pressure
- A 2.5-slot design maximizes compatibility and cooling efficiency for superior performance in small chassis
The same filing separately reported 24.3 billion common shares outstanding as of February 20, 2026. That count has a different date and scope from the July 2025 non-affiliate market-value figure; combining them would not yield a synchronized calculation. The SEC filing index dates the FY2026 10-K to February 25, 2026 (SEC filing index).
Nvidia’s FY2025 Form 10-K reported approximately $2.7 trillion for voting stock held by non-affiliates as of July 26, 2024, based on that day’s Nasdaq close (Nvidia FY2025 Form 10-K). Like the later disclosure, it is a historical, date-specific measure—not a live valuation. The two figures should not be treated as a precise like-for-like growth comparison without aligning timestamps and share-count scope.

What market cap does—and does not—tell you
- It measures equity-market value. It reflects the market price assigned to the shares multiplied by the relevant outstanding-share count.
- It is not the cost to buy the whole company at that displayed value. A very large purchase could move the share price, so multiplying a quoted price by all shares does not establish the price at which every share could be acquired.
- It is not enterprise value. Enterprise value is a separate measure that adjusts equity value for debt and cash; market cap alone does not show how much debt or cash Nvidia has.
- It is not an operating or balance-sheet measure. It does not state the company’s assets, revenue, profit, or cash. Those require financial statements and other metrics.
- It is not an investment verdict. A large market cap alone does not establish that a stock is cheap, expensive, safe, or certain to keep growing.
Market prices can change as investors revise expectations. Nvidia’s FY2027 Q2 filing discusses market-price volatility for publicly held equity securities in the context of its investment holdings; that disclosure is not a direct statement about NVDA’s own valuation (Nvidia FY2027 Q2 Form 10-Q).

How to compare Nvidia’s market cap fairly
Before comparing Nvidia with another company or with its own value on another date, check that the figures use compatible conventions:
Rank #3
- Powered by the NVIDIA Blackwell architecture and DLSS 4. System Requirements: Minimum 850W PSU with 16-pin 12V-2x6 (12VHPWR) connector required. Verify before purchasing.
- Military-grade components deliver rock-solid power and longer lifespan for ultimate durability. Compatibility: 348mm (13.7") length, 3.6 slots, 4.3 lbs. Confirm case clearance and slot spacing. GPU bracket included.
- Protective PCB coating helps protect against short circuits caused by moisture, dust, or debris
- 3.6-slot design with massive fin array optimized for airflow from three Axial-tech fans
- Phase-change GPU thermal pad helps ensure optimal thermal performance and longevity, outlasting traditional thermal paste for graphics cards under heavy loads
- Timestamp: Compare the same market close or identify the exact times used.
- Share-count basis: Distinguish total shares outstanding from public-float or non-affiliate shares, and basic from diluted counts where relevant.
- Security scope: Confirm whether the figure covers common equity, voting stock, or another share class.
- Currency and market convention: For cross-listed companies, account for currency conversion and the market-price convention used.
- Purpose: Use market cap to compare equity scale, enterprise value for a debt-and-cash-adjusted view, and financial-statement measures for operating performance or balance-sheet resources.
Where to check Nvidia’s investor information
Nvidia’s investor FAQ identifies NVDA as its ticker and points readers to investor information (NVIDIA Investor Resources FAQ). A current market-cap figure requires a share price and share count tied to clear dates and conventions. The dated Form 10-K values above should not be presented as current quotes.
