Large deals may finance a powered campus, a batch of compute equipment, or both. Lenders and investors are repaid from rent or compute revenue only if the infrastructure is completed, usable and earning enough to meet its obligations.
Why a data center and its GPUs are financed differently
“AI infrastructure” covers assets with very different useful lives and risk profiles. Land, buildings and power systems can support operations for much longer than a generation of GPUs. A financing plan may therefore separate the campus from the equipment rather than treat a data center as one undifferentiated asset.

- Campus and power: Financing can cover land or site rights, construction, electrical infrastructure, cooling and related facilities. Project-style debt may be supported by those assets and contracted rent or capacity revenue.
- Compute equipment: GPUs, servers and networking can be financed with loans secured by the equipment, institutional debt, leases or customer prepayments. Faster hardware refresh creates a risk that equipment resale value or usefulness will fall before the debt is repaid.
- Integrated capacity: A deal can connect a facility or equipment financing to a customer contract for rent or compute capacity. That contract can make future cash flows more predictable, but its value depends on the customer’s credit, contract terms and the facility’s ability to deliver.
These structures are not interchangeable. A long-term lease on a powered campus does not remove the risk that separately financed GPUs become obsolete, and equipment collateral does not ensure that a site has power or can deliver contracted capacity on schedule.

- Define the asset and borrower. A sponsor identifies whether the funding is for a site, a construction phase, equipment or an integrated project. It may place a campus and power rights in a project company, while borrowing is raised by that entity or another operating company.
- Secure a customer or capacity commitment. A tenant lease or compute contract gives lenders a basis for assessing future revenue. They examine the term, payment obligations, termination rights, customer credit and any parent guarantee.
- Arrange the capital stack. The sponsor may combine equity with secured debt, leases, customer prepayments or other capital-market funding. The mix depends on the assets, contracts and risks being financed.
- Allocate construction and operating risks. Financing documents specify who must complete the project, who bears overruns, what assets secure the debt, whether a parent provides support, and how and when principal is repaid.
- Deliver capacity and service the obligations. Construction, power access and equipment delivery must align with the customer’s needs. Once the facility or equipment is usable, rent or compute revenue can fund operating costs and scheduled debt payments.
The structure matters as much as the headline financing amount: the legal borrower, collateral, guarantees and payment schedule determine who is exposed if construction slips or expected revenue does not arrive.

Three disclosed transactions illustrate different layers of financing
The examples below are company-specific announcements, not standard terms for AI infrastructure deals. Their disclosed amounts and conditions should not be read as directly comparable prices for equivalent assets.
| Transaction | Asset and financing | Disclosed repayment or support | Schedule or other terms |
|---|---|---|---|
| Cipher Mining’s Black Pearl project (2026) | Cipher disclosed $2.0 billion of secured debt through a wholly owned project issuer to fund construction of a 300 MW gross data center for Amazon. | The transaction summary describes a 15-year lease, mandatory amortization from lease payments, a parent completion guarantee and an Amazon parent guarantee for rent and operating expenses. Amazon also covers certain construction cost overruns above a stated threshold; the threshold amount is not stated in the summary. | The disclosed material identifies the customer and construction purpose; a delivery date is not stated here. |
| IREN GPU financing program (2026) | IREN announced a $3.65 billion GPU financing program. It disclosed a $1.5 billion delayed-draw term loan from bank lenders and $2.1 billion in senior notes sold to institutional investors. | IREN said the facility together with customer prepayments funded $5.59 billion of $5.81 billion in GPU capital expenditure under a Microsoft contract, approximately 96%, and reported an average financing cost of 3.31%. These are IREN’s reported figures for this program, not a general borrowing rate. | The disclosed figures concern GPU capital expenditure under the Microsoft contract; a facility delivery schedule is not stated here. |
| Galaxy Helios first phase (2025) | Galaxy announced a $1.4 billion project financing facility for the first phase of its Helios campus, at 80% loan-to-cost. | The announcement described security over assets associated with that phase. | Galaxy announced a 36-month term and said the first phase was expected to supply power to CoreWeave beginning in early 2026. That forecast date has passed; the announcement alone does not establish whether delivery occurred. |
The Cipher example shows how a campus construction loan can be tied to a long lease and completion support. IREN’s example instead centers on financing GPUs, with customer prepayments contributing to the equipment budget. Galaxy’s announcement describes phase-specific campus debt with a stated loan-to-cost and term. A guarantee or customer contract can improve a deal’s financeability, but neither makes repayment certain.
What lenders and investors assess
Customer revenue and counterparty strength
For a contracted project, financiers assess who has signed to rent the facility or buy capacity, how long the contract lasts, whether the customer can terminate, and whether a parent backs the payment obligations. A strong customer commitment can support borrowing, while also concentrating exposure in that customer. NVIDIA’s risk disclosures note that weaker compute demand or prices can reduce revenue share and that partners may default; delivering hardware alone does not guarantee profitable use.

- Space Saving: Maximum depth: 14.8". Use the wall mount network cabinet to maximize available space for retail locations, classrooms, back offices, network cabinets, and other locations where space is limited.
- Fast Heat Dissipation: The server cabinet is designed with vents to optimize airflow and avoid critical IT equipment overheating. Heat sink holes in the top, bottom, and rear panels are more conducive to heat dissipation.
- Sturdy Construction: Robust welded frame construction for durability and long service life. With 100 lbs wall-mounted load capacity and 200 lbs ground-mounted load capacity, you can place multiple devices in the server rack cabinet as needed.
- High Security: The locked glass door ensures the security of data and equipment. Wall mount rack enclosure server cabinet is ideal for use in public places such as offices, effectively protecting the security of your devices.
- Hassle-free Installation: Fully adjustable square-hole mounting rails of the wall mount server cabinet facilitate device installation. Wiring holes on the top, bottom, and rear panels provide you with easy cable routing.
Power, permits and completion
A project cannot earn contracted revenue if it cannot be built and energized in time. JPMorgan identifies power availability, supply-chain constraints and permitting timelines as risks that can extend projects and affect financing. Lenders therefore care about whether power is available and deliverable, permits are in place, construction is progressing and long-lead equipment can arrive when needed. Delays can defer the cash flow intended to service debt.
Collateral, asset life and obsolescence
Buildings and power systems generally have a different useful life from GPUs. For equipment-backed borrowing, lenders must consider resale value, whether hardware can be redeployed to another customer, and the remaining debt if demand or chip economics change. If the equipment loses value faster than the loan balance declines, collateral may not cover the debt after a disruption.
Borrower, recourse and repayment terms
“Project finance” alone does not tell a reader whether the sponsor is protected from repayment claims. The relevant details are the named borrower, lien package, parent or project-level guarantees, reserves, covenants and amortization schedule. A completion guarantee can address certain delivery obligations; a rent guarantee can support specified payments. Neither should be assumed to cover every project loss or every borrower obligation.

Cost overruns and demand weakness
Financing documents allocate the cost of construction overruns and define what happens if a project is late or more expensive than expected. A customer may cover some overruns, as in the threshold-based support described for Black Pearl, but that does not establish who bears all other increases. On the operating side, lower demand, falling compute prices or customer default can leave capacity underused and reduce the revenue available for debt service.

How large is the funding need?
Forecasts help explain why operators seek more than one source of capital, but they are estimates rather than realized spending. JPMorgan estimated that the five largest U.S. hyperscalers would spend $697 billion on capital expenditure in 2026. Separately, a Columbia-hosted paper attributes to Morgan Stanley Research a 2025 estimate that outside capital would fund more than half of roughly $2.9 trillion in hyperscalers’ additional compute investment needs over 2025–2028. That is a secondary attribution in the paper, not a directly presented Morgan Stanley forecast in the material summarized here.
The Columbia-hosted paper describes hyperscalers as using internal equity for IT equipment while a larger share of external debt is linked to data-center construction and power infrastructure. It also discusses off-balance-sheet ownership and lease-based or asset-backed GPU financing. The mix varies by company and transaction; the estimates do not imply that every operator will borrow in the same way.

A practical way to compare two financing announcements
Do not compare deals by headline size alone. Check what is being financed and who carries the risk if something goes wrong:
- Asset: Is the financing for land and power, a construction phase, GPUs and servers, or a combination?
- Borrower and recourse: Which entity owes the debt? What assets are pledged, and are there parent guarantees or other sponsor obligations?
- Revenue contract: Is there a signed customer, what is the term, and what payments or termination rights are disclosed?
- Readiness: Are permits, power delivery, construction and equipment supply sufficiently advanced to support the expected start of revenue?
- Debt burden: What are the loan-to-cost, term and amortization requirements, and when do principal payments begin?
- Risk allocation: Who bears overruns, delays, weaker demand, customer default and declining equipment value?
If an announcement omits one of these items, treat it as undisclosed rather than assuming the deal has a favorable term. For example, a large secured loan says little on its own about the amount of equity invested, the full set of guarantees or how much time the borrower has to repay.
