For a stop-loss sell order, that price is a trigger—not a guaranteed sale price, and it cannot guarantee a maximum loss.
What is a stop-loss order?
A stop-loss order is an instruction to a broker to buy or sell a stock once its price reaches a specified level, called the stop price. For an investor who owns shares and wants to set an exit in advance, the usual form is a sell stop with a stop price below the stock’s current market price. A buy stop is generally set above the current market price; it may be used to manage a short position. The basic definition is also summarized in Investor.gov’s stop order glossary.

“Stop-loss” can sound as if the order fixes the size of a loss. It does not. A regular stop order becomes a market order when triggered. The stop price determines when the order is activated; it does not set the price at which the shares must sell. The SEC staff’s investor bulletin states: “The stop price is not the guaranteed execution price for a stop order.” The bulletin, updated August 18, 2026, covers stocks and explains stop, stop-limit, and trailing stop orders.

1. You specify the trigger
You enter the stock, quantity, order type, and stop price through your brokerage. The broker’s rules determine what price information is used to decide whether the stop has been reached. Firms may use the stock’s last-sale price or a quotation price, and not every firm offers every stop order type. Do not assume that a stop triggers in exactly the same way across brokers; check the current order ticket and the firm’s explanations. The SEC describes these differences in its stop-order bulletin.

2. Reaching the trigger activates the order
Once the broker’s trigger condition is met, a regular stop order becomes a market order. It is then sent for execution. A market order seeks execution, but the price can change between entry, routing, and execution; execution is not instantaneous. Investor.gov explains this process in its overview of how an order is executed.
3. The execution price can differ from the stop
If the market is moving quickly or available liquidity is limited, the market order may execute at a price materially different from the stop price. A stock can move through the trigger before the order is filled. As a result, a stop order does not promise a particular sale price, and the eventual loss may be larger than an investor expected from comparing the stop price with the purchase price.
A brief intraday move may also reach the trigger even if the stock later closes at a more favorable price. The stop reacts to its trigger condition, not to what the stock does by the end of the day. That distinction matters when considering whether a price level fits the investor’s plan: a temporary movement may activate an order that otherwise would have remained inactive.

How do you set a stop-loss order?
Broker interfaces differ, so there is no single menu path that applies everywhere. The following is a generic sequence for a U.S. stock order. Use the labels and current instructions shown by your own brokerage rather than assuming that another firm’s controls or defaults apply.
- Choose the position and direction. Decide whether you are placing a sell order for shares you own or a buy order to manage a short position. Confirm the stock and the number of shares. A sell stop for an owned position is generally below the current market price; a buy stop is generally above it.
- Select the order type. In the order ticket, select a stop or stop-loss order if you want the trigger to activate a market order. If you are considering a stop-limit instead, verify whether the ticket asks for both a stop price and a limit price, and understand that the order may not fill.
- Enter the stop price. Enter the trigger level you have chosen. The stop price is an activation condition, not a promised execution price. No universal stop percentage or formula is established for all investors; the SEC bulletin cautions readers to think carefully about the level without prescribing one for everyone.
- Review how and when it can trigger. Check whether the broker uses last-sale prices, quotation prices, or another stated standard. Review the supported trading sessions and order duration shown in the broker’s materials. These details can affect whether and when the order is eligible to activate.
- Inspect the summary before submitting. Confirm the security, buy-or-sell direction, quantity, order type, stop price, and any additional price field. Read the broker’s order summary rather than relying on a shorthand name such as “stop-loss.”
- Confirm acceptance and check status. Do not assume the order is active until the broker confirms it. Verify its status in the account, and revisit it if the position or the plan changes. Broker handling differs, so rely on the firm’s current status information and order terms.
The order-entry steps do not determine what stop price is suitable. That depends on the investor’s objectives and circumstances, and the cited SEC material does not endorse a standard percentage. Treat the stop as an instruction with specific trigger and execution behavior, not as insurance that a loss will be capped.
Stop order vs. stop-limit vs. trailing stop
The main differences are whether the investor sets a boundary on the execution price and whether the order can remain unfilled after its trigger. A regular stop seeks execution through a market order but does not control the fill price. A stop-limit adds a price constraint but can fail to execute. A trailing stop adjusts its trigger as the market moves favorably, but still carries trigger and execution risks.

| Order type | What happens when triggered | Price control | Main tradeoff |
|---|---|---|---|
| Stop (stop-loss) | Becomes a market order at the stop price. | No guaranteed execution price. | Seeks execution after triggering, but the fill can differ materially from the stop price. |
| Stop-limit | Becomes a limit order at the stop price. | The limit constrains the permitted execution price. | The order may remain unfilled if the market moves away from the limit. |
| Trailing stop | The stop price follows favorable price movement by a specified dollar or percentage distance; it stays fixed when the price turns against the position. | It does not guarantee the eventual execution price. | The moving trigger can be reached on a short-term move, and the resulting execution can differ from the trigger. |
These are different tradeoffs, not levels of protection that eliminate risk. A regular stop does not guarantee a price; a stop-limit can control its permitted price but leave the investor holding the position if it does not fill. For more on stop-limit mechanics, see the SEC’s Understanding Order Types bulletin.

A stop-limit combines a stop trigger with a limit order. When the trigger is reached, the order becomes a limit order rather than a market order. The limit price sets the price boundary for the order; it does not make a trade happen at that price. If the market moves away and no execution is available at a price permitted by the limit, the order may remain unfilled.
This creates a choice between two different risks. With a regular stop, the order becomes a market order and the execution price is not controlled. With a stop-limit, the permitted price is controlled, but execution is not assured. Neither type guarantees a maximum loss. The SEC’s order-type guidance explains this tradeoff for stocks; its mechanics should not be assumed to apply identically to other asset classes or every trading venue.

How does a trailing stop work?
A trailing stop adjusts its stop price as the stock moves in a favorable direction, by a dollar amount or percentage selected in the order. If the price then turns against the position, the stop price stays at its most recently established level rather than moving farther away. Once triggered, it retains the ordinary risks of a stop order: the trigger is not the execution price, and a brief move can activate it.
The SEC bulletin gives a hypothetical illustration, not a recommendation: a stock bought at $20 rises to $24, and a trailing stop with a $1 trail can remain at $23 after the price turns down. The figures demonstrate the arithmetic of a trailing amount. They are not performance data, a suggested setting, or a promise that a sale will occur at $23.

What can go wrong, and what should you check?
- The stock briefly touches the trigger. A temporary intraday move can activate a stop even if the stock later closes at a better price. The broker’s stated trigger standard determines what price observation counts.
- The fill is worse than the stop price. A stop becomes a market order after activation, and market prices can move before execution. The stop price is not a floor or ceiling on the resulting fill.
- A stop-limit does not fill. If the market moves away from the limit, the order may remain open without an execution. Price protection and the chance of an execution are separate considerations.
- The broker’s trigger rule differs from what you expected. Check whether triggering is based on a last sale or quotation price, along with the firm’s current order terms.
- The order is unavailable or not active. Firms can differ in which order types they support and how they handle them. Confirm the broker’s acceptance and check the order’s status rather than assuming it is in force.
- The session or duration does not match your expectation. Review which sessions the order supports and how long it remains in effect. The available settings are firm-specific; do not infer them from a generic explanation of stop orders.
The cited material concerns U.S. investor education about stocks. It does not establish that the same rules apply to options, futures, crypto assets, every venue, or every brokerage. For those products, check the relevant broker and market rules instead of carrying over stock-specific mechanics.

How to think about the choice
Before submitting an order, separate three questions that are easy to conflate: what event should activate the order, what kind of order should follow that event, and what uncertainty remains after activation. A stop price addresses the first question. Choosing a regular stop or a stop-limit addresses the second. Neither removes the market and execution uncertainty in the third.
- If the priority is to have a market order activated after the trigger, a regular stop is the relevant structure, but the execution price is not set in advance.
- If the priority is to place a boundary on the execution price, a stop-limit adds that boundary, but the order can remain unfilled.
- If the priority is to have a stop level move with favorable price changes, a trailing stop adjusts the trigger by a chosen distance, but it does not remove the possibility of a short-term trigger or a different fill price.
These descriptions explain order mechanics rather than recommend an order type or a trigger level. An order can automate a response to a specified price condition; it cannot guarantee that the response will occur at a chosen price or produce a particular maximum loss.
