What Is a Collective Investment Scheme Under SEBI Rules?

A SEBI Collective Investment Scheme requires pooled contributions, a return objective, management for investors and no day-to-day investor control. Here is how the test, exclusions, filing process and investor warnings work.
Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Under section 11AA of the SEBI Act, a Collective Investment Scheme (CIS) exists only when four conditions apply together: investors’ money or contributions are pooled, investors seek profits or another specified return, the property or investment is managed for them, and they lack day-to-day control over management.

That legal test is separate from a product’s marketing name. SEBI’s CIS Regulations, 1999 provide the regulatory framework, but the regulations listing shows amendments through December 5, 2025. SEBI’s detailed FAQ reflects amendments made in May 2022, so current compliance questions should be checked against the consolidated regulations.

The legal meaning of a CIS

Section 11AA of the Securities and Exchange Board of India (SEBI) Act defines a Collective Investment Scheme by its substance rather than by the label used in a brochure, app or website. SEBI’s FAQ describes a CIS as a scheme or arrangement satisfying all the conditions in section 11AA(2).

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The conditions are cumulative. Pooling money alone does not automatically create a CIS, and neither does a promise of profit. Classification depends on how the arrangement is structured, who controls the assets, what investors expect to receive and whether a statutory exclusion applies.

— Securities and Exchange Board of India, CIS FAQs pursuant to the May 2022 amendments

The four-part test under section 11AA

1. Contributions or payments are pooled

Investors must contribute money or make payments that are collected together for the arrangement. The relevant question is whether the contributions form a common pool used for the scheme, rather than remaining completely separate transactions controlled individually by each participant.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Pooling can involve money, property or another form of contribution. The statutory analysis concerns the economic arrangement, not whether the promoter calls the payment a membership fee, deposit, purchase price or participation charge.

2. Investors contribute to receive a specified benefit

Investors must contribute with a view to receiving profits, income, produce or property. The benefit may be financial income, a share of profits, agricultural or other produce, or movable or immovable property.

This element focuses on the investor’s objective. A scheme can raise a CIS question even when it does not use the words “return” or “investment,” if participants are contributing in expectation of one of the benefits identified in section 11AA.

3. The property, contribution or investment is managed for investors

The pooled property, contribution or investment must be managed on behalf of the investors. In practical terms, a promoter, manager or operating company makes decisions about the assets or activity for the participants’ collective benefit.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Look at the documents and actual conduct: who selects assets, enters contracts, deploys the money, collects income, handles expenses and decides when or how the assets are sold. The name of the manager and the description in advertising are less important than the rights and responsibilities established by the arrangement.

4. Investors do not have day-to-day control

Investors must lack day-to-day control of the arrangement’s management and operation. They may receive reports, vote on limited matters or have contractual rights without managing daily activities themselves.

The question is practical control, not merely the existence of a voting clause. If participants genuinely operate the business or control the relevant property on a daily basis, this part of the statutory test may point away from CIS treatment. A superficial right to approve major decisions does not necessarily amount to day-to-day management.

Why all four conditions must be considered together

SEBI presents the four features as a combined test. An arrangement that pools payments but gives each customer direct control over a separately owned asset may not satisfy every element. Conversely, an arrangement that avoids the word “investment” may still require analysis if it pools contributions, is managed for participants and promises profits, income, produce or property.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

There is no safe classification based solely on a label such as “membership,” “land package,” “cooperative,” “deposit” or “project participation.” The legal assessment should examine the contracts, cash flows, control rights, asset ownership, promotional statements and actual operation.

Arrangements SEBI lists as outside the CIS definition

SEBI’s FAQ identifies statutory categories that are not treated as CIS. These are exclusions created by law, not general analogies that any promoter can claim.

Category listed by SEBI What the exclusion means Important boundary
Arrangements made or offered by cooperative societies Specified cooperative-society arrangements fall outside CIS treatment. A commercial venture does not become a cooperative-society arrangement merely because it uses cooperative language.
Certain deposits accepted by NBFCs or under company-deposit rules Deposits covered by the applicable non-banking financial company or company-deposit provisions are excluded. The relevant deposit law and the entity’s legal status must actually apply.
Insurance contracts Insurance contracts are not CIS arrangements. A product that only resembles insurance, without being an insurance contract governed by the applicable framework, does not automatically qualify.
Specified employee provident-fund, pension or insurance schemes Employee benefit schemes falling within the stated statutory categories are excluded. The scheme must fit the specified employee-benefit category.
Deposits accepted by Nidhis or mutual-benefit societies Deposits within the relevant Nidhi or mutual-benefit framework are excluded. Calling an enterprise a Nidhi or mutual-benefit society is not enough if the legal requirements are absent.
Chit businesses Chit arrangements covered by the applicable chit-business law are excluded. A rotating contribution plan outside that legal framework cannot rely on the label alone.
Contributions in the nature of mutual-fund subscriptions Mutual-fund subscriptions are treated under the mutual-fund framework rather than as CIS contributions. The arrangement must genuinely be a mutual-fund subscription, not merely use similar terminology.

SEBI warns that particular cases may depend on administrative decisions or court orders. Therefore, an exclusion should be tested against the exact statute and facts rather than inferred from a marketing comparison.

Who operates a CIS?

SEBI defines a Collective Investment Management Company (CIMC) as a company registered under the CIS Regulations whose object is to organise, operate and manage a CIS. The CIMC is the operating entity through which a regulated scheme is structured and administered.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

SEBI’s FAQ says a registered CIMC may launch public schemes after trustee approval, credit rating, appraisal by an appraising agency, prescribed disclosures and filing the offer document with SEBI. The FAQ describes a 21-day period after filing: if SEBI suggests no modifications during that period, the CIMC is entitled to issue the offer document.

That description is attributed to the FAQ issued pursuant to the May 2022 amendments. Because SEBI’s regulations listing records further amendments through December 5, 2025, anyone preparing or relying on an offer should confirm the exact current approval, filing, disclosure and timing requirements in the consolidated regulations.

Scheme duration, returns and structure

Closed-ended schemes

SEBI’s FAQ states that CIS schemes are closed-ended and have a duration of at least three calendar years. “Closed-ended” means investors generally enter for a defined term rather than receiving an open-ended redemption facility on demand. The precise operating, exit and winding-up provisions must be read from the current scheme documents and regulations.

No guaranteed or assured returns

The FAQ says a CIS cannot offer guaranteed or assured returns. A promise that investors will receive a fixed amount regardless of the scheme’s performance would therefore be a serious warning sign when assessing a purported CIS.

Indicative returns

The FAQ allows an indicative return to be stated in the offer document if it has been assessed by the appraising agency and is expressed in monetary terms. An indicative figure is not a guarantee. It describes an assessment under stated assumptions, not an assurance that the investor will receive that amount.

These duration and return statements come from the FAQ and should be checked against the post-May-2022 consolidated regulations before being used for current compliance advice.

SEBI filing is not approval or a safety certification

Submitting an offer document to SEBI does not mean that SEBI has cleared or approved the scheme. It also does not mean that SEBI has verified the scheme’s financial soundness or accepts responsibility for every statement or opinion in the document.

“It is to be distinctly understood that submission of offer document to SEBI should not in any way be deemed or construed that the same has been cleared or approved by SEBI.”

— Securities and Exchange Board of India, CIS FAQs pursuant to the May 2022 amendments

This distinction matters when reading a disclosure document. Filing indicates that a document has been submitted through the regulatory process; it is not a promise that capital will be repaid, returns will be earned or the promoter is financially safe. Investors still need to examine the assets, risks, fees, conflicts, liquidity, valuation assumptions and the entity’s ability to perform its obligations.

How to assess whether an arrangement may be a CIS

The following sequence organizes the statutory questions. It is a screening framework, not a legal opinion.

  1. Identify every contribution. List the money, property, subscription, fee or other payment made by participants and determine whether those contributions are combined.
  2. Identify the promised or expected benefit. Check whether investors are seeking profits, income, produce, movable property or immovable property, whether expressly promised or implied by the arrangement.
  3. Trace management responsibility. Determine who selects investments, operates the project, holds or uses the property, collects receipts and makes material decisions for participants.
  4. Test actual control. Establish whether investors manage daily operations themselves or merely receive information and exercise limited or occasional rights.
  5. Check every statutory exclusion. Compare the arrangement with the specific categories for cooperative societies, qualifying deposits, insurance, employee benefit schemes, Nidhis or mutual-benefit societies, chits and mutual funds.
  6. Identify the governing framework. If an exclusion applies, determine which law and regulator govern the product. If no exclusion applies and all four section 11AA conditions are present, obtain advice on the CIS Regulations and registration status.
  7. Verify current status. Check SEBI’s live records and the current consolidated regulations rather than relying only on an older FAQ or a promoter’s statement.

Registered and unregistered arrangements: investor recourse

For an investment involving a registered CIMC, SEBI’s FAQ directs the investor to approach the company first through its grievance-redressal process. If the response is unsatisfactory, the investor can escalate through SEBI’s SCORES platform, subject to the current platform instructions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For an unregistered CIS, the FAQ says a complaint may be sent to a SEBI office. Contact routes and submission instructions can change, so investors should confirm the current process on SEBI’s official channels before sending documents or personal information.

A complaint route does not eliminate investment risk or guarantee recovery. Preserve the offer document, application forms, payment records, account statements, correspondence, advertisements and the names of the entities involved.

What the December 5, 2025 amendment date means for readers

SEBI’s current regulations listing shows the CIS Regulations, 1999 as last amended on December 5, 2025. The detailed FAQ considered here is expressly connected to amendments made in May 2022. The FAQ remains useful for understanding the four-part test, exclusions and the filing disclaimer, but a current scheme’s obligations may reflect later amendments.

For that reason, do not treat the FAQ’s 21-day filing description, three-calendar-year minimum, closed-ended structure or indicative-return treatment as a substitute for checking the operative consolidated text. Entity-specific claims also require verification of the entity’s present registration and any relevant administrative or court decisions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Practical warning signs for prospective investors

  • The promoter says “filed with SEBI” as if that means SEBI approved the investment.
  • The arrangement promises an assured or guaranteed return while describing itself as a CIS.
  • The documents avoid identifying who manages pooled assets or how investor money is used.
  • The promoter relies on a label such as cooperative, deposit, chit or insurance without identifying the governing statute and regulator.
  • The product claims that investors have control, but the contracts give them no practical role in daily operations.
  • The entity refuses to provide its registration details, offer document, trust arrangements, risk factors or audited information.
  • The scheme’s current terms conflict with the latest consolidated regulations or cannot be reconciled with the December 5, 2025 amendment history.

The central takeaway

A CIS under SEBI rules is determined by four cumulative facts: pooled contributions, an expectation of profits, income, produce or property, management on investors’ behalf, and no day-to-day investor control. Specific statutory exclusions can remove an arrangement from the CIS category, but a product’s name or resemblance to an excluded category is not decisive.

SEBI’s FAQ describes the role of a registered CIMC and outlines requirements such as trustee approval, rating, appraisal, disclosures and offer-document filing. It also makes the most important investor-protection point clear: filing an offer document is not SEBI approval, a safety endorsement or a guarantee of financial soundness. Since the regulations were amended through December 5, 2025, current decisions should be based on the consolidated regulations and verified registration information.
