Investors should check what is committed, what is funded or restricted, the cost and conditions of borrowing, and how the amendment changes the company’s obligations.
1. How much capacity is actually available?
Start by separating the headline facility size into distinct amounts. A filing may describe commitments and loans together, while an undrawn revolver, an outstanding letter of credit, and a conditional accordion represent different things.
As an Amazon Associate I earn from qualifying purchases.
- Total commitments: the amount lenders have agreed to make available under the facility, subject to its terms.
- Funded loans: amounts already borrowed. These are debt, not unused capacity.
- Undrawn availability: the amount the borrower may still be able to draw after accounting for loans, letters of credit, and other agreement-defined usage.
- Conditional or incremental capacity: potential additional commitments that may require lender elections, additional commitments, or satisfaction of conditions. Do not count it as available liquidity until those requirements are met.
Also check sublimits, such as limits for letters of credit or swingline borrowings. A sublimit is not necessarily extra capacity on top of the facility’s total commitment.
Expand Energy’s September 30, 2025 filing describes a $3.5 billion unsecured revolving facility and up to $1.0 billion of incremental capacity, subject to receipt of commitments and customary conditions. It also lists a $1.0 billion letter-of-credit sublimit and a $100 million swingline sublimit. Those figures describe different features of that specific facility, not a general rule for revolvers. 2. Did the increase produce cash or change net liquidity?
An increase in commitments is not evidence by itself that the company drew new money. Read the transaction description to see whether the amendment increased commitments, added loans, refinanced existing debt, or combined those actions. Then check the balance sheet and subsequent borrowing disclosures for actual debt and cash balances.
Follow the stated use of proceeds: a facility may support general corporate needs, refinance existing obligations, or provide backup liquidity. To assess the effect on liquidity, compare cash and debt before and after the transaction and account for any amounts used to repay other borrowing. A larger borrowing capacity can improve access to funds without increasing cash on hand.
3. What does the amended facility cost?
Compare the full pricing terms rather than a single interest-rate figure. Review the benchmark and its adjustment, the spread, any rate floor, and the terms for alternative borrowing rates. Separate interest on drawn amounts from fees on unused commitments, and include transaction or amendment fees where disclosed.

For example, Commvault’s April 15, 2025 filing describes an unused commitment fee that ranges from 0.25% to 0.35% per year depending on leverage. That is an issuer-specific term, not a market-wide rate. Commvault Form 8-K
Ares Capital’s May 21, 2026 amendment changed the stated USD Term SOFR formulation as part of a broader amendment. Investors comparing its old and new borrowing cost should review the amendment language, not infer the effect from the facility-size change alone. Ares Capital Form 8-K
4. Did covenants or borrowing conditions change?
Read the amended covenant definitions and the full agreement. A short filing summary may mention that covenants changed without giving enough detail to assess the practical effect.

Determine whether the facility is secured or unsecured, which assets and subsidiaries guarantee or secure it, and the priority of any liens. If collateral-value tests apply, check how the agreement defines eligible collateral and what happens if its value falls.

6. When does capacity expire, and which lenders provide it?
Distinguish the period during which the borrower may draw on a revolving commitment from the final maturity date. Check extension options, any springing maturity triggers, amortization for term loans, and whether different lenders or tranches have different dates.
Ares Capital’s May 2026 amendment extended key dates for lenders that elected to extend; non-electing lenders retained earlier dates. Its filing describes total commitments and loans increasing from approximately $5.312 billion to approximately $5.481 billion. Because that headline combines commitments and loans, the difference should not be described as new cash borrowed. Ares Capital Form 8-K

How to verify an amendment in company filings
- Open the company’s current Form 8-K or equivalent announcement and identify the relevant amendment and effective date.
- Read the attached amendment and full credit agreement. A filing summary may be incomplete, so use the agreement for exact definitions, conditions, covenants, and lender elections.
- Check the latest 10-Q or 10-K for debt balances, liquidity, covenant compliance, and subsequent events.
- Search for later amendments before treating any terms as current.
- Calculate undrawn availability only after deducting outstanding loans, letters of credit, and other usage under the agreement; then verify any borrowing conditions or borrowing-base and collateral limits.
For comparisons between facilities, match currencies, tranches, and effective dates. Compare committed and conditional capacity, drawn and undrawn costs, covenant flexibility, collateral and guarantee scope, maturity structure, and the participating lender group.
What a larger commitment does—and does not—tell shareholders
A larger commitment may improve access to financing, but the headline increase alone does not establish how much is drawable, whether the company borrowed more, what the borrowing costs, or how much flexibility remains under the covenants. Those answers come from the agreement and the company’s subsequent financial disclosures.
Paychex’s January 23, 2026 filing, for example, reports an increase in principal available under its facility from $750 million to $1.0 billion, along with an extended maturity, increased incremental capacity, and amended interest and covenant provisions. The filing is an issuer report of that transaction, not evidence that all of the additional principal was drawn. Paychex Form 8-K
