Before investing in a real estate developer’s IPO, assess whether its projects have secure rights and approvals, whether the company can fund them through completion, and whether it can turn them into sales proceeds or reliable rental income. Start with the issuer’s current prospectus and audited financial statements; a large pipeline or headline profit alone does not establish that the business is deliverable, liquid, or resilient.
Start with the business model and where it operates
“Real estate developer” can mean very different businesses. A residential company may sell completed homes, rely on presales to fund construction, or combine both. A commercial or retail developer may retain properties and earn rent. A mixed business can have both development sales and recurring property income. The right diligence questions depend on which activities drive revenue and cash flow.

Map the issuer’s project types, operating markets, and revenue mix. Identify dependence on particular cities, customer groups, tenants, landowners, or other counterparties. Concentration can make a company more exposed to local demand, permitting conditions, and market changes. In its draft prospectus, Runwal Developers identifies concentration in Mumbai Metropolitan Region and Pune as a risk to sales and leasing; that is an issuer-specific disclosure, not a recommended geographic mix. Read the Runwal draft prospectus hosted by SEBI.
Test whether the project pipeline can actually be delivered
A pipeline or land bank is not the same thing as permitted, funded, completed, profitable inventory. For each material project, use the prospectus’s project tables and subsequent updates to check:
#1 Best Overall
- What land interest or development rights the company owns or controls, and whether they are secured.
- Which approvals and permits are in hand and which remain outstanding.
- Whether the project is proposed, under development, or nearing completion, and the reporting date for that status.
- Expected delivery timing, remaining cost, and the stated source of funding for that cost.
- Whether delivery depends on a joint-development, redevelopment, landowner, government, or other third-party arrangement, and what obligations or disputes may affect it.
Runwal’s draft lists delivery difficulties and disputes connected with development, joint-development, and redevelopment arrangements among its risks. Xinyuan’s 2020 filing describes access to land rights and quality sites as important to its operations. These examples illustrate questions to investigate; they do not establish the status of another issuer’s projects. See Xinyuan’s Form 20-F filed in 2020.
Do not extrapolate from a company-wide project count without checking what it includes and when it was reported. For example, Runwal’s draft prospectus states that, as of June 30, 2025, it was developing 17 ongoing residential projects and listed 15 upcoming residential, four commercial, two organized retail, and three hospitality projects. Those dated counts do not by themselves show approval status, remaining investment, completion probability, or profitability.
Work out whether funding lasts through completion
Development can consume cash well before it produces completed sales or stable rent. Reconcile cash and restricted cash with debt, repayment dates, interest exposure, committed facilities, capital commitments, construction obligations, expected collections, and the planned use of IPO proceeds. Check whether the offer funds growth, repays debt, or includes a sale by existing shareholders; proceeds paid to a selling shareholder do not fund the company’s projects.

Test liquidity against slower sales, delayed delivery, higher construction costs, and difficulty refinancing. A stated facility is not necessarily cash immediately available: check its conditions, expiry, security, covenants, and permitted use. Also determine whether cash held at a project or subsidiary can be moved to meet obligations elsewhere in the group.
Presale cash is not automatically fungible group cash. Xinyuan’s Form 20-F for the fiscal year ended December 31, 2019, filed in 2020, described its property-development business as capital intensive and dependent on bank borrowing, sale and presale proceeds, and debt or equity issuance. It also described restrictions on presale and project cash in its PRC operations, including limits that generally tied proceeds to construction of the relevant project. These are historical, issuer- and jurisdiction-specific disclosures, not a statement of current law elsewhere. For a live offering, the prospectus and applicable local rules control.
Match demand indicators to the income model
Residential sales and presales
Where disclosed, distinguish bookings from signed contracts, cash collections, cancellations, and completed sales. Look at local affordability, competing supply, buyer financing, pricing, and the pace at which units are absorbed. If presales help pay for construction, check the approvals and milestones needed to make sales, how proceeds may be used, and whether collections are keeping pace with project obligations.

Retained commercial and retail properties
For rental assets, examine occupancy or leasing data if reported, lease expiry dates, tenant concentration and credit quality, rent collection, renewal terms, concessions, and operating costs. A high occupancy figure alone says little about tenant durability, rent quality, or upcoming lease expirations. Runwal identifies leasing demand as a risk. Ayala Land’s risk discussion connects tenant attraction and retention with location, tenant pricing, and property-management service; these are company disclosures, not independent assessments of current performance. Compare stated completion dates with actual progress and the remaining work. Review cost-to-complete estimates, contractor and supplier concentration, exposure to labor and material prices, safety risks, and the consequences of delay for customers or partners. Ask whether cost overruns or schedule slippage would require new borrowing, additional equity, or renegotiated commitments.
Runwal’s draft identifies material-price increases, shortages, delays, and project completion among its risks, and notes possible delay-related obligations under applicable Indian real-estate law. The relevance of a legal obligation depends on the offering’s jurisdiction and the project facts; do not apply an India-specific disclosure as a universal rule.
Read earnings alongside cash flow and accounting estimates
Property developers can report uneven results because land purchases, construction progress, completions, sales timing, cost estimates, and revenue-recognition policies vary across periods. Read audited statements and notes rather than relying only on headline or adjusted profit. Track operating cash flow and working capital alongside revenue and earnings.
Pay particular attention to inventory and property under development, debt and interest, commitments, impairments, related-party transactions, and contingent liabilities. Read the revenue-recognition policy and the assumptions used to estimate project revenue and remaining costs. Xinyuan’s 2020 filing said its results could fluctuate with project schedules, property-sale timing, land bank, recognition policies, and changes in land and construction costs; it also described how estimates of total project revenue and cost affected reported results. That is an issuer-specific historical example, not a forecast about another company.
Scrutinize governance and the terms of the offer
The prospectus’s risk factors are a map of disclosed exposures, not a section to skip or a guarantee that every risk has been listed. Connect each material risk to the project tables, financial statements, and management’s explanation of funding and execution. Look for risks that are quantified, and note where the filing gives no estimate.

Also review the background of management and promoters or controlling shareholders; related-party transactions; litigation; auditor opinions and internal-control disclosures; share classes and control rights; dilution; lockups; selling shareholders; and the use of proceeds. Because no country or exchange is specified here, filing duties and investor protections must be checked against the regulator and laws applicable to the particular offer. The Runwal document is a draft prospectus hosted by SEBI, not an endorsement or assurance by the regulator.
Compare issuers on like-for-like evidence
When comparing developers, use common reporting dates and compare the same underlying dimensions. Adjust for geography, business model, accounting policies, project stage, and reporting period; otherwise, apparent differences may not be meaningful.
| Comparison area | What to compare |
|---|---|
| Business and geography | Development sales versus rental income; project types; market and counterparty concentration. |
| Pipeline and rights | Project stages, land and development-right status, approvals, remaining cost, delivery dates, and dependencies. |
| Funding and liquidity | Cash availability, debt maturities, interest exposure, committed facilities, project obligations, and proceeds use. |
| Demand and execution | Sales and collections or leasing and rent collection; delivery history; cost, contractor, and schedule risks. |
| Reporting and governance | Cash-flow quality, accounting estimates, related parties, litigation, controls, ownership rights, and dilution. |
There is no universal weighting, target leverage ratio, or valuation multiple established by these disclosures. A raw land-bank figure, headline revenue, or single debt measure cannot substitute for understanding whether a particular company can complete and monetize its projects.

Use the current offer document, not a generic checklist alone
For a named IPO, use the latest prospectus, audited financial statements, regulator materials, and relevant real-estate law. Compare the issuer’s claims with project-level detail, risk factors, debt maturities, related-party disclosures, use of proceeds, and later updates. A diligence framework can expose unanswered questions; it cannot guarantee investment performance or make an issuer suitable for every investor.
