A failed stock or debt offering does not automatically force a Bitcoin treasury company to sell all its Bitcoin, default, or file for bankruptcy. It means one expected source of liquidity is unavailable. Management must then compare unrestricted cash, operating inflows, payment dates, existing credit, asset sales, collateralized borrowing and spending reductions against the obligations coming due.
If those sources cover bills, the company can continue while changing its financing or investment plan. If they do not, the company may miss a payment, breach a covenant, negotiate a waiver or restructuring, or enter insolvency proceedings. The exact result depends on contracts, collateral, debt seniority, preferred-stock terms, applicable law and the company’s ability to close another transaction.

A failed fundraising attempt is not the same as insolvency
“Cannot raise cash” can describe several different situations. An at-the-market (ATM) equity program may be authorized but produce few or no sales. A proposed bond or convertible issue may be withdrawn. Lenders may decline a new facility, or offer money only at a cost the board considers unacceptable. None of those events, by itself, proves that the company cannot pay its bills.

- Unrestricted cash that the company can spend immediately;
- Expected operating receipts and their timing;
- Principal, interest and preferred-dividend dates;
- Committed or drawable credit facilities;
- Debt maturities, covenant tests and collateral-maintenance thresholds; and
- Discretionary uses such as Bitcoin purchases, acquisitions and capital expenditure.
Issuer filings generally describe a mix of alternatives rather than a single Bitcoin-price level at which failure becomes automatic. Cash can last longer if management cuts optional spending, but a company with weak operating cash flow may have fewer ways to do so.
What management can do when a raise fails
Use unrestricted cash and operating inflows
The first step is to identify cash that is genuinely available. A reserve may be subject to a board-approved policy or a lending agreement. Strategy, Inc.’s June 30, 2026 Form 10-Q says its USD Reserve policy supports preferred dividends and debt interest, while other uses require board authorization. A balance shown on the consolidated balance sheet is not necessarily free for every purpose.
Management can direct ordinary operating receipts toward payroll, suppliers, interest or taxes. That approach buys time only if the operating business generates cash and those receipts are not already pledged or needed for essential expenses.

A treasury company can slow or suspend Bitcoin purchases, postpone expansion, reduce capital expenditure, delay acquisitions and cut other discretionary costs. Companies with mining, software or infrastructure operations may also attempt operating-cost reductions, although leases, hosting contracts, payroll and other commitments limit what can be saved quickly.
Reducing purchases changes the company’s accumulation strategy; it does not create cash by itself. The benefit is that fewer dollars leave the business while management seeks a more durable funding source.

Offer a different security or change the terms
When common-stock demand is weak, a company may consider preferred stock, convertible notes, secured notes or another debt structure. Each route moves risk to a different place. Equity can dilute existing common shareholders. Debt creates interest and principal obligations. Preferred securities can require dividends or give holders priority over common equity. Convertibles may defer dilution but add repayment or conversion terms.
Market conditions matter. A falling share price can require issuing many more shares for the same amount of cash, while stressed credit markets can make debt unavailable or expensive. A board may therefore reject a technically available transaction if fees, covenants, dilution or maturity risk are unacceptable.

Collateralized borrowing raises cash without selling the pledged Bitcoin immediately. The lender receives rights over the collateral and may require a specified value cushion, reporting, custody arrangements and maintenance payments. If the Bitcoin price falls, the borrower may have to post more coins, repay part of the loan or face liquidation under the facility documents.
Fold, Inc.’s 2025 Form 10-K describes a Credit Facility requiring Bitcoin collateral equal to 160% of the cash drawn. The filing also describes posting an additional 50 Bitcoin after a price decline to meet maintenance requirements. Those are Fold-specific terms, not an industry-wide lending standard. Other facilities may use different ratios, eligible assets, custody rules and remedies.
Sell Bitcoin
A sale converts a volatile asset into cash and removes the associated collateral or custody burden. It also reduces the company’s Bitcoin holdings and its exposure to future price increases. The amount realized depends on the market price, order size, liquidity, trading venue, fees, taxes and any restrictions on the coins.

Strategy’s June 30, 2026 filing says the company may sell Bitcoin for short- or long-term liquidity needs even when other liquidity sources are available if it considers a sale more favorable. That is a disclosed management option, not evidence that a sale is forced or that the company is currently unable to pay.

Negotiate, refinance or restructure obligations
A company may ask creditors to extend a maturity, waive a covenant, exchange existing debt for new securities, modify interest or accept an asset sale. Creditors are not required to agree. The outcome depends on bargaining power, collateral, priority and the language of the governing documents.
If negotiations fail and an amount remains unpaid, the contract may provide grace periods, default interest, acceleration, collateral enforcement or cross-defaults. A missed payment can therefore become more serious than the original funding shortfall, but the remedy is contract-specific.
Why Bitcoin holdings are not the same as cash
Headline Bitcoin value can overstate near-term liquidity. Holdings may be pledged to a lender, held in custody subject to withdrawal terms, restricted by an agreement or needed to satisfy a maintenance ratio. A large position can still produce little immediate cash if selling would breach a covenant or if a rapid sale would move the market.
Price volatility creates a feedback loop:
- A Bitcoin decline reduces the value of coins available for sale or collateral.
- A lender may require additional collateral or reduce the amount it will lend.
- Investor and lender risk tolerance may weaken, making equity or debt harder to issue.
- Any forced or hurried sale can realize less than the value used in an earlier balance-sheet calculation.
Fold’s disclosed 160% collateral requirement illustrates how a lender can demand a buffer above the cash advanced. Its additional 50-Bitcoin posting after a price decline shows that collateral calls can consume more of the treasury position precisely when market conditions are unfavorable.

Comparing the main liquidity choices
| Option | How it provides cash | Main cost or risk | What to verify |
|---|---|---|---|
| Unrestricted cash and operating inflows | Uses money already held or generated by operations | May shorten the remaining cash runway | Restrictions, burn rate and receipt timing |
| Spending reductions | Preserves cash that would otherwise be spent | Can slow growth, Bitcoin accumulation or operations | Which costs are discretionary and how quickly they can be cut |
| Common equity | Sells shares through a public offering or ATM | Dilution; proceeds depend on share price and demand | Authorized capacity versus shares actually sold and settled |
| Preferred equity | Raises capital with priority or dividend terms | Dividend obligations and seniority over common stock | Dividend rate, redemption, liquidation preference and covenants |
| Debt or convertible notes | Provides proceeds in exchange for repayment, interest or conversion rights | Fixed obligations, maturity and possible dilution | Principal dates, interest, events of default and conversion terms |
| Bitcoin-backed borrowing | Draws against pledged coins | Collateral calls, fees and possible liquidation | Collateral ratio, maintenance trigger, custody and lender remedies |
| Bitcoin sale | Converts holdings to cash | Less Bitcoin exposure; price, tax and market-impact risk | Coins available to sell, execution price and restrictions |
| Negotiation or restructuring | Changes when or how obligations are paid | Requires creditor consent and may affect reputation or priority | Waivers, grace periods, cross-defaults and new consideration |
Strategy identifies market conditions, security and Bitcoin liquidity, debt availability and cost, cash reserves, dilution, taxes and execution timing as factors in choosing among these routes. An ATM authorization is only a capacity to sell under stated conditions; it is not cash already raised.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.What a missed payment can trigger
If available liquidity cannot cover an obligation, the first consequence is usually determined by the instrument involved. A missed interest payment may have a grace period. A covenant breach may permit a waiver request before any acceleration. A failure to maintain collateral may trigger a top-up demand, mandatory repayment or liquidation rights. Preferred dividends may be cumulative or noncumulative, with different consequences for common distributions.
Acceleration can make a short-term problem larger by making principal immediately due. Cross-default language can also allow one creditor to react to a default under another instrument. Secured lenders generally have rights in the pledged collateral that unsecured creditors do not, subject to the relevant law and documents.
Restructuring or insolvency becomes a possibility when obligations cannot be met and no consensual solution is available. Issuer disclosures do not establish one universal path: outcomes vary by jurisdiction, creditor priority, solvency, collateral value and whether a court-supervised process is used. A company may continue operating during negotiations, or it may sell assets and wind down. A failed raise alone does not select among those outcomes.
What issuer examples actually show
Strategy, Inc.
Strategy’s June 30, 2026 Form 10-Q lists cash in its USD Reserve, Bitcoin sales, common- and preferred-stock ATM proceeds, and additional equity or debt as potential liquidity sources. It warns that a significant Bitcoin-price decline or a negative market shift could impair access to financing, reduce the usefulness of Bitcoin for liquidity and make it harder to maintain the reserve. The disclosure describes possible sources and risks, not a finding of current distress.
Best Value
Fold, Inc.
Fold’s 2025 Form 10-K says its treasury strategy may include Bitcoin sales, collateralized financing and income generation. It reports selling 200 Bitcoin in February 2026 for approximately $14.4 million, or about $71,900 per Bitcoin, and using the proceeds in connection with repayment of an investor note. The same filing describes the 160% collateral requirement and the 50-Bitcoin maintenance posting. These events demonstrate that sales and collateral management are available tools; they do not establish a typical industry outcome.
MARA
MARA’s annual report for the year ended September 30, 2025 lists cash, Bitcoin, convertible notes, an ATM program and Bitcoin-secured credit among its liquidity sources. It also warns that inability to obtain additional funds on desired terms could harm the business. MARA operates a Bitcoin-mining and infrastructure business, so its energy, equipment and expansion commitments are not a template for a company that only holds Bitcoin.
Empery Digital
Empery Digital’s March 2026 quarterly filing describes issuing equity when market conditions permit, using an ATM program, considering further equity or convertible debt, and selling Bitcoin alongside financing. That combination illustrates a multi-lever approach, but the company’s balance sheet, contracts and business plan must be assessed separately from other issuers.
How to assess a company’s real liquidity
- Date every figure. Use the latest quarterly or annual filing because cash, Bitcoin balances, debt and ATM activity can change quickly.
- Separate unrestricted from pledged or restricted assets. Record Bitcoin held, Bitcoin pledged, custody limitations and any reserve policy.
- Build a payment calendar. Include interest, principal, preferred dividends, leases, taxes and material operating commitments.
- Read every financing agreement. Note covenants, grace periods, collateral ratios, margin calls, acceleration and cross-default provisions.
- Measure actual fundraising. Distinguish an ATM’s authorized capacity from shares sold, settled proceeds and remaining capacity.
- Check operating cash flow. A treasury strategy does not guarantee that an operating subsidiary produces cash, especially during expansion or a downturn.
- Stress-test Bitcoin prices. Examine how a decline changes collateral coverage, sale proceeds and the ability to refinance.
- Look for management’s stated priorities. A reserve policy or board approval requirement can determine whether cash may be used for purchases, dividends or debt.
Bottom line for investors and creditors
When a Bitcoin treasury company cannot raise new cash, it normally moves through a decision tree: preserve existing cash, cut optional spending, seek another security or lender, pledge assets, sell Bitcoin, or negotiate with creditors. The company’s contracts and payment calendar determine whether those choices are sufficient. Bitcoin can provide liquidity, but its volatility, collateral restrictions and market impact mean its gross value is not the same as cash in the bank.
Only a shortfall that persists through the relevant due dates creates the conditions for default, restructuring or insolvency. To judge the risk, read the latest issuer filing and financing documents rather than inferring an automatic outcome from one failed offering or from the size of the Bitcoin treasury.
