What Happens to Tokenized Assets When an Exchange or Issuer Fails?

A token may represent direct ownership, a custodied entitlement, a redemption claim, or only synthetic exposure. What happens after an exchange or issuer fails depends on that legal structure, custody and records, and the insolvency rules that actually apply.

There is no universal recovery rule. What happens to a tokenized asset depends on the legal right the token gives you, who holds the underlying asset and records, whether customer property was segregated, the account terms, and the insolvency law that applies. An exchange may simply provide trading, may also custody assets, or may be the issuer or contractual obligor. Those are different failure scenarios—and a token label alone does not guarantee ownership, redemption, or protection from creditors.

Start with the legal right, not the token name

A token’s ticker, branding, or description as “backed” does not by itself establish what you own. The key question is what a holder can legally claim, against whom, and through which records. A token may correspond to a security recorded by its issuer, an indirect interest in an asset held by a custodian, a right to request an off-chain record change, a redemption claim, or synthetic exposure issued by a third party.

The SEC staff’s January 28, 2026 statement on tokenized securities describes structures with materially different rights. In some issuer-sponsored models, the issuer or its agent incorporates the blockchain ledger into the master securityholder file, so a token transfer changes the issuer’s ownership record. In another model, the security remains recorded off-chain and a token transfer may only prompt the issuer or agent to update that separate record. The token’s movement on a blockchain is not, on its own, proof that the issuer’s books recognize the new holder.

Structure What the holder may have Failure point to examine
Issuer-recorded tokenized security The security itself may be reflected on the issuer’s master securityholder file, if the issuer or its agent has incorporated the ledger into that record. Whether the issuer’s authoritative records identify the holder and whether the issuer remains able to perform its obligations.
Token linked to an off-chain security record The token may serve as an instruction or signal to update a separate record rather than itself conveying the underlying security rights. Whether the issuer or agent processed and recorded the transfer, and what the governing documents say about a mismatch.
Custodied entitlement An indirect interest or claim connected to an underlying asset held by a third-party custodian. Whether the custodian’s records identify the beneficial owner, how assets are held, and what happens in the custodian’s insolvency.
Synthetic or linked token Exposure issued as a third party’s own security or contractual product; it may not create rights against the issuer of the referenced asset. The third-party issuer’s solvency and the exact claim the token terms create.

The SEC staff warns that holders of third-party tokens may face bankruptcy risks relating to the third party that a direct holder of the underlying security would not necessarily face. The Federal Reserve’s March 5, 2026 capital-treatment FAQ addresses a different question: eligible tokenized securities that confer legal rights identical to their non-tokenized form generally receive the same capital treatment for banking organizations. That technology-neutral banking capital rule is not a guarantee that an individual holder will recover an asset in insolvency.

Exchange failure and issuer failure are not the same

If an exchange stops operating, the underlying issuer may still be solvent and the asset may still exist. The practical issue may instead be access: can you transfer the token, prove your position, or obtain property held through the platform? If the failed business also held assets in custody, its records, segregation practices, agreement with you, and applicable insolvency framework become central.

If the issuer fails, the question is whether the issuer owes you something and what kind of claim it is. A direct ownership interest, a redemption obligation, and an unsecured contractual promise are not interchangeable. Even if an underlying asset remains valuable, a token holder may need to establish a claim through an intermediary or issuer, and the outcome will depend on the legal structure and proceeding.

What failed? What to establish first Why it changes the outcome
Trading venue only Whether you retained control of the assets or whether the venue also held them. A trading interruption does not necessarily mean the issuer or custodian failed.
Exchange acting as custodian Which entity held the token, keys, or underlying asset; what the account agreement says; and whether customer property was segregated. You may have to establish a customer-property or other claim in the intermediary’s proceeding.
Issuer or contractual obligor Who issued the token and what obligation, if any, the token terms impose on that entity. The claim may be against the token issuer rather than the issuer of a referenced asset.
Underlying asset issuer Whether the token holder is recorded as a direct holder, has an intermediary entitlement, or only has linked exposure. The token may not confer the same rights as direct ownership of the underlying asset.

Custody, segregation, and records determine what you can prove

“Held on an exchange” can describe different arrangements. An intermediary might control the private keys, hold a token on behalf of customers, hold the underlying asset with another custodian, or maintain only an internal account record. The account balance displayed in an app does not by itself answer who owns the asset under the relevant law or how it is treated if the intermediary enters insolvency.

Segregation matters because customer property kept apart from an intermediary’s own property may be treated differently from property exposed to the intermediary’s estate. But the word “segregated” is not enough: determine which assets are segregated, by whom, for which customers, and under what law. A customer-property rule can be limited to specified providers or asset categories. For example, the U.S. payment-stablecoin custody statute describes customer-property requirements for covered custodians, but its scope is restricted to covered reserves, collateral, payment stablecoins, keys, and regulated providers; it is not a blanket rule for every token or platform.

Records can be decisive. A U.S. Courts overview of qualifying broker-dealer liquidations under the Securities Investor Protection Act (SIPA) explains that claim handling depends on the debtor’s books and records or other proof satisfactory to the trustee. The SEC Trading and Markets staff FAQ says non-security crypto assets are not protected by SIPA and may not be covered by another specific insolvency regime. SIPC advances and SIPA procedures therefore must not be described as generic insurance for crypto held at any exchange.

Protection depends on the proceeding and jurisdiction

There is no single global insolvency framework for tokenized assets. A statutory priority, customer-property rule, or redemption plan applies only when the relevant debtor, asset, proceeding, and jurisdiction fit its scope. The examples below illustrate bounded rules, not universal promises.

United States: SIPA applies only in qualifying broker-dealer liquidations

In a qualifying U.S. broker-dealer liquidation under SIPA, customer property is distributed under statutory procedures, and SIPC advances may be available within the statute’s limits. Whether a claim qualifies and what property is available depend on the proceeding and records. This is not blanket protection for all exchanges, all digital assets, or every tokenized security. Non-security crypto assets are specifically described by SEC Trading and Markets staff as outside SIPA protection and may have no other specific insolvency regime.

United States: payment-stablecoin reserve priority is specific and date-dependent

Under 12 U.S.C. § 5910, holders of payment stablecoins issued by a permitted U.S. payment-stablecoin issuer have a ratable priority claim with respect to required reserves, subject to the statute’s terms. The U.S. Code states that the chapter takes effect on the earlier of 18 months after July 18, 2025, or 120 days after final implementing regulations. That effective-date condition, the issuer’s status, and the asset’s classification must be checked for a particular case. The provision should not be extended to every stablecoin, tokenized security, or jurisdiction.

European Union: MiCA provides specified plans for asset-referenced tokens

Under Article 47 of the EU Markets in Crypto-Assets Regulation (MiCA), an asset-referenced-token issuer must maintain an orderly-redemption plan for a competent authority’s decision that the issuer is unable, or likely unable, to fulfil its obligations. The stated scenarios include insolvency, resolution where applicable, or withdrawal of authorization. The plan is intended to support equitable treatment and timely payment from proceeds of remaining reserve assets while maintaining critical activities needed for redemption.

MiCA Article 46 separately requires a recovery plan for risks to reserves or operations. Listed tools include liquidity fees, daily redemption limits, and suspension of redemptions; in specified conditions, a competent authority may require action or temporarily suspend redemption. These are contingent measures for defined circumstances, not a promise of immediate redemption at par.

Canada: enacted reserve segregation text is marked not in force

Section 39 of Canada’s Stablecoin Act contains provisions for reserve assets to be segregated and unavailable to satisfy issuer or custodian creditors, apart from holder redemption claims. The official statute page marks those provisions “not in force.” They should be treated as enacted but not yet operative text unless their commencement status is confirmed; they do not establish a presently available protection on that basis alone.

How to assess a particular token or platform

Before relying on a claim such as “backed,” “redeemable,” or “owned on-chain,” trace the legal and custody chain. Gather the token terms, account agreement, issuer disclosures, and any custody or reserve information. Then answer these questions in order:

  1. Identify the issuer and obligor. Record the legal entity that issued the token and the entity that owes any redemption, payment, or other contractual obligation. Do not assume they are the same as the issuer of the referenced asset.
  2. Locate the authoritative ownership record. Determine whether a transfer changes the issuer’s master securityholder file, updates a separate off-chain register, or changes only an intermediary’s internal ledger.
  3. Classify the right. Establish whether the token grants an underlying ownership right, a security entitlement through an intermediary, a redemption claim, or synthetic exposure. Check whether the issuer of the referenced asset is actually a party to that right.
  4. Map custody. Identify who holds the token, keys, reserve, or underlying asset, and whether a second custodian sits in the chain. Check what the documents say about segregation, reuse, and customer property.
  5. Read the account agreement and governing law. Identify the contracting entity, applicable law, dispute terms, and any provisions covering suspension, insolvency, transfer, or redemption.
  6. Check the provider and proceeding category. Determine whether the intermediary is a covered broker-dealer, bank, or regulated stablecoin issuer, and whether the event is an outage, custodian failure, issuer insolvency, formal liquidation, or resolution.
  7. Verify rules as of the relevant date. Confirm that a statute or regulation is in force, applies to the issuer and asset, and covers the specific proceeding. A rule that is enacted but not effective, or limited to a defined class, cannot be assumed to apply.

Save transaction confirmations and account statements, and preserve copies of the governing terms and issuer disclosures. If a platform fails, these records can help establish what you held and under which entity’s records. They do not guarantee recovery, but they can matter where a trustee or other administrator must determine claims from books and records or other satisfactory proof.

What a token holder should not assume

  • A blockchain transfer necessarily changes legal ownership. It may do so in an issuer-sponsored model, but another model may require an off-chain record update or confer only an intermediary claim.
  • “Backed” means a direct claim on reserves or the referenced asset. The claim depends on the legal documents, asset custody, and identity of the obligor.
  • Exchange balances have blanket SIPC or SIPA protection. SIPA is limited to qualifying broker-dealers and claims; SEC staff says non-security crypto assets are not protected by SIPA.
  • Rules for one stablecoin apply to all tokens. The U.S. reserve-priority provision and EU MiCA provisions have defined scopes, conditions, and effective-date requirements.
  • Identical capital treatment means identical recovery rights. The Federal Reserve FAQ concerns banking capital treatment for eligible securities with identical legal rights, not an individual holder’s insolvency recovery.
  • A particular percentage or timetable can be predicted from the token label. The outcome depends on the actual debtor, records, assets, claims, jurisdiction, and proceeding; no recovery amount or timeline follows from tokenization alone.

For a specific asset, the decisive materials are its current governing documents and the rules applicable to the actual issuer, custodian, and insolvency proceeding. A qualified legal professional or relevant regulator can help interpret those materials; the legal examples here do not determine an individual claim.
