If bitcoin falls, Strategy’s common stock (MSTR) may feel the effect more directly because bitcoin is central to the company’s treasury strategy. STRC is different: it is a perpetual preferred share, not a bitcoin-backed claim. Its price and dividends are not guaranteed, and its intended trading range near $100 is not a floor. The two securities can therefore respond differently to the same bitcoin decline.
STRC and MSTR are different kinds of claims
Strategy’s STRC, branded Stretch, is perpetual preferred stock listed on Nasdaq. It has a $100 stated amount and pays cash dividends semi-monthly when declared. It has no maturity date or scheduled principal repayment, so it is not a bond.

MSTR is Strategy’s common stock. Common shareholders hold the residual equity claim after the company’s debt and preferred claims. That distinction matters in both ordinary trading and a liquidation: a decline in the value of Strategy’s assets can affect the value attributed to common equity, while preferred stock has contractual priority over common stock but is not immune to loss.

STRC instead has a preferred claim on the company’s residual assets. That is not the same as owning bitcoin or having a lien on a particular bitcoin reserve. Strategy’s STRC information sets out the security’s terms.

How a bitcoin decline could affect MSTR
A lower bitcoin price reduces the marked value of Strategy’s largest strategic asset. That can sharpen investor scrutiny of the company’s financing options, potential share issuance, possible bitcoin sales, and the value of its equity. MSTR’s common-stock price may fall, but the available company disclosures do not establish a dependable formula such as “bitcoin down X%, MSTR down Y%.” Market prices also reflect expectations, financing conditions, and broader demand for the stock.
The scale of accounting effects can be substantial without serving as a price forecast. For the quarter ended June 30, 2026, Strategy reported an $8.32 billion unrealized loss on digital assets and an $8.22 billion net loss. Those are reported results for that quarter, not predictions of what MSTR will do next. Strategy’s July 30, 2026 results release provides the figures and company commentary.

Why STRC is not a bitcoin hedge
STRC is not directly secured by bitcoin, but that does not make it insulated from a bitcoin downturn. A sharp decline or increased volatility could influence how investors assess Strategy’s credit, liquidity, and access to financing. Those perceptions can affect STRC’s market price even though holders do not have a direct claim on bitcoin.

STRC also has its own market risks: interest rates, credit spreads, trading liquidity, and expectations about future dividend-rate changes. Strategy intends to adjust the variable rate to encourage trading near $100, but the prospectus says it has no obligation to achieve that price and that adjustments may fail. Investors may trade STRC above or below its stated amount.

The STRC rate is reviewed monthly and can change within the security’s terms. Strategy’s information page lists a 12% annualized variable rate for record dates beginning in October 2026, based on the $100 stated amount. That is the stated rate for those record dates, not a promise that the rate will persist or that a cash dividend will be paid. The company says rates may be significantly lower and cash dividends are not guaranteed. See Strategy’s current STRC terms and rate information.
What STRC’s priority does—and does not—protect
STRC ranks ahead of Strategy’s class A and class B common stock and certain preferred series, including STRE, STRK, and STRD. It ranks behind Strategy’s indebtedness and STRF, and it is structurally junior to liabilities at Strategy’s subsidiaries. In a liquidation, debt and higher-priority claims are paid first. The SEC-filed STRC annex warns that remaining assets may be insufficient to pay STRC’s full liquidation preference and accumulated unpaid dividends.

Priority therefore describes the order of claims; it does not guarantee recovery. Strategy reported $8.25 billion in aggregate principal amount of consolidated indebtedness as of December 31, 2025, in its SEC-filed STRC annex. That is a dated figure, not a current debt total. The SEC-filed STRC prospectus annex contains the ranking and risk disclosures.
Dividends and company decisions remain uncertain
A variable rate is not a guaranteed yield. Strategy says it may change the STRC rate monthly to encourage trading near $100; the company can change its stated intention, and market expectations about future rate decisions can affect trading. The prospectus also describes issuer discretion and limitations governing adjustments and dividends.

Strategy said it had made 18 consecutive months of preferred-dividend payments as of July 30, 2026. That record is historical and does not ensure future declarations or payments. The company’s Q2 2026 release lists risks that include bitcoin prices and volatility, the market prices and liquidity of its securities, credit spreads and interest rates, the availability of legally distributable funds, board discretion, regulatory constraints, and dilution from common-share issuance used to fund repurchases. These are among the factors that can shape outcomes for both preferred and common shareholders.
How to compare STRC with MSTR when bitcoin falls
| Factor | STRC | MSTR common stock |
|---|---|---|
| Claim in the capital structure | Preferred equity, senior to common stock but behind debt and STRF; not collateralized by bitcoin. SEC-filed STRC annex. | Residual common-equity claim behind debt and preferred claims. SEC-filed STRC annex. |
| Bitcoin sensitivity | Indirect: bitcoin can influence issuer-credit perceptions, liquidity, financing conditions, and investor expectations. | Potentially more direct through the value of Strategy’s bitcoin holdings and the market’s assessment of the company’s equity. |
| Income terms | Variable dividend rate reviewed monthly; cash dividends are not guaranteed. Strategy states 12% annualized for record dates beginning October 2026, based on a $100 stated amount. Strategy STRC information. | The cited STRC materials do not state an MSTR common-stock dividend. |
| Price behavior | Intended to trade near $100, but the company has no obligation to maintain that price and adjustments may fail. Also exposed to rates, spreads, liquidity, and expectations. SEC-filed STRC annex. | May be affected by bitcoin-related asset valuation, financing and dilution concerns, and overall market demand. No reliable short-term sensitivity is established by the cited company materials. |
| Potential recovery in insolvency | Paid after debt and senior claims; assets may be insufficient to cover liquidation preference and accumulated unpaid dividends. SEC-filed STRC annex. | Residual claim after debt and preferred equity; recovery depends on assets remaining after higher-priority claims. |
Do not confuse STRC with convertible STRK
STRC is not described as convertible into MSTR common stock. Strategy’s STRK information says each STRK share is convertible into 0.1 shares of MSTR common stock; that is a separate preferred security with different terms. Strategy’s STRK page describes that conversion feature.
