GameStop’s ownership figures are dated snapshots, not one live table. The company’s 2026 proxy gives a May 20 share-count and ownership snapshot; Ryan Cohen’s later filings report newer figures, including an October 2, 2026 amendment whose holdings data are not verified here. For individual investors, the key is to check each figure’s date, denominator, and what it counts—issued shares, warrants, voting power, or securities that can be disposed of.
What GameStop’s ownership structure means for individual investors
Ownership disclosures help explain who may have influence over corporate decisions, but a percentage alone does not establish control, show every current holder, or predict a stock’s performance. A useful reading of the disclosures separates the number of securities attributed to a holder from that holder’s voting and dispositive powers, then checks the dates behind both the numerator and denominator.

GameStop’s 2026 proxy reports 448,691,227 common shares outstanding on May 20, 2026. Its table also applies a beneficial-ownership convention: certain shares a holder can acquire within 60 days are included in that holder’s figure, but are not added to the denominator used to calculate other holders’ percentages. The proxy is therefore a dated snapshot, not a current ownership feed.
Who owns the most GME shares?
The proxy lists Ryan Cohen and two large institutional holders, but the dates and bases for their figures differ. Cohen’s entry is tied to the May 20, 2026 snapshot, while Vanguard’s and BlackRock’s entries rely on older Schedule 13G filings. The numbers should not be read as a same-day ranking of current holdings.
| Holder | Reported amount and percentage | Measurement basis |
|---|---|---|
| Ryan Cohen | 42,082,626 beneficially owned shares (9.3%) | GameStop 2026 proxy snapshot as of May 20, 2026; includes warrant shares. |
| The Vanguard Group | 25,450,256 shares (5.7%) | 2026 proxy cites Vanguard Schedule 13G filed February 13, 2024. The proxy notes Vanguard later described an internal realignment and disaggregated reporting. |
| BlackRock | 22,544,527 shares (5.0%) | 2026 proxy cites BlackRock Schedule 13G filed January 26, 2024. |
Because Vanguard’s and BlackRock’s reported amounts trace to 2024 filings, they are not evidence that either institution still held the same amount on May 20, 2026—or holds it now. The proxy’s note about Vanguard’s reporting realignment is another reason not to treat its entry as a current, directly comparable tally.
How much GameStop stock does Ryan Cohen own?
The answer depends on the filing date and what “own” means. GameStop’s proxy reported 42,082,626 shares of beneficial ownership, or 9.3%, as of May 20, 2026, including warrants. In a Schedule 13D amendment dated September 29, 2026, Cohen reported 44,683,306 shares of beneficial ownership, or 8.8%, including 3,734,784 warrant shares. The amendment’s cover sheet reports sole voting and sole dispositive power over the reported 44,683,306 shares.

The percentage fell even as the reported number rose. Those figures use different dates and share-count denominators, so the percentage change by itself does not show whether Cohen bought or sold shares. GameStop’s proxy also describes shares deposited into a margin account and says Cohen generally retained voting and investment discretion before a possible foreclosure. A pledge does not, by itself, mean voting control has transferred.

- Shares outstanding: issued common shares outstanding on a specified date. The figure can change, so a percentage needs a date-specific denominator.
- Beneficial ownership: a reporting measure that can include securities a person has a right to acquire within a stated period. It is not necessarily the same as already-issued common shares.
- Warrants: rights to acquire shares under their terms. When a filing counts warrant shares in beneficial ownership, those unexercised rights should not be described as already-issued stock.
- Voting power: authority to vote securities or direct how they are voted.
- Dispositive power: authority to sell securities or direct their disposition. A filing reports this separately from voting power.
- Margin-account pledge: pledged securities may remain under the holder’s voting and investment discretion unless foreclosure occurs, as GameStop’s proxy describes for Cohen’s disclosure.
Does beneficial ownership mean voting control?
No. Beneficial ownership is not a synonym for unrestricted, directly held common shares, and it does not automatically establish voting control. Check whether the filing separately reports voting power and dispositive power, whether it includes warrants or other rights, whether a group is reporting together, and whether securities are pledged or otherwise encumbered.

For Cohen, the September 29 amendment reports sole voting and dispositive power over its stated amount. That is more specific than the proxy’s beneficial-ownership number alone, but it remains a statement made in a particular filing on a particular date. It should not be generalized to every holder or treated as an unchanging present-day figure.
Why dates and share counts change the picture
Percentages depend on both a holder’s reported amount and the relevant share-count denominator. GameStop’s fiscal 2025 Form 10-K reported 448,375,157 common shares outstanding on March 18, 2026; the later proxy reported 448,691,227 on May 20, 2026. These are separate snapshots and should not be combined as though they were measured simultaneously. Share issuance or warrant exercise can change the denominator and alter a percentage even if a holder’s share amount does not change.
The SEC filing index confirms that Cohen filed another Schedule 13D/A on October 2, 2026, but the substantive holdings figures in that amendment are not verified here. The September 29 amount should therefore not be called the latest reported figure through October 2. The relevant record is the SEC filing index for the October 2 amendment; its full filing must be checked before relying on a newer number.

For shares held in a brokerage account, voting is often broker-mediated. GameStop says the method varies by broker and directs shareholders to use their control number and follow broker-specific instructions. Start with GameStop’s Annual Meeting page, then use the control number and directions provided for your account. The ownership disclosures explain the governance context; the broker’s voting process is what guides an individual beneficial holder through submitting a vote.

What these disclosures can—and cannot—tell an investor
They can show how particular filers report their securities and powers at stated dates. They do not, on their own, establish a comprehensive current breakdown of all individual, institutional, and insider ownership, or settle what GME is worth. Avoid treating a proxy’s older institutional entries as a live feed or using an ownership percentage alone as an investment conclusion.
