What Developers Should Know Before Forming an Independent Game Studio

Before forming an indie game studio, put founder roles and IP rights in writing, budget for delayed revenue, and compare funding and publishing terms beyond the headline numbers.

Before you form an independent game studio, agree in writing who owns what, who makes decisions, how contributors are paid, and how long the team can keep working if revenue is delayed. Then compare funding and publishing offers by their full costs and obligations—not just the cash or royalty percentage. Company formation and tax treatment depend on where you operate, so there is no universally correct entity or incorporation date.

Settle founder roles, ownership, and decision-making early

A group of developers working together does not automatically become a company, and calling the group a studio does not settle who owns its game, code, or business. Before production creates valuable work, make a written founder agreement that covers each founder’s contribution, responsibilities, ownership, compensation, decision authority, and what happens if someone leaves or the project changes direction.

Do not assume that equal participation means equal ownership, or that a person who contributed work has automatically transferred the rights the studio needs. The agreement should make the intended arrangement explicit. For significant legal or tax consequences, get advice from a qualified professional in the founders’ jurisdiction.

Make a rights ledger and use contributor agreements

Contracts are part of production, not paperwork to postpone until a publisher appears. GDC’s 2017 session Practical Contract Law 201 for Indie Developers: Moderately Scary Edition identifies contractor, publishing, game development, NDA, and EULA agreements as key types for indie developers. It highlights contracts’ role in IP, privacy, licensing, and distribution issues.

Keep a rights ledger that records each asset, its creator or source, and the studio’s right to use it. Include founder and employee work; contractor deliverables; pre-existing code and tools; art and music; fonts; middleware; and other third-party materials. For each item, check whether the studio may modify, distribute, and, where needed, sublicense it. Written agreements should define scope, payment, deliverables, confidentiality where appropriate, and ownership or license terms.

WIPO’s Mastering the Game: Business and Legal Issues for Video Game Developers explains that rights arrangements vary with the deal, financing, bargaining position, and who originated the concept. A distribution arrangement can leave rights with the developer while granting defined distribution rights; other arrangements may give a publisher broader ownership or exploitation rights. Source code and tools, derivative works, platforms, territories, and future works may need specific treatment.

Compare funding by its real cost and timing

There is no established universal startup budget or reliable figure for how long a new studio takes to become profitable. Build a project budget from your own scope and circumstances, and test whether available money lasts through production, release, and a delay in revenue.

The Game Developers Conference’s 2025 State of the Game Industry report says 82% of indie developers in its survey had put their own money into their games. Across all respondents, the routes below were reported as pursued during the prior year. These figures describe reported activity, not success rates, availability to your studio, or recommendations.

Funding routes reported by all respondents in the GDC 2025 survey
Route Share reporting use
Self-funding 56%
Publishing deals or project-based funding 28%
Government funding or grants 15%
Venture capital 15%
Co-development contracts 15%
Friends or family 14%
Private investment 13%
Seed funding 11%
Crowdfunding 11%
Platform-based funding 9%
Prototype funding 7%

In the same report, 89% of developers who used self-funding rated it at least somewhat successful, while 37% who used co-development contracts rated those very successful. These are respondents’ assessments, not forecasts for a new studio.

When comparing an option, consider more than the amount offered:

  • When the money arrives, whether it covers the milestones that need it, and what conditions apply.
  • Whether it must be repaid, recouped from revenue, or exchanged for ownership or rights.
  • What control, reporting, delivery, or approval obligations come with it.
  • What happens if scope changes, the project is delayed, or the game is not completed.

Budget for founder living costs, payroll or contractors, software and hardware, legal and accounting work, localization, QA, platform and release expenses, marketing, and contingency. Map cash against milestone dates and include a delayed-revenue scenario; a plan that works only if the game launches on schedule is fragile.

Review a publisher offer as a package of rights and obligations

A publisher’s headline advance or revenue share does not tell you the deal’s full value. GDC’s 2021 session Demystifying Indie Publishing Offers, presented by August Brown of Armor Games Studios, addresses IP ownership, revenue share, recoupment, workable milestones, and what happens when circumstances go wrong. Use those subjects as prompts for reviewing the actual agreement, not as assumptions about what every offer contains.

Questions to compare when considering publishing support or self-publishing
Decision area Questions to answer
Funding and expenses What cash or services are supplied? Which costs can be recouped, in what order, and from which revenue?
Revenue and reporting How is revenue share calculated? What accounting statements, audit rights, or payment schedules apply?
Rights and scope Who owns the IP? Which rights are granted, for which game, platforms, territories, and term? Is the grant exclusive?
Production and control How are milestones defined and accepted? Who has approval or creative-control rights? How are delivery dates and scope changes handled?
Exit and future work What triggers termination, and when do rights revert? Are there options or first negotiation or refusal rights over sequels or future projects?
Practical support What marketing, audience access, QA, localization, distribution, or launch work is promised in writing, and who remains responsible for it?

Compare those terms with what your team can realistically fund and deliver itself. WIPO’s guide discusses how a deal’s financial consideration and the parties’ positions can affect ownership and rights, so a royalty percentage alone cannot tell you whether an offer fits. Have a qualified game-industry lawyer in the relevant jurisdiction review the agreement before signing; the general issues here are not individualized legal advice.

Choose the legal structure and tax approach for your jurisdiction

Do not assume that a particular entity type—such as an LLC or a limited company—or a fixed incorporation schedule is right for every studio. The decision depends on the founders’ location, ownership arrangement, employment plans, liability concerns, financing needs, and tax circumstances. If founders operate in different countries, get advice that accounts for each relevant jurisdiction.

UK example: Video Games Tax Relief eligibility

HM Revenue & Customs’ VGDC10110 guidance, updated 2 February 2026, describes conditions for a company seeking UK Video Games Tax Relief. The company must be responsible for designing, producing, and testing the game; actively involved in planning and decision-making during those activities; and directly negotiate, contract, and pay for relevant rights, goods, and services. Contractors may perform some work, including art or sound, while the company retains overall responsibility and active involvement. These are UK relief eligibility rules, not a general rule about when to form a company or how studios should operate elsewhere.

Make discovery and business development part of the work plan

Building the game is not the studio’s only operating job. GDC’s business-development session for indie and small studios treats deal negotiation and contract essentials as important to stability and growth. A separate GDC session on founders moving from AAA to indie identifies business models and platforms, idea evaluation, funding, marketing, and game discovery among the challenges of starting a studio.

Name who is responsible for publisher outreach, platform relations, community communication, marketing, press, storefront presence, and launch operations. If weighing a publisher against self-publishing, compare the team’s capacity and financing needs with the audience access and services actually offered, while accounting for rights granted, recoupment, and control. Neither route is inherently better for every project.

A practical pre-formation checklist

  1. Write down the founders’ roles, ownership expectations, compensation, decision process, and departure or dispute provisions.
  2. Inventory existing and planned creative and technical assets; identify their owners and the studio’s permitted uses.
  3. Put founder, employee, and contractor arrangements in writing before relying on their work in the game.
  4. Estimate project costs and runway, then model milestone cash needs and a delay in revenue.
  5. Compare funding offers and publisher agreements by cash timing, recoupment, rights, obligations, control, and failure scenarios.
  6. Assign responsibility for business development, marketing, discovery, and launch tasks.
  7. Ask a qualified local lawyer and accountant how jurisdiction-specific formation, contracts, employment, and tax issues affect the studio.
