What Data Center NDAs Can Cover—and What They Cannot Keep Secret

A data-center NDA can protect defined nonpublic information, but it cannot override every government disclosure rule, public-records law, protected SEC report, or applicable data-security duty.

A data-center NDA can require parties to protect specified nonpublic information, such as commercial terms, operational details, or security procedures. But an NDA cannot make information immune from every legal demand, public-records rule, or protected report to a regulator. The result depends on the agreement, the parties’ roles, the information involved, and the law that applies.

What can a data-center NDA cover?

The agreement can define information as confidential and set rules for how the parties may use, handle, or share it. Depending on the wording and circumstances, examples might include nonpublic site or service details, customer information, security procedures, and commercial or financial terms. These are possible subjects for an agreement—not information that automatically qualifies as a trade secret or receives legal protection in every setting.

For information submitted to a federal agency, the Federal Trade Commission recommends clearly identifying the material for which confidential treatment is sought. A label such as “confidential” can help identify the submitter’s request, but the label alone does not decide whether the law protects the material or whether an agency may disclose it. See the FTC’s confidential-treatment FAQ and NIST’s explanation of confidential information handling.

Contract scope, legal protection, and disclosure rules are different

Question What it concerns What it does not establish by itself
What does the NDA cover? The agreement’s definition of confidential information and the parties’ handling duties. That every covered item is legally a trade secret or exempt from government disclosure.
Does a law protect the information? Whether the information qualifies for a protection such as trade-secret status or protection for certain confidential commercial or financial information. That the NDA’s label determines the legal result.
Can an agency disclose a record? The agency’s legal obligations and any applicable statutory exemptions. That a private contract alone controls what the agency may release.

NIST describes trade secrets and certain confidential commercial or financial information as protected under applicable statutory provisions in its program context. That does not resolve how a different agency or a particular record would be treated.

Can an NDA keep information from the government?

Not categorically. A contract does not displace legal authority or an agency’s disclosure rules, but that does not mean every government request overrides confidentiality. The answer depends on the kind of request, the information, and the law governing the record.

Agency use, legal proceedings, and official requests

FTC guidance says information submitted to the agency may, in some circumstances, be used in legal proceedings, shared with other agencies for official law-enforcement purposes, or provided to Congress in response to an official request. It also explains that some information may have to be disclosed under the Freedom of Information Act (FOIA), subject to applicable exemptions. Read the FTC’s confidentiality guidance for those agency-specific limits.

FOIA does not mean every commercial record is public

FOIA applies to federal agency records, and its exemptions can protect qualifying information. NIST summarizes Exemption 4 as covering trade secrets and privileged or confidential commercial and financial information, alongside other statutory protections. Whether an exemption applies depends on the record and the law governing the agency; an NDA does not itself guarantee either secrecy or release. See NIST’s handling-confidential-information guidance.

Can an NDA stop an employee from reporting a problem to the SEC?

No, not when the agreement or another action would impede direct communication with SEC staff about a possible securities-law violation. SEC Rule 21F-17(a) says: “No person may take any action to impede an individual from communicating directly with the Commission staff about a possible securities law violation, including enforcing or threatening to enforce a confidentiality agreement…with respect to such communications.” This is the rule as quoted in the SEC Office of the Whistleblower’s whistleblower-protections guidance.

Tecmojo 12U Wall Mount Server Cabinet IT Network Rack Enclosure Lockable Door and Side Panels Black,Cooling Fan,Glass Door,17.7inch Depth, for 19” IT Equipment,A/V Devices
  • Save valuable floor space: 12U wall mount server cabinet Dimensions: 24.25" H x21.65" W x17.72" D. MAXIMUM MOUNTING DEPTH is 14.2".
  • Keep critical network equipment secure: glass door and side panels are lockable to prevent unauthorized access; Front door can be installed on either side of the front of the cabinet to satisfy your door swing orientation preference
  • Easy equipment configuration: Fully adjustable mounting rails and numbered U positions, with square holes for easy equipment mounting with top and bottom punchout panels for easy cable access
  • Durability: Made of high quality cold rolled steel holds up to 110lb (50kg) (Easy Assembly Required)
  • PCI & HIPPA and EIA/ECA-310-E compliant

The rule is about communications with SEC staff concerning possible securities-law violations; it is not a blanket permission to disclose anything to anyone. In a 2015 enforcement announcement, the SEC described confidentiality statements in certain internal investigations that required employees to obtain prior legal-department approval before discussing matters externally. The agency said those terms violated Rule 21F-17 in the circumstances it described, which involved investigations into possible securities-law violations. That example does not make every confidentiality agreement unlawful. See the SEC’s 2015 announcement.

Can a city use an NDA to keep a data-center project secret?

Not necessarily. Federal FOIA does not decide whether a city or state must disclose a project document. That question depends on the applicable state or local public-records law, its exemptions, and which public body holds the record. A public body’s NDA cannot be assumed to override those rules, and no nationwide answer follows from federal FOIA guidance alone.

For a specific project, identify the jurisdiction, the government entity holding the document, the type of record, and the public-records statute and exemptions that apply. The outcome may differ across jurisdictions and between records, even when the same NDA language is used.

Does an NDA satisfy data-security duties?

No. A confidentiality clause allocates contractual duties; it does not by itself secure systems or satisfy every legal obligation to protect customer information. The FTC’s Safeguards Rule business guidance describes one objective as “to ensure the security and confidentiality of customer information” and discusses an information-security program for covered financial institutions, including a qualified individual and safeguards. See the FTC Safeguards Rule guidance.

Coverage depends on the entity and its activities. The Rule does not automatically apply to every data-center operator simply because it hosts or handles information; assess whether the operator or customer is a covered financial institution separately.

What to check in a data-center NDA

For a particular agreement, focus on the provisions that determine its practical reach. These review points are not a standard form or a substitute for advice on the agreement and governing law.

  • Information definition: Check whether it names relevant categories and explains any marking rules, rather than relying only on a broad catch-all.
  • Permitted use and access: Identify who may use or receive the information, for what purpose, and under what handling conditions.
  • Exceptions and compelled disclosure: Check how the agreement addresses court process, legally required disclosure, and reports protected by law. Contract language cannot remove rights or duties imposed by applicable law.
  • Duration and return or deletion: Review how long obligations continue and what happens to information when the relationship ends, taking applicable law and record-retention duties into account.
  • Public-body involvement: If a government entity is a party or holds the records, identify the jurisdiction’s public-records rules rather than assuming an NDA settles disclosure.

These terms matter together: a detailed definition does not decide whether information has statutory protection, and a contractual promise does not determine an agency’s disclosure authority or replace an applicable security program.
