A large international acquisition can be delayed because regulators must finish mandatory merger-control waiting periods, request more information, investigate possible competition harm, conduct foreign-investment or national-security screening, or coordinate reviews in several countries. Remedy negotiations, litigation, and conflicting decisions can extend the timetable further.
There is no dependable universal duration. The actual cause depends on the buyer, target, countries, industry, deal structure, filing thresholds, and status of each review. An announced closing date is only an expectation until every required approval and contractual condition is satisfied.

What “delayed” means in an international acquisition
In a regulated acquisition, signing the agreement and closing the transaction are different events. The parties can announce a deal, sign a purchase agreement, and begin integration planning while still being legally unable to transfer control. Closing may be conditional on the expiry of a statutory waiting period, clearance from a competition authority, approval under an investment-screening regime, or compliance with remedies agreed with a regulator.
A delay therefore does not necessarily mean that the transaction is failing. It may simply mean that a required review is still open. Conversely, a long delay can signal that an authority has identified a competition, security, or public-order concern that needs more evidence or a negotiated solution.

The main causes of delay
1. A mandatory initial merger-control waiting period
Many jurisdictions require the parties to notify a transaction and wait before closing. The waiting period gives a competition authority time to conduct an initial review. The deal may be contractually ready and fully financed, but the parties still cannot close lawfully until the applicable period expires or the authority ends it early.
In the United States, the Federal Trade Commission explains that reportable transactions under the Hart-Scott-Rodino process generally have a 30-day initial waiting period. Certain cash tender offers and bankruptcy transactions receive a shorter 15-day period. These are descriptions of the U.S. process, not a timetable for international acquisitions generally; filing thresholds, exemptions, and rules can change.
The FTC’s public guidance states: “The parties may not close their deal until the waiting period outlined in the HSR Act has passed, or the government has granted early termination of the waiting period.” A closing date set before that point is consequently provisional.

2. A regulator issues a Second Request
An initial filing may not contain enough information for an authority to assess products, customers, competitors, internal strategy, market conditions, or the likely effect of the transaction. In the U.S., the FTC or Department of Justice can issue a “Second Request” seeking additional business documents and data.
Receiving a Second Request changes the schedule in several ways:
- Collection teams must identify, preserve, review, translate, and produce large volumes of documents and data.
- Executives, engineers, sales staff, and economists may need to answer detailed questions or participate in interviews.
- The waiting period is extended while the parties work toward substantial compliance.
- After substantial compliance, the FTC guide describes a further review period of 30 days for typical transactions and 10 days for specified cash tender offers or bankruptcy transactions.
- The parties and the government may agree to extend the review while remaining issues are resolved.
The statutory periods are not a promise that a transaction will close on the last day. They describe stages in the review. Document disputes, incomplete production, translations, complicated markets, or new issues discovered in the materials can all push the practical end date later.

3. Competition concerns require a deeper investigation
Merger review is forward-looking. The FTC describes Section 7 of the Clayton Act as prohibiting acquisitions when their effect “may be substantially to lessen competition, or to tend to create a monopoly.” Authorities may examine overlapping products, supply relationships, geographic markets, customer choices, innovation, entry barriers, and the ability or incentive to raise prices or reduce quality.

After preliminary review, an authority can allow the waiting period to expire, request additional information, negotiate a settlement, or take legal action. A deeper investigation does not establish that the deal will be blocked; it means the authority has not yet completed its analysis.
The FTC has said that the vast majority of deals reviewed by the FTC and DOJ proceed after preliminary review. That is a qualitative agency statement, not a percentage and not a prediction for a particular large or international transaction. Large deals with substantial overlaps can receive more scrutiny than the ordinary transaction represented by that general statement.
4. Remedies take time to design and negotiate
If regulators identify a competition problem, the parties may propose remedies instead of abandoning the transaction. A remedy can involve selling a business or asset, licensing technology, supplying a rival, limiting the use of competitively sensitive information, or accepting behavioral conditions. The appropriate solution depends on the market and the authority’s legal theory.
Remedy negotiations can delay closing because the parties and agencies must define exactly what will be divested or restricted, identify an acceptable buyer or monitor, draft enforceable commitments, and test whether the proposal protects competition. A remedy that satisfies one authority may not satisfy another. If several jurisdictions request different concessions, the parties may need to reconcile obligations that overlap or conflict.

An authority that believes a transaction is unlawful may seek an injunction or otherwise litigate to stop it. Preparing for litigation requires economic analysis, witness preparation, document review, and court scheduling. Even before a complaint is filed, negotiations over a possible challenge can move the expected closing date.

Litigation can end in a court-approved settlement, an order blocking the transaction, a decision allowing it to proceed, or abandonment by the parties. Until that path is resolved, the acquisition may remain unable to close under the agreement or under applicable law.
6. Foreign-investment and national-security screening
Competition review asks whether the transaction may harm competitive conditions. Foreign-investment screening is a separate process focused on national security, public order, critical infrastructure, sensitive technology, data, or foreign control, depending on the jurisdiction.
In the United States, the Committee on Foreign Investment in the United States (CFIUS) can review certain foreign investments in U.S. businesses and certain real-estate transactions for national-security effects. U.S. authority includes transactions that could result in foreign control of a U.S. business. A deal can therefore face CFIUS review even when its competition issues appear limited.

1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsThe European Union’s framework is also distinct from ordinary merger control. The European Commission says a new Foreign Investment Screening Regulation was adopted on 17 June 2026, entered into force on 16 July 2026, and is scheduled to apply from 17 January 2028. That application date is a framework start date, not an estimate for any individual review, and should be checked against the latest Commission guidance before relying on it.
In the United Kingdom, government guidance says accepted notifications under the National Security and Investment regime are reviewed within 30 days. The period before a notification is accepted can vary with demand and case-specific factors. The UK figure must not be treated as a global standard.
Security screening can result in clearance, mitigation measures, conditions, or prohibition. The existence of a screening process alone does not prove that a delay, mitigation, or prohibition will occur; the outcome depends on the facts and the relevant regime.

7. Several countries review the same transaction
A large cross-border acquisition can trigger filings in multiple countries because of the parties’ revenues, subsidiaries, customers, assets, or local effects. Authorities may apply different definitions of the relevant market, different filing thresholds, and different theories of harm. Some regimes can reach conduct or assets outside their borders.
OECD material identifies several coordination problems: the parties must interact with multiple authorities, outcomes may be inconsistent or conflicting, and remedies can become burdensome. Concurrent merger and foreign-investment reviews are especially difficult when the parties are trying to close quickly. The longest or most complex applicable review can determine the earliest lawful closing date, even if other authorities have already cleared the transaction.
Parallel reviews also create sequencing issues. One authority may wait for information generated in another proceeding. A remedy accepted in one country may expose a different concern elsewhere. Translations, different filing forms, local counsel, and separate disclosure obligations add administrative time.
How to read the published timeline
| Review track | Published process detail | What it does—and does not—tell you |
|---|---|---|
| U.S. HSR initial review | 30 days for most covered transactions; 15 days for specified cash tender offers or bankruptcy transactions | Shows the initial legal waiting period, not the total time to close |
| U.S. HSR after a Second Request | After substantial compliance, the FTC guide describes 30 additional days for typical transactions and 10 days for specified cash tender offers or bankruptcy transactions | Applies to a particular procedural stage; further issues or agreements can extend the timetable |
| UK NSI notification | Accepted notifications are reviewed within 30 days; acceptance time varies | The 30-day period starts after acceptance and is specific to the UK process |
| EU foreign-investment framework | The 2026 regulation is stated to apply from 17 January 2028 | This is the framework’s application date, not a review duration or closing estimate |
| Multiple jurisdictions | No universal duration is established | The most demanding unresolved review, remedy, or challenge can control the closing date |
These numbers should be attached to their jurisdiction and procedural stage. Saying that an “international acquisition takes 30 days” is inaccurate because the U.S. and UK periods above start at different points, while a Second Request or parallel filing can add substantially more work.

Authorities may need more than the legal filing form. Typical requests can include internal strategy documents, pricing analyses, customer lists, win-loss data, product road maps, sales forecasts, supplier agreements, market studies, and explanations of how the buyer and target compete. The burden is greater when records are spread across countries, stored in different systems, or written in multiple languages.

Why one authority’s clearance may not be enough
Merger clearance does not automatically resolve foreign-investment concerns, and national-security approval does not substitute for competition clearance. A buyer may need both tracks in the same country and separate approvals abroad.
For example, a transaction involving a sensitive technology business could require competition filings because of overlapping products, a CFIUS review because of foreign control, and filings in countries where the target has substantial sales. Each authority may ask a different question. Competition agencies focus on market effects; investment screeners focus on security or public-order risks. The transaction remains constrained until all closing conditions and legal prohibitions are addressed.
How to identify the cause of a specific deal’s delay
For an unnamed transaction, the announcement alone rarely identifies the reason. Use public filings, company statements, and notices from the responsible authorities to work through the following sequence:
The Tool Desk
Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →- List every relevant jurisdiction. Include countries where the buyer or target has material revenue, subsidiaries, assets, employees, customers, or sensitive operations.
- Separate review types. Identify competition filings, foreign-investment or national-security notifications, sector-specific approvals, and any other stated closing conditions.
- Locate the current stage. Determine whether the filing is pending, in an initial waiting period, subject to a request for additional information, under investigation, in remedy discussions, or facing litigation.
- Check for a changed closing condition. Look for revised outside dates, waiver language, termination-right extensions, or statements that the parties are negotiating remedies.
- Compare authority statements. One country’s clearance does not establish that another country has finished its review. Read each authority’s notice separately.
- Distinguish delay from failure. A postponed closing can reflect ordinary procedural work; a complaint, prohibition order, or termination notice indicates a materially different outcome path.
If the parties have not disclosed the status, it is safer to say that the cause is unconfirmed than to infer it from the elapsed time. The official record for the transaction, rather than a generic timetable, is needed to attribute a delay.
Other closing conditions: verify them instead of guessing
Acquisition agreements can contain conditions beyond merger and investment review. Financing, shareholder approvals, foreign-exchange permissions, diligence findings, and other contractual requirements may matter in an individual transaction. However, none should be identified as the cause of a particular delay without transaction-specific evidence.
The same caution applies to political statements or media reports. A regulator’s formal notice, a company filing, or a direct statement from the parties is stronger evidence than an unexplained change to an expected closing date.
Practical implications for buyers, sellers, and observers
For buyers and sellers
- Build the timetable around the slowest plausible regulatory path, not the fastest initial waiting period.
- Map competition and investment-screening filings before signing where possible.
- Preserve responsive documents and data early so an information request does not create avoidable delay.
- Coordinate remedy proposals across jurisdictions; a local solution may create obligations elsewhere.
- Use the agreement’s outside date and extension mechanics to account for unresolved reviews.
For employees, investors, and customers
- Do not treat an announced target date as proof that closing is imminent.
- Look for explicit references to a Second Request, national-security review, remedies, or litigation.
- Check whether the parties have extended the outside date or revised guidance.
- Separate a regulatory delay from a statement that the transaction has been terminated or prohibited.
Bottom line
The most common reasons a large international acquisition takes longer than planned are mandatory waiting periods, expanded information demands, competition investigations, foreign-investment or national-security screening, and the coordination of several jurisdictions. Remedy negotiations and litigation can extend the process further. Without the transaction’s countries, sector, structure, filings, and current authority notices, no responsible source can identify the exact cause or provide a universal closing date.
