“DeFi coin” is a broad everyday label, not a single technical or legal category. It may refer to a blockchain’s native coin or to a token used by a decentralized-finance protocol. To understand what an asset does—and what risks come with it—identify its network, purpose, holder rights, and the people or mechanisms that can influence the protocol.
What are DeFi coins?
Decentralized finance, or DeFi, describes crypto-asset protocols and platforms for activities such as exchanging assets, lending, and borrowing. They use distributed-ledger networks and software, including smart contracts, to carry out transactions. Instead of relying on a conventional intermediary to maintain an account or approve each transaction, users interact with the network and its software.

“Decentralized” describes an effort to reduce or remove traditional intermediaries; it does not mean that no one influences how the system operates. Miners or validators help process transactions, and developers, administrators, governance participants, or large voting blocs may be able to affect protocol decisions. The U.S. Treasury’s 2022 report discusses validators’ and miners’ important role, while a 2024 CFTC Technology Advisory Committee report examines governance and other sources of influence.

Coin versus token
A coin generally operates on its own blockchain. A token is generally created on an existing blockchain and depends on that network to be transferred or used. People often call either one a “coin” in casual conversation, so the label alone does not tell you which kind of asset you are dealing with.

Nor does “DeFi coin” specify one uniform product type. The SEC’s 2026 crypto-asset explainer describes several possible categories, including digital commodities used to participate in or use a functional crypto system, stablecoins designed to maintain value relative to a reference asset, digital tools with practical functions, and digital securities that represent financial instruments on crypto networks. Those categories are not interchangeable, and the label “DeFi” does not determine an asset’s rights or legal treatment.
How do DeFi tokens work?
A token’s role depends on the protocol and its design. A protocol may use tokens for network activity, governance, trading, liquidity, or as assets offered in lending arrangements. Some assets are designed to track a reference asset; others may be used as collateral or traded on a protocol. A token can have more than one function, but its name is not proof of what holders can actually do.

Using a protocol
- Identify the network and protocol. Confirm which blockchain the asset uses and which application or contract you intend to interact with. Assets with similar names may not be interchangeable.
- Check the required assets and transaction costs. A protocol may require a particular token for an action, while the underlying network may charge transaction fees in its native asset. The actual requirements depend on that protocol and network.
- Review the transaction before signing. A wallet asks you to authorize an action using your private key. Read what the transaction permits and which assets it will move; signing is not the same as asking a bank to reverse a payment.
- Understand what the software will do. Smart contracts can execute programmed actions such as exchanging assets or applying collateral rules. A transaction’s outcome depends on the contract, network conditions, and any relevant external data feeds.
This describes a general interaction pattern, not a guarantee that every DeFi service works the same way. Protocols differ in their contracts, governance, fees, supported assets, and user protections.
Utility and governance are not ownership
A utility feature may let a holder use a service or participate in network activity. A governance token may allow holders to vote on certain proposals. Neither feature automatically grants company equity, a guaranteed share of revenue, or effective control over a protocol. The token documentation and governance design determine what participation means in practice.

Check what holders may propose, approve, or execute; how voting power is distributed; and whether administrators or other designated participants retain special controls. A nominal vote may not provide meaningful influence if voting power is concentrated or another actor can execute or override a decision.
How to assess a DeFi token or protocol
Popularity or a promoted yield does not answer the practical questions that determine how an asset works. Use these dimensions to compare options without treating any one measure as a recommendation to buy or use them.

| What to assess | Questions to answer |
|---|---|
| Function | What does the asset actually enable? Is it used for network activity, governance, trading, collateral, or designed to track a reference asset? |
| Rights and supply | What do the official materials say holders can do? What are the supply, distribution, and unlock terms? Do not infer rights from the token’s name. |
| Governance and control | Who can propose, approve, and execute changes? Are there administrator or guardian keys, emergency controls, or concentrated voting blocs? |
| Market and liquidity | Can users trade at the size they need, and what may happen during volatility or liquidity stress? The reports cited here do not establish current liquidity figures for individual tokens. |
| Technical dependencies | Does the system rely on smart contracts, oracles, bridges, or collateral arrangements? What could happen if one fails or provides incorrect information? |
| Custody | Will you use a third-party custodian, an internet-connected wallet, or offline storage? Consider access, key recovery, supported assets, and convenience. |
| Legal and geographic context | Which asset, offering, services, and jurisdiction are involved? Seek current authoritative guidance for the relevant location rather than assuming a label settles the question. |
What are the risks of DeFi?
DeFi risks can overlap: a technical failure can cause a financial loss, while unclear responsibility can make the resulting harm harder to address. A 2024 CFTC Technology Advisory Committee report discusses risks associated with open-source software, smart contracts, governance, oracles, and bridges, as well as liquidity mismatches and automated liquidation. It also notes that unclear responsibility and limited recourse may compound harm.

| Smart-contract or security failure | A bug, exploit, or compromised system can lead to theft or loss of digital assets. Open-source code does not by itself establish that a contract is safe. | Which contracts control the assets, who can change them, and what security information the protocol makes available. |
| Oracle or bridge failure | An oracle supplies external information to a contract; a bridge connects different networks. Incorrect data or a bridge failure can undermine actions that depend on them. | Whether the protocol depends on these components, and what its design does if they are unavailable or compromised. |
| Liquidity and liquidation | Liquidity may be insufficient during stress. If collateral value falls, automated rules can liquidate positions and contribute to further deleveraging. | Collateral requirements, liquidation triggers, and how the protocol describes what happens during sharp price moves. |
| Governance or administrative control | People or groups with voting power, administrator access, or emergency controls may affect changes or responses to failures. | Who holds those powers, how they are constrained, and what the protocol says happens in an emergency. |
| Privacy and accountability | Technology and security incidents may expose personal information. If responsibility is unclear or recourse is limited, resolving harm may be difficult. | What information the service requests, who operates relevant components, and what remedies or support—if any—the service describes. |
| Legal and compliance uncertainty | Applicable obligations depend on the asset, service, facts, and jurisdiction. Rules or interpretations may not map neatly to the word “DeFi.” | Current guidance for the relevant jurisdiction and the specific service or offering, rather than a broad claim about all protocols. |
The Treasury’s 2022 report also discussed decentralized platforms that may lack customer-verification and anti-money-laundering/countering-the-financing-of-terrorism measures, and potential compliance issues under U.S. law. That is the report’s analysis at the time; it should not be read as a current blanket legal conclusion about every platform.

How wallet custody changes the trade-offs
A wallet manages the private keys used to authorize transactions; it does not store the crypto assets themselves. A private key is what authorizes access and transactions, so losing it can mean permanently losing access. The SEC’s wallet explainer distinguishes hot wallets, which connect to the internet, from cold wallets, which are typically physical and offline.
| Wallet approach | Main advantage | Main trade-off |
|---|---|---|
| Hot wallet | Convenient for transactions. | Internet connectivity exposes it to cyberthreats. |
| Cold wallet | Offline storage generally improves protection from online threats. | Less convenient for transactions; access still depends on protecting and recovering the keys. |
| Third-party custody | A provider manages custody rather than the user directly managing the keys. | The user relies on that provider for access and custody; terms and protections depend on the service. |
Changing custody method does not remove protocol risk: offline storage cannot prevent a contract bug, market loss, scam, or an incorrectly approved transaction.
How U.S. securities questions are assessed
Do not assume that every DeFi token is a security—or that none are. The SEC’s transaction explainer describes the U.S. investment-contract inquiry as involving an investment of money in a common enterprise, with a reasonable expectation of profits derived from the essential managerial efforts of others. The analysis concerns the circumstances of an offering and the relevant promises or efforts, not merely a ticker symbol.
The SEC also explains that a crypto asset may be offered subject to an investment contract and may, in specified circumstances, later separate from that contract. Whether that analysis applies is fact-specific. The SEC Division of Corporation Finance FAQs dated September 25, 2026 discuss functionality, decentralization, and issuer representations, but expressly state that they are staff views, not a rule or Commission statement, and have no legal force or effect. Their scope is U.S. law; they do not determine treatment in other jurisdictions.
For a particular asset or service, consult current authoritative guidance for the relevant jurisdiction and consider qualified legal advice where the stakes warrant it.
