A credit agreement amendment changes the terms it expressly identifies, once the amendment’s effectiveness conditions are met. It may revise loan size, interest or fees, covenants, maturity, repayment dates, collateral, or borrower obligations. The company should check the consent rules, closing conditions, and related loan documents before signing; everything else depends on the actual contract and amendment.
Which terms can an amendment change?
The amendment controls what changes: compare it with the current credit agreement and all prior amendments, and identify provisions it adds, deletes, replaces, or waives. Changes may affect:
As an Amazon Associate I earn from qualifying purchases.
- Facility size and commitments: how much the company may borrow or lenders are required to provide.
- Pricing and fees: interest rates, recurring charges, or a one-time amendment fee.
- Financial covenants and reporting: required financial tests, certificates, and delivery obligations.
- Maturity and payments: the final due date, repayment schedule, or other payment dates.
- Collateral and guarantees: security interests, guarantor obligations, or related confirmations.
- Other borrower obligations: any additional provision the amendment specifically revises.
Do not assume that a change to one term alters another. One SEC-filed amendment, for example, restated the loan amount, included representations and effectiveness conditions, and said unchanged terms remained in force: SEC-filed amendment example.
Who must consent?
Check the credit agreement’s amendment and waiver provisions before assuming a particular lender vote is sufficient. For a syndicated loan, the borrower ordinarily sends a written request to the facility agent explaining the reason for the change, the affected clauses, and the applicable consent thresholds. Bilateral requests may be less formal. The agreement may require approval from a lender class, each directly affected lender, or all lenders, depending on the change. LexisNexis amendment guidance

There is no universal voting threshold. One filed U.S. agreement uses borrower and “Required Lenders” consent as its general rule, but reserves specified changes—such as reducing principal or interest, extending maturity or payment dates, and releasing substantially all collateral—for the borrower and each directly affected lender. It also requires all-lender consent for certain changes to the amendment section or the definition of Required Lenders. That is one dated contract example, not a rule for other agreements. Amendment, waiver, consent, or restatement?
| Document or action | What it generally does |
|---|---|
| Amendment | Permanently revises the contract terms it identifies. |
| Waiver | Typically excuses a particular instance or breach without permanently changing the underlying term. |
| Consent | Approves an action for which the agreement requires permission. |
| Amendment and restatement | Replaces the agreement with a consolidated version; it may be more efficient when changes are numerous or the agreement has already been amended repeatedly. Practical Law Canada toolkit |
What company impacts should you calculate?
Cash cost and debt economics
Check any amendment or modification fee and responsibility for lender and agent expenses. A filed agreement required a $10,000 modification fee for each signing lender; that amount is specific to that transaction and is not a market benchmark. Covenant headroom and reporting
Revised financial tests can change operating flexibility and the company’s ongoing reporting duties. Check how compliance will be measured and when certificates are due. In one filed example, a compliance certificate had to be calculated after giving effect to the amendment. Filed agreement example
Guarantees, collateral, and other defaults
Check whether guarantors must consent or reaffirm their obligations and whether security documents need confirmation or other action. A 2024 filed amendment required guarantor consent and reaffirmation and stated that liens continued unimpaired; those terms do not establish what happens under every amendment. SEC-filed amendment example A change addressing one issue also does not necessarily waive other defaults or obligations. One filed agreement says, “No waiver shall extend to or affect any obligation not expressly waived or impair any right consequent thereon.” That is wording from that agreement’s §26, not a universal legal rule. What to check before signing
- Collect the documents: obtain the current credit agreement, every prior amendment, guarantees, security documents, intercreditor arrangements, and relevant notes or fee letters.
- Map the edits: mark every changed definition, section, schedule, and exhibit; distinguish additions, deletions, restatements, and waivers.
- Confirm the consent path: read the amendment clause and identify which lenders and other parties must approve the specific changes.
- Build a closing checklist: confirm required corporate approvals and signatures; representations and no-default confirmations; certificates; fees and expenses; guarantor reaffirmations; and any filings or post-closing deliverables. Filed examples show these conditions can vary by deal. SEC-filed amendment example Filed agreement example
- Recalculate obligations: test covenant compliance after giving effect to the amendment and verify payment dates, reporting duties, and available borrowing capacity.
- Check what remains unchanged: confirm which terms continue in force and whether any waiver is limited to a specific default or obligation.
- Review linked documents and legal requirements: have qualified counsel assess governing law, corporate authorization, related-document effects, and security or perfection issues for the actual transaction. Professional checklist for related loan documents
