Trustly says two existing shareholders have signed binding equity commitment letters for more than $40 million to support a planned capital raise. The commitments are not a completed financing: the company expects the raise to conclude in November 2026, when it will disclose the final amount. Trustly says it intends to use the capital to accelerate AI-enabled products and a real-time intelligence platform for merchants.
What Trustly announced
In an announcement dated 2 October 2026, Trustly Holding AB said its parent, Trustly AB (publ), had received signed, irrevocable and legally binding equity commitment letters totaling more than $40 million. The letters are intended to fund a capital raise, rather than report proceeds from a financing that has already closed. Trustly’s announcement says the final amount will be announced at completion.

Who is committing capital
The named investors are Nordic Capital, which Trustly describes as its principal shareholder, and existing shareholder Alfvén & Didrikson. Trustly says other existing shareholders will have an opportunity to participate as well; whether they do, and how much they might contribute, is not yet disclosed.
When the raise is expected to close
Trustly expects the capital raise to conclude in November 2026. That is a stated expectation, not confirmation of a closing date or a guarantee that the final proceeds will match the commitment threshold.

What Trustly says it will do with the capital
Trustly says the money will accelerate its growth strategy, including development of new products that use AI to turn payment activity into business intelligence for merchants. The company describes an ambition to build a real-time intelligence platform on top of its open-banking payments network across the US, Canada and Europe.
In the company’s framing, payment data could help merchants acquire and retain customers and manage risk. The announcement does not identify a product, launch schedule, customer deployment, capital allocation or measurable performance target. The platform and merchant benefits should therefore be understood as strategic aims, not evidence of products already launched or results already achieved.
