Sometimes—but the word “tokenized” alone does not tell you. A token may be part of the official record of a share, represent a security entitlement through a custodian, or provide only contractual exposure to a stock’s price. The legal documents and recordkeeping determine what you own, which rights you receive, and who owes you if something goes wrong. The examples and regulatory context below are U.S.-focused unless noted.
What does a tokenized stock actually represent?
A tokenized stock is an equity-related product represented or tracked using a blockchain token. That description says how a product uses technology; it does not settle whether the holder owns shares in the company. SEC staff’s January 28, 2026 statement distinguishes issuer-sponsored tokens from third-party-sponsored products, including both custodial security entitlements and synthetic exposure.
The practical question is not simply whether a product is “backed by shares.” Ask who owes you what, where the legally relevant ownership record sits, and what rights the governing documents grant. SEC Commissioner Hester M. Peirce put the broader point this way in July 2025: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset. Tokenized securities are still securities.”

How the main tokenized-stock structures differ
| Structure | What the token may represent | What the blockchain records | Who may owe the holder |
|---|---|---|---|
| Issuer-sponsored token | The share itself, if the issuer’s or its agent’s official securityholder record recognizes the token-based ownership. | It may form part of the master securityholder file, or it may signal a change that is recorded in an off-chain file. | The issuer, where the holder’s security ownership is recognized under the arrangement. |
| Third-party custodial entitlement | A direct or indirect security entitlement connected to shares held in custody. | It may record entitlement transfers, or a transfer may prompt an update to off-chain records. | The relevant intermediary or entitlement chain, as defined by its records and governing documents. |
| Third-party synthetic or linked exposure | A separate instrument whose value or returns are linked to a referenced share; it may not convey ownership of that share. | A token tracking or transferring the separate contractual claim. | The third-party issuer or other counterparty specified by the product documents, not necessarily the company whose stock is referenced. |
This comparison follows the structures described by SEC staff in its January 2026 statement. In particular, an on-chain transfer is not automatically a legally conclusive transfer of the share: under some designs it is the ownership record, while under others it is a signal used to update an off-chain record.
Issuer-sponsored: the token can be part of the ownership record
An issuer or its agent may use the crypto network as part of the master securityholder file. If the token transfer changes that official record, the token can correspond to the shareholding itself. The issuer may associate wallet addresses and token quantities with identity information held off-chain.

Another design keeps the legally authoritative file off-chain. In that case, a token transfer can initiate or facilitate an update, but the blockchain entry alone may not establish that the ownership record changed. The product’s documents and transfer process matter.
Custodial entitlement: a claim connected to shares held for holders
A third party may hold shares in custody and issue tokens representing direct or indirect interests through a security entitlement. The token holder’s claim then depends on the entitlement arrangement and its recordkeeping, rather than simply on possession of a token. Transfers might update entitlement records on-chain or trigger changes to off-chain records.

Synthetic or linked exposure: a claim against a third party
A third party can issue its own instrument with returns linked to a referenced stock. SEC staff describes a “linked security” as an obligation of that third party, not of the company whose share is referenced; it does not, by itself, confer rights or benefits from that company. Some synthetic arrangements may instead be security-based swaps, which have different legal and distribution rules.
Do token holders get dividends, votes, or other shareholder rights?
Those rights depend on the structure and its documents. A holder whose interest is recognized as ownership of the share may have a different legal position from someone holding a custodial entitlement or a contract linked to the share price. A synthetic product may provide price exposure without rights against the referenced company.

- Dividends and distributions: Check whether the documents grant a right to receive them, how amounts are calculated and paid, and whether the entitlement is direct or depends on an intermediary.
- Voting: Look for an explicit voting right and the process for exercising it. Do not assume that tracking a share’s price also gives the holder a vote.
- Other corporate actions and information: Check how the arrangement handles events such as share-related distributions and what company information, if any, reaches holders. The SEC Investor Advisory Committee’s 2026 subcommittee recommendation discusses potentially better shareholder information and fewer intermediaries for some corporate actions as possible system-design outcomes, not guaranteed features.
“Backed by shares” is not the same thing as direct shareholder status. Custody, beneficial ownership, contractual rights, and voting rights are separate questions.
What happens if an issuer, custodian, or platform fails?
Failure risk follows the legal chain. With an issuer-sponsored share, the relevant question is how the official ownership record and transfer arrangements operate. With a custodial entitlement, the holder should identify the custodian and intermediary, how the shares and entitlements are recorded, and what the documents say about insolvency. With a synthetic instrument, the holder may have a claim against the third-party issuer or counterparty rather than the company whose shares are referenced.

SEC staff warns that third-party tokens may or may not represent ownership in, or an obligation of, the referenced issuer, and may expose holders to third-party bankruptcy risk. SEC Commissioner Peirce also noted that a token without legal and beneficial ownership could be a security-based swap; existing securities requirements apply to on-chain and off-chain instruments.

Read the issuer, custody, and platform documents together. Identify any permission to lend underlying shares, and determine which entity is responsible for each promise. For example, OKX’s U.S. Unified Tokenized Stock terms, published July 15, 2026, describe a contractual entitlement against the applicable OKX entity and state that the balance does not represent ownership of, or a direct legal claim against, the underlying equity. The terms also describe an underlying token issued by a separate issuer, shares held by a third-party custodian under that issuer’s documents, and possible share lending where those documents permit it. Those terms describe that particular service, not tokenized stocks generally.

Not necessarily. A conventional brokerage holding and a tokenized product can differ in the identity of the issuer or obligor, the location and authority of ownership records, the custody chain, and the rights the holder can enforce. A token can correspond to issuer-recorded shares, an entitlement connected to custodial shares, or a separate contractual instrument. Compare the legal rights and account records rather than assuming that the blockchain format makes the products equivalent.

Can tokenized stocks settle faster or trade around the clock?
Tokenization may allow delivery of a token and payment to occur in one transaction, often called atomic settlement, with ownership records embedded in a blockchain. The SEC Investor Advisory Committee Market Structure Subcommittee’s February 26, 2026 recommendation presents this as a potential efficiency and risk-reduction benefit—not a feature that every tokenized product implements.
The same recommendation describes U.S. equity settlement as T+1: a one-day delay between a broker trade and settlement. That timing is a description of the settlement cycle, not evidence about tokenized-stock adoption or performance. A product’s actual trading hours, transferability, redemption arrangements, and settlement process must be checked in its own terms; tokenization alone does not establish continuous trading or atomic settlement.
What do the U.S. rules say about tokenized securities?
SEC staff’s January 28, 2026 statement says that changing a security’s format does not, by itself, change how federal securities laws apply. It is a staff statement explaining the staff’s views, not a new rule. The statement distinguishes an issuer’s on-chain master file from tokens that signal updates to an off-chain record, as well as third-party custodial and synthetic structures.
A separate federal banking-agency FAQ addresses “eligible tokenized securities” that confer legal rights identical to their non-tokenized form. The Federal Reserve Board, FDIC, and OCC said on March 5, 2026, that eligible instruments generally receive the same capital treatment, while securities without identical legal rights are outside the FAQ’s scope. That banking-capital guidance does not establish that every retail token is legally equivalent to common stock.
Quick Recap
What to check before treating a token as a share
- Identify the legal issuer and obligor. Is the company whose stock is referenced responsible for your rights, or is the obligation owed by an intermediary or third-party instrument issuer?
- Find the authoritative ownership record. Determine whether the blockchain is the master securityholder file, records an entitlement, or merely signals an off-chain update.
- Read the rights provisions. Confirm what the documents say about dividends, votes, corporate actions, and information rights; do not infer these from a price link or “backed” claim.
- Trace custody and failure exposure. Find where underlying shares are held, who the custodian and intermediaries are, whether lending is permitted, and what the documents say if an issuer, custodian, or platform fails.
- Check how you can exit or transfer. Verify transferability, redemption terms, trading hours, fees, and the actual settlement process. Treat atomic settlement as a feature only if the product documents say it is implemented.
- Confirm eligibility for your location. Review current jurisdiction and investor restrictions in the relevant terms. OKX’s cited U.S. terms, for example, say that service is limited to eligible users in selected jurisdictions, exclude U.S. persons and people located in the United States, and reserve the possibility that access may change or be discontinued. These limits apply to that service, not all providers.
