Tokenized Assets vs. Traditional Securities: Key Risks and Controls

A token’s label does not establish ownership or shareholder rights. Compare the legal claim, records, custody, insolvency treatment, and controls before investing.

Tokenized securities are not automatically safer, more liquid, or equivalent to the shares or other securities they reference. The key question is what legal claim the token gives you—and which issuer, custodian, records, and rules govern it. A token can represent direct or issuer-sponsored ownership, a custodial claim, or synthetic exposure, and those structures can carry different rights and failure risks.

What are the risks of tokenized securities?

Tokenization describes a way of representing and recording or transferring an asset; it does not, by itself, change the asset’s legal character or guarantee ownership of the referenced security. In a July 9, 2025 statement, SEC Commissioner Hester M. Peirce wrote, “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.” She said tokenized securities remain securities and market participants must consider and adhere to federal securities laws. Her statement is an individual commissioner’s statement, not a new Commission rule.

For U.S. investors, the SEC staff’s January 28, 2026 statement describes securities represented by crypto assets whose ownership records are maintained in whole or in part on crypto networks. It distinguishes issuer-sponsored tokens from third-party tokens. A third-party token may be a custodial representation of an underlying security or a synthetic instrument that provides exposure through a separate security. The label “tokenized stock” alone does not tell you which structure applies.

  • Different legal claim: The token may represent direct ownership, a security entitlement recorded through an intermediary, an issuer’s obligation, a receipt, or synthetic exposure. These are not interchangeable.
  • Additional intermediary exposure: With a third-party structure, the holder may depend on the token issuer or custodian as well as the referenced security’s issuer.
  • Different rights and recourse: Voting, distributions, transfer rights, disclosures, and recovery in a failure can depend on the instrument’s documents and applicable law.
  • Operational and market risks: Cybersecurity incidents, outages, weak surveillance, conflicts of interest, or unclear settlement procedures can affect access to or transfer of the token.

These are structural risks to investigate, not proof that every tokenized instrument is inferior or every traditional holding is risk-free. The outcome depends on the specific product, its governing documents, and the systems used to custody, trade, and settle it.

Do tokenized stocks give me the same rights as shares?

Not necessarily. The SEC Investor Advisory Committee’s discussion of tokenized equity distinguishes native from wrapped tokens and issuer-sponsored from third-party issuance. It notes that rights may differ. Its examples concern equity securities; they should not be assumed to describe every tokenized asset.

A direct shareholding, a security entitlement held through an intermediary, and a contractual or synthetic exposure are different legal arrangements. A wrapped token issued by a third party may not itself convey ownership of the underlying shares. Depending on its terms, the holder may not have the same voting or distribution rights as a shareholder, or the same claim to the shares if an intermediary fails. Look for the actual rights and recourse in the offering and account documents rather than inferring them from a token’s name or price tracking.

What happens if the platform or custodian goes bankrupt?

It depends on what you own, who holds any backing securities, how client assets are treated, and which records and agreements control. A holder of a third-party token can face a claim against the token issuer or custodian, creating an insolvency layer that a holder of the underlying security would not necessarily face. Whether assets are segregated, how a claim is handled, and what recovery route exists must be determined from the documentation and applicable law; the token alone does not answer those questions.

Also establish which record is authoritative. If a token changes hands on a network, determine whether that transfer legally transfers the security or entitlement, or whether an intermediary’s books must also be updated. Check what happens if the network, platform, or custodian is unavailable, and whether the product has a defined process for reconciling records and restoring access.

How do tokenized and traditional securities compare?

“Traditional” securities also rely on issuers, custodians, intermediaries, and recordkeeping systems. The meaningful comparison is between two specific offerings and their legal and operational arrangements, not between blockchain and conventional systems in the abstract.

Question Traditional holding Tokenized holding
What is the legal claim? Identify whether you hold the security directly or a security entitlement through an intermediary. Identify whether the token conveys ownership, represents an entitlement or receipt, records an issuer obligation, or provides synthetic exposure.
Which records establish ownership? Determine which issuer or intermediary records govern the holding and transfer. Determine whether the network ledger, an intermediary’s books, or both control legal ownership and transfer.
Who holds or backs the asset? Review the custody chain and the treatment of customer assets. For a backed or wrapped token, identify the custodian, backing arrangement, segregation terms, and redemption conditions; for synthetic exposure, identify the obligor and contract.
What rights and recovery apply? Review voting, distributions, transfer restrictions, and claims against relevant intermediaries. Review those same rights and determine whether the token adds a claim against its issuer or custodian and what recovery process applies.
What controls support trading and continuity? Assess venue oversight, surveillance, conflicts, cybersecurity, business continuity, and settlement finality. Assess those controls along with network security, token transfer restrictions, outage procedures, and reconciliation between token and ownership records.

The official materials cited here discuss potential efficiency and market-access benefits, but establish no named comparative statistic showing that tokenized securities are broadly faster, cheaper, safer, or more liquid than traditional securities. A particular product’s claimed benefit should be assessed against its actual terms and operations, not assumed from the format.

What controls should investors check?

Before buying or transferring a tokenized security, use the offering documents, account terms, and custody disclosures to answer each question. If the materials do not make the answer clear, treat that as unresolved product risk rather than filling the gap with assumptions.

  1. Identify what you own. Is it the security itself, a security entitlement, a receipt, an issuer obligation, or synthetic exposure?
  2. Identify the accountable parties. Who issued the token, and did the underlying security’s issuer authorize the arrangement?
  3. Trace custody and backing. If an underlying security is held, who holds it and how are customer assets treated and segregated?
  4. Find the controlling ownership record. Does a token transfer legally transfer the security or entitlement, or must an intermediary update its books?
  5. Verify investor rights. What do the documents provide for voting, distributions, disclosures, transfers, and recourse?
  6. Read transfer, redemption, and settlement terms. Check eligibility limits, restrictions, timing conditions, and what happens when systems are unavailable.
  7. Understand insolvency and recovery. Determine how the documents address bankruptcy, asset recovery, record reconciliation, and access restoration.
  8. Assess market and operational safeguards. Look for controls addressing cybersecurity, manipulation, surveillance, conflicts, outages, and business continuity.

A July 1, 2026 comment submitted to the SEC advocated safeguards including 1:1 backing, regulated custody, independent audits, disclosures, defined rights and recovery rules, surveillance, and cybersecurity. That submission is a stakeholder recommendation, not an adopted SEC requirement. Use it as a set of issues to examine, not as evidence that a product has those protections.

How to make a like-for-like decision

Compare the tokenized product with the specific traditional security or account arrangement you would otherwise use. Start with the legal claim and rights, then trace records, custody, failure recovery, and operational controls. Only after those are clear should you weigh claimed convenience or access benefits; the format alone does not establish that the trade-off is favorable.

This discussion concerns U.S. securities structures described in the cited SEC materials. It does not establish how tokenized securities are treated in other jurisdictions, where laws, rules, and investor protections may differ.
