A separate pro rata or participation right—typically documented in a side letter or the financing documents—is what can let you invest additional money to maintain your ownership percentage. The signed SAFE, every side letter, and the round documents control the result for a particular company.
The short answer: conversion is not a round allocation
A SAFE (Simple Agreement for Future Equity) is an agreement under which an investor supplies money now in exchange for shares later. When the company completes a qualifying priced equity financing, the SAFE generally converts according to its own formula. The investor receives the conversion shares specified by the SAFE; those shares are not the same as the new shares purchased by investors paying cash in the priced round.

A right to buy part of the new financing is a different contractual benefit. It is commonly called a pro rata, participation, or pre-emption right. It gives the holder an opportunity to invest more money in the financing, usually to preserve a target ownership percentage. It is not free stock, is not automatically included in every SAFE, and normally requires the investor to make a new payment and meet the round’s procedures and deadlines.
What a SAFE does before and during conversion
Before conversion, it is neither stock nor debt
Under Y Combinator’s explanation of its standard SAFE, the instrument is a contract for a future equity issuance. Before conversion, the holder does not own the shares that will eventually be issued. The SAFE is not a loan: it carries no interest and has no maturity date. Those characteristics distinguish it from a convertible note and from already-issued preferred stock.

The exact conversion event depends on the document. In the standard YC description, a priced equity financing triggers automatic conversion, after which the SAFE terminates. Other forms can contain different triggers or conditions, so the executed version—not a summary of a standard form—must be read.
The conversion price comes from the SAFE terms
A SAFE can use a valuation cap, a discount, a most-favored-nation (MFN) provision, or a combination of terms. A valuation cap sets the highest valuation used for the SAFE’s conversion calculation. A discount reduces the price per share compared with the price paid by the new-money investors. YC’s conversion calculator describes a cap-price SAFE as converting at the better (lower) of its calculated SAFE Price or the price paid in the financing; a discount SAFE converts at the discounted round price. The document and the company’s capitalization data determine the actual number.
Conversion therefore answers: How many shares does this existing SAFE become, and at what price? It does not answer: How much additional cash may this investor put into the financing?

What happens in a priced equity round
A priced equity financing sets a share price at the closing and sells a specified class of stock—often preferred stock—under negotiated rights, privileges, and preferences. A lead investor may request extensive rights, such as information rights or a board seat, and those terms are written into the financing documents. YC describes priced rounds as common at Series A and later stages, while SAFEs are commonly used for earlier fundraising. Those are descriptions of common practice, not legal requirements or a guarantee about any company’s timing.
At the closing, two transactions can occur side by side:

- Existing SAFEs convert into the class and number of shares calculated under their instruments.
- New-money investors purchase the newly issued securities at the negotiated round price.
An investor may be in both groups. For example, a SAFE holder can receive conversion shares and, if a separate right permits it, buy additional Series A shares. The conversion is automatic under the applicable SAFE terms; the purchase is an elective investment that requires cash, eligibility, and timely exercise.
SAFE conversion and pro rata participation compared
| Question | SAFE conversion | Pro rata or participation right |
|---|---|---|
| Why does it exist? | To turn the SAFE investment into shares when the specified equity-financing trigger occurs. | To let the investor put additional money into a later financing, usually to limit dilution. |
| Is a new payment required? | No payment is made at conversion; the original SAFE investment is exchanged under its formula. | Yes. The holder must invest new money for the new securities. |
| Where is it documented? | In the signed SAFE and any amendment or applicable conversion documents. | In a side letter, the financing documents, or another signed agreement. YC’s standard approach places it in an optional side letter. |
| What does the holder receive? | Shares calculated using the cap, discount, MFN, and capitalization provisions. | New round securities purchased at the round’s terms and price, up to the contractual limit. |
| Does it happen automatically? | YC describes conversion on a qualifying equity financing as automatic for its standard SAFE. | No. The holder must elect to participate and follow the notice, subscription, funding, and closing requirements. |
| Does it preserve ownership? | Not by itself. The conversion percentage can be diluted by the financing and by other capitalization changes. | It is designed to help maintain a stated ownership percentage, subject to the right’s definition and the amount available in the round. |
Do SAFE investors get pro rata rights?
Not automatically. YC states that pro rata rights are optional and separate from the standard SAFE. The holder must look for a signed side letter or another contractual grant. Some investors negotiate such a right; others accept a SAFE without one. A company can also limit the right to certain investors, financing sizes, security classes, or eligibility categories.
Y Combinator defines the purpose plainly: “Pro rata rights let an investor invest money into your startup’s future equity financing to keep their ownership percentage of your startup from shrinking.” The phrase “invest money” matters. The right is an opportunity to buy, not a grant of additional shares.
The 10-percent example
YC’s Primer for post-money SAFE v1.1 gives an example of a side letter allowing an investor to purchase 10% of the new money being raised in the next equity financing. If that financing raises $5 million, the investor could have the contractual right to invest up to $500,000. This illustrates one negotiated participation formula; it is not a default allocation for every SAFE holder or every round. The actual side letter may use a different percentage, a percentage of the round’s securities, a cap, or a different calculation altogether.
Is a SAFE investor allocated shares in the priced round?
The precise answer has two parts:
- Conversion shares: If the financing satisfies the SAFE’s trigger, the holder receives the shares calculated by the SAFE. Under YC’s standard description, this conversion is automatic.
- New-money shares: The holder receives these only if a separate right permits participation and the holder exercises it by investing the required amount under the round documents.
Calling both results an “allocation” can hide the distinction. Conversion is the settlement of an earlier contract. Participation is a new purchase in the financing. A cap table should show them as separate lines so the investor and company can verify each share count and cash contribution.

How cap and discount terms affect conversion ownership
The post-money cap estimate
For a post-money SAFE, YC explains a quick ownership estimate: divide the investment by the post-money valuation cap. Its example is $500,000 divided by a $6.7 million post-money cap, or approximately 7.5%. That percentage estimates the ownership sold through the SAFE’s conversion calculation; it does not create a right to buy 7.5% of the next round or guarantee a final post-financing percentage.
Why the estimate is not a final cap-table result
The post-money label has a specific meaning. YC says the cap is post the SAFE investments and existing capitalization assumptions, but not the new or increased option pool adopted as part of the priced financing. If the round’s price is lower than the cap-based price, the cap does not bind and the SAFE converts at the price paid by the new-money investors. Multiple SAFEs, discounts, MFNs, outstanding notes, founder and employee holdings, and option-pool assumptions can all change the result.
YC’s conversion calculator is designed to model multiple SAFEs, caps, discounts, MFNs, an option pool, and a priced financing together. Use a full capitalization schedule rather than multiplying one headline percentage by the round size.
How much can you invest if you have pro rata rights?
There is no universal amount. The answer is the amount permitted by the operative document after applying its definition of the financing and the holder’s ownership or participation percentage. A right might be expressed as a percentage of the new money, a percentage of the securities offered, or an amount calculated from the holder’s fully diluted ownership. It may also be limited by a maximum, a minimum round size, investor-eligibility rules, or the securities actually available.
To calculate the amount for a specific financing:
- Identify the document granting the right and the exact percentage or formula.
- Confirm what the document calls the eligible financing: for example, whether it includes bridge money, a particular preferred-stock class, or only a round above a stated threshold.
- Determine the financing amount and the securities offered from the final term sheet and subscription documents.
- Apply the formula without substituting the SAFE’s conversion percentage unless the side letter expressly does so.
- Check the maximum, minimum, allocation reduction, and oversubscription provisions.
- Follow the notice deadline, sign the required subscription paperwork, deliver funds, and obtain confirmation of the closing allocation.
In the YC illustration, 10% of a $5 million new-money financing is $500,000. That arithmetic is useful only after the side letter establishes the 10% right and defines the financing in that way.

Document checklist before you assume an allocation
For an actual company, review these documents together:
- The executed SAFE: Confirm the form or version, purchase amount, valuation cap, discount, MFN language, conversion trigger, and any amendments.
- Every side letter: Search specifically for “pro rata,” “participation,” “pre-emptive,” “future financing,” “major investor,” and related definitions. Confirm whether the letter survives an amendment, transfer, or conversion.
- Financing documents: Read the term sheet, stock-purchase or subscription agreement, amended charter, investor-rights provisions, and any allocation notice. These establish the round’s price, security class, eligibility, and closing mechanics.
- Capitalization information: Obtain the share counts and assumptions used for conversion, including other SAFEs or notes, the option pool, and any pool increase required by the financing.
- Deadlines and conditions: Note notice periods, required investor representations, minimum checks, accreditation or jurisdiction conditions, and the date funds must arrive.
- Amount covered: Determine whether the right is a percentage of new money, a percentage of securities, or an ownership-based calculation, and whether it is capped.
YC’s transparency materials emphasize that financing rights are negotiated and memorialized in documents. A spreadsheet, investor email, or verbal assurance cannot safely replace the signed contract.

| Scenario | Conversion result | Participation result |
|---|---|---|
| SAFE with a cap; no side letter | Converts under the cap or applicable price formula when the trigger occurs. | No contractual right is established merely by holding the SAFE. |
| SAFE with a discount; no side letter | Converts at the discounted price described in the SAFE, subject to its terms. | The holder may not buy new round shares unless another agreement grants that opportunity. |
| SAFE plus a 10% participation side letter | Converts according to the SAFE. | May invest up to the side letter’s calculated amount, such as $500,000 in the YC $5 million illustration, if all conditions are met. |
| SAFE holder declines to fund the round | Conversion still occurs if the SAFE’s trigger and conditions are satisfied. | The unused participation amount is not free stock; the holder simply does not purchase it. |
| Round price below the cap-based price | For the YC cap-price explanation, the cap does not bind and conversion uses the price paid by new-money investors. | The participation right, if any, is calculated separately under its own wording. |
| Multiple SAFEs and an option-pool increase | Final shares depend on the complete capitalization inputs, not one SAFE’s headline estimate. | The permitted purchase can change if the side letter’s ownership or financing definitions incorporate those inputs. |
Practical workflow for investors
Before signing the SAFE
- Ask whether a pro rata or participation right is included. If it is not in the SAFE, request the proposed side letter before closing.
- Ask what “post-money” includes and excludes, especially the option pool and other convertible instruments.
- Request an illustrative conversion model showing the proposed cap, discount, existing capitalization, and expected financing assumptions.
- Confirm the jurisdiction and form. YC lists separate forms for US companies and forms for Canada, the Cayman Islands, and Singapore; it recommends local counsel for non-US companies.
When the priced financing is announced
- Compare the announced financing with the trigger and eligibility definitions in your documents.
- Obtain the round price, security class, target amount, closing date, and allocation procedure.
- Recalculate the SAFE conversion with the final cap table, including every other SAFE or note and any option-pool change.
- Calculate the separate participation amount and decide whether the expected ownership benefit justifies the additional investment.
- Submit the election and funds by the stated deadline, or formally decline if you will not participate.
At closing
- Verify the conversion notice and the number and class of shares issued for the SAFE.
- Verify the subscription confirmation for any new-money shares purchased under the participation right.
- Confirm that the post-closing cap table reflects both transactions and that the SAFE is marked terminated if the applicable form requires that result.
Common mistakes and how to avoid them
Mistaking a cap percentage for a reserved allocation
A $500,000 investment at a $6.7 million post-money cap is an approximately 7.5% conversion-related estimate in YC’s example. It is not a promise that the investor can buy 7.5% of the next financing. Keep conversion ownership and participation capacity in separate columns in every model.
Assuming every SAFE has the same rights
SAFE forms vary by issuer, version, jurisdiction, and negotiated amendment. YC’s standard approach is a useful reference, not a substitute for the executed contract. Country-specific forms and local-law requirements can alter the analysis.

Best Value
Using a simple ownership fraction after the round
Other SAFEs, notes, new money, founder or employee shares, and an option-pool increase can change dilution. Model the entire financing and use the final capitalization inputs supplied for the closing.
Missing the election deadline
Even a valid right can be lost if its notice, paperwork, eligibility, or funding conditions are not met. Calendar the deadline as soon as the financing notice arrives and ask for written confirmation of receipt.
What founders should communicate
Founders can prevent disputes by giving each SAFE holder a clean conversion schedule and a separate participation schedule. The conversion schedule should show the instrument terms, price formula, and share count. The participation notice should state the eligible financing, the maximum amount, the security and price, the election deadline, and the funding instructions. Do not describe a pro rata right as an automatic allocation, and do not promise a final ownership percentage before the complete cap table is settled.
The Tool Desk
Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Because these rights are contractual and can differ across investors, the company should have counsel reconcile every side letter with the financing documents before sending notices. The same diligence protects investors from relying on an informal statement that is narrower than the signed agreement.
Jurisdiction and legal caution
The examples above reflect Y Combinator’s educational materials and standard-form descriptions. They are not legal advice for a particular financing. YC provides different forms for several jurisdictions and recommends consulting a lawyer licensed in the relevant country for non-US companies. The governing law, security definitions, investor-status rules, and enforceability of pre-emptive rights can vary. For a live transaction, have qualified counsel interpret the signed SAFE, side letter, and round documents together.
Decision rule
When someone asks, “Do I have an allocation in the next priced round?” answer in this order: first, identify the shares the SAFE will deliver on conversion; second, locate a signed pro rata or participation right; third, apply that right’s formula and limits to the actual financing; and fourth, verify the deadlines and final cap-table inputs. If the second step finds no separate right, the SAFE alone does not reserve new-money shares.
