Neither private credit nor bank lending is automatically the better choice for an AI company. The right fit depends on your stage, cash flow, collateral, use of proceeds and the terms you can actually negotiate. Compare offers for the same amount and purpose—including fees, repayment, covenants, prepayment terms and closing timeline—rather than assuming one channel is cheaper or faster.
What “private credit” and “bank lending” mean for AI companies
Private credit is debt supplied by nonbank lenders, such as private-credit funds and business development companies, rather than a conventional bank loan. The Federal Reserve describes these investments as debt-like, non-publicly traded instruments used to finance private businesses. Direct lending often involves negotiation between a borrower and one lender, though a small group of lenders may participate. Federal Reserve: Private Credit—Characteristics and Risks

“Bank lending” covers more than one product. It can mean a commercial loan or a venture loan made to a company in an early, expansion or late stage of development. The OCC’s December 5, 2025 guidance recognizes venture lending as a legitimate activity for banks when prudent, but it does not promise that a particular startup will qualify. OCC Bulletin 2025-45
These categories are not completely separate financial worlds: banks may lend to private-credit funds, which then lend to businesses. The lender named on your agreement matters for negotiating and servicing the loan, but the wider funding chain may include banks.

How private credit and bank loans compare
| Decision point | Private credit | Bank lending |
|---|---|---|
| Who lends? | Nonbank lender, often a private-credit fund or business development company. Federal Reserve | Bank; may be a commercial loan or a venture loan for an early-, expansion- or late-stage company. OCC |
| Who may fit? | The Fed describes typical private-credit borrowers as middle-market firms with annual revenue of $10 million to $1 billion. This describes a typical population, not an AI-company eligibility rule. Federal Reserve | Venture loans are a recognized option for companies at multiple development stages; each bank still decides whether a borrower fits its risk appetite and underwriting standards. OCC |
| Security and rate structure | Direct-lending loans are typically senior secured and almost all private-credit loans are floating rate, according to the Fed. These are market characteristics, not guaranteed terms for an individual offer. Federal Reserve | Not stated as a general rule for all bank commercial and venture loans in the cited OCC guidance. Ask the bank to specify collateral and whether the rate is fixed or floating. OCC |
| Negotiated provisions | Contracts may include prepayment penalties, structured equity or lender oversight rights; these are possible terms, not standard features of every loan. Federal Reserve | Not stated as a general rule in the cited OCC guidance. Review the actual agreement for covenants, fees, prepayment provisions and lender rights. OCC |

Eligibility: can a startup get a bank venture loan?
Yes, bank venture loans are a real financing option for startups and other venture-stage businesses, but that does not mean every bank offers them or every applicant will qualify. The OCC says it does not discourage prudent venture lending. At the same time, it warns that new ventures have greater uncertainty and a higher probability of failure than other commercial borrowers. Banks must manage that risk through their own risk limits, underwriting, ratings and reserves. OCC Bulletin 2025-45
Private credit should not be treated as an automatic fallback for a startup that cannot borrow from a bank. The Fed’s description of typical private-credit borrowers—middle-market businesses with $10 million to $1 billion in annual revenue—is a description of the borrower population, not a threshold that establishes who can or cannot borrow. For either channel, ask how the lender weighs your company’s stage, revenue, recurring cash flow, investors, collateral and intended use of funds.
For an AI company, distinguish the business borrowing from a specific asset or project it plans to finance. A company seeking operating runway presents a different underwriting question from one seeking funds for a defined infrastructure investment. The sources do not establish universal eligibility rules for either use.

Do not compare headline interest rates alone. A floating-rate loan’s payments can change as its reference rate changes; fees, required amortization, prepayment charges and any equity-related features can also affect total cost. The Fed says nearly all private-credit loans are floating rate and that direct-lending loans are typically senior secured, but an individual contract may differ. Federal Reserve
For each live offer, calculate the amount your company receives and the cash it must pay over the same period under the same repayment assumptions. Identify what secures the loan, which assets or entities guarantee it, when principal comes due and what happens if you refinance or repay early. Ask the lender to model payments under more than one rate scenario if the rate floats.
- Interest rate: fixed or floating, reference rate, spread and reset frequency.
- All-in charges: origination and other fees, required minimum interest, and any equity or warrant component.
- Repayment: amortization schedule, maturity date, balloon payment and any interest-only period.
- Security: collateral, guarantees, lien priority and restrictions on other borrowing.
- Early repayment: permitted dates, notice requirements, penalties and payoff calculation.
A Kansas City Fed study is not a basis for saying private credit costs an AI borrower less or more than a bank loan. Its 2025 model compared returns on sampled bank commercial-and-industrial loans with returns on sampled bank loans to private-credit funds, and the sample was restricted to floating-rate revolving lines. Those are lender returns on different borrower categories, not matched rates offered to AI companies. Federal Reserve Bank of Kansas City

Read the agreement for what the lender can require or restrict after closing, not just the borrowing terms on the first page. Private-credit contracts can include features such as high prepayment penalties, structured equity or a lender role in oversight or management, according to the Federal Reserve. These provisions are possibilities tied to negotiated contracts, not characteristics every private-credit borrower should expect. Federal Reserve

For either lender type, identify financial and operational covenants, reporting deadlines, limits on additional debt or asset sales, and the consequences of a breach. Ask who can waive a covenant, how much discretion the lender has and what a waiver would cost. If the company expects rapid changes in spending, compute usage or revenue, test whether the covenants remain workable under those plans.
Funding amount, certainty and diligence
The cited sources do not establish a universal loan-size threshold, AI-specific approval probability or closing timeline for either channel. Nor do they provide a matched sample of AI-company term sheets from which to conclude that private credit is always faster, more flexible or more expensive than bank lending.
Instead, ask each lender for a written process and compare the conditions attached to its commitment. Separate an indicative discussion from an approved facility, and note what remains subject to credit approval, diligence, documentation or satisfaction of closing conditions. Request a diligence list and a target timetable, then ask which items could delay funding.
- What amount is committed, and how much can the company draw immediately?
- What conditions must be satisfied before the first draw and later draws?
- Which financial, legal, investor and technical records are required?
- How long does the lender expect underwriting and documentation to take, and what could change that estimate?
- Are there fees or other obligations if the company does not draw the full amount?
AI infrastructure does not tell you what an AI company can borrow
AI depends on data centers with specialized computing hardware, storage, data management, power and cooling. In a 2026 analysis, the Federal Reserve Bank of Chicago reported an MSCI Real Capital Analytics estimate of $14.9 billion in bank lending to data centers during the one-year period through 2025 Q3. The Chicago Fed also estimated that the average bank’s outstanding exposure to AI-adjacent industries was around 0.8% of total assets, with average delinquency rates in those industries in line with overall portfolios at the time studied. These figures concern bank exposure to data centers and AI-adjacent industries; they are not totals for AI-company debt or evidence about a particular company’s eligibility. Federal Reserve Bank of Chicago
That same analysis describes indirect connections: banks may lend to private-credit institutions that finance data centers, or to investment funds specializing in AI. Distress at underlying businesses could therefore affect nonbank borrowers, though the Chicago Fed says these indirect channels are difficult to quantify with regulatory data. A nonbank lender is not necessarily disconnected from the banking system.
A practical way to choose between offers
- Define the financing need. Fix the amount, use of proceeds and date the money must be available. Separate operating runway from a specific asset or project need.
- Set a repayment case. Use a consistent forecast for cash generation, repayment timing and rate changes; test whether repayment remains manageable if growth or fundraising is delayed.
- Collect complete written offers. Ask banks and nonbank lenders to state pricing, fees, collateral, covenants, prepayment terms, draw conditions and the funding timetable.
- Compare total obligations and flexibility. Model cash payments and payoff cost over the same horizon. Assess restrictions and lender rights alongside price.
- Review the downside. Determine what happens if the company misses a milestone, needs more capital, sells an asset, refinances or repays early. Have qualified counsel review the documents before signing.
Choose the offer that funds the defined need while leaving the company with repayment obligations and restrictions it can realistically manage—not the one whose category sounds more startup-friendly.
