Malta and Luxembourg can each suit a cross-border company, but neither offers an automatic tax advantage simply because it is incorporated there. Both are EU member states, and each applies national tax, filing and operational rules. Malta may be worth examining when its shareholder-refund rules or optional tax system fit the company’s facts; Luxembourg may fit a structure that benefits from its company-form options or qualifying group rules. The right choice depends on where decisions and operations actually take place, what income the company earns, who owns it and how profits will be distributed.
What does “offshore company” mean here?
In this comparison, “offshore” is shorthand for a company based in one country while its owners, customers, income or group operations cross borders. It does not mean tax-free, unregulated or exempt from local obligations. Malta and Luxembourg are both in the EU, but incorporation does not displace the tax and reporting rules of the country where the business is managed, operates or earns taxable income.

The Malta Tax and Customs Administration says Maltese companies are generally subject to corporate tax at 35% on worldwide income and capital gains. When tax is charged at the standard rate and profits are distributed, shareholders may qualify for a refund of some or all of the company tax paid. Malta describes its imputation system as intended to prevent double taxation on distributed profits.
#1 Best Overall
The company-level charge and a shareholder’s possible refund are separate parts of the calculation. A refund is not an automatic 5% rate for every company or owner: eligibility and the amount depend on applicable rules, the income involved and the shareholder’s circumstances. A comparison should model the company tax, distribution and owner-level result together.
2. Malta has an optional final-tax system for some eligible entities
A Government of Malta notice published in 2025 describes an optional system applying a 15% final tax to certain eligible chargeable income, beginning with year of assessment 2025. The election has exclusions and a minimum five-year commitment. The explanatory material also says the final tax cannot be less than the effective tax otherwise applicable after shareholder refunds.
This is a possible route for eligible entities, not a replacement rate available to all Malta companies. Eligibility and how the election interacts with the ordinary imputation regime must be checked against the operative rules and the company’s facts before relying on it.

3. Luxembourg offers distinct company forms for different formation needs
Luxembourg’s standard private limited liability company (SARL) and simplified private limited liability company (SARL-S) have different capital and formation requirements, according to Guichet.lu, the Luxembourg government’s official portal. The SARL-S is not simply an unrestricted low-capital version of a SARL: it has limits, including restrictions on share transfers and securities.
| Form | Capital at formation | Formation formalities | Key qualification |
|---|---|---|---|
| SARL | At least EUR 12,000, fully subscribed and paid | Established by notarial deed; filing and publication are required | Guichet.lu describes ongoing accounting, filing, tax and potential audit obligations. |
| SARL-S | EUR 1 to EUR 12,000 | May be formed by private deed without a notary | Restrictions apply, including limits on share transfers and securities; check whether they suit the intended ownership and financing. |
These are legal parameters, not a comparison of total setup costs. The right form depends on the intended ownership, financing, activity and governance, as well as ongoing compliance capacity.
4. Luxembourg has a qualifying participation-exemption framework for some groups
Guichet.lu describes a parent-subsidiary participation exemption mechanism intended to prevent double taxation of qualifying dividends, subject to eligibility conditions. This may be relevant to a genuine group or holding structure where the entities and income meet those conditions.
Rank #3
The framework is not a blanket exemption for all dividend income. “SOPARFI” is commonly used as shorthand for a Luxembourg holding and finance structure; it does not name a special tax-free company form or remove the need to satisfy applicable rules.

5. Both countries have cross-border treaty and EU rules to consider
The Malta Tax and Customs Administration lists a double taxation convention between Malta and Luxembourg. A treaty can allocate or limit taxing rights and provide ways to address double taxation, but its effect depends on the relevant treaty provision and facts such as the taxpayer’s residence, income category, beneficial ownership and any permanent establishment.
European Commission guidance explains that businesses still need to account for national company-tax registration and returns. EU rules relevant to parent companies and subsidiaries in different member states can also apply, but EU membership does not replace national taxation or reporting. These frameworks may help analyze a cross-border structure; neither guarantees a lower tax bill.

6. Each jurisdiction has a framework for companies with cross-border activity
Both locations can be considered as bases for a company whose owners, customers or group operations are international. The useful benefit is the ability to assess a local legal and tax framework alongside cross-border rules—not a promise that the company can be managed from elsewhere without consequences.
Malta says income-tax registration can be required when a company is incorporated there, when its management and control is there, or when it carries on an activity there. Luxembourg’s official guidance says resident companies—defined by registered office or centre of effective management in Luxembourg—are generally taxable on worldwide income; nonresident companies are taxed on Luxembourg-source income. The location of real decision-making and business activity therefore matters in both cases.

Do not choose on a headline rate alone. Malta’s published standard corporate rate is 35%, with a possible shareholder refund after qualifying distributions; its optional 15% final-tax system applies only to certain eligible entities under conditions. Luxembourg’s tax framework includes corporate income tax, communal business tax and net wealth tax, among other obligations.

Guichet.lu’s corporate-income-tax page was updated on 7 April 2026, but the rate figures displayed there are explicitly dated 2019. They should not be treated as current 2026 rates or used to calculate a current combined rate. A reliable Luxembourg comparison needs current rates for the relevant municipality and company profile, checked with current official tax material or a qualified adviser.
Luxembourg’s official guidance also describes quarterly advance payments and filing obligations. In either country, the total result may depend on company-level tax, local business taxes, net wealth tax, withholding, treaty eligibility, shareholder residence and the treatment of distributions.
How to choose between Malta and Luxembourg
Start with the company’s real operating plan, then ask advisers to calculate the result under current law in both jurisdictions. Prepare a one-page fact pattern covering:
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problems- Each owner’s and shareholder’s tax residence.
- Where directors will work and where strategic decisions will actually be made.
- Where staff, premises, customers and business activity will be located.
- The countries from which revenue will come and whether income is operating income, dividends or capital gains.
- Whether the company will distribute profits, retain them or receive dividends from subsidiaries.
- The intended legal form, financing and asset profile, and any licensing requirements.
- The company’s capacity for accounts, tax returns, audits where applicable, payroll, social security and VAT compliance.
Then ask for a like-for-like calculation that includes company tax, applicable local taxes, withholding, treaty treatment, owner-level tax and the cost and work of ongoing compliance. Ask which assumptions determine the result and how it changes if management, operations or distributions differ from the plan.
Which jurisdiction is the better fit?
Malta deserves closer examination when the company’s actual circumstances make its imputation and potential refund rules, or the optional system for eligible entities, relevant. Luxembourg merits closer examination when its company forms and qualifying participation rules fit a real operating or holding structure. These are starting points for a fact-specific comparison, not recommendations without information about the company and its owners.
