Data Center Dynamics reported the amount as approximately US$1.27 billion; DNB stated the transaction in ringgit. The financing includes refinancing an expired government-guaranteed credit facility and is intended to support DNB’s long-term funding and investment in network capacity and enhancement.
What the RM5.2 billion financing covers
DNB says the financing includes refinancing its Government Guarantee Revolving Credit Facility (GGRCF), which expired on 29 September 2026. The company presents the new transaction as establishing a sustainable long-term funding structure and supporting future growth, network enhancement and capacity expansion.

DNB described the deal as a landmark transaction and among the largest syndicated loan facilities arranged for an unlisted Malaysian company. The announcement does not state a financing tenor, interest rate, detailed repayment schedule or covenants, so those terms cannot be assessed from the disclosed information.

- Maybank Investment Bank Berhad acted as mandated lead arranger, bookrunner and coordinating arranger.
- AmInvestment Bank Berhad, CIMB Islamic Bank Berhad, RHB Islamic Bank Berhad and United Overseas Bank (Malaysia) Berhad were joint mandated lead arrangers.
- AmInvestment Bank also acted as adviser to DNB.
DNB CEO Datuk Azman Ismail called the completion a significant milestone and said it reflected confidence in the company’s fundamentals, operating record and long-term role. That is DNB’s characterization of the transaction, not an independent assessment.

Why DNB calls this the next phase of 5G
DNB is a wholesale provider of nationwide 5G infrastructure and capacity to licensed operators, rather than a retail mobile service for consumers. Its financing is therefore a corporate funding development, not the announcement of a new consumer plan or an immediate service launch.
The deal also sits within Malaysia’s transition to a dual-network model. DNB said in a 1 July 2026 update that U Mobile had offboarded from its network effective 30 June 2026. The financing announcement links DNB’s longer-term funding needs to network investment as that industry framework evolves.

What changed with DNB’s spectrum
In its 1 October announcement, DNB said the full 100 MHz allocation in the 3.3–3.4 GHz band had been awarded and its total 240 MHz spectrum holding converted to a Spectrum Assignment, effective 1 October 2026 after issuance by the Malaysian Communications and Multimedia Commission (MCMC).

Ownership transition was still pending
DNB said the financing facilitates a planned exit by government entity MOF Inc. as an ordinary shareholder and a transition to equal ownership among its mobile network operator (MNO) shareholders: CelcomDigi Berhad through Infranation Sdn Bhd, Maxis Broadband Sdn Bhd and YTL Power International Berhad. DNB described the transition as expected in early Q4 2026; that was an expectation, not confirmation that the change had been completed.
Under the announced plan, MOF Inc. would retain a special share to safeguard national interests and a role in strategic matters.

What consumers can—and cannot—conclude
The announcement establishes that DNB secured financing, that refinancing of the expired facility is included, and that DNB reported a spectrum assignment effective on 1 October. It does not specify a new coverage target, construction schedule, retail price, speed guarantee or consumer-device requirement. It also does not tie the funding to a published number of rollout sites or a measurable service improvement.

For readers, the practical significance is indirect: DNB says the financing and spectrum are intended to support the wholesale network’s capacity and development. Any resulting change in coverage, speed or availability would depend on subsequent network deployment and operator services, none of which is quantified in this announcement.
