A token labeled “tokenized stock” may be a blockchain-recorded share, a token representing a custodial entitlement, or a synthetic contract linked to a stock. Those structures can produce very different ownership rights, custody arrangements and failure risks. Buying a listed U.S. stock through a broker usually makes you the beneficial owner of the shares even though the issuer’s register names the broker or another nominee. A synthetic token may give you only a contractual claim against the token issuer, with no rights against the company whose ticker it follows.
The only reliable way to tell the difference is to read the instrument’s offering, custody and transfer documents. The blockchain label does not, by itself, establish that you own the same security, receive voting rights or qualify for the same protections as a brokerage customer.

The three legal structures behind “tokenized stock”
“Tokenized stock” is a product description, not a single legal category. Before comparing one with a brokerage holding, identify who issued the instrument, what asset is held underneath it and which records establish ownership.

In this model, the company that issued the conventional security, or an appointed agent, issues the security in token form. The blockchain ledger is integrated with the issuer’s master securityholder file, so a valid transfer on the network can update the official ownership record. The issuer may still keep identity and compliance information off-chain.

Token form does not guarantee that the asset has the same class or terms as a conventional share. Confirm the class of stock, voting provisions, dividend treatment, transfer restrictions and governing documents. A token can be recorded on an issuer’s ledger while carrying rights that differ from another class of shares.
Custodial tokenized security or entitlement
Here, a bank, broker or other custodian holds the underlying stock. A token represents your direct or indirect interest in that custody arrangement, often as a security entitlement. The blockchain may show movements between token holders, while the custodian’s books remain the authoritative record of who is entitled to the underlying security.
Investor education materials describe a custodial model in which the token holder receives the same rights, obligations and benefits as a traditional shareholder. That result depends on the particular documents, however. Check whether the custodian must pass through dividends, voting materials, corporate actions and information, and whether you can redeem the token for the underlying security.
Synthetic or “linked” token
A third party can issue its own security or other instrument whose value references a listed stock. The issuer may hedge its exposure, hold no shares at all, or use a mixture of assets and contracts. You have a claim under the token’s terms, not an ownership interest in the referenced company.

The SEC staff describes a linked security as an obligation of the third-party issuer that provides synthetic exposure and “confers no rights or benefits from the issuer of the referenced security.” A security-based swap generally does not provide equity, voting, information or other rights in the referenced stock. Your principal risks therefore include the token issuer’s creditworthiness, collateral and redemption rules, in addition to movements in the reference price.
What you own through a normal U.S. brokerage account
Most U.S. investors hold listed securities in street name. The broker, its clearing firm or another nominee appears on the company’s shareholder register. Your brokerage account and the intermediary’s books identify you as the beneficial owner.
That arrangement is indirect in recordkeeping terms, but it is not automatically a derivative. Your beneficial ownership interest is tied to the specified share class, and the broker is expected to pass through economic benefits and required communications. Voting may be handled through proxy materials rather than by putting your name on the issuer’s register. Investor.gov says this is how the majority of U.S. investors hold securities.

Street-name ownership also uses established securities-market infrastructure. The broker and clearing system maintain account records, process settlements and handle corporate actions under securities-industry rules. The exact procedures vary by broker and account type, so read the customer agreement for voting instructions, dividend treatment, lending and transfer restrictions.

Rights comparison: tokenized product versus broker-held shares
| Question | Shares held through a broker | Tokenized product—what to verify |
|---|---|---|
| Who is on the issuer’s register? | Usually the broker, clearing intermediary or nominee; your beneficial position appears in brokerage records. | Is the company itself the issuer, is a custodian holding the share, or is a third party issuing a separate linked instrument? |
| What establishes your interest? | The broker’s account and books, supported by the intermediary’s position at the issuer or depository. | Is the blockchain the official ownership record, or does an off-chain custodian ledger control entitlement? |
| Voting | Normally associated with the share class and delivered through the broker’s proxy process, subject to account and lending arrangements. | Does the token’s contract grant voting, and who submits or counts your vote? |
| Dividends and corporate actions | The broker generally credits dividends and processes splits, mergers and other actions for the beneficial owner. | Does the issuer or custodian have a duty to pass through cash, stock dividends and election rights? What deadlines and fees apply? |
| Information rights | Communications and proxy materials are distributed through the intermediary. | Are reports, notices and beneficial-owner information rights included, or does the token provide only price exposure? |
| Claim against the company | Your beneficial ownership is in the stated share class, although the intermediary is the registered holder. | A synthetic token may create no claim against the referenced company; your claim may be solely against the token issuer. |
| Failure protection | A qualifying customer account at a SIPC-member broker may receive SIPC protection, subject to statutory limits and eligibility. | Do not assume SIPC applies. Determine whether you are a customer of a SIPC-member broker and whether the token or underlying property is in that member’s custody. |
| Transfer and trading | Broker orders, settlement systems and account restrictions govern transactions. | Check the blockchain, wallet or whitelist rules, market hours, liquidity, redemption process and any required intermediary. |
Custody and recordkeeping: the practical difference
With a brokerage holding, there is a defined chain of records: the issuer or depository recognizes an intermediary, and the intermediary’s books show your position. If the broker uses a clearing firm, several layers can sit between you and the issuer, but each layer has account-record and reconciliation duties.
A tokenized arrangement can split the functions. The blockchain may record transfers while a custodian holds the actual shares. Alternatively, the blockchain may be the issuer’s master register. In a synthetic structure, no underlying share may be held for you at all. Ask which record controls if the blockchain and an internal ledger disagree, how lost keys are replaced, and whether a transfer can be reversed or frozen.
Also ask what happens if the token issuer, custodian, wallet provider or trading venue fails. Read insolvency language: does the token represent segregated property, a security entitlement, a secured claim or an unsecured promise? Counterparty and custody risks can be different even when two products follow the same stock price.

Does SIPC protect tokenized stocks?
SIPC protection is tied to the customer relationship and property held by a SIPC-member brokerage firm; it is not an insurance policy for a token’s market value. The SEC and SIPC Investor Bulletin states that SIPC may help return missing securities or cash when a member brokerage fails, subject to statutory limits.

- The maximum SIPC advance is $500,000 per customer, including a $250,000 limit for cash claims. The cash limit is part of the $500,000 ceiling, not an additional amount.
- SIPC does not cover losses caused by a stock or token falling in market value.
- Assets held outside the SIPC-member firm are not automatically covered.
- Both customer-name and street-name securities can be protected, although registration affects how assets are returned.
For a token, verify whether you are legally a customer of a SIPC-member broker and what property that member actually holds. A separate token platform, wallet or issuer may not be a SIPC member, and a synthetic claim may never be customer property at a brokerage. Confirm membership and custody in the account agreement and the firm’s disclosures rather than relying on an app’s branding.

Where can you trade?
Broker-held shares trade through the broker’s order-routing and settlement arrangements, subject to market hours, account permissions and securities regulations. Tokenized products may trade on a blockchain venue, a platform’s internal order book or both. Some require a whitelisted wallet or an approved intermediary; others restrict transfers to certain jurisdictions or investor categories.
Can you convert the token into a share?
Conversion is not implied by tokenization. Look for a contractual redemption right, the party responsible for delivering shares, settlement time, fees, minimum sizes and what happens when the underlying market is closed. A synthetic product may permit only cash settlement, not delivery of stock.
What happens when liquidity disappears?
A listed stock normally has access to established market liquidity, although prices can still gap or trading can be halted. A token can have a narrower market, wider spreads or no buyer when the platform is offline. The terms should explain valuation during outages, forks, chain reorganizations, corporate actions and suspension of withdrawals.

A due-diligence checklist before buying
- Name the legal instrument. Find the prospectus, offering memorandum, terms of service or security agreement. Record the exact issuer and whether the product is a share, security entitlement, linked security or swap.
- Identify the underlying asset and record. Determine whether a specific number of shares is held, who holds them, and whether the blockchain or an off-chain ledger is authoritative.
- Map your rights. Look for voting, dividends, information, corporate-action elections, inspection rights and any claim against the referenced company. Treat “tracks the price” as an economic description, not proof of ownership.
- Read failure provisions. Check segregation, collateral, rehypothecation, insolvency priority, key recovery and what happens if the issuer, custodian, platform or chain stops operating.
- Check transfer and exit rules. Note wallet requirements, whitelists, holding periods, geographic limits, market hours, redemption mechanics, fees and settlement times.
- Verify regulatory status. Confirm the platform’s registrations or exemptions and whether you are dealing with a SIPC-member broker. Do not infer coverage from the word “security” or from a blockchain interface.
- Compare the same share class. A token referencing common stock may not match another class with different voting or dividend terms. Match the issuer, class, identifier and corporate-action treatment.
What regulators have said—and what they have not promised
Investor.gov states that tokenized securities are securities subject to federal securities laws and investor protections, while emphasizing that rights and structures vary. SEC staff’s Statement on Tokenized Securities, dated January 28, 2026, provides a taxonomy and discusses how existing law may apply. The statement is staff guidance: its footnote says it represents staff views and has no legal force or effect.
The Federal Reserve FAQ updated March 5, 2026 addresses only “eligible tokenized securities” that confer legal rights identical to the non-tokenized form. For those eligible securities, the FAQ says capital treatment is the same as for the non-tokenized form. Tokens without identical legal ownership rights are outside that FAQ’s scope. Banking-capital treatment is not a guarantee that every retail token has equivalent custody, disclosure or investor protection.
SEC Commissioner Hester M. Peirce warned on July 9, 2025 that purchasers of third-party tokens may face unique risks, including counterparty risk. That warning is especially relevant when the token issuer, rather than the referenced company, owes you the payment or redemption obligation.
How to answer “Do I own the stock?”
If the token is issuer-recorded
You may own a tokenized version of the issuer’s security, but verify the share class and governing terms. Ownership is strongest when the issuer’s master file recognizes the blockchain transfer and the token carries the same legal rights as the conventional security.
If the token is custodial
You may hold a security entitlement to shares held by a custodian. Your practical rights depend on the custody agreement, recordkeeping and pass-through duties. The fact that the token moves on-chain does not tell you whether the custodian’s records or the blockchain control.
If the token is synthetic
You do not own the referenced company’s stock. You own the instrument issued by the token provider and bear that provider’s contractual, collateral and insolvency risks. Price tracking can be useful exposure, but it is not the same legal position as owning the share.
Bottom line for a U.S. retail investor
A brokerage account usually gives you beneficial ownership of a specified share class through a familiar intermediary and custody system. A tokenized product can reproduce that position, represent a custodial entitlement or replace it with a synthetic claim. Compare the legal issuer, authoritative records, shareholder rights, custody, transfer rules and failure protections before comparing prices or convenience. The decisive question is not whether the asset uses a blockchain; it is what the contract and custody records say you own.
