A token may represent a share recorded by its issuer, an entitlement to a share held by a custodian, or a separate instrument that tracks a stock’s economics. Those differences determine who owes you what—and how a corporate action reaches you.
First, find out what your token represents
The U.S. Securities and Exchange Commission’s divisions of Corporation Finance, Investment Management, and Trading and Markets described these distinct structures in a staff statement published January 28, 2026. The statement defines a tokenized security as a security represented by a crypto asset whose ownership record is maintained partly or wholly on or through a crypto network. The label alone does not establish that you are a shareholder or tell you what rights you have.

| Structure | What the token may represent | Where to look for corporate-action rights |
|---|---|---|
| Issuer-sponsored tokenized security | The issuer or its agent uses a distributed ledger in the official master securityholder file; a network transfer updates that record. | The issuer’s authoritative ownership records, the security’s terms, and applicable law. |
| Custodial security entitlement | A custodian holds the underlying security, while a token represents a customer’s entitlement through an intermediary. | The custody and entitlement arrangements, platform terms, and distribution process connecting the share to the customer. |
| Synthetic or linked exposure | A third party’s own instrument provides economic exposure to a stock; it is not necessarily the share or an entitlement in it. | The instrument’s contract. Any dividend-like amount is contractual unless the terms establish otherwise. |
For a specific product, trace the legal chain from the issuer to any custodian and platform, then to you. Check the issuer schedule, prospectus or final terms, custody or entitlement documents, platform terms, and redemption and transfer restrictions. The SEC Investor Advisory Committee has identified the parties, rights, infrastructure, and limits on transfer or redemption as material disclosure issues.
Do tokenized stocks pay dividends?
Some arrangements may pass a dividend through; others may promise a contractual equivalent, impose adjustments, or provide no dividend-related payment. Do not assume that a token holder is entitled to the same dividend as a registered shareholder. The applicable documents determine the answer, and public product materials do not establish one universal payment route or schedule.

For the product you are considering, find out:
- Who must hold the relevant legal interest on the dividend record date, and how that date is applied to token holders.
- Whether the payment is a shareholder dividend or a contractual equivalent, and who is responsible for paying it.
- The payment currency and expected timing, including how the issuer, custodian, and platform pass it through.
- Whether withholding, fees, or other adjustments apply, and what the terms say about delay, interruption, or non-payment.
A historical example shows why product-specific terms matter: 2021 final terms for a Malta Canopy Growth tokenized-stock product described the instrument as granting creditor rights, not shareholder participation or voting rights, and said it did not include dividends. That example describes that product and period, not tokenized stocks generally or current products.
What happens to tokenized shares after a stock split?
A split changes the relationship between the number of shares and their per-share value. Depending on the product, the provider might change the token quantity, adjust a conversion multiplier, or use another accounting method to preserve the exposure specified by its terms. A reverse split can require its own adjustment as well.

One published unified tokenized-stock terms page defines a multiplier relating token quantity to scaled share quantity and says the multiplier may be adjusted for corporate actions. That does not establish a standard method for other tokens. Check the current terms for the adjustment formula and effective time, how fractional amounts are handled, and whether the change affects conversion or redemption. Do not assume a split always results in a particular number of new tokens or is processed automatically on-chain.

A merger, spin-off, tender offer, or reorganization may involve cash, a successor security, a choice among alternatives, or a combination. A token’s treatment depends on its governing terms and the structure behind it; holders should not assume they can make the same election or receive the same form of consideration as directly registered shareholders.
Look for the product’s provisions on event notices, election rights, conversion into successor instruments, consideration, timing, and fractional entitlements. The SEC Investor Advisory Committee specifically identifies splits, mergers and acquisitions, spin-offs, and bankruptcy as events that raise questions about whether token holders receive treatment equivalent to other holders. The actual rights still depend on the specific instrument and arrangements.
Are voting rights automatic?
No. Voting and proxy rights vary with the legal structure and product terms. An issuer-sponsored security recorded in the issuer’s official ownership system differs from a custodial entitlement or a third-party instrument, but the structure’s name alone is not a substitute for checking whether you can vote, how proxy materials reach you, or whether an intermediary must act on your behalf.
On September 17, 2026, the SEC announced temporary conditional relief for certain Tokenized Securities Venues using permissioned automated market makers and liquidity pools. The release makes a same-rights condition apply to tokenized NMS stock offered under that relief: holders must have the same rights and privileges as holders of equivalent traditional NMS stock. This is a condition on that particular relief, not a general rule that makes every tokenized stock rights-equivalent or establishes a universal way to administer corporate actions.

What the 2026 developments do—and do not—tell you
The SEC staff statement of January 28, 2026 describes tokenized securities and distinguishes issuer-sponsored arrangements from unaffiliated third-party models. It is a staff statement, not a replacement for governing law or the documents for a particular product.
Nasdaq announced an equity-token design on March 9, 2026 centered on issuer control and said it aims to modernize corporate actions, proxy voting, and shareholder engagement. An announced design and intention do not establish that an operational retail product is available or specify how a particular token pays dividends or handles a split.

- Identify the claim. Determine whether the token represents an issuer-recorded security, a custodial security entitlement, or a separate instrument providing linked exposure.
- Trace the parties. Identify the issuer, custodian, platform, and any other intermediary, and establish who owes obligations directly to you.
- Read the distribution terms. Check dividend eligibility, the record-date process, payment route and currency, deductions, and provisions for delays or non-payment.
- Read the adjustment terms. Find the method and effective time for split and reverse-split adjustments, fractional treatment, and any effect on conversion or redemption.
- Read the event and voting provisions. Check merger, spin-off, tender, and reorganization treatment, plus election, proxy, and shareholder-communication rights.
- Check the practical limits. Review custody, transfer, and redemption restrictions as well as what happens if an intermediary or issuer fails to perform.
A blockchain balance can show how many tokens an account holds, but by itself it does not establish the holder’s legal rights, the treatment of a corporate action, or the route for receiving a payment. Those answers belong in the current documents for the specific product.
