Before giving a provider access to payroll, tax, bank, card, or contributor data, verify who the provider is, what it is authorized to do, where money goes, and how you can independently check the result. For U.S. federal payroll taxes, outsourcing the work generally does not transfer the employer’s responsibility to make sure required deposits and payments are made.
1. Identify every company that will handle your data or money
Get the provider’s full legal name, business address, and contact details. Ask for the legal names of any subcontractors, payment processors, agents, or other intermediaries that may receive payroll records, tax information, bank details, card data, or contributor information.

Compare those names across the proposal, contract, authorization forms, and account setup screens. Ask whether the provider resells services or uses nested processors. The FDIC’s payment-processor guidance, amended February 3, 2026, describes intermediary and nested arrangements as making oversight more difficult; that guidance is directed to supervised financial institutions, not a universal legal checklist for every organization hiring a processor.

Write down each task the provider wants to perform. Distinguish between viewing records, preparing or filing returns, initiating tax deposits, debiting a bank account, receiving contributions, issuing refunds, and changing payment details. Do not treat a general label such as “payroll provider” or “payment processor” as proof of authority or responsibility.

For U.S. federal payroll, ask which arrangement applies. The IRS distinguishes among a payroll service provider (PSP), reporting agent, section 3504 agent, and certified professional employer organization (CPEO). Their authorizations and legal arrangements differ:
| Arrangement | What to verify |
|---|---|
| Payroll service provider (PSP) | Confirm the tasks in the agreement and the authorizations used. The employer generally remains responsible for ensuring federal employment tax duties are completed. |
| Reporting agent | Check whether Form 8655 supports the provider’s reporting-agent authority. This arrangement generally does not shift the employer’s responsibility for required tax deposits and payments. |
| Section 3504 agent | Check whether Form 2678 is the applicable authorization. A section 3504 agent has joint liability for specified withholding responsibilities. |
| CPEO | Check the provider’s CPEO status and the contract-notification process, including Form 8973. CPEOs operate under a distinct statutory arrangement; do not assume it is interchangeable with another payroll service. |
These forms are not interchangeable. Read the agreement and confirm that its described role matches the tasks and authority you are granting. Marketing language alone does not establish that the provider qualifies for a particular arrangement.

3. Verify federal payroll-tax deposits independently
For U.S. federal employment taxes, employers generally remain responsible for deposits and payments even when a third party receives the funds. If the provider fails to deposit them, the employer may face the tax, penalties, and interest. The IRS says a missed or late payment should raise an alarm.
- Keep the IRS address of record current. This helps ensure notices reach the employer rather than being missed or routed only through a provider.
- Enroll in EFTPS independently. Use the Electronic Federal Tax Payment System to check payment history under the employer’s EIN. The IRS says registered employers can access 16 months of payment history.
- Reconcile activity against your own records. Ask the provider for a sample reconciliation showing payroll or contribution totals, deductions and fees, deposits or payouts, destination accounts, timing, and how exceptions are handled. This is a practical review control, not a format prescribed by the IRS or FDIC.
- Follow up promptly on a discrepancy. If a deposit is late or missing, or an IRS notice may relate to the provider, contact the IRS promptly using the number on the notice or the IRS business tax line. Suspected improper payroll tax deposits or filings may be reported with IRS Form 14157.
In Tax Tip 2023-65, dated May 10, 2023, the IRS encouraged employers to enroll in EFTPS and ensure their third-party payroll provider uses it to make tax deposits. Ask the provider how it makes deposits, but use your own EFTPS access to verify them.

4. Map the money flow for contributions
“Contribution collection” can mean donations, dues, retirement-plan contributions, or other recurring payments. The responsibilities and legal rules depend on the payment type and arrangement; there is no single liability rule that applies to every kind of contribution.
Before enabling collection, get clear answers to these practical questions and have the answers reflected in the agreement:

- Which legal entity receives the funds, and which account holds them before payout?
- Is the provider the merchant of record or account holder, or does another processor or agent fill that role?
- Who initiates refunds, handles chargebacks, and resolves payment exceptions?
- Who is responsible for reporting and safeguarding the data involved?
- When are funds paid out, what fees or deductions apply, and how can you reconcile a payout to the underlying transactions?
These questions help expose gaps in the payment chain; they are not a universal legal test. If a processor is involved, identify each party rather than assuming the organization you contracted with handles every stage.
5. Check access controls, card-data scope, and offboarding
Request written documentation describing who can access sensitive information, how access is limited, and how activity is recorded. IRS Publication 4557 recommends multifactor authentication for access to customer information, limiting access to people who need it, and keeping audit trails that record who acted, when, and what changed.

For card payments, ask whether the provider stores, processes, or transmits cardholder data, or otherwise affects the cardholder-data environment. Clarify the applicable PCI DSS scope and which party is responsible for each control. The PCI Security Standards Council’s June 2025 guidance says that outsourcing card processing does not remove a merchant’s responsibility to ensure the provider complies for the services it performs, maintain written agreements, and monitor the provider’s compliance status at least annually. Confirm the applicable scope and compliance process with the organization that administers your merchant program; PCI responsibilities depend on the payment environment.
Make offboarding part of the access plan. Document how accounts, bank permissions, data access, and outstanding authorizations will be removed when the relationship ends. IRS safeguarding guidance recommends withdrawing outstanding authorizations for former clients.
6. Ask what protection exists if the provider defaults
The IRS advises employers to check whether a payroll service provider has a fiduciary bond. If one is offered, request the bond documents and confirm the covered entity, covered losses, limits, exclusions, and claim process. A bond is not a guarantee that every loss will be recovered.
